Cash and Cash Equivalents of $486.1 Million at June 30, 2026, Support Continued R&D, Product Certification and Acquisition Integration

Conference Call to be Held on September 15 at 9:00am ET

SEALSQ Corp (NASDAQ: LAES) (“SEALSQ” or the “Company”), a company focused on developing and commercializing post-quantum semiconductor, PKI and trusted provisioning solutions, today announced its financial and operational results for the six-month period ended June 30, 2026.

H1 2026 Financial Highlights

  • Revenue increased 131% to $11.2 million, compared to revenue of $4.8 million in H1 2025.
  • Gross profit increased 233% to $5.4 million, compared to gross profit of $1.6 million in H1 2025; gross margin expanded to approximately 48%.
  • Operating loss was $32.2 million, compared to operating loss of $21.2 million in H1 2025.
  • Net loss was $27.8 million, compared to net loss of $20.0 million in H1 2025.
  • EBITDA loss was $29.5 million, compared to EBITDA loss of $20.9 million in H1 2025.
  • Cash, cash equivalents and restricted cash totaled $486.1 million at June 30, 2026; the broader liquidity measure including short-term investments was approximately $495 million.
  • FY2026 revenue guidance of $27 million to $36 million was reaffirmed.
  • The active business pipeline as of September 9, 2026, exceeded $225 million through 2029, including more than $100 million associated with the Company’s Post-Quantum projects, including the QS7001 and QVault TPM. These figures reflect management estimates and are subject to risks such as conversion risks, customer validation, and technical integration.

Revenue Growth and Business Drivers
H1 2026 revenue growth was driven primarily by renewed demand for SEALSQ’s Vault-IC secure-element product family, continued growth in PKI subscriptions and digital identity services, initial revenue from the Quantix Edge Security semiconductor design center in Murcia, Spain, and six months of consolidated revenue from IC’Alps SAS (“IC’Alps”).

IC’Alps, acquired in August 2025, contributed approximately $2.5 million of revenue during H1 2026 and expanded SEALSQ’s capabilities in custom ASIC design, secure semiconductor architecture and specialized engineering services.

North America generated $5.6 million, representing 50% of H1 2026 revenue. Europe, the Middle East and Africa generated $3.7 million, or 33%, while Asia Pacific generated $1.9 million, or 17%. The addition of ASIC design revenue and an improved product mix contributed to the increase in gross profit and the expansion of gross margin.

Investment in Growth and Explanation of Net Loss
SEALSQ recorded an operating loss of $32.2 million compared to operating loss of $21.2 million in H1 2025, and a net loss of $27.8 million during H1 2026 compared to net loss of $20.0 million in H1 2025. The increase primarily reflects planned investments supporting the post-quantum product roadmap, integration of acquired companies and expansion of the SEALQUANTUM Sovereign Vertical Stack.

  • R&D expenses increased to $8.7 million from $4.7 million, reflecting IC’Alps consolidation, product development, certification activities and acquisition-related amortization.
  • G&A expenses increased to $23.1 million from $13.8 million, reflecting acquired-business consolidation, expanded corporate infrastructure, intangible-asset amortization, and legal, audit, advisory and transaction costs.
  • Selling and marketing expenses increased to $7.2 million from $6.0 million as commercialization activity expanded.
  • These increases were partially offset by $3.8 million of additional gross profit and improved net non-operating income, including higher interest income on liquidity reserves.

Carlos Moreira, Founder, Chairman and CEO of SEALSQ noted, “The first half of 2026 was marked by a decisive transition for SEALSQ. Revenue increased by 131%, gross profit more than tripled, our gross margin expanded significantly as we integrated IC’Alps and benefited from stronger demand for our secure-element and PKI solutions. Our $27.8 million net loss reflects substantial investments in R&D, certification, acquisition integration, corporate infrastructure and our Root-to-Qubit strategy. Our priority for the remainder of the year is turning that investment into disciplined execution, production commitments and recurring revenue. With $486.1 million in cash, cash equivalents and restricted cash at June 30, 2026, we have the balance sheet to fund that transition on our own terms.”

John O’Hara, CFO of SEALSQ added, “H1 2026 results confirm strong top-line momentum, with revenue increasing from $4.8 million to $11.2 million and gross profit increasing from $1.6 million to $5.4 million. Higher interest and other non-operating income partially offset increased operating costs, resulting in a net loss of $27.8 million. Our liquidity position remains strong, and we intend to manage this capital carefully while prioritizing projects that support commercialization, strategic control and long-term value creation.”

In its initial month under the new team, the Company reports $5.1 million in cash on the balance sheet and an approximate 30% reduction in monthly cash burn

WEST PALM BEACH, Fla., Sept. 11, 2026 (GLOBE NEWSWIRE) — FingerMotion, Inc. (Nasdaq: FNGR) (“FingerMotion” or the “Company”) today reported improvements completed in the first 30 days under new management, including strengthened liquidity, improved operating discipline, capital-markets activity, and a new strategic direction.

Liquidity

As of the date of this release, the Company reports:

  • Cash and cash equivalents of approximately $5.1 million.

The improved cash position reflects recent financing activity, including the Company’s registered direct offering completed on August 31, 2026, together with tighter working-capital management.

Operating efficiencies and cash burn

In its first 30 days, new management implemented a company-wide efficiency program focused on overhead, vendor spend, and non-core costs. FingerMotion also reduced monthly cash burn by nearly 30%. The Company intends to continue identifying additional cost and process improvements as it reallocates resources toward its North American enterprise compute strategy.

Termination of at-the-market (ATM) facility

The Company confirmed that it has terminated its at-the-market issuance sales agreement with R.F. Lafferty & Co., Inc., originally dated October 23, 2025. New management determined that, given current market conditions, terminating the ATM was prudent and consistent with a preference for more discrete, negotiated financings in the immediate term.

“Thirty days is a short window, and the team used it to implement a stronger foundation under this company,” said Jolie Kahn, Chief Executive Officer. “We have more cash on the balance sheet, we cut monthly burn by nearly 30 percent in our first month, and we terminated the legacy ATM. Those steps create operating room as we concentrate FingerMotion on North American compute infrastructure as the basis of our long term plan.”

Chris Polimeni, Chief Financial Officer, added: “In our initial month, the combination of approximately $5.1 million of unrestricted cash and a lower run-rate burn gives us a more durable near-term liquidity profile. We will evaluate future realignment with the same financial discipline—structure, consideration, working-capital effects, and residual liabilities— as we seek to commit to a path to strengthen the Company’s balance sheet and build shareholder value.”

SUWON-SI, REPUBLIC OF KOREA and MONTEREY, CA, Sept. 11, 2026 (GLOBE NEWSWIRE) — Futuremain Co., Ltd. (“Futuremain”), a global engineering and IT company specializing in safety diagnostics of machinery operating in factories, has entered into an Agreement and Plan of Merger and Business Combination Agreement (the “BCA”) with ChampionsGate Acquisition Corp (“ChampionsGate”), a publicly traded special purpose acquisition company, as well as such other persons who are contemplated to later join this Agreement as the “Pubco”, “Holdco”, “Merger Sub I” and “Merger Sub II”. Upon completion, the transaction contemplated under the BCA will result in a combined company listed on the Nasdaq Stock Market.

The transaction is expected to close in 2027, subject to regulatory approvals, the approval of the shareholders of ChampionsGate and Futuremain, and other customary closing conditions. The terms of the transaction provide for the shareholders of Holdco to receive shares of the Pubco (a Cayman Islands exempted company to be incorporated as part of the transaction) in exchange for all outstanding Holdco shares, with Pubco shares valued at USD $10.00 per share for purposes of the exchange consideration. The terms of the transaction represent an estimated enterprise value of Futuremain of USD $80 million.

Futuremain is headquartered in Suwon-si, Republic of Korea, and specializes in safety diagnostics of machinery operating in factories. Its principal offerings include machinery diagnostics, vibration analysis, noise assessment and structural analysis.

Following the transaction, Futuremain intends to accelerate its growth strategy by expanding beyond Asia into the North American and European markets, establishing local service organizations in those regions, forming strategic alliances with global equipment manufacturers and cloud platform providers, transitioning ExRBM — powered by Physical AI — to a cloud-based subscription service, and converging robotic equipment with its AI technologies. The combination with ChampionsGate provides Futuremain with access to U.S. capital markets and a platform to support future growth initiatives, strategic investments and global expansion opportunities.

Sun-Hwi Lee, Chief Executive Officer of Futuremain, remarked: “Through this transaction, we expect FutureMain to emerge as a global manufacturing and Physical AI company.”

Timothy Lim, Chief Executive Officer of ChampionsGate, commented: “We are pleased to partner with Futuremain on this important transaction. Futuremain has developed specialized technical capabilities across machinery diagnostics, vibration analysis, noise assessment and structural analysis, addressing critical needs for safety, reliability and operational efficiency across industrial environments. We believe this business combination presents ChampionsGate shareholders with the opportunity to participate directly in the ownership and future growth of an established operating business with differentiated technical capabilities and meaningful opportunities for international expansion. The transaction is consistent with ChampionsGate’s objective of identifying a compelling business combination that can provide its shareholders with exposure to a business positioned for long-term growth. By combining Futuremain’s operating platform and growth opportunities with access to the U.S. capital markets, we believe the combined company has the potential to create meaningful long-term value for ChampionsGate shareholders and all shareholders of the combined company.”

Many remote communities lack access to quality healthcare for various reasons, a major one being the reliance on paper medical records. In Argentina, doctors struggled to keep track of patients’ medical records to provide consistent care across vast distances. This compromised the quality of consultations, as records were often incomplete or scattered. Digitalization in healthcare can address these challenges and ensure personal data security.

In collaboration with La Higuera, a non-profit organization committed to delivering primary healthcare services to rural communities, a team from Boehringer has been working to replace paper records with a digital solution to streamline and improve medical consultations.

Achieving impact with digitalization in healthcare

By digitizing patient records and securely managing healthcare data, the teams not only streamline processes and save thousands of sheets of paper each year. Most importantly, the project significantly improves patient medical tracking in isolated areas.

“We noticed that all patient records were being kept on paper, and these papers had to travel many kilometers. This posed a great risk to maintaining accurate patient medical histories,” explains Eduardo Sorlino, General Manager at Boehringer Ingelheim. To support the initiative, 20 volunteers from Boehringer contributed their time and expertise, including the donation of two computers and specialized software development.
