Corporate Governance

Strong corporate governance is core to SAIC’s culture. We operate every day for our shareholders, employees, customers and other stakeholders. Our corporate governance goes further than simple compliance: It is about doing the right thing without exception.

Board of Directors 

SAIC’s Board of Directors governs the standards by which we operate and oversees our strategy, risk, operations and reporting. The Board sets expectations through several documents, such as the company’s Corporate Governance Guidelines and Code of Conduct. SAIC’s Board has 11 members, 10 of whom are independent. Donna Morea, a non-executive director who is a woman, chairs the Board. As a leader in board diversity, members voluntarily disclose that 45.5% identify as women and 54.5% identify as men. Additionally, four Board members self-identify as from underrepresented races or ethnicities with three identifying as African American or Black, one as Hispanic or Latinx, one as two or more races or ethnicities; eight Board members identify as white.

The directors bring a variety of expertise, experience and viewpoints to the Board yet work as a team for the benefit of all SAIC stakeholders, aligning their interests to those of the company’s shareholders. The Board adheres to director and executive stock ownership guidelines, and non-employee directors receive annual equity grants.

Risk Oversight 

The Board and its committees monitor risk regularly throughout the year. The Board considers, along with other factors, the risks facing SAIC.

RESPONSIBLE AI 

SAIC’s Artificial Intelligence Council, which our executive leadership team oversees, is composed of the company’s chief risk officer, chief information officer, general counsel representation and our senior vice president of digital innovation. They work to ensure responsible use of AI through governance; ethical use and development; buying and selling of AI products and services; written policies and developing guidance for the company. They also provide oversight for our AI Center of Excellence.

Despite outperformance, there remains a communication gap

The first output of this partnership is data supporting 3BL’s esteemed 100 Best Corporate Citizens ranking, celebrating its 25th year of highlighting the largest publicly traded U.S. companies excelling in sustainability disclosure. The new research white paper reveals that these top-ranked companies not only set the standard for disclosure but also outperformed the S&P 500 by 4.22% over the past two years. But here’s the twist: despite financial success, many of these companies struggle to communicate their sustainability efforts effectively to consumers, highlighting a communications gap costing companies revenue.

This dataset, combined with other available market data, is expected to form an important component in developing new investment indices.

Charlene Vance is the Auxiliary Power Unit (APU) General Manager for Thermo King Americas, where she oversees product growth strategy and new product development. She is committed to creating innovative, reliable, and sustainable APU products that meet the evolving needs of the transportation sector. Additionally, Charlene leads the Trane Technologies Women’s Employee Network and serves on the Minneapolis/St. Paul community board for the Jeremiah Program.

Captain Wesley “Wes” Rhoden was named a 40 Under 40 Award winner by The Waterways Journal for his outstanding contribution to the inland marine transportation industry.Rhoden began his career right out of high school as a deckhand and worked his way up to mate, pilot and captain at Marathon Petroleum.After 16 years in the business, he’s now in vessel compliance and spearheads MPLX Marine’s vessel compliance program for a fleet of 29 vessels and enjoys making a difference in the industry.

Captain Wesley “Wes” Rhoden has made it his business to help ensure the safe navigation of tow boats and barges on the rivers where Marathon Petroleum brings products to markets and feedstock into its refineries. In 16 years, he’s progressed from deckhand to boat captain to vessel compliance, an achievement that takes many years of training, experience and education. His dedication to the marine industry has earned him a 40 Under 40 award designation by The Waterways Journal, which recognizes 40 individuals under the age of 40 for outstanding contributions to the inland marine transportation industry.

Rhoden started in Marathon Petroleum’s Marine Transportation organization directly out of high school in Catlettsburg, Kentucky, at age 18, though it wasn’t something that he’d really considered while in school.

“In 2008, there was the recession,” said Rhoden. “Other career opportunities in the area weren’t doing well. My dad, who is also a boat captain for Marathon Petroleum, took me to a boat christening ceremony. It was my first exposure to tow boats. I knew right then what I wanted to do.”

Rhoden secured a job at Marathon Petroleum as a deckhand one month after his high school graduation working 28 days on and 28 days off. He quickly realized it was a great option that offered good benefits and many career opportunities. After a year on the job, he earned his Merchant Mariner – Tankerman credentials and was promoted to mate, which leads the deck crew. In 2010, he applied for a newly created port mate position to provide deck proficiency training for the entire fleet and act as a liaison between vessel crews and shoreside support staff. He continued his training and education at Mountwest Maritime Academy to become a steersman in 2012.

“It’s a fascinating job,” said Rhoden. “Imagine navigating a boat and multiple barges each the size of a football field up and down the river. It’s intimidating at first. It was challenging. I worked with a lot of excellent captains who taught me how to do it.”

In 2014, Rhoden completed the steersman program and was approved by the U.S. Coast Guard (USCG) to become a pilot. Four years later, Rhoden began standing watch as captain with a USCG-issued credential as Master of Towing Vessels for western rivers, inland waters and Great Lakes. In 2019, he took a shoreside position overseeing vessel compliance.

“Towing vessels were falling under new regulations that required tow boats to be inspected by the United States Coast Guard,” said Rhoden. “It was a new career opportunity and chance to learn something new to the whole industry. I appreciate being challenged and felt strongly that I could help make the transition easier for our fleet.”

Today he spearheads MPLX Marine’s vessel compliance program for a fleet of 29 vessels. This involves coordinating and managing compliance inspections and audits, Towing Safety Management System development and implementation, and providing recommendations on risk management.

In the award nomination, Rhoden’s supervisor Mark Sawyer called out the incredible milestones Rhoden has achieved in his 16-year career.

“Captain Rhoden has served in his current shoreside support role for five years and has made lasting and tremendous positive impacts in supporting our operations,” said Sawyer, Marine Transportation Operations Supervisor at Marathon Petroleum. “He is a consummate professional that is a model for leadership, work ethic, initiative, dedication and drive for excellence.”

Rhoden’s dedication to his craft has proven to fulfill his need to be challenged; however, he shared that the work is just part of what makes him happy.

“My favorite thing about this job is the people I work with every day,” said Rhoden. “We have some of the most talented men and women in the maritime industry. Our compliance team strives to make compliance and regulations easier for our crews, so they can focus on navigating safely on the water.”

Rhoden is a second-generation boat captain. His father, Captain Adam Rhoden, works for Marathon Petroleum as the Barge and Fleet Operations Coordinator.

“I have always tried not to interfere with Wesley’s career. I have tried to let him be his own man, but I have given him advice along the way,” said Captain Adam Rhoden. “My advice has ranged from how to pack his suitcase for a 28-day hitch to towboat etiquette, and how to interact with other crewmembers. When he was training to be a pilot, I shared my thoughts on steering techniques. He would ask me questions about certain areas of a river while he was learning.”

He’s extremely proud to see his son follow in his footsteps and take it further to make a major difference at the company and in the industry.

“Don’t learn the tricks of the trade. Learn the trade,” said Captain Adam Rhoden. “Wesley has done that. He knows the maritime industry from the deck plates up. I am very proud of my son.”

Rhoden isn’t done learning either. He’s pursuing his Bachelor of Business Administration at Morehead State University through its Eagle Express Program. Marathon Petroleum offers educational reimbursement benefits, which provides employees with financial assistance for certain education-related expenses. In 2023, he completed his associate degree at Ashland Community and Technical College with high distinction.

Outside of work, Rhoden spends time with his wife Ashley and their three daughters. He also volunteers at the Ashland Community Kitchen, which provides food for those in need, and speaks to young people at Jobs for Kentucky’s Graduates (JAG KY). He hopes to inspire young people to consider a career in the marine industry.

“If someone wants an adventure and to be able to travel, you can start your career on a towing vessel and live anywhere,” said Rhoden. “You get to see different parts of the country, and it affords you a lot of flexibility.”

CNH brand, New Holland, has introduced new advancements in its precision technology stack to make farming easier, more sustainable and more efficient for its customers.

The new FieldOps web and mobile farm management platform, first previewed in April 2024, is now live and available for download on the iOS App Store and Android Play Store. Covia’s extensive community involvement and philanthropic initiatives are overseen by the Covia Foundation, which was established to formalize Covia’s approach to being a responsible corporate citizen. The Foundation administers the Community Investment Policy, which guides charitable giving and volunteerism. Covia regularly reviews the policy and will revise it as needed to better enable site-level investments in local communities.

In 2023, we launched the Covia Cares Emergency Relief Fund to help Covia Team Members who need immediate financial assistance following an unforeseen personal hardship.

Unfortunately, several Covia employees and their families were severely impacted by Hurricane Helene.
While the full extent of the hardship is still being determined, the Covia Cares Emergency Relief Fund and Immediate Response Funds have been activated to assist those in need. And many Covia team members contributed directly to the Covia Cares Emergency Relief Fund to support their friends and colleagues in the Southeast.

Covia would like to thank those who mobilized to support their fellow team members. In particular, thanks to the individuals at our Hephzibah, Georgia; McIntryre, Georgia; and Marston, North Carolina plants who stepped up in a big way to help each other and their community with relief efforts. The Covia Foundation is proud to have assisted more than 40 employees and their families with immediate relief funds.

The Covia Foundation also donated to Team Rubicon, a veteran-led humanitarian organization that serves communities in times of disaster and crisis. These funds supported on-the-ground relief efforts in response to Hurricane Helene.

Covia is grateful to be able to support its employees in their time of need.

Promoting employee well-being and safety

At International Paper, safety is core to who we are and how we operate. Nothing is more important than the safety of our employees, contractors and visitors. Providing our employees with a safe and healthy workplace is among our greatest responsibilities. We’re committed to achieving zero serious injuries for employees and contractors so everyone can return home safe and unharmed at the end of the day.

Creating a resilient safety culture

We strive to build a resilient safety culture where all employees feel empowered to be part of the solution to prevent injuries. In this culture, we anticipate and recognize unexpected events in order to learn, prevent and adapt by enhancing our previous systems and procedures.

In a complex and challenging environment like manufacturing, equipment failure and human error can and will happen. Our resilient safety culture challenges our teams to think how we can use our existing tools differently and what layers of protection we can develop to prevent injuries from happening when an error occurs. A resilient mindset requires us to use the skills and tools we have while adding new ones.

LIFE program

On an enterprise level, our Life-changing Injury and Fatality Elimination program fosters a learning culture to advance an injury-free workplace. By focusing on six key areas of workplace risk, our goal is to eliminate serious injuries and achieve zero instances of injury.

Stopping accidents before they happen

At International Paper, we are not only working to prevent injuries but to eliminate them altogether. One way we do this is by holding Learning Events. These activities serve as a tool to address any exposures or potential exposures identified by team members reviewing a process or performing a task. In Learning Events, we use the Hazard Identification Risk Assessment (HIRA) tool to identify and mitigate safety risks and prevent incidents in the first place.

Another way we help keep our employees safe is with our Make Change Happen program. In this initiative, we take a proactive approach to identifying potential issues. For instance, at our Bilbao, Spain box plant, we realized that employees didn’t know how to respond in the event of a fire on the roof. We organized training sessions to show employees the appropriate actions and updated our emergency response plan accordingly.

Mental health matters

Everyone faces challenges in life that can impact their mental health. Over the past few years, mental health has become a more prominent conversation topic inside and outside our company. We recently formed a Mental Health Committee as part of our Joint Health and Safety team and marked Mental Health Month in May by sharing mental health tips, facts and resources with our employees. In May and beyond, we continue to underscore that mental and emotional health is just as important as physical health and offer help to employees who are struggling.

AEG, the leader in sports and live entertainment, celebrated Hispanic Heritage Month by honoring the richness of Hispanic and Latin American cultures and highlighting the impact that they have had on the city of Los Angeles, CA.

On October 5, 2024, the company produced Fiestón Presented by Topo Chico, a vibrant community festival at L.A. LIVE, that offered attendees a chance to hear music from up-and-coming Latinx artists, sample delicious food, and support local Latinx artisans and vendors. The free event was produced by the AEG Diversity Equity and Inclusion team and in conjunction with AEG’s Latinx employee resource group, SOMOS@AEG, which is dedicated to developing Latinx talent and fostering a culture of inclusion at the company.

Fieston is a testament to AEG’s commitment to supporting Hispanic culture and uplifting communities in Los Angeles. We are proud to stand alongside our partners to develop this inclusive event,” said Marisa Garcia, VP Product Knowledge & Communications, AXS and Executive Sponsor for SOMOS@AEG. “As a Latina, I am so honored and thrilled to have had the opportunity to help produce this event and showcase our rich cultural heritage.”

The event featured a diverse lineup of musicians including Estevie, Leeroy Villa, Pachyman and Maye, who performed everything from cumbia to salsa to reggaeton. Local DJs Chaboi, Ma-Less and Ella kept the party going between sets. A pop-up Mercadito (marketplace) highlighted locally owned Latina and LGBTQ+ vendors, provided attendees with a voter registration booth and offered information about local health resources through Blue Shield of California. Craft by Smoke and Fire served attendees a variety of Latin inspired dishes and the Condigo 1530 Tequila bar served delicious cocktails.

Additionally, AEG’s Los Angeles Kings offered kids and teens a chance to test their hockey skills by shooting pucks into a net. Anyone who tried their hand received two free tickets to attend a Kings game of their choice.
