Sale would simplify Hain’s portfolio and create a focused North American business; Net proceeds from the transaction would be used to reduce debt
Sale would simplify Hain’s portfolio and create a focused North American business; Net proceeds from the transaction would be used to reduce debt

HOBOKEN, N.J., Sept. 14, 2026 (GLOBE NEWSWIRE) — As part of its ongoing strategic review, Hain Celestial announced today it has reached a definitive agreement to sell its International business to global private equity firm AURELIUS for an estimated $323 million in cash. Net proceeds from the transaction are expected to range between $305 million and $310 million. Upon closing of the transaction, the proceeds would be used to reduce the Company’s debt. The agreement reflects the Board of Directors’ continued work to advance the Company’s strategic review, evaluate available alternatives and pursue paths designed to maximize value for all stakeholders.

The sale will include the majority of Hain’s International business operations and is inclusive of brands such as Ella’s Kitchen® baby and kids foods, Joya® and Natumi® plant-based beverages, Hartley’s® jelly, as well as Linda McCartney® Foods, Cully & Sully®, Yorkshire Provender®, and New Covent Garden® soups, among others.

Alison Lewis, Hain Celestial’s President and CEO, said, “Completing the transaction announced today would advance our strategy to simplify our portfolio and enable us to focus our resources on further reducing the Company’s debt. The resulting North American business would feature leading brands in attractive categories with a more streamlined operating model and greater focus on core growth opportunities.”

The Company’s resulting portfolio of brands in North America will include Celestial Seasonings® teas, The Greek Gods® yogurt and Earth’s Best® Organic across its flagship categories of tea, yogurt and baby & kids foods. The portfolio also includes Spectrum® Organic cooking oils, MaraNatha® nut butters and Imagine® broths.

Lewis continued, “I want to recognize the incredible people behind our International brands and business. Their dedication, expertise and commitment over many years is greatly appreciated. They have built remarkable brands, which we are confident will thrive under the new ownership.”

Hain Celestial remains in discussions with its lenders regarding an amendment to its credit agreement to extend the maturity date beyond December 22, 2026. The transaction with AURELIUS is conditioned upon the Company securing this amendment and may be terminated by AURELIUS if the amendment is not obtained within 30 days of signing. While there can be no assurance that an amendment will be obtained, the Board believes that extending the maturity date and completing the transaction would be in the best interests of the Company and its stakeholders.

The Company continues to focus on simplifying the organization and executing a plan to align its cost structure with the scale of the future North American business. Hain has developed detailed cost reduction plans and is moving with urgency to deliver these actions. The Company expects to implement cost reduction actions generating approximately $16 million of annualized savings on a run rate basis as compared to fiscal 2026. The Board and management team remain focused on swiftly executing these actions, while continuing to evaluate and advance all available paths under the strategic review to maximize value for the benefit of all stakeholders.

The agreement with AURELIUS has been unanimously approved by the Company’s Board. The transaction is subject to closing conditions, including regulatory approvals and an amendment to the Company’s credit agreement as described above. Subject to satisfaction of those conditions, the transaction is expected to close in Hain Celestial’s fiscal second quarter ending December 31, 2026.

Goldman Sachs is serving as the Company’s financial advisor on the transaction, and DLA Piper’s London team is serving as legal counsel.

The Company will discuss the proposed transaction during its Q4 2026 earnings conference call later today.

  • Pixclara® is the first FDA-approved FET-PET imaging drug for glioma (brain cancer).
  • Approval addresses a significant unmet need, helping physicians to differentiate recurrent or progressive glioma from treatment-related change in adults and pediatric patients.
  • FET-PET imaging is recommended in international clinical practice guidelines, including NCCN Guidelines®.
  • Pixclara expands Telix’s industry-leading Precision Medicine business and reinforces the Company’s leadership in diagnostics and targeted radiopharmaceutical therapies (together, “theranostics”).

MELBOURNE, Australia and INDIANAPOLIS, Sept. 14, 2026 (GLOBE NEWSWIRE) — Telix Pharmaceuticals Limited (ASX: TLX, NASDAQ: TLX, “Telix”) today announces that the United States (U.S.) Food and Drug Administration (FDA) has approved its New Drug Application (NDA) for Pixclara® (floretyrosine F 18 or 18F-FET), an amino acid positron emission tomography (PET) drug for imaging gliomas (brain cancer).

Pixclara is a radioactive diagnostic drug indicated for use with positron emission tomography (PET) to differentiate recurrent or progressive glioma from treatment-related change, in conjunction with other diagnostic evaluations, in adults and pediatric patients 1 month of age and older.

PET imaging with floretyrosine F 18 (FET-PET) is recommended in international clinical practice guidelines for the imaging of gliomas, including NCCN Guidelines®1, but until now there has not been an FDA-approved product available in the U.S.

Gliomas are the most common form of central nervous system (CNS) cancer, accounting for approximately 30% of all brain and CNS tumors and 80% of all malignant brain tumors2. In the U.S., approximately 24,000 new glioma cases are diagnosed each year3, representing a significant unmet addressable need.

Kevin Richardson, Chief Executive Officer, Telix Precision Medicine, said, “FDA approval of Pixclara will enable broad access in the U.S. to FET-PET imaging, which is already recognized in international clinical practice guidelines. As the first FDA-approved PET imaging drug for glioma, Pixclara will provide physicians in the U.S. with more certainty in their diagnoses and greater confidence in their treatment planning for patients.”

Kelly Sitkin, President and CEO, American Brain Tumor Association, said, “The approval of Pixclara will advance glioma care by enabling more precise monitoring, complementing the role of MRI. We welcome the FDA’s decision, which provides a pathway to access this technology in the U.S. and helps address a critical unmet need in brain cancer diagnostics.”

Patrick Wen, MD, E. Antonio Chiocca, MD, PhD, Family Endowed Chair in Neuro-Oncology at Mass General Brigham Cancer Institute, said, “Having an FDA-approved FET-PET product with high diagnostic accuracy will make a significant, positive difference to the management of patients with gliomas. This is a very positive step forward for brain cancer imaging and treatment planning.”

About Pixclara (floretyrosine F 18)

Pixclara® is an intravenous positron emission tomography (PET) imaging drug for the differentiation of recurrent or progressive glioma from treatment-related change, in conjunction with other diagnostic evaluations, in adults and pediatric patients 1 month of age and older. It comprises a small molecule targeting compound labeled with a diagnostic radioisotope, fluorine-18. After administration into the bloodstream, Pixclara targets membrane transport proteins known as L-type amino acid transporters 1 and 2 (LAT1 and LAT2). Once bound, energy emissions from the radioisotope can be detected by a PET scanner. Pixclara (TLX101-Px) is also the subject of a Phase 3 registrational study for potential indication expansion for the diagnosis of brain metastases4.

Pixclara is the only FDA-approved radiopharmaceutical imaging drug for glioma (brain cancer).

INDICATIONS AND USAGE
PIXCLARA is indicated for use with positron emission tomography (PET) to differentiate recurrent or progressive glioma from treatment-related change, in conjunction with other diagnostic evaluations, in adults and pediatric patients 1 month of age and older.

IMPORTANT SAFETY INFORMATION

WARNINGS AND PRECAUTIONS
Risk for Misinterpretation
Image misinterpretation may occur with PIXCLARA PET. A negative image does not rule out the presence of recurrent or progressive glioma and a positive image does not confirm the presence of recurrent or progressive glioma. Equivocal findings may occur with PIXCLARA PET, including low-level or atypical uptake patterns, which may result in false positive or false negative interpretations.

Interpret PIXCLARA PET findings with caution and correlate results with available clinical evaluations, such as histopathology, cross-sectional imaging, and/or clinical history to support appropriate clinical decision-making.

Radiation Risks
PIXCLARA contributes to a patient’s overall long-term cumulative radiation exposure. Long-term cumulative radiation exposure is associated with an increased risk for cancer. Ensure safe drug handling to protect patients and health care providers from unintentional radiation exposure. Advise patients to hydrate before and after administration and to void frequently after administration.

ADVERSE REACTIONS
Clinical Trials Experience
Because clinical trials are conducted under widely varying conditions, adverse reaction rates observed in the clinical trials of a drug cannot be directly compared to rates in the clinical trials of another drug and may not reflect the rates observed in practice.

The safety of PIXCLARA was evaluated in 382 patients with gliomas. Among these 382 patients, 371 adult patients received at least one intravenous dose of PIXCLARA at a mean activity of 204 ± 18 MBq (5.5 ± 0.47 mCi). The remaining 11 pediatric patients received at least one intravenous dose of PIXCLARA at a mean activity of 155 ± 53.5 MBq (4.2 ± 1.4 mCi).

The mean age of the patients was 57 years (range: 5 years to 86 years). Sex was 59% male, 37% female, and 3% unreported. Distribution by race was 26% White, 6% Asian, <1% Black or African American, and 67% other or unreported. Distribution by ethnicity was 3% Hispanic/Latino, 96% non-Hispanic/Latino, and <1% unknown or unreported.

Adverse reactions that occurred in ≥0.5% of patients receiving PIXCLARA were headache (0.5%).

Adverse reactions that occurred in <0.5% of patients were nausea, injection site reaction, fatigue, and malaise.

Adverse Reactions in Pediatric Patients

Overall, the safety profile observed in pediatric patients from the clinical study was consistent with the safety profile in adult patients.

Enhanced rail-pressure control, improved durability and more adaptable architecture deliver greater performance and integration flexibility, strengthening the case for broader adoption by OEMs and operators worldwide

VANCOUVER, British Columbia, Sept. 14, 2026 (GLOBE NEWSWIRE) — Westport Fuel Systems Inc. (“Westport”) (TSX:WPRT / Nasdaq: WPRT), today announced Cespira, its joint venture with Volvo Group, released new technical details of HPDI™ 3.0, the next generation of its proven High Pressure Direct Injection fuel system.

HPDI 3.0 retains proven HPDI combustion principles while advancing fuel rail-pressure control, hardware durability and system integration. The new fuel system supports liquefied natural gas (LNG) and renewable bio-based liquefied natural gas (bioLNG) today while preserving adaptability for future low- and zero-carbon fuels.

Performance Enhancements
At its core, HPDI 3.0 incorporates a new fuel rail-pressure control architecture that improves fuel economy and engine performance while simplifying OEM calibration. Higher injection pressure capability unlocks greater power and efficiency from the latest high-performance compression-ignition engines, while the architecture is designed to support compliance with future global emissions regulations.

Improved Durability and Greater Integration Flexibility
The new hardware integrates proven HPDI injector dynamic sealing technology to enhance component service life. A modular fuel rail-pressure control architecture gives OEMs greater packaging flexibility across different engine layouts. The new system supports larger engines, including V12 and other multi-bank configurations, by allowing fuel pressure control across separate cylinder banks. This broadens the potential application of HPDI 3.0 across demanding on-road and off-road sectors.

Built for Natural Gas and Biogas Today, Adaptable for Future Fuels
HPDI 3.0 reinforces the near-term value of natural gas and renewable natural gas for heavy-duty transport by enabling the use of LNG and bioLNG with diesel-like performance, improved efficiency and attractive total cost of ownership. The architecture also maintains a clear pathway for future fuel-specific applications, including hydrogen, as those markets develop.

“Cespira’s revenue increased 125% year over year from Q2 2025 to Q2 2026, underscoring strong market validation for HPDI technology. With continued gains in efficiency, attractive total cost of ownership and improved fuel price stability, we believe HPDI is well positioned to grow adoption momentum with OEMs and fleets,” said Dan Sceli, Chief Executive Officer of Westport.

“HPDI 3.0 strengthens both the immediate and long-term business case for OEMs. More precise fuel rail pressure control, higher injection pressure capability, enhanced durability and improved fuel economy make HPDI 3.0 a more compelling proposition for LNG and BioLNG applications. The architecture is also more readily adaptable to future fuel-specific systems for hydrogen and low-carbon fuels, giving OEMs greater flexibility to build on their HPDI investment and expand their product portfolios as those fuel markets develop,” said Scott Baker, CTO of Cespira.

HPDI 3.0 builds on a proven technology foundation, with the current generation accumulating more than 3 billion kilometers of real-world operation across 12,000+ trucks in over 35 countries. Cespira will begin production of HPDI 3.0 in the fourth quarter of 2026, with the first HPDI 3.0 equipped vehicles expected on the road in early 2027.
