Suominen Corporation’s stock exchange release, September 16, 2026 at 17:00 (EEST)

Changes to Suominen Corporation’s share-based incentive plans for management and key employees and to the President & CEO’s share-based signing bonus and annual share reward

The Board of Directors of Suominen Corporation (hereinafter the “Company” or “Suominen”) has resolved on changes to the Company’s existing share-based incentive plans, the CEO’s signing bonus to be paid during the third quarter of 2026 and the CEO’s share-based annual share reward (together, the “Incentive Plans”).

The changes are related to the rights issue carried out by the Company earlier in the summer (the “Rights Issue”), the final result of which was announced by the Company by a stock exchange release on July 2, 2026. As a result of the Rights Issue, the total number of shares in the Company increased by 77,121,272 from 58,259,219 to 135,380,491.

As the Rights Issue increased the total number of shares in the Company and mechanically changed the share price, an adjustment factor is applied to ensure that the same value (in EUR terms) remains tied to the Incentive Plans as before the Rights Issue. The adjustment is carried out by dividing the current maximum number of shares to be granted under the Incentive Plans by the adjustment factor of 0.62, or inversely by multiplying the current maximum number of shares to be granted under the Incentive Plans by 1.621 (the “Share Multiplier”) and then rounding the result downwards to the nearest thousand. The adjustment factor (0.62) is derived by dividing the theoretical ex-rights price (TERP) of the Rights Issue (EUR 0.66) by the cum rights price of the Rights Issue (EUR 1.07) and represents the proportion of value retained by the Company’s shares after accounting for the dilution resulting from the Rights Issue.

The Incentive Plans are described in more detail in the financial statements and in the remuneration report, available on the Company’s website at www.suominen.fi.

Share-based incentive plans for management and key employees

The Company has in place a long-term share-based incentive plan for management and key employees for the financial years 2024–2028 (the “PSP”), the establishment of which and the performance criteria for 2024–2026 were announced by the Company by a stock exchange release on February 6, 2024. The Company announced the performance criteria for the PSP for the performance period 2025–2027 by a stock exchange release on January 27, 2025, and for the performance period 2026–2028 by a stock exchange release on January 29, 2026. The purpose of the PSP is to align the objectives of the Company’s shareholders and key employees in order to increase the value of the Company in the long term, to commit key employees to implementing the Company’s strategy, objectives and long-term interests, and to reward them for excellent performance.

In addition, Suominen has a restricted share unit plan for selected key employees of the Suominen group, the establishment of which was announced by the Company by a stock exchange release on December 19, 2025 (the “RSUP”). The RSUP is intended for use in situations deemed necessary by the Board of Directors, such as retaining key employees, attracting new key employees, or in other specific situations determined by the Board of Directors.

The Board of Directors of Suominen has resolved on changes to the Company’s PSP and RSUP, such that the number of reward shares payable under both plans is adjusted by applying the Share Multiplier to ensure that the same value (in EUR terms) remains tied to the PSP and RSUP as before the Rights Issue. At the same time, the Board of Directors has resolved on changes to the Total Shareholder Return performance criteria of the PSP. No other changes have been made to the terms of the RSUP.

Changes to the PSP

The Board of Directors of the Company has resolved to make the following changes to the maximum number of shares under the ongoing performance periods of the PSP, as set out in the table below:

Performance Period 2024–2026 2025–2027 2026–2028

Suominen’s President & CEO must hold 50% of the net number of shares received under the plan until his total shareholding corresponds to the value of his annual gross salary. A member of the Leadership Team must hold 50% of the net number of shares received under the plan until his or her total shareholding corresponds to the value of half of his or her annual gross salary. These shares must be held for as long as the participant’s employment or service relationship in a group company of Suominen continues.

Change to the RSUP

As previously announced, the Board of Directors of the Company may allocate rewards under the RSUP during financial years 2026–2028. Previously, the total maximum amount of rewards payable under the plan corresponded to a maximum of 200,000 Suominen shares, including also the cash-settled portion. To ensure that the same value (in EUR terms) remains tied to the RSUP as before the Rights Issue, the Board of Directors resolved to adjust this maximum amount of rewards payable under the RSUP by applying the Share Multiplier and rounding the result downwards to the nearest thousand. As a result, the total maximum amount of rewards payable under the plan increased to 324,000 Suominen shares, including also the cash-settled portion.

The target group of the plan consists of key employees selected by the Board of Directors, including members of the Leadership Team and the President & CEO. Rewards are paid by the end of May 2029, but in any event no earlier than twelve (12) months after the determination of the reward opportunity. The reward is conditional on a valid employment or executive contract and the continuation of the employment or service relationship.

The reward is paid partly in Suominen shares and partly in cash. The cash portion of the reward is intended to cover taxes and statutory social security contributions arising to the key employee from the reward. As a rule, if a key employee’s employment or executive contract terminates before the reward is paid, the reward will not be paid. The Board of Directors may impose a shareholding requirement on the shares paid as reward.

President and CEO Charles Héaulmé’s share-based incentive arrangements

As previously announced in the financial statements release on January 29, 2026, and the interim reports published on May 7, 2026, and on August 7, 2026, President and CEO Charles Héaulmé is entitled to a share-based signing bonus, an annual share reward and participation in the Company’s ongoing PSP.

The Board of Directors of the Company has resolved on changes to the President and CEO’s share-based signing bonus and annual share reward arrangements. To ensure that the same value (in EUR terms) remains tied to the signing bonus and annual share reward arrangements as before the Rights Issue, the Board of Directors has resolved to adjust the number of shares under the signing bonus and annual share reward. The change to the PSP described above also applies to the CEO to the extent he participates in the PSP.

Change to the signing bonus

As previously announced, President and CEO Charles Héaulmé is entitled to a signing bonus consisting of 200,000 shares in the Company. The Board of Directors of Suominen resolved to adjust the number of shares under the signing bonus by applying the Share Multiplier and rounding the result downwards to the nearest thousand. As a result, the signing bonus increased to 324,000 Suominen shares.

The Board of Directors of the Company has resolved that the signing bonus shall be paid in Company shares held by the Company on September 30, 2026, provided that the chief executive officer contract is in force at that time. Any applicable taxes are the responsibility of the recipient.

Change to the Annual Shares Contribution Plan

As previously announced, pursuant to the 2026 Annual Shares Contribution Plan, the President & CEO is expected to acquire up to 100,000 shares in the Company at the market price formed in public trading on Nasdaq Helsinki. Previously, Suominen had committed to matching the CEO’s investment by way of the CEO receiving, without consideration:

  • 100,000 shares at minimum EUR 20 million comparable EBITDA
  • 300,000 shares at target EUR 25 million comparable EBITDA
  • 500,000 shares at maximum EUR 30 million comparable EBITDA.

The Board of Directors of Suominen resolved that, pursuant to the 2026 Annual Shares Contribution Plan, the President & CEO is expected to acquire up to 162,000 shares in order to ensure that the same value (in EUR terms) remains tied to the Annual Shares Contribution Plan as before the Rights Issue. Correspondingly, the number of shares to be delivered to the CEO without consideration by the Company changes as follows:

  • 162,000 shares at minimum EUR 20 million comparable EBITDA
  • 486,000 shares at target EUR 25 million comparable EBITDA
  • 810,000 shares at maximum EUR 30 million comparable EBITDA.

Share entitlement between the thresholds (min, target, max) will be determined linearly. The Company will transfer the shares during the first quarter of 2027 pursuant to a resolution by the Board of Directors.

In addition, the Board of Directors of the Company resolved to increase the maximum number of reward shares under the 2027 Annual Shares Contribution Plan from 500,000 shares in the Company to a maximum of 810,000 shares in the Company. As of the Annual Shares Contribution Plan 2027, the first half of the plan shall be unconditional and the second half based on performance targets set by the Board of Directors, provided that the President & CEO’s service in the Company is in force at the time of the reward payments. The other terms and conditions of the 2026 and 2027 share reward arrangements shall otherwise remain unchanged as previously announced by Suominen.

Following the changes, the key details of the President and CEO’s incentive arrangements are as follows:

Performance Period 2025–2026; signing bonus Annual Shares Contribution 2026 Annual Shares Contribution 2027 and onwards
Incentive based on Service requirement Shareholding requirement, comparable EBITDA Shareholding requirement, performance targets set by the Board of Directors
Potential reward payment To be paid in Suominen shares in September 2026 To be paid in Suominen shares in spring 2027 To be paid in Suominen shares in spring 2028 (and annually going forward)

Investment and Market Risk. As with all investments, an investment in the Fund is subject to investment risk. Investors in the Fund could lose money, including the possible loss of the entire principal amount of an investment, over short or prolonged periods of time. Unlike mutual funds, shares of ETFs are not individually redeemable directly with the ETF. Shares of ETFs are bought and sold at market price, which may be higher or lower than the net asset value (NAV).

Texas Risk. Texas’ economy relies to a significant extent on certain key industries, such as the oil and gas industry (including drilling, production and refining), chemicals production, technology and telecommunications equipment manufacturing and international trade. Each of these industries has from time to time suffered from economic downturns, and adverse conditions in one or more of these industries could impair the ability of issuers of Texas municipal securities to pay principal or interest on their obligations.

Index Tracking Risk. There is no guarantee that the Fund will achieve a high degree of correlation to the Index and therefore achieve its investment objective. The Fund may have difficulty achieving its investment objective due to fees, expenses (including rebalancing expenses) and other transaction costs related to the normal operation of the Fund. These costs that may be incurred by the Fund are not incurred by the Index, which may make it more difficult for the Fund to track the Index.

Geographic Concentration Risk. Because the Fund and the Index will invest only in issuers headquartered in a particular geographic region, the Fund’s performance is expected to be closely tied to various factors such as social, financial, economic, and political conditions within that region. Events that negatively affect that region may cause the value of the Fund’s shares to decrease in some cases significantly. As a result, the Fund may be more volatile than more geographically diverse funds.

Energy Sector Risk. Companies operating in the energy sector are subject to risks including, but not limited to, economic growth, worldwide demand, political instability in the regions that the companies operate, government regulation stipulating rates charged by utilities, interest rate sensitivity, oil price volatility, energy conservation, environmental policies, depletion of resources and the cost of providing the specific utility services and other factors that they cannot control.

Oil and Gas Companies Risk. Oil and gas companies develop and produce crude oil and natural gas and provide drilling and other energy resources production and distribution related services. Stock prices for these types of companies are affected by supply and demand both for their specific product or service and for energy products in general. The price of oil and gas, exploration and production spending, government regulation, world events and economic conditions will likewise affect the performance of these companies. Correspondingly, securities of oil and gas companies are subject to swift price and supply fluctuations caused by events relating to international politics, energy conservation, the success of exploration projects and tax and other governmental regulatory policies. Weak demand for the companies’ products or services or for energy products and services in general, as well as negative developments in these and other areas, would adversely impact the performance of the Fund. Oil and gas exploration and production can be significantly affected by natural disasters as well as changes in exchange rates, interest rates, government regulation, world events and economic conditions. These companies also may be at risk for environmental damage claims.

Passive Investment Risk. The Fund is not actively managed, and the Adviser will not sell a security due to current or projected under performance of a security, industry, or sector, unless that security is removed from the Index by the Index Provider, who is unaffiliated with the Adviser. The Fund invests in securities included in the Index regardless of the Adviser’s independent analysis of the investment decision.

Shares are not individually redeemable and are issued and redeemed at their net asset value only in large, specified blocks of shares called creation units. Shares otherwise can be bought and sold only through exchange trading at market price (not NAV). Shares may trade at a premium or discount to their net asset value in the secondary market. Brokerage commissions will reduce returns.

AEG‘s LA Kings brought together players, fans, families and community members for the 2026 LA Kings 5K in South Redondo Beach, Calif., raising $124,799 to support Kings Care Foundation programs that advance youth wellness, social impact and community development across Los Angeles. The annual event demonstrated the power of sports to inspire community engagement while generating critical resources for nonprofit organizations serving local families and neighborhoods.

Held in the Riviera Village area of South Redondo Beach, the LA Kings 5K welcomed participants of all ages and abilities through both in-person and virtual participation opportunities, creating an inclusive experience centered on health, connection and philanthropy. Hosted by LA Kings alumnus and broadcaster Daryl Evans, the event brought together supporters from across Southern California in a shared effort to invest in stronger, healthier communities.

Several current LA Kings players attended the event to show their support for the community, including Adrian Kempe, Trevor Moore, Mikey Anderson, Darcy Kuemper, Joel Edmundson and Cody Ceci. Their participation provided fans and families with an opportunity to connect with the team while highlighting the organization’s commitment to giving back beyond the ice.

Proceeds from registrations, sponsorships and charitable contributions will support the work of Kings Care Foundation, the LA Kings’ charitable arm. Funds raised through the event will be reinvested in nonprofit organizations and community initiatives focused on youth wellness, environmental sustainability, social advocacy and inclusion, helping expand access to programs and resources that improve quality of life for individuals and families throughout the region.

“This 5K showed what is possible when a community comes together around a common purpose,” said Daryl Evans. “Every participant helped support programs that strengthen Los Angeles, from promoting youth wellness to creating more inclusive opportunities for families throughout our region.”

Beyond promoting physical activity, the event highlighted the LA Kings’ ongoing commitment to leveraging the platform of sports to address community needs and create positive social impact. Participants completed the scenic coastal course while contributing to programs that support young people, strengthen local nonprofit organizations and expand opportunities for underserved communities throughout Los Angeles County.

Through Kings Care Foundation, the LA Kings support initiatives that promote the mental and physical well-being of youth, encourage sustainable practices, address pressing community challenges and foster welcoming environments where individuals of all backgrounds and abilities can thrive. The Foundation works alongside nonprofit leaders, community organizations and local stakeholders to help create meaningful and lasting change across Southern California.

By bringing together sports, wellness and charitable giving, the event creates opportunities for individuals, families and organizations to make a tangible difference while supporting programs that help build healthier, more resilient and inclusive communities.

On September 9, women business owners, professionals, community leaders and entrepreneurs gathered at The Links at Erie Village in East Syracuse for KeyBank’s annual Central New York Key4Women Breakfast Forum. The event brought together members of the region’s business community for networking, learning and recognition of leaders making a difference across Central New York.

The highlight of the morning was an engaging fireside chat with Felisha Legette-Jack, head coach of Syracuse University’s women’s basketball team, moderated by Tamika Otis, KeyBank Corporate Responsibility and Community Relations Officer. Coach Jack shared personal reflections on leadership, faith, resilience, and the importance of investing in others, offering attendees valuable insights drawn from her experiences both on and off the court.

The event also celebrated individuals whose leadership has strengthened the Central New York community.

Carolyn D. Brown, Executive Director of PEACE, Inc., received the 2026 Key4Women Community Impact Award. Since becoming the organization’s first female executive director in 2021, Brown has helped expand programs that support families through early childhood education, housing assistance, senior services and poverty reduction initiatives. Her leadership has also strengthened partnerships that create greater access to resources and opportunities throughout the region.

As part of the award, KeyBank made a $2,500 donation in Brown’s honor. She elected to direct the funds to the Hiscock Legal Aid Society, where she serves as a board member, helping support the organization’s mission of providing critical legal services to those in need.

The forum also recognized Amy Bidwell as recipient of the 2026 Key4Women Champion Award. A former KeyBank Regional Community Sales Manager, Bidwell was instrumental in building and growing the Key4Women program in Central New York. Through her dedication to connecting clients, community partners and local leaders, she helped create many of the relationships and traditions that continue to define the program today. Her commitment to helping women succeed left a lasting impact on both the Key4Women network and the broader Central New York community.

The annual Key4Women forum is dedicated to supporting, connecting and celebrating women in business. Launched in 2005, the Key4Women program provides:

NEW YORK, September 16, 2026 /3BL/ – Governance & Accountability Institute, Inc. (G&A), a leading corporate sustainability consulting and research firm, today released the 2026 edition of its annual Sustainability Reporting in Focus report. This research tracks corporate reporting practices by companies in the S&P 500® Index and the Russell 1000® Index for the reporting period 2025 – a year marked by uncertainty in the sustainability landscape.

Now in G&A’s 15th year of researching corporate reporting practices, long-range trends are presented in detail to illustrate the adoption of various reporting standards and frameworks. Findings for the past two years use an updated research methodology to reflect the latest corporate practices.

Key Findings

Corporate sustainability disclosure expanded steadily from 2011-2023, reaching the vast majority of the largest companies in the U.S. However, today’s report announces that in the past two years growth in reporting has stalled, although the percentage of reporters remained high, especially among the largest companies.

The latest research shows that in 2025, 86% of the Russell 1000, and 94% of the S&P 500, published sustainability disclosures, both slightly lower than in 2024. Reporting remained strong for the large majority of companies on these indices, despite dramatic change in the sustainability and regulatory landscape.

The drop in overall reporting, both in 2024 and 2025, was concentrated in the smaller half of the Russell 1000 Index, where reporting fell by 6.3 percentage points.

Who reported? (see infographic)

  • Russell 1000: 86.0% of companies reported, down from 91.1% in 2024
  • S&P 500: 93.9% of companies reported, down from 97.8% in 2024
  • Smaller Half of Russell 1000: 78.2% of companies reported, down from 84.5% in 2024

Which reporting behaviors increased?

  • More reporters – especially smaller companies – aligned with Global Reporting Initiative (GRI) Standards
  • More reporters also aligned with: the International Financial Reporting Standards (IFRS) Sustainability Disclosure Standards, the European Sustainability Reporting Standards (ESRS), and the Taskforce on Nature-related Financial Disclosures (TNFD)
  • More reporters responded to the CDP Water Security questionnaire

Which reporting behaviors decreased?

  • Fewer reporters aligned with the Sustainability Accounting Standards Board (SASB), though it remained the most widely used sustainability standard.
  • Fewer reporters aligned with the Sustainable Development Goals (SDGs) and the Task Force on Climate-Related Financial Disclosures (TCFD) – but TCFD alignment increased among the smaller companies on the Index
  • Fewer reporters responded to the CDP Climate Change questionnaire.

Signals of sustainability maturity

Despite an ebb in the number of companies reporting, many of the shifts in 2025 signaled growing maturity of how companies reported. G&A’s analysts observed a greater emphasis on the quality of sustainability data, evidence-based commitments, and consistency in tracking and reporting. Among the specific trends identified: more companies committed to science-based targets, and more reporters obtained external assurance.

G&A’s research also provides analysis of reporting trends within all 11 sectors of the Global Industry Classification Standard (GICS®), to offer additional insights into reporting behavior per industry sector – such as the sectors lagging behind the rest.

Louis Coppola, G&A’s Chief Executive Officer and Co-Founder, commented, “For over a decade, large U.S. companies steadily increased their level of sustainability disclosure. It turns out that these practices and commitments don’t go away overnight. While we found lower reporting levels in 2025 than a year before, I’d argue that we are now seeing a different kind of growth. Many of the companies that continued to disclose did so in a more robust way. And based on how companies aligned with various frameworks and standards, it appears that companies are “stacking” standards and frameworks, rather than replacing one with another.”

Hank Boerner, G&A’s Chairman and Chief Strategist, added, “The SEC has abandoned its draft rules for climate-related disclosures. Yet, it is evident that the practice of corporate sustainability reporting is not slowing down to a meaningful degree among the largest 500 or even among the next-largest 500 companies as represented in the Russell 1000 Index. That’s good news for stakeholders. There are many reasons for the continuance and expansion of corporate sustainability reporting – voluntarily in the U.S. and on a global basis as reporting mandates evolve.”

G&A proudly recognizes the research team that made significant contributions to this study:

  • Research Architect and Manager: Louis Coppola, CEO and Co-Founder
  • G&A Research Supervisor: Charlotte Perrottey, VP, Sustainability Consulting
  • G&A Research Team Leader: Natali Alsunna, Senior Sustainability Analyst
  • G&A Research Team:

ABOUT G&A’S 2026 SUSTAINABILITY REPORTING IN FOCUS
This new report marks the 15th annual edition in G&A’s research series tracking the publication of sustainability reports by the largest U.S. publicly-traded companies. In 2012, G&A published its first annual research on the 2011 sustainability reporting trends of S&P 500 companies, which at the time showed just 20% of these companies publicly reporting on sustainability. In 2019, G&A expanded this research to include all companies in the Russell 1000 Index, and in 2024, it further expanded to provide detailed analysis by the 11 GICS sectors. The latest research, on 2025 reporting practices, uses an updated methodology in line with contemporary practices in corporate reporting.

Grosse Pointe, Michigan, Sept. 16, 2026 (GLOBE NEWSWIRE) — Broad Arrow Auctions, driven by Hagerty (NYSE: HGTY), has announced a 2003 Ferrari Enzo as an early featured car set to headline its 2026 Las Vegas Auction. Set for October 31 at Wynn Las Vegas, the single-day auction, with a preview day on October 30, returns for the second year as the official auction partner of the renowned Concours at Wynn Las Vegas.

The successful inaugural 2025 sale saw tremendous results, with over $13.7 million in total sales and 82 percent of all lots sold, topped by a highly original, low-mileage, and freshly serviced 2010 Bugatti Veyron EB 16.4 Coupe at $2,205,000, a new world record for the Veyron model at the time of the sale. This fall, Broad Arrow will present another fantastic lineup of approximately 70 exceptional collector cars in a setting combining the prestige of the Concours at Wynn Las Vegas with the iconic backdrop of the Las Vegas Strip.

Early featured highlights are led by a 2003 Ferrari Enzo (Estimate: $6,500,000 – $8,500,000), perhaps one of the most in-demand cars in today’s market. Publicly unveiled in September 2002 at the Paris Motor Show, the Enzo represents the singular, road-going expression of the engineering that had made Ferrari unbeatable in Formula 1 during the Schumacher era at the turn of the millennium.

“For me, the Enzo represents the start of the modern arms race among the industry’s top brands for performance, design, and price,” says Barney Ruprecht, Vice President of Auctions for Broad Arrow. “Nothing looked like it when it was unveiled, and that still holds true. Behind the wheel, the Enzo offers a comfortable yet incredibly engaging driving experience that appeals to today’s most active collectors. We’re thrilled to offer such an important and desirable car at our second annual Las Vegas Auction.”

The Enzo on offer at Broad Arrow’s Las Vegas Auction, chassis number 131631, has been enjoyed exactly as Enzo Ferrari would have intended. Delivered new via Ferrari of Long Island in Rosso Corsa over Pelle Rossa, the car found its second home in Texas that same year. It was during this ownership that a routine service uncovered a valvetrain issue known to affect a number of early Enzos. Upon discovery, Ferrari replaced the engine under warranty and fitted a complete replacement, engine number 73365, as documented in the car’s Ferrari Classiche Red Book.

The car passed through several hands in the United States and Europe through 2010. Some moderate damage incurred under Nevada ownership was repaired by Ferrari of Las Vegas in 2006 and the car was subsequently refinished in Nero. A later owner chose to return the car to its original Rosso Corsa, commissioning the factory-authorized Carrozzeria Zanasi in Maranello to complete the work. At that time, the interior was also retrimmed in Pelle Nera, a subtle yet appealing change that adds a more purposeful contrast to the design.

The current owner acquired the Enzo in 2024 and most recently, in March 2026 at 17,159 miles, the car was serviced by Ferrari Dallas at a cost exceeding $10,000. It received the annual fluid and filter service, a multi-point inspection, four new tires, a four-wheel alignment, a new battery, a replacement passenger-side dashboard air vent and cosmetic refinishing beneath the front bumper—addressing the light scraping common to cars of such minimal ground clearance.

“With Enzo values climbing in recent months, a great many of the 400 built have now been parked. This car is tremendously exciting; a rarely seen well-exercised, well-sorted, and well-maintained car,” adds Clarence Habovstak, Car Specialist, Broad Arrow. “This Enzo begs of its next owner to do one thing—just keep driving.”

Ferrari Classiche certified, comprehensively documented, and freshly serviced, chassis 131631 has covered less than 18,000 miles and is among the few Enzos genuinely prepared to be used the way its namesake intended. It is ready to be entered in the Cavalcade Classiche, run on any of the marque’s touring rallies, or simply driven home from the sale.
