Oatly Reports Third Quarter 2026 Financial Results

MALMÖ, Sweden, October 28, 2026 – Oatly Group AB (publ) (Nasdaq: OTLY) (“Oatly”, the “Company” or the “Group”), the world’s original and largest oat drink company, today announced financial results for the third quarter ended September 30, 2026.

Jean-Christophe Flatin, Oatly’s CEO, commented, “I am pleased to report another quarter of strong revenue growth accompanied by substantial improvement in our Adjusted EBITDA. Our third quarter results reflect continued strong returns from our growth playbook including growth in market share, household penetration, and distribution. The quarter’s strong Adjusted EBITDA reflects improvement in our mix of customers, channels, and products. I am proud of our business year-to-date resilience absorbing cost inflation while maintaining investments for growth. I am also excited to announce the launch of our new Fiber beverage platform which expands our portfolio in the wellness space and leverages our core identity, created through over 30 years of expertise, in oats as a natural source of dietary fiber.”

He continued, “Despite elevated macro volatility, we maintain our outlook for Constant Currency Revenue growth for the 2026 year. However, similar to food and beverage peers, we are impacted by the latest wave of fuel and freight inflation in North America which has been stronger and faster than expected. We possess multiple levers to offset this pressure, but timing delays will adversely impact our profit in the fourth quarter and result in our reduced outlook for Adjusted EBITDA for the 2026 year. We remain steadfast in our growth investments and focus on delivering consistent and profitable growth over time.”

  • Gross profit margin in the third quarter was 34.1%, which is a 4.4 percentage point increase compared to the prior year period.
  • Third quarter net loss attributable to shareholders of the parent was $27.5 million, compared to a net loss attributable to shareholders of the parent of $65.3 million in the prior year period.

Based on recent foreign exchange rates, the full-year impact of foreign exchange is expected to be a tailwind to revenue growth by approximately 200 to 250 basis points; also unchanged relative to our prior outlook.
    • Adjusted EBITDA is now expected to be in the range of $16 million to $20 million relative to our prior outlook of $25 million to $35 million.
    • Capital expenditures are expected to be in the range of $20 million to $30 million (unchanged).

This outlook is made in the context of elevated macro volatility and based on current conditions.

Third Quarter 2026 Results

Revenue increased $20.3 million, or 9.1% to $243.1 million for the third quarter ended September 30, 2026, compared to $222.8 million for the prior year period. Excluding a foreign currency exchange tailwind of $0.5 million, revenue for the third quarter was $242.5 million, or an increase of 8.9% compared to the prior year period. The growth in Constant Currency Revenue was driven by another quarter of accelerating growth in Europe & International, growth in North America driven mainly by the retail channel, partially offset by volume decline in Greater China driven by competition in the foodservice channel. Sold volume for the third quarter of 2026 increased 4.2% to 156.9 million liters compared to 150.6 million liters in the third quarter of 2025. Produced finished goods volume for the third quarter of 2026 was 164.9 million liters compared to 147.6 million liters for the third quarter of 2025.

Gross profit was $83.0 million for the third quarter of 2026 compared to $66.3 million for the third quarter of 2025. Gross profit margin was 34.1% in the third quarter of 2026, an increase of 436 basis points compared to the prior year period. The margin improvement compared to the third quarter of 2025 was due to improvements in supply chain efficiency and price/mix across all regions, partially offset by the impact of the conflict in the Middle East on energy and logistics costs as well as freight market constraints in the United States.

Research and development expenses in the third quarter of 2026 were $4.6 million compared to $4.5 million in the prior year period.

Selling, general and administrative expenses in the third quarter of 2026 increased $10.2 million to $85.3 million compared to $75.1 million in the prior year period. The increase was mainly driven by increased branding and advertising expenses, higher customer distribution costs due to increased sold volumes and increased inflation driven by the conflict in the Middle East, partially offset by continued actions to reduce general and administrative expenses.

Other operating income and (expenses), net for the third quarter of 2026 was an expense of $2.3 million, comprised primarily of $2.4 million in costs and non-cash impairments related to the strategic review of the Greater China segment partially offset by net foreign exchange gains and grants. Other operating income and (expenses), net for the prior year period was an expense of $3.6 million comprised primarily of $3.5 million in costs for the Company’s strategic review of the Greater China segment.

Finance income and (expenses), net for the third quarter of 2026 was an expense of $16.1 million comprised primarily of net interest expenses of $13.8 million and fair value losses on Convertible Notes of $0.9 million. The finance income and (expenses), net for the prior year period was an expense of $47.6 million comprised primarily of fair value losses on Convertible Notes of $32.2 million and net interest expenses of $15.2 million.

Net loss attributable to shareholders of the parent was $27.5 million for the third quarter of 2026 compared to a loss of $65.3 million in the prior year period.

Adjusted EBITDA for the third quarter of 2026 was $9.4 million, compared to $3.1 million in the prior year period. The improvement in Adjusted EBITDA was primarily a result of higher gross profit.

EBITDA, Adjusted EBITDA and Constant Currency Revenue are non-IFRS financial measures defined under “Non-IFRS Financial Measures”. Please see above revenue at constant currency table and “Reconciliation of IFRS to Non-IFRS Financial Measures” at the end of this press release.

The following tables set forth revenue, Adjusted EBITDA, EBITDA and loss before tax for the Company’s three reportable segments for the periods presented.

** Eliminations in 2026 refers to intersegment revenue for sales of products from Europe & International to Greater China and North America. Eliminations in 2025 refers to intersegment revenue for sales of products from Europe & International to Greater China.
(1) Relates primarily to severance costs as the Group adjusts its organizational structure.
(2) Relates to costs for the strategic review of the Greater China segment, mainly consisting of non-cash impairments and cost for external consultants during 2026 and mainly cost for external consultants during 2025.
(3) Relates to reversal of previously recognized exit costs related to closure of the Group’s production facility in Singapore.

Europe & International

Europe & International revenue increased $24.0 million, or 19.5%, to $147.2 million for the third quarter of 2026, compared to $123.3 million in the prior year period. Excluding a foreign currency exchange headwind of $1.2 million, Europe & International revenue for the third quarter was $148.5 million, or an increase of 20.4%. For the third quarter of 2026, the increase in revenue was primarily due to volume growth of 17.6%, mainly driven by growth in the Barista products. Approximately 78% of Europe & International revenue was from the retail channel for the third quarter of 2026 compared to 79% in the prior year period. The sold finished goods volume for the three months ended September 30, 2026 and 2025 amounted to 98.3 and 83.6 million liters, respectively.

Europe & International Adjusted EBITDA increased $9.6 million to $31.5 million for the third quarter of 2026 compared to $21.9 million in the prior year period. The improvement in Adjusted EBITDA was primarily driven by higher gross profit driven by higher revenue and continued supply chain productivity, partially offset by higher selling, general and administration expenses, mainly explained by higher customer distribution costs due to increased sold volumes and increased inflation driven by the conflict in the Middle East, and higher branding and advertising costs.

North America

North America revenue increased $1.7 million, or 2.8%, to $63.8 million for the third quarter of 2026, compared to $62.1 million in the prior year period. The sold finished goods volume for the three months ended September 30, 2026 and 2025 amounted to 34.6 million and 34.4 million liters, respectively. The 0.4% volume increase was mainly driven by growth in the retail channel. Approximately 68% of North America revenue was from the retail channel in the third quarter of 2026 compared to 61% in the prior year period.

North America Adjusted EBITDA increased $1.6 million to $0.3 million for the third quarter of 2026, compared to a loss of $1.3 million in the prior year period. The increase in Adjusted EBITDA was primarily due to higher gross profit, partially offset by higher customer distribution costs due to increased sold volumes, increased inflation driven by the conflict in the Middle East and by the constraints in the freight market in the United States.

Greater China

Greater China revenue decreased $5.5 million, or 14.6%, to $32.0 million for the third quarter of 2026, compared to $37.4 million in the prior year period. Excluding a foreign currency exchange tailwind of $1.8 million in the quarter, Greater China revenue for the quarter was $30.2 million or a decrease of 19.3%. The decline in the Greater China segment was primarily explained by competition in the foodservice market, partially offset by increased sales in retail. Approximately 44% of Greater China revenue was from the foodservice channel for the third quarter of 2026 compared to 66% in the prior year period. The sold finished goods volume for the three months ended September 30, 2026 and 2025 amounted to 23.9 million and 32.5 million liters, respectively.

Greater China Adjusted EBITDA decreased $3.5 million to a loss of $1.9 million in the third quarter of 2026, compared to Adjusted EBITDA of $1.6 million in the prior year period. The decrease in Adjusted EBITDA is mainly explained by lower gross profit due to declining volumes sold as well as higher selling expenses.

Corporate

Oatly’s corporate expense, which consists of general costs not allocated to the segments, was $22.9 million in the third quarter of 2026, an increase of $1.5 million compared to the prior year period, driven by higher personnel costs. Adjusted EBITDA in the third quarter of 2026 was a loss of $20.5 million compared to a loss of $19.1 million in the prior year period.

Balance Sheet and Cash Flows

As of September 30, 2026, the Company had cash and cash equivalents of $23.3 million and total outstanding debt of $523.2 million consisting of Nordic Bonds, Convertible Notes and liabilities to credit institutions. Net cash used in operating activities was $11.5 million for the nine months ended September 30, 2026, compared to $17.4 million during the prior year period, which was primarily driven by improved operating results.

Capital expenditures were $19.2 million for the nine months ended September 30, 2026, compared to $13.8 million in the prior year period.

Free Cash Flow was an outflow of $30.7 million for the nine months ended September 30, 2026, compared to an outflow of $31.1 million during the prior year period. The improvement in Free Cash Flow was driven by decreased net cash flows used in operating activities, partly offset by higher capital expenditures.

Free Cash Flow is a non-IFRS liquidity measure defined under “Non-IFRS Financial Measures”. Please see “Reconciliation of IFRS to Non-IFRS Financial Measures” at the end of this press release.

Strategic Review of Greater China Business

The Company continues its strategic review of the Company’s Greater China business.

While there is no definitive timetable for completing the strategic review, the Company expects to complete the strategic review within 2026. The Company does not intend to provide further updates unless and until the Board of Directors has approved a specific course of action or determines that additional disclosure is appropriate or required. The Company cautions that there can be no assurances that the process will result in any transaction or strategic change.

Outlook

Based on the Company’s assessment of the current operating environment and the actions it is taking, the Company is maintaining its outlook for Constant Currency Revenue for the 2026 year and reducing its outlook for full-year Adjusted EBITDA. The Company is also maintaining its outlook for capital expenditures for the 2026 year.

  • Constant Currency Revenue growth is expected to be in the range of +8% to +10% (unchanged from our prior outlook).

The Company’s outlook continues to include the expected results of the Greater China segment. As previously noted, there continue to be significant macroeconomic uncertainty and other geopolitical uncertainties and this outlook assumes that the impact from the conflict in the Middle East does not worsen from what is expected today.

The Company cannot provide a reconciliation of Constant Currency Revenue growth or Adjusted EBITDA guidance to the nearest comparable corresponding IFRS metric without unreasonable efforts due to difficulty in predicting certain items excluded from these non-IFRS measures. The items necessary to reconcile are not within Oatly’s control, may vary greatly between periods and could significantly impact future financial results.

Any express or implied statements contained in this press release that are not statements of historical fact may be deemed to be forward-looking statements, including, without limitation, statements regarding our financial outlook for 2026, profitability improvement, profitable growth in 2026, long-term growth strategy, expected capital expenditures, anticipated returns on our investments, anticipated supply chain performance, anticipated impact of our improvement plans, anticipated impact of our decision to discontinue construction of certain production facilities, plans to achieve profitable growth and anticipated cost savings and efficiencies as well as statements that include the words “expect”, “intend”, “plan”, “believe”, “project”, “forecast”, “estimate”, “may”, “should”, “anticipate”, “will”, “aim”, “potential”, “continue”, “is/are likely to” and similar statements of a future or forward-looking nature. Forward-looking statements are neither promises nor guarantees, but involve known and unknown risks and uncertainties that could cause actual results to differ materially from those projected, including, without limitation: we have a history of losses, and we may be unable to achieve or sustain profitability, including due to elevated inflation and increased costs for transportation, energy, and materials; our future business, financial condition and results of operations may be adversely affected by reduced or limited availability of oats and other raw materials and ingredients, which meet our quality standards, that our limited number of suppliers are able to sell to us; a failure to obtain necessary capital when needed on acceptable terms, or at all, may force us to delay, limit, reduce or terminate our product manufacturing and development and other operations; the primary components of all our products are manufactured in our production facilities, and damage or disruption at these facilities has in the past harmed, and may in the future harm, our business; our brand or reputation may be harmed due to real or perceived quality, food safety, nutrition or sustainability issues with our products, which could have an adverse effect on our business, reputation, financial condition and results of operations; food safety and food-borne illness incidents or other safety concerns have led to product recalls, and may materially adversely affect our business, financial condition and results of operations by exposing us to lawsuits or regulatory enforcement actions in the future, increasing our operating costs and reducing demand for our product offerings; failure by our suppliers of raw materials or co-manufacturers to comply with food safety, environmental or other laws and regulations, or with the specifications and requirements of our products, may disrupt our supply of products and adversely affect our business; we may not be able to compete successfully in our highly competitive markets; consolidation of customers, the loss of a significant customer or the decrease of sales from a significant customer, could negatively impact our sales and profitability; sales of our oatmilk varieties contribute a significant portion of our revenue and a reduction in such sales would have an adverse effect on our business, financial condition and results of operations; we continue to pursue largely an asset-light business model blending a heavy reliance on our co-manufacturing partners in addition to in-house capacity expansions where appropriate; our strategic partnerships with our co-manufacturers may not be successful, which could adversely affect our operations and manufacturing strategy; failure by our logistics providers to deliver our products on time, or at all, could result in lost sales; we may not successfully ramp up operations at any of our or our co-manufacturing partners’ facilities, or these facilities may not operate in accordance with our expectations; if we fail to effectively expand our processing, manufacturing and production capacity through existing facilities or acceptable co-manufacturing partners as we continue to grow and scale our business to a steady operating level, our business, financial condition, results of operations and our brand reputation could be harmed; if we fail to develop and maintain our brand, our business could suffer; failure to develop or introduce new products or successfully improve existing products may adversely affect our ability to continue to grow; if we fail to cost-effectively acquire new customers and consumers or retain our existing customers and consumers, or if we fail to derive revenue from our existing customers consistent with our historical performance, our business could be materially adversely affected; consumer preferences for our products are difficult to predict and may change, and, if we are unable to respond quickly to new trends, our business may be adversely affected; if we fail to manage our future growth effectively, including maintenance of our workforce, our business, financial condition and results of operations could be materially adversely affected; we have recognized impairment charges for long-lived assets and other exit costs in connection with our production facilities, and we may need to recognize further costs in the future, which could adversely impact our business, financial condition and results of operations; we are subject to risks related to sustainability (including environmental, climate change and broader corporate social responsibility matters), which may materially adversely affect our business as a result of lawsuits, regulatory investigations and enforcement actions, complaints concerning our disclosures, impacts on our operations and supply chain (particularly in connection with the physical impacts of climate change), and impacts on our brand and reputation; we rely on information technology systems and any inadequacy, failure or interruption of, or cybersecurity incidents affecting, those systems may harm our reputation and ability to effectively operate our business; a cybersecurity incident or other technology disruptions could negatively impact our business and our relationships with customers; to remain competitive, we believe we will need to adopt artificial intelligence and other machine learning technologies; our customer agreements do not contain long-term commitments and do not require our customers to continue purchasing products from us and this may negatively impact our business or financial condition; we may face difficulties as we expand our operations into countries in which we have no prior operating experience; the strategic review of the Company’s Greater China operations may not be timely or successful; our operations in China could expose us to substantial business, regulatory, political, financial and economic risks; the international nature of our business subjects us to additional global economic and geopolitical risks; if we fail to comply with trade compliance and economic sanctions laws and regulations of the United States (the “U.S.”), the EU and other applicable international jurisdictions, it could materially adversely affect our reputation and results of operations; some of our debt agreements contain a floating interest rate component and as a result, an increase in market interest rates will increase our future interest payments under such agreements; our international operations expose us to the risk of fluctuations in currency exchange rates; we maintain cash and cash equivalents at financial institutions, often in amounts exceeding insured limits, and the failure of one or more of these institutions could result in a loss of deposits and adversely affect our liquidity or ability to raise capital; packaging costs are volatile and may rise significantly, which may negatively impact the profitability of our business; fluctuations in our results of operations may impact, and may have a disproportionate effect on, our overall financial condition and results of operations; litigation or legal proceedings, or the threat of litigation or legal proceedings, could expose us to significant liabilities or costs and have a negative impact on our reputation or business; our estimates of market opportunity and forecasts of market growth may prove to be inaccurate, and even if the market in which we compete achieves the forecasted growth, our business could fail to grow at similar rates, if at all; failure to retain our senior management or to attract, train and retain qualified employees may adversely affect our operations or our ability to grow successfully; if we cannot maintain our company culture or focus on our mission as we grow, our success and our business and competitive position may be harmed; our insurance may not provide adequate levels of coverage against claims or we may be unable to find insurance with sufficient coverage at a reasonable cost; disruptions in the worldwide economy may adversely affect our business, financial condition and results of operations; our business is affected by macroeconomic conditions, including international tariffs and trade wars, rising inflation, interest rates and supply chain constraints; we are subject to risks inherent to organizations with international operations, which could harm our business, and global conflicts, including the ongoing conflict in the Middle East; legal claims, government investigations or other regulatory enforcement actions could subject us to civil and criminal penalties; our operations are subject to U.S., EU, China and other laws and regulations, and there is no assurance that we will be in compliance with all applicable laws and regulations; changes in existing laws or regulations, or the adoption of new laws or regulations may increase our costs and otherwise adversely affect our business, financial condition and results of operations; we are subject to stringent environmental regulation and potentially subject to environmental litigation, proceedings and investigations; we may not be able to protect, enforce or defend our intellectual property and other proprietary rights adequately, which may impact our commercial success; we have incurred substantial indebtedness that may decrease our business flexibility, access to capital, and/or increase our future borrowing costs; and the other important factors discussed under the caption “Risk Factors” in our Annual Report on Form 20-F for the year ended December 31, 2025, filed with the U.S. Securities and Exchange Commission (“SEC”) on March 13, 2026, and our other filings with the SEC as such factors may be updated from time to time. Any forward-looking statements contained in this press release speak only as of the date hereof and accordingly undue reliance should not be placed on such statements. Oatly disclaims any obligation or undertaking to update or revise any forward-looking statements contained in this press release, whether as a result of new information, future events or otherwise, other than to the extent required by applicable law.

Non-IFRS Financial Measures

We use EBITDA, Adjusted EBITDA and Constant Currency Revenue as non-IFRS financial measures in assessing our operating performance and Free Cash Flow as a non-IFRS liquidity measure, and each in our financial communications.

“EBITDA” is defined as loss for the period adjusted to exclude, when applicable, income tax expense, finance expenses, finance income and depreciation and amortization expense.

“Adjusted EBITDA” is defined as loss for the period adjusted to exclude, when applicable, income tax expense, finance expenses, finance income, depreciation and amortization expense, share-based compensation expense, restructuring costs, costs and non-cash impairments related to the strategic review of the Greater China business, impacts related to the closure of production facility and non-controlling interests.

Adjusted EBITDA should not be considered as an alternative to loss for the period or any other measure of financial performance calculated and presented in accordance with IFRS. There are a number of limitations related to the use of Adjusted EBITDA rather than loss for the period, which is the most directly comparable IFRS measure. Some of these limitations are:

  • Adjusted EBITDA excludes depreciation and amortization expense and, although these are non-cash expenses, the assets being depreciated may have to be replaced in the future increasing our cash requirements;
  • Adjusted EBITDA does not reflect interest expense, or the cash required to service our debt, which reduces cash available to us;
  • Adjusted EBITDA does not reflect income tax payments that reduce cash available to us;
  • Adjusted EBITDA does not reflect recurring share-based compensation expense and, therefore, does not include all of our compensation costs;
  • Adjusted EBITDA does not reflect restructuring costs that reduce cash available to us in future periods;
  • Adjusted EBITDA does not reflect costs and non-cash impairments related to the strategic review of the Greater China business that may reduce cash available to us;
  • Adjusted EBITDA excludes impacts related to the closure of production facility, although some of these may reduce cash available to us in future periods;
  • Other companies, including companies in our industry, may calculate Adjusted EBITDA differently, which reduces its usefulness as a comparative measure.

Adjusted EBITDA should not be considered in isolation or as a substitute for financial information provided in accordance with IFRS. Below we have provided a reconciliation of EBITDA and Adjusted EBITDA to loss for the period, the most directly comparable financial measure calculated and presented in accordance with IFRS, for the periods presented.

“Constant Currency Revenue” is calculated by translating the current year reported revenue amounts into comparable amounts using the prior year reporting period’s average foreign exchange rates which have been provided by a third party. Constant Currency Revenue is a non-IFRS measure and is not a substitute for IFRS measures in assessing our overall financial performance.

Constant Currency Revenue is used to provide a framework in assessing how our business and geographic segments performed excluding the effects of foreign currency exchange rate fluctuations and we believe this information is useful to investors to facilitate comparisons and better identify trends in our business. Above we have provided a reconciliation of revenue as reported to revenue on a constant currency basis for the periods presented.

“Free Cash Flow” is defined as net cash flows used in operating activities less capital expenditures. We believe Free Cash Flow is a useful supplemental financial measure for us and investors in assessing our ability to pursue business opportunities and investments. Free Cash Flow is not a measure of our liquidity under IFRS and should not be considered as an alternative to net cash flows used in operating activities.

Free Cash Flow is a non-IFRS measure and is not a substitute for IFRS measures in assessing our overall financial liquidity. Because Free Cash Flow is not a measurement determined in accordance with IFRS, and is susceptible to varying calculations, it may not be comparable to other similarly titled measures presented by other companies. Free Cash Flow should not be considered in isolation, or as a substitute for an analysis of our results as reported on our interim condensed consolidated financial statements appearing elsewhere in this document. Below we have provided a reconciliation of Free Cash Flow to net cash flows used in operating activities for the periods presented.

EDINBURG, Va., Oct. 28, 2026 (GLOBE NEWSWIRE) — Shenandoah Telecommunications Company (“Shentel” or the “Company”) (Nasdaq: SHEN) announced third quarter 2026 financial and operating results.

Third Quarter 2026 Highlights

  • Glo Fiber Expansion Markets revenue grew 32.2% year over year to $28.2 million.
  • Total revenue increased 4.6% year over year to $93.9 million.
  • Net loss was $9.2 million compared to $9.4 million in the third quarter of 2025.
  • Adjusted EBITDA1 grew 11.8% year over year to $33.2 million.

“We continue to see strong momentum across our fiber businesses, surpassing 500,000 Glo Fiber passings and delivering a record 8,600 Glo Fiber net additions in the third quarter,” said Ed McKay, President and CEO. “Fiber revenue grew nearly 20% and now represents 52% of total revenue, while Adjusted EBITDA increased 11.8%. With our major construction programs nearing completion, we are entering the next phase of our fiber-first strategy focused on customer growth, operating leverage and cash generation.”

Shentel’s third-quarter earnings conference call will be webcast at 8:30 a.m. ET on Wednesday, October 28, 2026. The webcast and related materials will be available on Shentel’s Investor Relations website at https://investor.shentel.com/.

Third Quarter 2026 Results Compared with Third Quarter 2025

  • Residential & SMB – Glo Fiber Expansion Markets2 revenue (30.0% of total) increased $6.9 million, or 32.2%, primarily due to a 31.8% increase in data revenue generating units (“RGUs”) driven by the Company’s increase in penetration rates and increase in passings.
  • Residential & SMB – Incumbent Broadband Markets3 revenue (41.6% of total) decreased $2.8 million, or 6.8%, due to lower video and data revenue. Video revenue declined due to a 13.0% decrease in video RGUs as customers switched to streaming video services. Data revenue declined primarily due to a 3.0% decline in data ARPU, driven in part by our rate card in markets where we face a fixed broadband competitor and in part due to our recently implemented rate card in lower demographic markets experiencing softer demand.
  • Commercial Fiber revenue (22.5% of total) increased $1.2 million, or 5.9%, due to increases in recurring revenue from additional circuit services sold to both new and existing customers.
  • RLEC & Other revenue (5.9% of total) decreased $1.1 million, or 16.1%, primarily due to a 35.5% decrease in DSL RGUs and, to a lesser extent, a decrease in government support revenue.
  • Cost of services increased by $0.5 million, or 1.7%, partially due to increased building & fleet maintenance and fuel expenses as well as increased pole attachment rent expense from expansion of the Glo Fiber network and regulatory fees with the growth in customers.
  • Selling, general and administrative expense decreased by $0.6 million, or (2.1)%. The decrease was partially due to lower advertising and stock compensation expense, offset in part by higher operating and property taxes, software maintenance expenses, and payroll related expenses.
  • Restructuring, integration and acquisition expense decreased by $0.1 million. The decrease was primarily due to transaction fees incurred in the prior year that did not recur in 2026.
  • Depreciation and amortization decreased by $0.8 million, or 2.3%. The decrease was primarily due to a $3.2 million decline in write-offs, partially offset by new depreciation associated with assets placed in service as part of the continued expansion of the Glo Fiber network.

Other Information

  • Capital expenditures were $215.0 million for the nine months ended September 30, 2026, compared with $251.5 million for the nine months ended September 30, 2025. The $36.5 million decrease was primarily driven by the substantial completion of government grant construction projects in Incumbent Broadband Markets.
  • The Company received $22.1 million and $39.9 million in government grant cash receipts (exclusive of indirect cost reimbursements) during the nine months ended September 30, 2026 and 2025, respectively.
  • As of September 30, 2026, the Company’s total available liquidity was $138.6 million, consisting of (i) unrestricted cash and cash equivalents totaling $18.6 million; (ii) restricted cash as required by the ABS Indenture totaling $27.0 million; (iii) $49.8 million of availability under Shentel Broadband’s Revolving Credit Facility; (iv) $16.3 million under Shentel Issuer’s Variable Funding Note (“VFN”); and (v) an aggregate of $26.9 million remaining reimbursements available under government grants, subject to fulfilling the terms of the underlying agreements. In addition, the Company has $84.2 million of VFN commitments that are not available to draw as of September 30, 2026. The available capacity of the VFN will increase based on the secured fiber network revenue growth from the ABS Entities multiplied by (i) a margin as defined in the ABS Indenture and (ii) a 6.25x multiple.
  • As previously reported, the Company announced a reduction in force of approximately 10% of its employees to align the business with the end of the Glo Fiber construction phase, which is expected to be substantially complete by the end of 2026. The Company expects to save approximately $12.3 million annually beginning in 2027 with approximately half of the savings impacting operating expenses and half impacting capitalized labor that is included in capital expenditures. The Company expects to incur approximately $2.5 million in restructuring costs to achieve these savings. During the nine months ended September 30, 2026, Shentel incurred $2.3 million in severance expense, included in restructuring, integration and acquisition expense in the condensed consolidated statements of operations, and made $0.5 million of severance payments.

Updated 2026 Financial Outlook

Revenue and Adjusted EBITDA guidance remain unchanged.   The Company is updating its 2026 capital expenditure guidance, net of government grant reimbursements, to $255 million to $275 million, compared to its previous guidance of $220 million to $250 million. The revised outlook reflects both a projected increase in Glo Fiber homes passed from 510,000 to 517,000 by the end of 2026 as well as changes in the timing of some subsidy reimbursements, which are now projected to extend into 2027. The Company continues to expect to be substantially complete with its planned network expansion projects by the end of 2026.

The 2026 financial guidance presented above does not reflect any assumptions regarding the potential impacts of ongoing global geopolitical conflicts or the evolving tariff environment. Non-GAAP Financial Measures
Adjusted EBITDA and Adjusted EBITDA Margin

The Company defines Adjusted EBITDA as (loss) income from operations calculated in accordance with GAAP, adjusted for the impact of depreciation and amortization, impairment expense, other income (expense), net, interest income, interest expense, income tax expense (benefit), stock compensation expense, transaction costs related to acquisition and disposition events (including professional advisory fees, integration costs, and related compensatory matters), restructuring expense, tax on equity award vesting and exercise events, and other non-comparable items. A reconciliation of Net loss, which is the most directly comparable GAAP financial measure, to Adjusted EBITDA is provided below herein.

Adjusted EBITDA margin is the Company’s calculation of Adjusted EBITDA, divided by revenue calculated in accordance with GAAP.

The Company uses Adjusted EBITDA and Adjusted EBITDA margin as supplemental measures of performance to evaluate operating effectiveness and assess its ability to increase revenues while controlling expense growth and the scalability of the Company’s business growth strategy. Adjusted EBITDA is also a significant performance measure used by the Company in its incentive compensation programs. The Company believes that the exclusion of the expense and income items eliminated in calculating Adjusted EBITDA and Adjusted EBITDA margin provides management and investors a useful measure for period-to-period comparisons of the Company’s core operating results by excluding items that are not comparable across reporting periods or that do not otherwise relate to the Company’s ongoing operations. Accordingly, the Company believes that Adjusted EBITDA and Adjusted EBITDA margin provide useful information to investors and others in understanding and evaluating the Company’s operating results. However, use of Adjusted EBITDA and Adjusted EBITDA margin as analytical tools has limitations, and investors and others should not consider them in isolation or as substitutes for analysis of our financial results as reported under GAAP. In addition, other companies may calculate Adjusted EBITDA and Adjusted EBITDA margin or similarly titled measures differently, which may reduce their usefulness as comparative measures.

(1) Homes and businesses are considered passed (“passings”) if we can connect them to our network without further extending the distribution system. Passings is an estimate based upon the best available information. Passings will vary among video, broadband data and voice services.
(2) Penetration is calculated by dividing the number of users by the number of passings or available homes, as appropriate.
(3) Total fiber miles are measured by taking the number of fiber strands in a cable and multiplying that number by the route distance. For example, a 10 mile route with 144 fiber strands would equal 1,440 fiber miles.

Phase 2 study to be conducted in participants with active moderate to severe psoriatic arthritis

Novartis conducting study under global exclusive development and commercialization license agreement with Monte Rosa

Monte Rosa to receive milestone payment based on first patient visit of Phase 2 clinical study

This is the second of multiple studies planned to evaluate MRT-6160 (DDY391) across immune-mediated diseases; Monte Rosa eligible for additional Phase 2 study initiation milestones

BOSTON, Oct. 28, 2026 (GLOBE NEWSWIRE) — Monte Rosa Therapeutics, Inc. (Nasdaq: GLUE), a clinical-stage biotechnology company developing novel molecular glue degrader (MGD)-based medicines, today announced that its collaborator Novartis has initiated a second Phase 2 clinical study for the VAV1-directed MGD MRT-6160 (DDY391) in people living with active moderate to severe psoriatic arthritis (PsA). The study follows the Phase 2 trial in Sjögren’s disease initiated in August and is part of a global exclusive development and commercialization license agreement between Monte Rosa and Novartis to advance VAV1 MGDs, including MRT-6160 (DDY391). In connection with the first patient visit of the study, Monte Rosa will receive a $37.5 million milestone payment from Novartis.

“This Phase 2 study will assess MRT-6160 in participants with active moderate to severe psoriatic arthritis, a disease with significant unmet need and where there is a strong biologic rationale for targeting with a VAV1-directed MGD,” said Markus Warmuth, M.D., Chief Executive Officer of Monte Rosa Therapeutics. “This development milestone demonstrates the strong momentum behind our collaboration with Novartis, and we are pleased to continue to work closely with them as they advance development of MRT-6160.”

This study is a Phase 2a/b, randomized, double-blind, placebo-controlled, multicenter trial designed to evaluate the efficacy, safety, tolerability, and dose-response relationship of MRT-6160 (DDY391) in participants with active moderate to severe PsA. More information about the study, “A Randomized, Double-blind, Placebo-controlled, Multicenter Phase 2a/b Study Assessing the Efficacy, Safety and Tolerability of DDY391 in Participants With Active Moderate to Severe Psoriatic Arthritis,” can be found at ClinicalTrials.gov, study identifier: NCT07801495.

MRT-6160 (DDY391) is a potent, highly selective, and orally bioavailable investigational molecular glue degrader of VAV1, a key signaling protein downstream of both the T- and B-cell receptors. Available preclinical and clinical data support the potential of MRT-6160 (DDY391) to address multiple immune-mediated diseases. In a Phase 1 study, MRT-6160 (DDY391) demonstrated sustained, dose-dependent VAV1 degradation of greater than 90% in peripheral blood T cells after single- and multiple-dose administration, as well as suppression of key inflammatory biomarkers. The administration of MRT-6160 (DDY391) was generally well tolerated, with no serious adverse effects observed.

About Psoriatic Arthritis

Psoriatic arthritis is a chronic, progressive inflammatory disease that affects approximately 0.1% to 0.2% of the general population or up to 50 million people worldwide1. It is part of a family of lifelong inflammatory diseases (spondyloarthritis) that target the joints and is closely associated with psoriasis2. Up to 40% of patients with psoriasis may develop PsA2. Symptoms of PsA include joint pain and stiffness, skin and nail psoriasis, swollen toes and fingers, persistent painful swelling of the tendons, and irreversible joint damage2.

Novartis Agreement Details

Monte Rosa has a global exclusive development and commercialization license agreement with Novartis to advance VAV1-directed MGDs, including MRT-6160. Under the terms of the agreement, Novartis has exclusive worldwide rights to develop, manufacture and commercialize MRT-6160 and other VAV1 MGDs and is responsible for all clinical development and commercialization, starting with Phase 2 clinical studies. Monte Rosa is eligible to receive up to $2.1 billion in development, regulatory, and sales milestones, beginning upon initiation of Phase 2 studies. Novartis is responsible for conducting and funding Phase 2 studies. Monte Rosa will co-fund any Phase 3 clinical development and will share 30% of any profits and losses associated with the manufacturing and commercialization of MRT-6160 in the U.S., and is also eligible for tiered royalties on ex-U.S. net sales.

Initial contract signed for plasma torch system with U.S. agritech company

MONTREAL, Oct. 28, 2026 (GLOBE NEWSWIRE) — PyroGenesis Inc. (“PyroGenesis” or the “Company”) (TSX: PYR) (OTCQX: PYRGF) (FRA: 8PY1), a leader in ultra-high temperature processes and engineering innovation, and a plasma-based technology provider to heavy industry & defense, announces today that it has signed a small contract with a U.S. firm (the “Client”) that has developed technology to produce critical agricultural materials using clean energy. Under the contract, PyroGenesis will supply an initial 40 kW plasma torch system, as part of a potential 3-torch order. The Client’s name and terms of the contract will remain confidential for competitive reasons. A 60% downpayment is expected in the coming weeks.

As previously mentioned in the Outlook section of the Company’s Q2 2026 earnings release [dated August 6, 2026], the Company has been in discussion for both low-powered (up to 40 kW) and hyper-high powered (6 MW) plasma torches with a U.S. company who develops material for use in the agricultural industry.

Today’s contract announcement is for the first of those torches, the 40-kW plasma torch, to be designed with multi plasma-forming gas options. In addition to the potential for a 6 MW plasma torch, the Client has proposed a potential third torch in the intermediate power range for the next iteration of the Client’s technology in 2027, leading potentially to a hyper-high-powered torch of up to 6 MW as their process is proven out and volumes increase.

“This sale represents another example of how our advanced plasma torch technologies are finding applications in industries beyond our traditional markets,” said Mr. P.
