NACON Gaming

Catalogue activity (new games). Second-quarter 2026-2027 sales stood at €13.7m compared to €22.8m in the previous financial year.

The very strong performances of The Mound™, which is already among NACON’s largest launches, and Tour de France 26™ are masked by an exceptionally high base of comparison in the second quarter of 2025-2026, which saw the release of the three major games of the financial year: Hell is Us™, Rugby League™, and RoboCop: Rogue City – Unfinished Business™.

The Back Catalogue (games released in previous financial years) recorded sales of €14.1m, up 0.9% compared to the previous financial year.

The Accessories activity recorded sales of €11.6m, up 28.7% compared to the same period in 2025-2026. This growth confirms the recovery of the US market and the success of the new RIG headset ranges.

BIGBEN – Audio-Video/Telco.

As part of its financial restructuring, BIGBEN sold on 8 October 2026 the entire share capital and voting rights of its subsidiary BIGBEN CONNECTED to MODELABS. The activity of the entity sold will be de-consolidated from the Group’s revenue from the second half of fiscal year 2026-2027.

The scope of the BIGBEN Audio-Video division has also been redefined. METRONIC France and BIGBEN INTERACTIVE are each subject to an adaptation plan designed to prioritize channels with higher added value and to adjust resources to each entity’s new commercial capabilities.
This refocusing is accompanied by an adjustment of the cost structure to the Group’s new scope, through the implementation of savings plans and rationalization measures designed to reduce fixed costs and improve operational efficiency.

In a retail market heavily impacted by declining store footfall and the slowdown in consumption, sales from continuing activities stood at €5.7 million in the second quarter of 2026-2027, down 11.4%.

Trends for the 3rd quarter of 2026-2027

The 3rd quarter of 2026-2027 will benefit from end-of-year sales, new additions to the Accessories range, and the release of several major games, including:

  • MXGP™ 26, released on October 1st. This racing game has been very well received and will quickly cover its development costs.
  • Hunting Simulator 3, a hunting simulator scheduled for release on October 29, is a proven long-seller.
  • Edge of Memories™, an action & adventure game, will be released on December 3 and already has a good level of wishlists* to date.

Finally, sales of the Accessories activity will be supported by the new RIG headsets and the October release of the new Revolution 5 Unlimited premium controller. The result of years of discussions with the e-sports community, this high-end asymmetric controller under official Playstation 5 license offers major innovations, with an integrated control screen for the first time.

Update on the redeployment plan

BIGBEN INTERACTIVE recalls that a judicial reorganisation proceedings (procédure de redressement judiciaire) were opened in respect of Nacon by a judgment of the Lille Métropole Commercial Court (Tribunal de commerce de Lille Métropole) dated March 2, 2026

The observation period (période d’observation) was extended until March 2, 2027 by a judgment dated July 1, 2026.

In this context, the Company has started, with the assistance of its advisers and the court-appointed administrators (administrateurs judiciaires), the preparation of a reorganisation plan (plan de redressement) including a restructuring of its liabilities., which will be submitted shortly to the Lille Métropole Commercial Court.

NACON has already implemented several measures aiming to enhance its profitability and agility. These actions are structured around two axes:

  • A redefinition of the scope of development studios, with the effective closure of three entities and restructuring finalized in two studios.
  • Cost optimization. Staff numbers thus decreased from 1,125 employees as of March 31, 2026, to 814 as of September 30, 2026, with a 28% decrease at headquarters. Marketing expenses were also optimized and adapted to the Group’s new scope.

In addition, the Group published in its press release of September 22, 2026 the main terms and deadlines of its financial restructuring.

The Company will keep the market informed as its situation evolves and regarding the progress of the Judicial Reorganisation Proceedings.

Starting with the tax decision, Vertex Sōl connects the work, evidence, and AI that tax professionals control

KING OF PRUSSIA, Pa., Oct. 26, 2026 (GLOBE NEWSWIRE) — Vertex, Inc. (NASDAQ:VERX) (“Vertex” or the “Company”), the Decision-to-Defense™ global indirect tax and compliance company, today introduced Vertex Sōl™, a connected compliance experience that brings intelligence, workflows, decisions, and evidence together across the tax lifecycle. The transaction is the atomic unit of commerce. Vertex Sōl ties tax and compliance to each transaction, from determination through e-invoicing, reporting, and defense, creating one continuous, governed record.

It helps tax teams see potential issues sooner and understand their impact, while they stay in control of what happens next. Taking its name from sōl, Latin for sun, it not only provides full visibility into indirect tax and compliance AI workflows but also acts as the center of gravity where humans govern the work through one system of control from decision to defense.

Vertex Sōl connects the Vertex solutions trusted by a customer base including more than 60% of the Fortune 500, from the first tax decision through audit. Vertex Intelligence™ powers the AI capabilities within Vertex Sōl, bringing forward trusted tax expertise, global regulatory intelligence, explanations, and recommendations so that tax professionals have the evidence they need to stand behind the outcome.

“Tax professionals have carried the burden of the work around the tax decision — researching, reconciling, documenting, and defending,” said Bala Chandran, Chief Product and Technology Officer at Vertex. “Vertex Sōl changes that. It begins at the decision inside the transaction and carries it forward on one record. It is led by AI that can be governed, explained, and defended, so tax professionals can command the outcome instead of the manual work around it.”

The roll-out comes as enterprises reassess how far AI should be trusted in tax and compliance. In a Vertex-commissioned survey of 402 tax and compliance software decision makers in the U.S. and Germany, conducted by Emerald Research Group, 81% of respondents said they would only be comfortable adopting AI in compliance if they had full visibility into how automated decisions were made, and could override or reverse any action at any time.

Vertex Sōl is designed to support graduated levels of trust, so tax teams can determine when AI recommends a course of action, assists with the work, or acts within defined controls they set. At every level, teams retain insight into how decisions are made and the ability to review, override, or reverse actions.

“Trust has always been fundamental to tax and compliance, and AI raises the stakes,” said Christopher Young, CEO of Vertex. “Tax teams need to be able to see what’s happening, understand what matters, and stay in control. Vertex Sōl combines that visibility with the tax content, intelligence, and expertise our customers have relied on for decades, so they can put AI to work with confidence.”

Vertex Sōl in Action
Across the tax and compliance lifecycle, Vertex Sōl will help teams navigate existing and future capabilities across moments such as:

  • When a rule changes: Connect across regulatory intelligence and content, assess potential impact, and surface information for professional review.
  • Before filing: Bring together proactive surfacing of relevant issues, explanation of potential impact, and recommendations within defined controls.
  • When an auditor calls: Streamline organizing the audit notice management process, enable evidence gathering, and make gaps visible for the team or advisors to review.

Industry analysts expect visibility and control to shape how enterprises choose AI for tax and compliance. “As AI agents take on more tax and compliance work, enterprises will judge vendors less on how many agents they offer and more on whether each action can be governed, explained, and traced back to the original decision,” said Kevin Permenter, Senior Director, Enterprise Applications Research at IDC. “That kind of traceability is fast becoming a baseline expectation for AI in regulated finance functions.”

Vertex Sōl is designed to connect work across tax determination, certificate management, e-invoicing, indirect tax close, reporting and filing, and audit and notice management. The resulting connected record will help teams trace outcomes back to the original transaction and tax decision, making them easier to explain, govern, and defend. For more information, click here.

Consolidated results for the quarter and the nine-month periods are unaudited. Net income for the nine months of 2026 was positively impacted by the sale of the Bank’s ownership interest in Bearing Insurance, LLC (Bearing Sale) during the second quarter of 2026, which generated a pretax gain of $3,752,000 ($2,964,000 after tax). Consolidated results for the quarter and the year are unaudited.

Net Income and Profitability

Net income generated during the third quarter of 2026 represents a $589,000, or 20%, increase compared to the same quarter of 2025, while net income generated through nine months of 2026 represents a $5,152,000, or 65%, increase compared to the same time period of 2025. The increase in net income for the third quarter of 2026 was driven by higher net interest income and higher noninterest income partially offset by higher provision for credit losses and higher noninterest expense. The increase in net income through nine months of 2026 was driven by higher noninterest income, which includes the $2,964,000 after tax gain generated by the Bearing Sale, and higher net interest income partially offset by the same factors stated for the third quarter.

Profitability as measured by the Company’s return on average assets (“ROA”) increased to 1.59% for the nine months ended September 30, 2026, as compared to 1.03% for the same time period of 2025. Correspondingly, return on average equity (“ROE”) increased to 19.11% for the nine months ended September 30, 2026, as compared to 12.76% for the same time period of 2025.

“We continue to be pleased with Pinnacle’s performance in 2026,” stated Aubrey H. Hall, III, President and Chief Executive Officer for both the Company and the Bank. Mr. Hall further commented, “Core net income has increased 28% year over year driven by further expansion of our net interest margin, higher core noninterest income, and controlled noninterest expense. Loan volume has improved, credit quality remains strong, and we have ample liquidity to fund asset growth moving forward.”

Net Interest Income and Margin

The Company generated $11,420,000 in net interest income for the third quarter of 2026, which represents a $1,193,000, or 12%, increase compared to $10,227,000 for the same quarter of 2025. Interest income increased $1,065,000, or 8%, due to higher average earning assets and yield, while interest expense decreased $128,000, or 5%.

Net interest income through nine months of 2026 was $32,828,000, which represents a $3,055,000, or 10%, increase compared to $29,773,000 for the same time period of 2025 as net interest margin increased 12 basis points to 4.20%. Interest income increased $2,747,000, or 7%, as yield on earning assets increased 1 basis point to 5.23% and average earning assets increased by 7% year over year. Interest expense decreased $308,000, or 4%, due to lower interest expense as cost to fund earning assets decreased 11 basis points to 1.03%.

Reserves for Credit Losses and Asset Quality

The provision for credit losses was $227,000 in the third quarter of 2026 compared to $29,000 for the same quarter of 2025. Through nine months of 2026, provision for credit losses was $534,000 compared to $139,000 for the same time period of 2025. Provision expense has increased mainly due to loan growth as credit quality continues to be strong.

The allowance for credit losses (ACL) was $5,489,000 as of September 30, 2026, which represented 0.71% of total loans outstanding. In comparison, the ACL was $5,235,000, or 0.71% of total loans outstanding as of December 31, 2025. Non-performing loans to total loans remained 0.20% as of September 30, 2026, compared to 0.20% as of year-end 2025. ACL coverage of non-performing loans increased slightly to 354% as of September 30, 2026 compared to 349% as of year-end 2025. Management views the allowance balance as being sufficient to offset potential future losses in the loan portfolio.

Noninterest Income and Expense

Noninterest income for the third quarter of 2026 increased $112,000, or 5%, to $2,156,000 compared to $2,044,000 for the same quarter of 2025. Pinnacle experienced a $152,000, or 16%, increase in service charges on deposit accounts, including debit card interchange fees, partially offset by a $90,000, or 53%, decrease in fees on sales of mortgage loans in the third quarter of 2026 compared to the same time period in 2025.

Through nine months of 2026, noninterest income increased $4,359,000, or 74%, to $10,233,000 as compared to $5,874,000 for the same time period of 2025. The increase was primarily due to the Bearing Sale along with a $342,000, or 13%, increase in service charges on deposit accounts, including debit card interchange fees, and smaller increases in bank-owned life insurance (BOLI) income, merchant card fees, loan fee income, and commissions derived from investment and insurance sales commissions.

Noninterest expense for the third quarter of 2026 increased $281,000, or 3%, to $8,848,000 compared to $8,567,000 for the same quarter of 2025. Slightly higher operating costs associated with growth of the Company included a $371,000, or 8%, increase in salaries and benefits partially offset by decreases in legal and core system expenses along with the elimination of interest on subordinated debt paid off in 2025.

Though nine months of 2026, noninterest expense increased only $500,000, or 2%, to $26,222,000, compared to $25,722,000 for the same time period of 2025. The increase was mainly due to a $756,000, or 5.5%, increase in salaries and benefits, partially offset by a $386,000 decrease in subordinated debt interest expense, and smaller decreases in audit expense, core system expense, accounting fees, office supplies, and postage.

The Balance Sheet and Liquidity

Total assets as of September 30, 2026, were $1,095,866,000, up 3%, from $1,065,228,000 as of December 31, 2025. The principal components of the Company’s assets as of September 30, 2026, were $772,647,000 in total loans, $184,044,000 in securities, and $82,892,000 in cash and cash equivalents.

Through nine months of 2026, total loans increased $32,319,000, or 4%, from $740,328,000 as of December 31, 2025. Loan growth was challenging through mid-year 2026; however, volume increased $23,700,000, or 3%, during the third quarter.

Securities have increased $31,592,000, or 21%, from $152,452,000 as of December 31, 2025, which was mainly driven by limited loan growth during the first half of the year. The majority of the Company’s securities portfolio is relatively short-term in nature with 40% of the Company’s securities portfolio invested in U.S. Treasuries with an average maturity of 0.86 years with $39,000,000 maturing in the fourth quarter of 2026. The Company’s entire securities portfolio was classified as available for sale on September 30, 2026, which provides transparency regarding unrealized losses. Unrealized losses associated with the available for sale securities portfolio were $11,811,000 as of September 30, 2026, or 6% of book value, compared to $7,452,000 as of December 31, 2025, or 5% of book value.

Cash and cash equivalents as of September 30, 2026, decreased $39,369,000, or 32%, to $82,892,000 from $122,261,000 as of December 31, 2025, primarily due to a $63,911,000 increase in loans and securities compared to a $25,742,000 increase in deposits. The Company experienced a $44,621,000, or 4%, decrease in deposits during the third quarter primarily due to the cyclical nature of its municipal deposits. The Company continued to maintain a strong liquidity ratio of 29% as of September 30, 2026. The liquidity ratio, excluding the available for sale securities portfolio, was 9% providing the opportunity to sell excess funds at an attractive federal funds rate. The Company has access to multiple liquidity lines of credit through its correspondent banking relationships and the Federal Home Loan Bank. None of these contingency funding sources have been utilized over the past year.
Total liabilities as of September 30, 2026, were $1,001,704,000, up $25,884,000, or 2.7%, from $975,820,000 as of December 31, 2025, as deposits increased $25,742,000, or 2.7%, through nine months of 2026 to $997,053,000 from $971,311,000. The Bank retains and acquires customer relationships through utilization of a community bank approach focused on personalized service and ease of business for customers while capitalizing on market disruption caused by further bank consolidation and large national bank branch closures.

Total stockholders’ equity as of September 30, 2026, was $94,162,000 and consisted primarily of $88,559,000 in retained earnings. In comparison, as of December 31, 2025, total stockholders’ equity was $89,408,000. The increase in stockholders’ equity is due mainly to year-to-date 2026 net income offset by dividends paid to shareholders, a repurchase of 70,710 shares of the Company’s stock during the first quarter of 2026, and an increase in the unrealized losses associated with the securities portfolio due to higher interest rates. Both the Company and Bank remain “well capitalized” per all regulatory definitions.

Trends for the 3rd quarter 2026-2027

NACON has already implemented several measures aiming to enhance its profitability and agility. These actions are structured around two axes:

OSS technology qualified for leading enterprise server platform, expanding access to new commercial and datacenter customers and markets

Integrated solution enables enterprise customers to accelerate AI adoption while leveraging existing technology infrastructure

ESCONDIDO, Calif., Oct. 26, 2026 (GLOBE NEWSWIRE) — One Stop Systems, Inc. (OSS or the Company) (Nasdaq: OSS), a leader in high-performance compute and PCIe expansion solutions for artificial intelligence (AI), machine learning (ML), and demanding edge applications, announced today that its flagship Gen5 4UP-MAX expansion system has been qualified for use with a tier 1 global enterprise computing platform provider, expanding the Company’s addressable market and creating new opportunities to support enterprise AI adoption broadly across commercial and datacenter applications.

The qualification represents an important milestone in OSS’s strategy to expand its presence in the enterprise AI market, making its high-performance computing technology available to organizations seeking to integrate advanced AI capabilities into their existing infrastructure.

As businesses move beyond AI experimentation toward broader deployment, demand is growing for computing solutions that can handle increasingly complex workloads while preserving existing technology investments. OSS’s technology addresses this need by enabling enterprise customers to add substantial AI processing capacity to their existing computing environments without the need to replace their core server systems.

Mike Knowles, President and CEO of OSS, said, “This qualification represents an important milestone for OSS and further validates the value of our high-performance computing technology in addressing the rapidly evolving needs of the enterprise AI market. By making our technology available through an established global computing ecosystem, we are expanding our reach into new markets and creating opportunities to support a broader base of enterprise, commercial, and datacenter customers. We believe this development reinforces our strategy to leverage our core technical capabilities across multiple high-growth AI markets.”

At the center of the solution is OSS’s Gen5 4UP-MAX expansion system, which enables enterprise customers to integrate up to eight high-performance, 675W AI accelerators from leading manufacturers directly into their existing server infrastructure, with the flexibility to scale computing capacity by connecting multiple expansion systems to a single server. Designed to support demanding AI workloads, including model training, fine-tuning, and inference, the platform combines substantial computing capacity with advanced data center management capabilities through OSS’s U-BMC technology, providing enhanced system monitoring and control. The solution also supports confidential computing, helping protect sensitive data during AI processing. Advanced power and cooling architectures are designed to support sustained performance under demanding AI workloads. Combined, these capabilities provide organizations with a scalable, secure, and manageable approach to expanding AI computing performance.

Jim Ison, Chief Product Officer of OSS, said, “As enterprises move from experimenting with AI to deploying it across their operations, they need solutions that deliver greater computing power without sacrificing security, reliability, or manageability. Our solution addresses these requirements by combining exceptional processing capacity with the flexibility to scale as customer needs evolve. By integrating high-density acceleration, advanced system management, and purpose-built power and cooling capabilities, we provide a differentiated solution for increasingly demanding enterprise AI applications. This is particularly important for organizations looking to accelerate AI adoption while maximizing their existing infrastructure investments.”
