First Cash Milestone Payment Under 60-Month Enterprise Order Supports Procurement and Build-Out of Dedicated AI Computing Capacity

NEW YORK, NY, Oct. 29, 2026 (GLOBE NEWSWIRE) — Quanome Technologies, Inc. (Nasdaq: QNME) (“Quanome” or the “Company”) today announced that XDT Infrastructure I, LLC (“XDT”), an indirect wholly-owned subsidiary of Quanome, has received its first milestone payment in the amount of US$13.5 million from an enterprise customer. The payment is the first customer payment toward the prepayment disclosed in Quanome’s Current Report on Form 8-K filed on October 5, 2026.

Under the customer agreement, the prepayment is payable in tranches tied to procurement milestones for the servers underlying the customer’s dedicated capacity. XDT intends to apply the prepayment substantially toward the procurement of the servers and the related build-out of the dedicated capacity.

“Receipt of this first customer payment is an important commercial milestone for Quanome and our subsidiary team at XDT,” said Yang Li, CEO of Quanome Technologies. “In a matter of weeks, we have progressed from committing to our initial infrastructure, securing a long-term enterprise order, and receiving customer funding that supports the build-out of dedicated capacity. Our focus now is delivery, deploying the infrastructure, satisfying the remaining conditions and preparing to begin service for our new customer.”

Quanome focuses on opportunities across four strategic pillars: Quantum and AI Systems; Quantum Life Sciences – Molecular Discovery; Advanced Nuclear; and Quantum-Safe Cybersecurity. XDT is the Company’s commercial AI infrastructure initiative within the Quantum and AI Systems pillar. Through XDT, Quanome is developing a managed AI computing business that gives enterprise customers access to dedicated computing capacity to run trained AI models and process new information and generate outputs, all without having to build and operate the underlying infrastructure themselves.

Quanome’s receipt of the US$13.5 million payment marks the next step in XDT’s commercial development. Quanome first announced an approximately US$18.8 million purchase agreement for 32 GPU server units in September 2026. It subsequently entered into a second purchase agreement for an additional 32 GPU server units at an aggregate price of approximately US$18.8 million and announced XDT’s first enterprise customer agreement.

XDT’s initial order with the customer has a 60-month commitment term commencing on the service-ready date and a total commitment value exceeding US$100 million, payable as a fixed monthly commitment fee. The monthly commitment is not reduced for usage below committed levels. Service commencement remains subject to the applicable service-start conditions.

The GPU server units under both purchase agreements are expected to be delivered to a designated data center in the United States, subject to the applicable commercial, supply-chain and operational conditions.

Ends.

Peer-reviewed publication reinforces efzofitimod’s differentiated profile and potential to advance pulmonary sarcoidosis care.

SAN DIEGO, Oct. 29, 2026 (GLOBE NEWSWIRE) —  aTyr Pharma, Inc. (Nasdaq: ATYR) (“aTyr” or the “Company”), a clinical stage biotechnology company engaged in the discovery and development of first-in-class medicines from its proprietary tRNA synthetase platform, today announced the publication of results from the Phase 3 EFZO-FIT™ study of its lead therapeutic candidate, efzofitimod, in patients with pulmonary sarcoidosis, a major form of interstitial lung disease, in The Lancet Respiratory Medicine. The publication, entitled, “Efzofitimod versus placebo in patients with pulmonary sarcoidosis (EFZO-FIT): a multicentre, randomised, double-blind, placebo-controlled, phase 3 trial,” is available on the journal’s website and at: https://www.thelancet.com/journals/lanres/article/PIIS2213-2600(26)00283-3/abstract.

EFZO-FIT™ was a global Phase 3 interventional study in 268 patients with moderate to severe pulmonary sarcoidosis that was designed to address patient and physician needs by investigating the impact of efzofitimod on steroid reduction and key patient-reported outcomes (PROs) through a protocol guided steroid taper.

The trial demonstrated that a large proportion of all patients in the study could be managed with substantially lower doses of steroids for the duration of the intervention. While treatment with efzofitimod did not result in a statistically significant steroid reduction compared to placebo, it did improve multiple PRO measures, which are priority outcomes for patients with sarcoidosis, and was generally well-tolerated.

“The findings from this largest interventional, randomized, controlled trial ever conducted in pulmonary sarcoidosis represent an important advancement in our understanding of how patients can be appropriately managed with steroids and is likely to lead to a paradigm shift in the way that we treat sarcoidosis patients and evaluate new therapies for this patient population in the future,” said Daniel Culver, D.O., Chair of the Division of Pulmonary Medicine at the Cleveland Clinic and lead author of the publication. “There is an urgent need for safe, effective and tolerable treatments for sarcoidosis that have a positive impact on patient quality of life. The study not only demonstrated that a large reduction of steroids was possible in all patients in the study, but remarkably, efzofitimod improved multiple PRO measures, including those specific to sarcoidosis, and warrants further investigation in this patient population.”

“Publication of the EFZO-FIT™ results strengthens the evidence supporting efzofitimod and brings greater visibility to its differentiated clinical profile,” said Sanjay S. Shukla, M.D., M.S., President and Chief Executive Officer of aTyr Pharma. “The improvements across multiple PROs, together with preserved lung function and a favorable safety profile, reinforce our confidence in efzofitimod’s potential and provide a strong foundation for its continued development in pulmonary sarcoidosis.”

About the EFZO-FIT™ Study

EFZO-FIT™ was a global Phase 3 interventional study in 268 patients with moderate to severe pulmonary sarcoidosis that compared the efficacy and safety of efzofitimod at 3.0 mg/kg and 5.0 mg/kg doses versus placebo after 48 weeks of treatment, which included a protocol guided steroid taper in the first 12 weeks of the study, followed by continued taper or rescue until week 48. While the study did not meet its primary endpoint of change from baseline in mean daily oral corticosteroid dose at week 48, clinical benefit for 5.0 mg/kg efzofitimod was observed across multiple pre-specified PROs at week 48 compared to placebo, including the King’s Sarcoidosis Questionnaire (KSQ)-Lung score, Fatigue Assessment Scale score, KSQ-General Health score, and complete steroid withdrawal with KSQ-Lung score improvement. Additionally, treatment with efzofitimod maintained lung function as measured by forced vital capacity and was well-tolerated with a safety profile consistent with prior trials conducted to date.

About Pulmonary Sarcoidosis

Pulmonary sarcoidosis is an inflammatory disease characterized by the formulation of granulomas, clumps of inflammatory cells, in one or more organs of the body. Approximately 160,000 Americans are diagnosed with pulmonary sarcoidosis and the prognosis ranges from benign and self-limiting to chronic, debilitating disease, permanent loss of lung function and death. Current treatment options include corticosteroids and other immunosuppressive therapies, which have limited efficacy and are associated with serious side-effects that many patients cannot tolerate long-term.

About Efzofitimod

Efzofitimod is a novel biologic immunomodulator in clinical development for the treatment of interstitial lung disease (ILD), a group of immune-mediated disorders that can cause inflammation and fibrosis, or scarring, of the lungs. Efzofitimod is a tRNA synthetase derived therapy that selectively modulates activated myeloid cells through neuropilin-2 to resolve inflammation without immune suppression and potentially prevent the progression of fibrosis. Efzofitimod is currently being investigated in the Phase 2 EFZO-CONNECT™ study in patients with systemic sclerosis (SSc, or scleroderma)-related ILD,   and aTyr recently initiated study-related activities for a global Phase 3 study of efzofitimod in patients with pulmonary sarcoidosis, a major form of ILD. These forms of ILD have limited therapeutic options and there is a need for safer and more effective, disease-modifying treatments that improve outcomes.

About aTyr

aTyr is a clinical stage biotechnology company leveraging evolutionary intelligence to translate tRNA synthetase biology into new therapies for fibrosis and inflammation. tRNA synthetases are ancient, essential proteins that have evolved novel domains that regulate diverse pathways extracellularly in humans. aTyr’s discovery platform is focused on unlocking hidden therapeutic intervention points by uncovering signaling pathways driven by its proprietary library of domains derived from all 20 tRNA synthetases. aTyr’s lead therapeutic candidate is efzofitimod, a novel biologic immunomodulator in clinical development for the treatment of interstitial lung disease, a group of immune-mediated disorders that can cause inflammation and progressive fibrosis, or scarring, of the lungs. Creating a Proof of Concept for R3ALM’s Tokenization Business Model

  • STRATEGIC INVESTMENT OPTION INTO COIN AGE ENTERTAINMENT
  • STRATEGIC INVESTMENT OPTION INTO BLOODLINE KILLERS 2
  • STRATEGIC INVESTMENT OPTION INTO FINAL STAY MOVIE TOKEN
  • DEVELOPED NEW ECOMMERCE PLATFORM ADVANCING R3ALM INTO FILM PRODUCTION AND AI-POWERED COMMERCE COMPLETE WITH DIGITAL CURRENCY

BOSTON, MA, Oct. 29, 2026 (GLOBE NEWSWIRE) — Vystar Corporation (OTCQB: VYST) today announced that it has purchased an option in Coin Age Entertainment, Inc., allowing for the acquisition of up to a 20% equity interest at an agreed company valuation of $2.5 million. This investment into film production and AI-Powered commerce creates a Proof of Concept for R3ALM’s Tokenization Business Model, Stated Jamie Rotman CEO of Vystar.

Vystar has partnered with Coin Age Entertainment to implement a first of its kind Token for movies and AI-Powered ecommerce platform. FSMT (Final Stay Movie Token) is currently trading at a 4X appreciation with approximately a $2 million market cap.

Alongside the investment, Vystar, and some of its larger shareholders and Coin Age Entertainment have signed a separate commercial option agreement covering the motion picture Bloodline Killers 2. This is a unique opportunity backed by refundable film and television state tax credits.

Vystar was happy to offer a percentage of its allocation to some of its bigger shareholders and hopes to continue to do so with future projects. It allows Vystar to deploy larger investment capital, without constraining cash flow or raising equity dollars, Stated Jamie Rotman, CEO of Vystar

The investment follows Vystar’s acquisition of a 50% interest in R3ALM, Inc. It is the company’s next step in moving R3ALM’s technology from development to commercial use.

From Concept to Commercial Application

Through Coin Age, Vystar intends to demonstrate how R3ALM’s artificial intelligence and commercial infrastructure can support each stage of a film’s life: creative development, financing support, marketing, merchandising, distribution and audience engagement.

R3ALM is not building a collection of separate tools. Its aim is a single platform that can serve one production after another, and many entertainment companies at once. One of Vystar’s partners and Coin Age’s principals, currently has a three-year co-financing deal with a major studio and has completed over 70 films, including National Lampoons Christmas Vacation where he was CEO and Chairman.

The strategy is straightforward: build a working commercial model, prove its value, and offer that model to the wider entertainment industry, Stated Jamie Rotman CEO of Vystar.

A Platform Built for Repeated Use

Every film needs financing, marketing, merchandise, distribution and intellectual property services. Those needs recur with each new production.

R3ALM intends to meet them through one common technology base, supported by its A.E.G.I.S. governed-intelligence architecture.

The opportunity is not limited to sharing in a film’s box office success. It includes steady revenue from services provided over the life of each production, repeated across many projects.

Vystar’s stake in Coin Age and its ownership interest in R3ALM give the company two sources of potential return: investment gains from entertainment, and service revenue from technology.

The objective is not simply to finance or promote movies. It is to build a business that serves the companies making them.

Vystar will provide further updates on the contracts specifics and as R3ALM’s commercial applications are developed and put into use into film and other industries. These include; Token and Social Media Websites, Artist and/or Movie ticketing packages, fan experiences, travel packages, mobile fan club, merchandise, One of a Kind, Collectibles and Memorabilia, advertising and sponsorship activities.

Key Highlights

  • Fourth quarter revenue increased 22% year-over-year to $22.7 million, and 23% sequentially from Q3. Fiscal 2026 revenue was $75.3 million, compared to $76.5 million in fiscal 2025, which included a single $10.4 million Security technology sale.
  • Fourth quarter gross margin was 46.3%, compared to 38.0% in the prior-year fourth quarter and 41.7% in Q3.
  • Fourth quarter operating income was $1.4 million, compared to operating losses of $1.2 million in both the prior-year fourth quarter and Q3, and includes a $0.5 million non-cash gain from the release of contingent consideration related to the Plant Engineering Services acquisition. Fiscal 2026 operating loss was $4.8 million, compared to operating income of $0.5 million in fiscal 2025.
  • Fourth quarter Operating EBITDA was $1.9 million, compared to a loss of $0.6 million in Q3 and a loss of $0.8 million in the prior-year fourth quarter. Fiscal 2026 Operating EBITDA was a loss of $2.8 million, compared to $1.9 million in fiscal 2025. Operating EBITDA is a non-GAAP measure defined and reconciled below.
  • Completed three acquisitions during fiscal 2026: Invocon (January), Richland Industrial, now AIS Tennessee (February), and Plant Engineering Services (July). An additional Industrial Services acquisition is under letter of intent.
  • At September 30, 2026, stockholders’ equity was $35.7 million, compared to $8.7 million a year earlier; working capital was $10.6 million, compared to $5.2 million; and warrant liabilities were $2.8 million, compared to $8.7 million.

Management Commentary

Cemtrex Chairman and CEO, Saagar Govil, commented on the results:

“The fourth quarter continued the sequential improvement we have reported through the year. Operating results moved from an operating loss of $2.8 million in the first quarter to operating income of $1.4 million in the fourth, with revenue up 22% year-over-year and gross margin of 46%. The Security segment, now operating on the cost base established in January, was the largest contributor.

Fiscal 2026 was a year of building the platform. We completed three acquisitions, established the Aerospace & Defense segment, grew Industrial Services revenue 11%, and restructured the Security business from a $4.4 million operating loss in the first half of the year to $2.0 million of operating income in the second half. Cost optimization at AIS Tennessee, which is expected to conclude in fiscal 2027, and the milestone-driven timing of Invocon’s revenue weighed on results in the fourth quarter, as we have discussed in prior periods. We remain under letter of intent on an additional Industrial Services acquisition.”

Segment Results

Security. Fourth quarter revenue was $10.8 million, an increase of 28% from the prior-year fourth quarter and 71% sequentially from Q3, with gross margin of 53% and segment operating income of $2.3 million, compared to a segment operating loss of $0.3 million in Q3. Results include approximately $0.8 million of tariff refunds recognized during the quarter; excluding the refunds, segment operating income was approximately $1.5 million. For fiscal 2026, Security revenue was $28.3 million and the segment operating loss was $2.3 million, consisting of a $4.4 million loss in the first half of the year and $2.0 million of operating income in the second half.

Industrial Services. Fourth quarter revenue was $10.8 million, an increase of 6% year-over-year, with gross margin of 35% and segment operating income of $0.2 million, compared to a segment operating loss of $0.7 million in Q3. Plant Engineering Services, acquired July 1, 2026, contributed $1.2 million of revenue in its first quarter at approximately breakeven. AIS Tennessee incurred an operating loss of approximately $0.9 million in the quarter; cost optimization at the operation has been underway and is expected to conclude in fiscal 2027. The $0.5 million release of contingent consideration related to the Plant Engineering Services acquisition is not included in Industrial Services segment operating income and is shown as a separate line in the segment table below. For fiscal 2026, Industrial Services revenue increased 11% to $42.4 million and segment operating income was $1.6 million.

Aerospace & Defense. Fourth quarter revenue was $1.1 million with a segment operating loss of $0.2 million, compared to revenue of $2.2 million and segment operating income of $1.0 million in Q3, reflecting the timing of program milestones following a milestone-heavy third quarter. From the January 8, 2026 acquisition date through September 30, 2026, the segment generated $4.5 million of revenue and $0.4 million of segment operating income, with .4 million of amortization costs included.

Non-GAAP Financial Measure: Operating EBITDA

The Company presents Operating EBITDA as a primary measure of operating performance. Operating EBITDA is defined as operating income (loss) before depreciation and amortization. Management believes this measure reflects the performance of the Company’s operating businesses without the effects of financing activities and other non-operating items, and provides investors with a consistent basis for evaluating operating trends across periods. Operating EBITDA is a non-GAAP financial measure and should be considered in addition to, and not as a substitute for, operating income (loss), net income (loss), or other measures prepared in accordance with GAAP. The following table reconciles Operating EBITDA to operating income (loss), the most directly comparable GAAP measure:

  Q4 FY2026 Q4 FY2025 Q3 FY2026 FY2026 FY2025
Operating income (loss) $ 1,358,863 $ (1,183,161 ) $ (1,193,142 ) $ (4,812,476 ) $ 509,826

Operating EBITDA $ 1,936,535 $ (788,553 ) $ (611,491 ) $ (2,814,007 ) $ 1,865,364

Additional details will be available in the Company’s Annual Report on Form 10-K to be filed with the Securities and Exchange Commission.
