  • Fourth quarter gross margin was 46.3%, compared to 38.0% in the prior-year fourth quarter and 41.7% in Q3.
  • Fourth quarter operating income was $1.4 million, compared to operating losses of $1.2 million in both the prior-year fourth quarter and Q3, and includes a $0.5 million non-cash gain from the release of contingent consideration related to the Plant Engineering Services acquisition. Fiscal 2026 operating loss was $4.8 million, compared to operating income of $0.5 million in fiscal 2025.
  • Fourth quarter Operating EBITDA was $1.9 million, compared to a loss of $0.6 million in Q3 and a loss of $0.8 million in the prior-year fourth quarter. Fiscal 2026 Operating EBITDA was a loss of $2.8 million, compared to $1.9 million in fiscal 2025. Operating EBITDA is a non-GAAP measure defined and reconciled below.
  • Completed three acquisitions during fiscal 2026: Invocon (January), Richland Industrial, now AIS Tennessee (February), and Plant Engineering Services (July). An additional Industrial Services acquisition is under letter of intent.
  • At September 30, 2026, stockholders’ equity was $35.7 million, compared to $8.7 million a year earlier; working capital was $10.6 million, compared to $5.2 million; and warrant liabilities were $2.8 million, compared to $8.7 million.

Management Commentary

Cemtrex Chairman and CEO, Saagar Govil, commented on the results:

“The fourth quarter continued the sequential improvement we have reported through the year. Operating results moved from an operating loss of $2.8 million in the first quarter to operating income of $1.4 million in the fourth, with revenue up 22% year-over-year and gross margin of 46%. The Security segment, now operating on the cost base established in January, was the largest contributor.

Fiscal 2026 was a year of building the platform. We completed three acquisitions, established the Aerospace & Defense segment, grew Industrial Services revenue 11%, and restructured the Security business from a $4.4 million operating loss in the first half of the year to $2.0 million of operating income in the second half. Cost optimization at AIS Tennessee, which is expected to conclude in fiscal 2027, and the milestone-driven timing of Invocon’s revenue weighed on results in the fourth quarter, as we have discussed in prior periods. We remain under letter of intent on an additional Industrial Services acquisition.”

Segment Results

Security. Fourth quarter revenue was $10.8 million, an increase of 28% from the prior-year fourth quarter and 71% sequentially from Q3, with gross margin of 53% and segment operating income of $2.3 million, compared to a segment operating loss of $0.3 million in Q3. Results include approximately $0.8 million of tariff refunds recognized during the quarter; excluding the refunds, segment operating income was approximately $1.5 million. For fiscal 2026, Security revenue was $28.3 million and the segment operating loss was $2.3 million, consisting of a $4.4 million loss in the first half of the year and $2.0 million of operating income in the second half.

Industrial Services. Fourth quarter revenue was $10.8 million, an increase of 6% year-over-year, with gross margin of 35% and segment operating income of $0.2 million, compared to a segment operating loss of $0.7 million in Q3. Plant Engineering Services, acquired July 1, 2026, contributed $1.2 million of revenue in its first quarter at approximately breakeven. AIS Tennessee incurred an operating loss of approximately $0.9 million in the quarter; cost optimization at the operation has been underway and is expected to conclude in fiscal 2027. The $0.5 million release of contingent consideration related to the Plant Engineering Services acquisition is not included in Industrial Services segment operating income and is shown as a separate line in the segment table below. For fiscal 2026, Industrial Services revenue increased 11% to $42.4 million and segment operating income was $1.6 million.

Aerospace & Defense. Fourth quarter revenue was $1.1 million with a segment operating loss of $0.2 million, compared to revenue of $2.2 million and segment operating income of $1.0 million in Q3, reflecting the timing of program milestones following a milestone-heavy third quarter. From the January 8, 2026 acquisition date through September 30, 2026, the segment generated $4.5 million of revenue and $0.4 million of segment operating income, with .4 million of amortization costs included.

The Company presents Operating EBITDA as a primary measure of operating performance. Operating EBITDA is defined as operating income (loss) before depreciation and amortization. Operating EBITDA is a non-GAAP financial measure and should be considered in addition to, and not as a substitute for, operating income (loss), net income (loss), or other measures prepared in accordance with GAAP. The following table reconciles Operating EBITDA to operating income (loss), the most directly comparable GAAP measure:

  Q4 FY2026 Q4 FY2025 Q3 FY2026 FY2026 FY2025
Operating income (loss) $ 1,358,863 $ (1,183,161 ) $ (1,193,142 ) $ (4,812,476 ) $ 509,826

Additional details will be available in the Company’s Annual Report on Form 10-K to be filed with the Securities and Exchange Commission.

New AI Usage Consent Module supports varying state disclosure and consent requirements, helping enterprises adopt AI in hiring with greater confidence across the United States

NEW YORK, Oct. 29, 2026 (GLOBE NEWSWIRE) — Fusemachines Inc. (NASDAQ: FUSE) (“Fusemachines” or the “Company”), a leading provider of enterprise AI products and services, today announced the rollout of compliance features in HireFoundry.ai, including a new AI Usage Consent Module designed to help enterprises navigate evolving state requirements for AI use in hiring. The features bring candidate disclosures, adaptable consent workflows and controls over AI participation into the interview experience, helping reduce compliance complexity for enterprises hiring across all 50 states.

As states introduce and revise rules governing AI in employment, enterprises face a growing patchwork of requirements around candidate notification, consent and the collection and analysis of interview data. Employers cannot rely on a single nationwide consent standard that resolves every hiring use case. Requirements differ by jurisdiction, the technology used and its role in the hiring process, creating a challenging legal and operational landscape for organizations recruiting across state lines.

HireFoundry.ai’s AI Usage Consent Module helps enterprises address these differences through a unified workflow that supports varying levels of disclosure and consent based on applicable state requirements and employer policies. The module is designed to help organizations explain AI’s role, obtain candidate consent before Interview Agent participates and honor a candidate’s decision to proceed without it.

“Enterprises should be able to focus on finding the right talent without having to build a separate AI consent process for every state where they hire,” said Giovanni Lemus, Vice President of Product at Fusemachines. “We are bringing adaptable disclosure and consent workflows into HireFoundry.ai to reduce that operational burden, strengthen compliance practices and give employers greater confidence as they adopt AI across their hiring operations.”

Candidates enter through a company-branded page explaining Interview Agent’s participation and presenting the applicable disclosures and consent choices. If a candidate declines, the interview continues directly with the recruiter, and Interview Agent does not join, listen to, transcribe or analyze the call.

The module is part of Fusemachines’ broader rollout of features that support responsible AI use in hiring, including candidate-facing transparency, explicit opt-in controls and recruiter oversight. Together, these capabilities help enterprises establish a consistent approach to AI-assisted interviews while accommodating differences in applicable requirements.

“Candidate choice needs to control what the technology actually does,” said Anish Joshi, Head of Technology at Fusemachines. “With Interview Agent, declining consent means the agent does not participate in the interview. By connecting disclosures and consent directly to AI participation, we help enterprises put their governance policies into practice while preserving a natural conversation between recruiters and candidates.”

When candidates opt in, Interview Agent uses their answers, role requirements and company context to recommend follow-up questions in real time. Recruiters can explore competencies and clarify incomplete answers while candidates are still present to respond. Recruiters choose what to ask and remain responsible for candidate assessments and hiring decisions.

By embedding these safeguards into the hiring workflow, HireFoundry.ai helps enterprises strengthen compliance and reduce the administrative burden of adopting AI nationwide. The features support employers’ broader compliance programs; applicable obligations may also include privacy protections, nondiscrimination requirements, audits and other safeguards beyond consent.

Notes Regarding Non-GAAP Financial Information

In addition to our results reported in accordance with generally accepted accounting principles in the United States of America (“GAAP”), we provide adjusted net income, adjusted EPS, earnings before interest, taxes, depreciation and amortization (“EBITDA”), adjusted EBITDA, adjusted operating income, and organic sales change. Unless otherwise indicated, all financial metrics presented reflect continuing operations only.

Adjusted net income and adjusted EPS consist of GAAP income (loss) from continuing operations and diluted EPS from continuing operations, respectively, adjusted for the following to the extent occurring during the period: (i) amortization of intangible assets, (ii) certain legal expenses; (iii) restructuring and restructuring-related charges; (iv) acquisition and integration costs; (v) other general expenses; (vi) ERP implementation, (vii) (gain) loss on equity investments; (viii) extinguishment of debt charges, (ix) debt conversion inducement expense; (x) European Union medical device regulation incremental charges; (xi) inventory step-up amortization; (xii) unusual, or infrequently occurring items; (xiii) the income tax provision (benefit) related to these adjustments and (xiv) certain tax items that are outside the normal tax provision for the period. Adjusted EPS is calculated by dividing adjusted net income by adjusted weighted average shares.

The weighted average shares used to calculate diluted EPS in accordance with GAAP includes dilution, when applicable, resulting from the potential conversion of our 2028 Convertible Notes and 2030 Convertible Notes (collectively, the “Convertible Notes”).  In connection with the issuance of the Convertible Notes, we entered into capped call contracts which are expected to reduce the potential dilution on our common stock in connection with any conversion of the Convertible Notes, subject to a cap.  Adjusted weighted average shares consists of GAAP weighted average shares used to calculate diluted EPS, including, when applicable, dilutive common stock equivalents that were excluded from weighted average shares used to calculate diluted EPS as their inclusion would be anti-dilutive and excluding, when applicable, dilution resulting from the potential conversion of our Convertible Notes expected to be offset by the capped call contracts.

EBITDA is calculated by adding back interest expense, provision for income taxes, depreciation expense, and amortization expense from intangible assets and financing leases, to income (loss) from continuing operations, which is the most directly comparable GAAP financial measure. Adjusted EBITDA consists of EBITDA plus adding back stock-based compensation and the same adjustments as listed above except for items (i), (viii), (xiii) and (xiv). Adjusted operating income consists of operating income adjusted for the same items listed above except for items (vii), (viii), (ix), (xiii) and (xiv).

Organic sales change is reported sales growth adjusted to remove the impact of foreign currency, the contribution of acquisitions and the strategic exit of the Portable Medical market. To calculate the impact of foreign currency on sales growth rates, we convert any sale made in a foreign currency by converting current period sales into prior period sales using the exchange rate in effect at that time and then compare the two, negating any effect foreign currency had on our transactional revenue. For contribution of acquisitions, we exclude the impact on the growth rate attributable to the contribution of acquisitions in all periods where there were no comparable sales. For the strategic exit of the Portable Medical market, we exclude the impact on the growth rate attributable to Portable Medical sales for all periods presented.

We believe that the presentation of adjusted net income, adjusted EPS, EBITDA, adjusted EBITDA, adjusted operating income, and organic sales change, provides important supplemental information to management and investors seeking to understand the financial and business trends relating to our financial condition and results of operations. In addition to the performance measures identified above, we believe that net total debt and leverage ratio provide meaningful measures of liquidity and a useful basis for assessing our ability to fund our activities, including the financing of acquisitions and debt repayments. Net total debt is calculated as total principal amount of debt outstanding less cash and cash equivalents. We calculate leverage ratio as net total debt divided by adjusted EBITDA for the trailing 4 quarters.

Cautionary Statement Regarding Forward-Looking Statements

We have based these forward-looking statements on our current expectations, and these statements are subject to known and unknown risks, uncertainties and assumptions. Forward-looking statements include, but are not limited to, statements relating to: the completion of the Transaction on anticipated terms and timing, or at all, including obtaining regulatory approvals and satisfying other conditions to the completion of the Transaction; potential litigation relating to the Transaction that has been or could be instituted against the parties to the Merger Agreement, or their respective directors, managers, or officers, including the effects of any outcomes related thereto; our goals, plans, and strategic initiatives; long-term growth prospects; maximizing value for our stockholders; other events, conditions or developments that will or may occur in the future; and the timing of any of the foregoing. You can identify forward-looking statements by terminology such as “may,” “will,” “should,” “could,” “expects,” “intends,” “plans,” “anticipates,” “believes,” “estimates,” “predicts,” “projects,” “forecast,” “outlook,” “assume,” “potential” or “continue” or variations or the negative counterparts of these terms or other comparable terminology. These statements are only predictions and are not guarantees of future performance, and investors should not place undue reliance on forward-looking statements as predictive of future results. Actual events or results may differ materially from those stated or implied by these forward-looking statements. In evaluating these statements and our prospects, you should carefully consider the factors set forth below. All forward-looking statements attributable to us or persons acting on our behalf are expressly qualified in their entirety by these cautionary factors and by others contained throughout this communication.

Forward-looking statements by their nature address matters that are, to different degrees, uncertain, such as statements regarding the Transaction. All such forward-looking statements are based upon current plans, estimates, expectations, opportunities and ambitions that are subject to risks, uncertainties, assumptions, and other important factors, many of which are beyond the control of the Company, that could cause actual results to differ materially from those expressed in such forward-looking statements. Key factors that could cause actual results to differ materially include, but are not limited to, the expected timing and likelihood of completion of the Transaction, including the timing, receipt and terms and conditions of any required governmental and regulatory approvals; the occurrence of any event, change or other circumstances that could give rise to the termination of the Transaction; the risk that the parties may not be able to satisfy the conditions to the Transaction in a timely manner or at all; risks related to disruption of management time from ongoing business operations due to the Transaction; the risk that any announcements relating to the Transaction could have adverse effects on the market price of the Company’s common stock; the risk that the Transaction and its announcement could have an adverse effect on the parties’ business relationships and business generally, including the ability of the Company to retain customers and retain and hire key personnel and maintain relationships with their suppliers and customers, and on their operating results and businesses generally; the risk of unforeseen or unknown liabilities; customer, regulatory and other stakeholder approvals and support; the risk of unexpected future capital expenditures; the risk of potential litigation relating to the Transaction that has been or could be instituted against the Company or its directors and/or officers; the risk associated with third-party contracts containing material consent, anti-assignment, transfer or other provisions that may be related to the Transaction which are not waived or otherwise satisfactorily resolved; significant costs, or expenses incurred in connection with the Transaction; Parent’s ability to obtain the necessary financing arrangements set forth in the commitment letters received in connection with the Transaction; certain restrictions contained in the Merger Agreement that may impact the Company’s ability to pursue certain business opportunities or strategic transactions; the risk of various events that could disrupt operations, including pandemics, epidemics or other public health crises or severe weather (such as droughts, floods, avalanches and earthquakes), cybersecurity attacks, security threats and governmental response to them, and technological changes; the risks of labor disputes, changes in labor costs and labor difficulties; and the risks resulting from other effects of industry, market, economic, legal or legislative, political or regulatory conditions outside of the Company’s control. All such factors are difficult to predict and are beyond our control, including those detailed in the Company’s Annual Report on Form 10-K for the fiscal year ended December 31, 2025, which was filed with the Securities and Exchange Commission (the “SEC”) on February 23, 2026, the Company’s Quarterly Report on Form 10-Q for the fiscal quarter ended July 3, 2026, which was filed with the SEC on August 4, 2026, the Company’s definitive proxy statement filed with the SEC on September 14, 2026, as supplemented, and other documents subsequently filed by the Company with the SEC. The Company’s forward-looking statements are based on assumptions that the Company believes to be reasonable but that may not prove to be accurate. Other unpredictable factors not discussed in this communication could also have material adverse effects on forward-looking statements. The Company does not assume an obligation to update any forward-looking statements, except as required by applicable law. These forward-looking statements speak only as of the date hereof.

(b)  The difference between pre-tax and net of tax amounts is the estimated tax impact related to the respective adjustment. Net of tax amounts are computed using a 21% U.S. tax rate, and the statutory tax rates applicable in foreign tax jurisdictions, as adjusted for the existence of net operating losses (“NOLs”). Expenses that are not deductible for tax purposes (i.e. permanent tax differences) are added back at 100%.
(c)  Certain legal expenses associated with non-ordinary course legal matters. Amounts for the third quarter and first nine months of 2026 include $0.7 million and $2.5 million, respectively, of expense incurred in connection with the Company’s defense of a securities class action lawsuit.
(d) We initiate discrete restructuring programs primarily to realign resources to better serve our customers and markets, improve operational efficiency and capabilities, and lower operating costs or improve profitability. Depending on the program, restructuring charges may include termination benefits, contract termination, facility closure and other exit and disposal costs. Restructuring-related expenses are directly related to the program and may include retention bonuses, accelerated depreciation, consulting expense and costs to transfer manufacturing operations among our facilities. Amounts for the third quarter and first nine months of 2026 include $2.2 million and $5.0 million, respectively, relating to our global manufacturing alignment restructuring initiative. In addition, the third quarter and first nine months of 2026 includes $0.6 million and $3.0 million, respectively, related to an organizational realignment to enhance execution of our strategy through dedicated focus on growth and operational excellence.
(e) Acquisition and integration costs are incremental costs that are directly related to a business or asset acquisition. These costs may include, among other things, professional, consulting and other fees, system integration costs, and fair value adjustments relating to contingent consideration.
(f)  Other general expenses are discrete transactions occurring sporadically and affect period-over-period comparisons. The Company recorded fixed asset impairment charges during the third quarter and first nine months of 2026 of $1.2 million and $7.1 million, respectively, which were primarily due to revised expectations regarding the future use of certain fixed assets, and expense of $2.9 million and $4.4 million, respectively, related to termination benefits from actions to align labor with manufacturing volumes. The third quarter and first nine months of 2025 include $6.2 million related to termination benefits from actions to align labor with manufacturing volumes.
(g)  These adjustments represent direct and incremental costs incurred in connection with our implementation of a new global enterprise resource planning (“ERP”) solution and related IT transition costs. An implementation of this scale is a significant undertaking and will require substantial time and attention of management and key employees. The associated costs do not represent normal and recurring operating expenses and will be inconsistent in amounts and frequency making it difficult to contribute to a meaningful evaluation of our operating performance. Expenses for 2026 were primarily included in SG&A.
(h)  Amounts reflect our share of equity method investee (gains) losses including unrealized appreciation/depreciation of the underlying interests of the investee.
(i)  The charges represent incremental costs of complying with European Union medical device regulations for previously registered products and primarily include charges for contractors supporting the project and other direct third-party expenses.
(j)   Other adjustments include costs which impact period-to-period comparability and do not represent the underlying ongoing results of our business. For 2025 and 2026, amounts include costs associated with leadership transitions, strategic projects, a stockholder activist matter, the Company’s strategic review and the Transaction, and a cyber incident. Other adjustments includes the following expenses (in millions):

Four winners each receive $45,000 and a full year of expert small-business services

Fund Her Future

KANSAS CITY, Mo., Oct. 29, 2026 (GLOBE NEWSWIRE) — The women building businesses across America are growing, but most are doing it alone. A survey1 from H&R Block’s Fund Her Future grant program found that more than half launched their companies with no mentor and no support network, and that even as they embrace AI for everyday tasks, they draw a hard line at trusting it alone with their money.

The findings, drawn from the Fund Her Future applicant data, center on a single theme: entrepreneurs want human connection. They want mentors and financial experts in their corner.

H&R Block today announced the four 2026 winners of Fund Her Future, an initiative that provides funding, financial services and programming to business owners. Kate H., Vermont; Yasmine B., California; DeJanae P., Texas; Harleen C., New York, were selected from more than 6,000 applicants and awarded a $45,000 grant and a full year of small-business services from H&R Block experts. These winners were selected because of the impact they are making on their communities, and their need for both financial support and business expertise to take their businesses to the next growth stage.

Beyond the four grant recipients, H&R Block is offering every applicant a $1,000 voucher to use toward any H&R Block small-business service. This includes tax preparation, bookkeeping, payroll, and totals more than $6.3 million in free services across all 6,379 applicants.

Programs like this, which invest in female business owners, are significant because women who want to start businesses face systemic barriers to capital, receiving just 2% of global venture funding.2 Investing in female-owned businesses delivers outsized economic and social returns, as women consistently reinvest in their families and communities.

“Female small-business owners are growing, but too many are doing it without the capital, mentorship, and financial expertise they need to truly thrive,” said John Thompson, vice president of financial services and small business at H&R Block. “We go beyond funding, by providing the human support and professional services our research shows they want.”

The data1 makes clear why that human element matters:

  • They’re starting alone, without mentors: 54% of female business owners started their companies entirely on their own, with no mentor or support network. Only 12% had a formal mentor when launching. The gap is structural, not a lack of desire: 20% did not have a network of other entrepreneurs, and 15% did not know how to find a mentor. It is a theme that runs through the applicants.
  • They want capital and financial expertise: 79% want access to capital and funding connections, the single most requested form of support. 62% want access to financial experts such as tax professionals and bookkeepers. Yet 52% currently manage their business finances entirely by hand, and 38% have never worked with a tax advisor, bookkeeper or payroll provider.
  • They’re embracing AI, but not for finances: 79% of female business owners are already using or testing AI, and 77% expect it to help their business. While they trust AI for customer-facing tasks, they do not trust AI for financial projects. Just 7% trust AI for payroll. The finding underscores why Fund Her Future focuses on pairing grants with real people, and not just technology.

The economic backdrop gives the findings urgency with 64% of female business owners saying their business is growing and they anticipate expansion. Yet 66% reported prior-year revenue under $100,000, and one-third are pre-revenue or earning less than $25,000. Fund Her Future’s $45,000 grant gives winners the capital to bridge that gap, while the year of professional services addresses the human support the data shows they want most.

2026 Fund Her Future Winners

Kate H. is the founder of BirdieBlue, a brand that upcycles retired ski and snowboard gear into one-of-a-kind bags and accessories. By giving discarded mountain equipment a second life, Kate is building a sustainable business rooted in creativity and environmental stewardship.

Yasmine B. is the founder of Hayati Goods, a modern Arabic food brand offering premium Palestinian za’atar spice blends. Her product brings authentic flavors and cultural heritage to kitchens across the country while celebrating the rich traditions of Palestinian cuisine.

DeJanae P. is the founder of Dotted, a company offering non-toxic feminine care products and a reproductive health app designed for women navigating conditions like polyendocrine metabolic ovarian syndrome, formerly knowns as PCOS, and endometriosis. Her business is filling a critical gap in women’s health with products and technology built by and for the people who use them.

Harleen C. is the founder of Harleen Kauer, a size-inclusive and ethically produced fashion brand creating modern Indo-Western clothing, from bridal lehengas to everyday kurtas. Her designs blend South Asian craftsmanship with contemporary silhouettes, offering women culturally resonant apparel for every occasion.

For these four founders, the year ahead is about more than a grant check. It is about having someone to call when the books don’t balance, when a hiring decision looms, or when a product line is ready to scale. It is the human connection that 6,379 applicants said they wanted, and that Fund Her Future was built to provide.

Topsoe continues to deliver engineering materials on schedule and on budget,
advancing integrated FEED for production of sustainable aviation fuel,
renewable diesel and chemicals

HOUSTON, TX, Oct. 29, 2026 (GLOBE NEWSWIRE) — Abundia Global Impact Group, Inc. (NYSE American: AGIG) (“Abundia” or the “Company”), today provided an update on the previously announced engineering partnership with Topsoe using their HydroFlex® upgrading technology for the Company’s first waste plastics-to-renewable fuels and chemicals facility at Cedar Port.

“We are pleased to provide shareholders with an update on the continued progress the Company has made over recent months on its engineering pack and to highlight Topsoe’s consistent delivery of critical information as we progress our Cedar Port facility toward commercialization,” said Joseph Gasik, Chief Operating Officer of Abundia. “Given Topsoe’s status and reputation within the industry, it should come as no surprise that they continue to deliver on schedule and within budget. We are now advancing the integration of technologies into a comprehensive FEED package. This progress reflects the disciplined execution of our development strategy and brings us another step closer to final investment approval (FIA).”

In March 2026, Abundia announced its partnership with Topsoe, a leading global provider of energy transition technologies, for the deployment of Topsoe’s HydroFlex® upgrading technology as a key component of its planned Cedar Port facility. Building on that partnership, Abundia is pleased to report Topsoe has met all deliverables due to date, delivering critical engineering materials for its HydroFlex® upgrading technology including the first issue of piping and instrumentation diagrams (P&IDs), material selection diagrams (MSDs), and equipment lists. Delivery of these materials represents an important advancement in the engineering design package and provides the technical foundation for progressing the full Front-End-Engineering Design (FEED) for Abundia’s integrated technology solution.

The planned 80,000-ton-per-annum facility is being designed to convert waste plastics into high-value, commercial-grade products, including sustainable aviation fuel (SAF), renewable diesel, and naphtha, by combining Alterra Energy’s proprietary plastics liquefaction technology with Topsoe’s HydroFlex® upgrading platform. The integrated FEED program is being advanced with Burns & McDonnell as FEED engineering partner and Nexus PMG as Owner’s Engineer, providing the engineering foundation for subsequent project execution, procurement, and ultimately, final investment approval.

Memberships now available to all new and existing customers at $14 per month or $99 per year

Restaurant.com gift cards purchased by businesses now convert directly into membership, extending the Company’s corporate channel into continuing member relationships

Certificates purchased before the transition remain valid and do not expire

SCHAUMBURG, IL, Oct. 29, 2026 (GLOBE NEWSWIRE) — Giftify, Inc. (Nasdaq: GIFT) (the “Company”), the owner and operator of CardCash.com and Restaurant.com, and a leader in the incentives and rewards industry, today announced that Restaurant.com, the nation’s largest restaurant-focused digital deals brand, has completed its transition to a membership-based model, effective October 27, 2026, as previously announced. Restaurant.com Membership is available now at $14 per month or $99 per year.

Active members can now access offers at participating restaurants without purchasing them individually, subject to each restaurant’s offer terms. Memberships are also available to be purchased as a gift.

Restaurant.com gift cards purchased by businesses for customer acquisition, loyalty programs, market research, employee recognition and customer promotions now convert directly into membership. Membership length will be determined by the denomination of the card provided to the recipient and will scale with value.

How businesses purchase is unchanged, but recipients now enter an ongoing membership relationship with Restaurant.com rather than a single transaction. For Giftify, this extends an established corporate channel into the membership base:

  • business purchases now originate continuing member relationships;
  • recipients receive access for the full membership term rather than a fixed amount of value to spend down; and
  • Giftify gains an additional path to membership growth alongside direct consumer subscriptions.

Certificates purchased before the transition are unaffected and do not expire. Customers may continue to use them whether or not they become members or exchange an unused certificate for account points, which apply as a credit toward a membership. Redemption at participating restaurants is unchanged, and no change was required of restaurant partners.

“When we announced this plan, we said Restaurant.com would move to membership on October 27, and it did,” said Ketan Thakker, Chief Executive Officer of Giftify, Inc. “What we find most compelling is what membership does to the business side of Restaurant.com. Companies have been buying Restaurant.com for their customers and employees for years. Those purchases now begin a continuing relationship with a member rather than ending once the value is spent, which is a stronger benefit for our business customers and a different kind of asset for us.”

“Our goal on day one was that nothing our customers already held would be worth less, and nothing our restaurants do at the table would change,” said Thomas Butt, Chief Technology Officer of Giftify, Inc. “Certificates purchased before the transition keep working and do not expire, redemption works the way it always has, and members now have access to the offers at our participating restaurants for as long as they remain members. The transition was completed on schedule using our existing resources.”

Restaurant.com Membership is available now. For more information, visit www.restaurant.com.
