ICG Enterprise Trust plc (the “Company”)

18 September 2026

Transaction in Own Shares

The Company announces that on 17 September 2026 it bought back 15,000 of its own shares under the long-term buyback programme, to be held as treasury shares, at an average price of 1411 pence per share.

Further details are set out below:

  • Number of shares held as treasury shares following settlement of this purchase: 3,209,951
  • Total shares in issue excluding treasury shares following settlement of this purchase: 60,344,241

The Company has bought back these shares under the authority granted by shareholders at its Annual General Meeting in June 2026, which permits the Company to repurchase a maximum of 14.99% of its ordinary shares. The actual number of shares repurchased by the Company will depend on market conditions. This authority lasts until the next shareholder authority granted (expected to be at the Annual General Meeting in 2027), or until expressly revoked by shareholders.

No maximum consideration payable has been determined by the Company, but the Company is unable to pay a price for any shares pursuant to the buyback which would equate to a premium to the net asset value. It is the Company’s current intention to hold any shares bought back in treasury.

The Company has instructed Numis Securities Limited (trading for these purposes as Deutsche Numis) as its broker in respect of its buyback transactions. This arrangement is in accordance with the UKLA Listing Rules and the Company’s general authority to repurchase shares.

Mothercare plc

Financial outlook update

Mothercare plc (“Mothercare”, “the Company”), the highly trusted British heritage brand, that connects with the parents of newborn babies and children across multiple product categories throughout their early life as parents, today announces an update on its financial outlook.

Mothercare was notified by its leading Middle Eastern franchise partner on 17 September 2026 that it is reviewing its Mothercare franchise stores, in the light of the ongoing situation in a number of its franchise territories. Whilst this review has yet to conclude it has indicated that it expects this to result in the closure of the substantial majority of the franchised stores in the territory in 2027.

Accordingly, there will be a material reduction in the Company’s order book for FY28 and a commensurate reduction in revenues, profits and cash flows.  Mothercare has sufficient resources to trade for a number of months and has immediately commenced a strategic review of its business model and cost base with a view to preserving value for stakeholders.

At this stage the outcome of such a review and the longer-term solvency of the Company remains highly uncertain.

Clive Whiley, Chairman of Mothercare, commented: “Whilst our recent financial performance has been resilient, this is a heavy blow to the Mothercare business and our stakeholders.  We will continue to pursue discussions to restore critical mass and value for stakeholders, against this more difficult backdrop.”
