The execution of this strategic and financial roadmap will lead to strong value creation for all stakeholders and upgraded financial targets, notably a Return on Tangible Equity in the range of 14% to 16%.

I would like to thank our employees for their unwavering commitment and professionalism to better serve our customers every day.”

AYVENS 2029 STRATEGIC PLAN

Delivering value to all stakeholders

Ayvens’ ambition is to create sustainable value for all its stakeholders:

  • clients: leveraging its scale and expertise, Ayvens aims at making mobility easy while helping clients optimize their fleet costs
  • society: by supporting its clients in reducing their fleet emissions, Ayvens contributes to a more sustainable future, with leased fleet CO₂ expected to decrease from 101g/km in 2025 to 75-85g/km in 2029
  • employees: Ayvens is committed to creating an environment where employees can thrive and build enriching careers
  • shareholders: Ayvens is committed to value creation, pursuing optimization of growth and returns.

Supporting foundations

The execution of Ayvens 2029 strategic plan will be supported by its solid foundations: employees, risk management and sustainability. These three dimensions will ensure a balanced approach between growth and balance sheet protection to generate sustainable long-term returns. This will be complemented by a culture of performance and agility, empowered by data and AI to embrace change and drive transformation across the Group in a moving environment.

Above all, Ayvens will maintain a strong customer-centric mindset as a core guiding principle, ensuring that client needs remain at the heart of every decision.

3 pillars to deliver our 2029 strategic ambitions

Grow

The operating lease market is projected to continue to grow, by 0.4% per annum4, contrasting with a car market which will continue to decrease, from 13.3 million passenger cars registered in 2025 to 12.5 million vehicles in 20305.

Ayvens aims at gaining market share on selected segments and projects to grow its funded fleet by at least 3% between 2026 and 2029. Ayvens’ growth plans will be focused on the most profitable geographies and market segments, notably:

  • selected medium and high growth countries
  • the retail segment, with a growth ambition of 15% over 2026-2029, reaching 900k+ vehicles in 2029 vs. 780k vehicles in 2026
  • the LCV segment, with a growth ambition of 10% over 2026-2029, reaching 580k+ vehicles in 2029 vs. 530k+ vehicles in 2026

Additionally, the Group will upsell its mobility offer to drive services margins growth, with notably initiatives to increase the penetration rate of its insurance and damage cover offering, from 53% in 2026 to 56% in 2029, and roll out Ayvens Power, the Group’s EV charging solution, across 15 countries by 2029 vs. 2 countries currently.

Excel

Leveraging on people, data, tech and AI, the Group aims at improving its operational efficiency, with initiatives targeting its operating expenses and cost of services.

The Group plans to deliver a steady decrease of its operating expenses, thanks to the harmonization and simplification of its processes and IT landscape. IT intensity ratio6 will decrease from c. 15% to c. 12%. However, the capacity to transform the company will improve thanks to a strong increase in the change / run ratio and the use of AI. AI automation solutions will also be implemented across the Group to improve customer interactions and corporate services, and drive efficiency gains, estimated at 30% for 8 core processes across Commerce, Finance and Services & Operations functions.

On its cost of services, amounting to EUR 2.6 billion euros in 2025 across repair, maintenance and tyres costs, the Group intends to reduce its net spend by c. 2%, through dedicated actions to improve sourcing and cost control over its 3.1 million vehicles in fleet.

As a result, Ayvens expects its cost-to-income ratio7 to improve by 4 percentage points, from c. 53% in 2026 to c. 49% in 2029, driven by:

  • headwinds from external factors, namely inflation and electrification, as the Group observes lower maintenance margins for BEVs compared to other powertrains, representing a cumulated increase of 5 percentage points
  • more than offset by the positive impacts of:
    • Grow & upselling actions: cumulated decrease of 3 percentage points
    • Productivity gains including AI benefits: cumulated decrease of 6 percentage points.

Transform

The automotive and leasing industry continues to evolve rapidly, driven by changing customer expectations and technological innovation. Ayvens is preparing to capture the long-term opportunities.

Ayvens projects a significant long-term growth potential in the used car lease market thanks to electrification. When used car BEV capability will meet customers’ expectations (price, range, time to charge), the low BEV maintenance costs will allow to build more affordable mobility solutions versus new vehicles. This will help answering the purchasing power question in Europe. Ayvens is building the foundations and projects to deliver a 13% CAGR over 2026 – 2029, to reach a fleet of over 100k vehicles as a first milestone.

Outlook 2027 – 2029

The Ayvens 2029 strategic plan has been established on the following macroeconomic assumptions in the Eurozone:

  • GDP growth: gradually up to c. 1.5%
  • ECB deposit facility rate: gradually up to 2.75%
  • inflation: coming to c. 2.0%

Electrification is still in a transition phase and will continue in the coming years with BEV market penetration reaching around 50%8 in 2030 vs. 20%9 in 2025. Residual value uncertainty will decrease as electric becomes the new norm thanks to improved BEV capabilities and better customer acceptance. New and used car prices are expected to trend downwards for PHEVs and BEVs, with a more pronounced decline for BEVs, while prices of ICE and hybrid vehicles are expected to slightly increase.

In this context:

  • earning assets growth for Ayvens is expected to be at c. 10% between December 2026 and December 2029, with an acceleration throughout the period
  • margins are expected to grow in mass, with a slight softening of the margins expressed in basis points of earning assets linked due to electrification
  • the contribution of the used car sales result to gross operating income is expected to be low
  • operating expenses will decrease in absolute terms.

Funding programme 2027 – 2029

The Group will continue to diversify its funding sources and projects the following annual funding volumes:

  • Retail deposits: EUR 1 to 2 billion of annual net collection
  • Securitization: EUR 1 to 2 billion of annual issuance
  • Bonds: EUR 2 to 3 billion of annual issuance

These combined actions will continue to optimize the cost and resilience of the Group’s funding.

DELÉMONT, Switzerland, Sept. 21, 2026 (GLOBE NEWSWIRE) —

Proposed CHF 40-60 million public-private initiative aims to establish sovereign semiconductor personalization capabilities in Switzerland and create up to 250+ direct jobs in the Canton of Jura

SEALSQ Corp (NASDAQ: LAES) (“SEALSQ” or “Company”), a company that focuses on developing and selling Semiconductors, PKI, and Post-Quantum technology hardware and software products, its parent company, WISeKey International Holding Ltd (SIX: WIHN; NASDAQ: WKEY), (“WISeKey” or “the Company”) a global leader in cybersecurity, digital identity and IoT, and The Republic and Canton of Jura, Switzerland, today announced the signing of a Memorandum of Understanding (“MoU”) to collaborate on the establishment of a Post-Quantum Semiconductor and Cybersecurity Center (the “Jura Center”) in the Canton of Jura.

The proposed Jura Center represents an indicative investment of approximately CHF 40-60 million over a period of six years. The initiative is intended to establish a strategic Swiss capability for the design, personalization, testing and secure provisioning of next-generation post-quantum semiconductor technologies.

At the heart of the project will be SEALSQ’s QS7001 Quantum Shield, a secure semiconductor designed to implement post-quantum cryptographic algorithms standardized by the U.S. National Institute of Standards and Technology, including ML-KEM and ML-DSA.

The Jura Center is expected to establish capabilities for cryptographic root-of-trust injection, secure firmware personalization, testing and certification, complemented progressively by ASIC design capabilities.

Building a Swiss Sovereign Semiconductor Capability
The initiative is designed to combine SEALSQ and WISeKey’s cybersecurity and semiconductor technologies with the Canton of Jura’s longstanding expertise in precision manufacturing, microtechnology and high-quality industrial production.

The project seeks to transfer skills deeply rooted in Jura’s watchmaking and microtechnology industries – including precision, quality control and traceability – into secure semiconductor personalization.

The project aims to establish approximately 40 direct jobs within two years, 150 by Year 5 and more than 250 by Year 8. At least 60% of these positions are expected to be filled by residents of the Canton.

A Public-Private Partnership
The Jura Center is expected to be developed as a public-private partnership, with the majority of its financing coming from WISeKey, SEALSQ, private investors and industrial partners. The Canton of Jura would act as a strategic catalyst, facilitating the establishment of the project and evaluating potential support within the applicable cantonal and federal frameworks.

The parties will also explore cooperation with HE-Arc Ingénierie for training, recruitment and applied research and with relevant Swiss technology and industrial organizations.

Building on the Quantix Model
This initiative builds upon the experience of Quantix Edge Security, the EUR 40 million semiconductor design and personalization center being developed in Murcia, Spain, by WISeKey and SEALSQ with Spanish partners.

The Spanish Government, through the Sociedad Española de Transformación Tecnológica (SETT), committed EUR 19.6 million to that public-private initiative in June 2025. The Jura Center intends to adapt the experience and methodologies developed in Murcia to Switzerland’s specific industrial and sovereignty requirements.

Strategic Opportunity for Switzerland
The Center will also evaluate opportunities associated with Swiss defense procurement and armasuisse industrial participation programs, where secure semiconductor and ASIC capabilities established on Swiss territory could potentially provide an attractive platform for industrial offset projects.

Secure semiconductors and ASICs are increasingly relevant to avionics, secure communications, sensors and other defense systems, creating an opportunity to strengthen Switzerland’s domestic technological and industrial base.

Carlos Moreira, CEO of SEALSQ, said: “The quantum era is transforming cybersecurity into an issue of technological sovereignty. Switzerland must be able not only to design advanced security technologies, but also to personalize, provision and protect the cryptographic roots of trust inside semiconductors on Swiss soil. The Jura has an extraordinary industrial culture built around precision, reliability and microtechnology. Our ambition is to combine this industrial DNA with SEALSQ’s post-quantum semiconductor technology and create a new strategic capability for Switzerland. We are already applying this model in Murcia, where the initiative generated initial revenue during the second quarter of 2026. Based on this early commercial progress, believe the Jura Center can become an important European center for post-quantum semiconductor security, creating highly qualified employment, strengthening the regional technology ecosystem while reinforcing Switzerland’s technological sovereignty.”

Stéphane Theurillat, Minister of Economy of the Canton of Jura added, “This partnership marks an important milestone for Jura and sends a strong signal about our ambition to attract and develop strategic investments. The project combines digital infrastructure with Jura’s strong industrial capabilities and will contribute to further diversifying our economy. It also represents a significant opportunity to strengthen digital sovereignty while creating value and new business opportunities within our regional ecosystem. The Government of the Republic and Canton of Jura strongly welcomes this announcement and is fully committed to supporting the project. Together with the relevant authorities and services, we will work closely with the company to facilitate a fast and successful establishment in Jura and create the conditions for its long-term development.”

Next Steps
Following the MoU, the parties intend to establish a joint working group to develop the detailed business plan, select the site, structure the public-private financing model, develop academic and industrial partnerships, evaluate Swiss federal and armasuisse opportunities, and establish the regulatory and certification roadmap.

The concept envisages the Center operating through a Swiss company incorporated in the Canton of Jura, supported by an appropriate public-private governance structure.

Upon completion of this preparatory work, the Parties intend to move from the MoU to a detailed implementation framework governing the establishment, financing and operation of the Jura Center..

WISeKey, SEALSQ and Canton of Jura Sign MoU to Establish a Swiss Post-Quantum Semiconductor and Cybersecurity Center

Proposed CHF 40-60 million public-private initiative aims to establish sovereign semiconductor personalization capabilities in Switzerland and create up to 250+ direct jobs in the Canton of Jura

DELÉMONT, Switzerland – September 21, 2026 – WISeKey International Holding Ltd (SIX: WIHN; NASDAQ: WKEY), (“WISeKey” or “the Company”) a global leader in cybersecurity, digital identity and IoT, its subsidiary, SEALSQ Corp (NASDAQ: LAES) (“SEALSQ”), a global leader in secure semiconductors, PKI and post-quantum cybersecurity technologies, and The Republic and Canton of Jura, Switzerland, today announced the signing of a Memorandum of Understanding (“MoU”) to collaborate on the establishment of a Post-Quantum Semiconductor and Cybersecurity Center (the “Jura Center”) in the Canton of Jura.

Carlos Moreira, Founder and CEO of WISeKey, said: “The quantum era is transforming cybersecurity into an issue of technological sovereignty.

The 2026 brownfield exploration programme at Coringa has drilled 9,309 metres to date in 42 diamond drill holes primarily focused on drilling identified targets along trend to the northwest and southeast of the currently producing Serra and Meio zones.

Year-to-date results continue to demonstrate the significant growth potential of the district, with positive results generated from multiple target areas including Serra South, Serra, Meio and satellite targets such as Cabaça and Encosta. Recent drill results continue to confirm the geological controls responsible for the Serra and Meio deposits extend beyond the currently defined resource areas.

The discovery of the Serra South zone in 2025, located approximately 500 metres southeast of the currently producing Serra zone, represents significant validation of the Company’s exploration model and demonstrates the potential for additional mineralized centres to occur along the broader, district-scale, structural corridor. Recent results include 1.38 m @ 11.85 g/t Au, including 0.42 m @ 37.10 g/t Au, in hole 26-SR-055 and 2.20 m @ 5.89 g/t Au, including 0.40 m @ 13.40 g/t Au, and a second interval of 1.19 m @ 6.87 g/t Au, including 0.49 m @ 16.55 g/t Au, in hole 26-SR-059, confirming continuity of the mineralised system along strike and at depth. Ramp development of Serra South zone commenced in Q2-2026.

Drill results from the Meio zone continue to demonstrate potential for resource growth immediately southeast and along trend of the current mining area. Hole 26-ME-013 returned 1.70 m @ 16.13 g/t Au, including 0.45 m @ 35.59 g/t Au. Together with additional positive intersections from holes 26-ME-012, 26-ME-009, 26-ME-010 and 26-ME-007, these results define a mineralized corridor extending for more than 200 metres beyond the limits of the current underground development and highlight the potential for future resource additions and mine-life extension at the Meio zone.

At Cabaça, hole 26-FC-005 intersected 1.00 m @ 10.11 g/t Au, including 0.25 m @ 40.30 g/t Au, from approximately 42 metres downhole. The shallow, high-grade intercept confirms the presence of significant gold mineralisation at this satellite target and further demonstrates the potential for additional mineralised centres outside the primary Serra and Meio zones.

At Encosta, hole 26-ME-006 intersected 1.50 m @ 4.01 g/t Au from approximately 4 metres downhole. The result provides initial confirmation of a target defined by coincident soil-geochemical and induced-polarisation anomalies and supports an open strike opportunity extending for more than 300 metres. Follow-up drilling in H2-2026 was designed to test the lateral and vertical continuity of the mineralised structure.

At Sr. Domingos, multiple priority drill targets were generated from discrete induced-polarisation anomalies within a previously untested portion of the Coringa district. The programme represents the first systematic drill evaluation of the target and is designed to determine whether the geophysical responses are associated with sulphide-bearing structures similar to those hosting gold mineralisation elsewhere at Coringa. Initial drill testing commenced during July.

At Pista, multiple drill targets have been defined along an approximately 400-metre gold-in-soil anomaly supported by historical artisanal workings, continuous quartz-vein structures and encouraging rock-chip results of up to 7.46 g/t Au. Mapping identified a brecciated quartz vein containing fresh pyrite, together with a broader vein and stockwork system developed along prospective northwest-southeast structural trends. The combination of geochemistry, mapping and surface mineralisation has allowed several priority drill sites to be defined.

The 2026 brownfield exploration programme at Palito Complex has drilled 11,522 metres to date over 37 drill holes. The focus was to increase near-mine ounces, particularly at Senna, G3, Barrichello, Piauí and Massa.

Drilling at Senna continues to confirm the continuity to the northwest and southeast of the mineralized structure, with hole 26-SE-020 returning 0.82m @ 3.99 g/t Au, including 0.25m @ 11.20 g/t Au and an additional intercept of 1.24m @ 3.62 g/t Au including 0.35m @ 5.53g/t Au and 0.35m @ 6.56g/t Au.

The recently initiated drilling at Massa provided encouraging results, with hole 26-MS-001 returning 1.12m @ 6.12 g/t Au including 0.43m @ 15.20 g/t Au.

At Piauí, hole 26-PI-019 intersected a broad mineralised interval of 9.93m @ 1.06 g/t gold, including two internal higher-grade intervals of 0.25m @ 6.26g/t Au and 0.25m @ 4.95 g/t Au. Together with additional mineralised intersections from surrounding holes, the result supports the interpretation of a broader mineralised envelope containing discrete higher-grade zones. Ongoing geological modelling is evaluating the geometry and continuity of the Piauí mineralised system.

At Tatu, holes 26-TA-001 and 26-TA-003 returned narrow high-grade intersections of 0.28m @ 7.22 g/t Au and 0.25m @ 6.50 g/t Au, respectively. The results confirm the presence of high-grade gold-bearing structures at this early-stage target, although additional geological evaluation is required to establish their continuity and overall significance.

Reinterpretation of G1-G3 Corridor to be Tested in H2-2026

Through the integration of historical drilling, underground mapping and revised structural modelling, the exploration team developed a new geological framework suggesting several mineralized structures previously considered isolated potentially form a larger and more continuous mineralized system. The revised geological model incorporates structural offsets, branching vein systems and previously unrecognized dilation zones that may positively impact future exploration targeting and resource estimation. A diamond drilling programme was designed for H2-2026 to test priority targets generated from the updated interpretation.

Assay Results
Assay results reported within this release include those provided by the Company’s own on-site laboratory facilities at Palito and have not yet been independently verified. Serabi closely monitors the performance of its own facility against results from independent laboratory analysis for quality control purpose. As a matter of normal practice, the Company sends duplicate samples derived from a variety of the Company’s activities to accredited laboratory facilities for independent verification. Since mid-2019, over 10,000 exploration drill core samples have been assayed at both the Palito laboratory and certified external laboratory, in most cases the ALS laboratory in Belo Horizonte, Brazil. When comparing significant assays with grades exceeding 1 g/t gold, comparison between Palito versus external results record an average over-estimation by the Palito laboratory of 6.7% over this period. Based on the results of this work, the Company’s management are satisfied that the Company’s own facility shows sufficiently good correlation with independent laboratory facilities for exploration drill samples. The Company would expect that in the preparation of any future independent Reserve/Resource statement undertaken in compliance with a recognized standard, the independent authors of such a statement would not use Palito assay results without sufficient duplicates from an appropriately certificated laboratory.
