Transaction in Own Shares

The Company announces that on 22 September 2026 it bought back 57,609 of its own shares under the opportunistic buyback programme, to be held as treasury shares, at an average price of 1396 pence per share.

Further details are set out below:

  • Number of shares held as treasury shares following settlement of this purchase: 3,327,560
  • Total shares in issue excluding treasury shares following settlement of this purchase: 60,226,632

The Company has bought back these shares under the authority granted by shareholders at its Annual General Meeting in June 2026, which permits the Company to repurchase a maximum of 14.99% of its ordinary shares. The actual number of shares repurchased by the Company will depend on market conditions. This authority lasts until the next shareholder authority granted (expected to be at the Annual General Meeting in 2027), or until expressly revoked by shareholders.

No maximum consideration payable has been determined by the Company, but the Company is unable to pay a price for any shares pursuant to the buyback which would equate to a premium to the net asset value. It is the Company’s current intention to hold any shares bought back in treasury.

The Company has instructed Numis Securities Limited (trading for these purposes as Deutsche Numis) as its broker in respect of its buyback transactions. This arrangement is in accordance with the UKLA Listing Rules and the Company’s general authority to repurchase shares.

InstallatørGruppen has entered into an agreement to acquire the electrical and plumbing activities of the North Zealand technical contractor Poul Sejr Nielsen through the purchase of Poul Sejr Nielsen Service A/S and Poul Sejr Nielsen EL A/S from Poul Sejr Nielsen Holding ApS. The remaining parts of Poul Sejr Nielsen A/S are not included in the agreement.

Poul Sejr Nielsen was founded in 1956 and has over almost 70 years grown into one of the larger installation businesses in North Zealand and the Greater Copenhagen area. Poul Sejr Nielsen Service A/S and Poul Sejr Nielsen EL A/S have around 220 employees and deliver services and turnkey solutions within electrical and plumbing to private, public and business customers, including multi-year framework agreements. In 2025, Poul Sejr Nielsen Service and Poul Sejr Nielsen EL generated combined revenue of approximately DKK 230 million with an EBITA of approximately DKK 16 million.

With the acquisition, InstallatørGruppen strengthens its presence in North Zealand and the Greater Copenhagen area and adds a substantial service organisation to the Group, along with expertise within areas such as district heating, lighting and LED, and energy optimisation.

Poul Sejr Nielsen will continue as an independently run company under its current management, consisting of Michael Madsen, Jonas Bach and Mikkel Gulbæk, in line with InstallatørGruppen’s decentralised partnership model.

Peter Frandsen, CEO of InstallatørGruppen in Denmark, says: ”Poul Sejr Nielsen is a company that has built a strong reputation through decades of consistent quality and professional pride. We are gaining a well-run company with a strong organisation, skilled employees and considerable expertise within service, framework agreements and technical contracting alike. Poul Sejr Nielsen is therefore a very good fit for our decentralised model.”

Michael Madsen, CEO and co-owner of Poul Sejr Nielsen, says: ”Poul Sejr Nielsen has a history going back more than 70 years, and since 2011 we have built on a strong foundation and developed the company significantly. We have spent many years building something we believe in, and it was important for us to find a partner who sees the same. InstallatørGruppen gives us room to keep growing on our own terms, while preserving the culture and local drive that have been decisive for our development.”

The transaction is conditional on approval by the competition authorities and, once approval is obtained, marks InstallatørGruppen’s 44th acquisition in Denmark, bringing the Group’s total number of companies in Denmark and Switzerland to 49.

Arcadis comments on WSP’s decision to not proceed with its offer

September 23, 2026 – Arcadis (EURONEXT: ARCAD), the world’s leading company delivering data-driven sustainable design, engineering, and consultancy solutions for natural and built assets, has noted that WSP Global Inc. (“WSP”) has decided not to proceed with a public offer for all issued and outstanding shares of Arcadis.

WSP’s two proposals were carefully reviewed and unanimously rejected by the Executive Board and Supervisory Board (the “Boards”) as fundamentally undervaluing Arcadis’ intrinsic value, strategic position and future prospects. Additionally, it would raise concerns regarding execution of strategic plans, cultural fit, and integration risks, with adverse consequences for Arcadis’ shareholders, employees, clients, and other stakeholders.

Heather Polinsky, CEO, said:

“Arcadis is a purpose-led, people-first business with a 138-year heritage and a unique culture built around long-term client relationships, employee ownership and sustainable value creation. Peter de Wit and I want to say, on behalf of the Executive and Supervisory Boards, that we are grateful for the valuable and inspiring feedback from shareholders, clients, and Arcadians over the last several months. We will build on what makes our culture distinctively Arcadis and strengthen our performance muscle. Our differentiator is bringing people and performance together with care.”

The Boards remain fully committed to the strategic pillars as announced in its Q2 2026 results: focusing on sectors and markets where Arcadis has a genuine right to win, simplifying around client needs, and driving a stronger performance culture. The improving operational momentum demonstrated in the second quarter of 2026 results underpins that conviction.

Arcadis will provide a comprehensive update on its medium-term strategy at its Capital Markets Day, scheduled for 29 September 2026 in Amsterdam.
