CHICAGO, July 11, 2025 /PRNewswire/ — Edward and Ludmila Smolyansky, long-term shareholders of Lifeway Foods, Inc. (NASDAQ: LWAY) who together exercise voting control with respect to approximately 26% of the outstanding shares of Lifeway Foods, today provided an update on the consent solicitation process launched through the filing of a definitive Consent Statement with the U.S. Securities and Exchange Commission (SEC) on July 2, 2025.

Consent Solicitation Gains Momentum

“Our outreach program is fully underway, as momentum continues to build behind our consent solicitation,” stated the Smolyanskys. “We are encouraged by the positive response from fellow shareholders who share our concerns about the current Board’s actions.”

Response to Lifeway Foods

On July 3, 2025, the Company issued a press release stating its view that the consent solicitation is legally deficient because the public filing of the Consent Statement does not constitute adequate notice to shareholders, and because the Board has not set a record date. The Company further “urged” shareholders to “disregard the Smolyanskys’ recent filings…”

However, the Company failed to acknowledge that both a record date and a shareholder list were formally requested by Mr. Smolyansky in a letter dated June 17, 2025—a request that remains unfulfilled.

Mr. Smolyansky responded:

“Predictably, the Board is seeking to suppress shareholders and avoid accountability yet again. Regardless of which side they support, all shareholders should be offended that their directors, having already postponed the Company’s 2025 annual meeting, are apparently planning to challenge our written consent based on their own failures to act. Shareholders do not need further evidence that this Board will never respond to Lifeway’s shareholders until it is forced to do so under law, and we ask all shareholders to help us achieve that goal by signing and returning the WHITE consent card, as described in our definitive consent statement.”

Board Actions Contradict Own Statements

Even more concerning, recent securities filings suggest that Board leadership does not believe the Board’s own statements in a prior press release that Danone’s $27 per share offer “severely undervalues the Company,” which it has used as justification to adopt a poison pill.

Jason Scher, the lead independent director and Chairperson of the Audit and Corporate Governance Committee, sold 24,566 of his 24,567 shares for nearly $600,000 at an average share price of $24.23. His Form 4 filings over the last two weeks indicate he now owns only a single common share of Lifeway Foods. These sales appear to violate the Company’s director stock ownership and holding policy, which requires that Mr. Scher hold Lifeway shares valued at 200% of his annual retainer. Edward and Ludmila Smolyansky call on the Board to address why this does not violate its policy, and how Mr. Scher’s sales are consistent with the Board’s purported view that Danone’s offer undervalues the Company.

Mr. Smolyansky reacted:

“Director Scher selling nearly all of his shares last week is a very troubling indicator about what the Board plans for the Company and what impact those plans will have on the stock price,” Mr. Smolyansky stated. “How can shareholders trust Board members who are divesting their own holdings while telling us to reject a $27 per share offer they claim ‘severely undervalues’ the Company?”

Call to Action

Edward and Ludmila Smolyansky request that shareholders execute and return WHITE consent cards, in accordance with the instructions in their definitive consent statement. For more information and to contact the shareholder group, visit FreeLifeway.com and follow Edward Smolyansky on LinkedIn.

Important Information

This communication is not a request for a proxy to vote on, or shareholder consent with respect to, any matter. Any written solicitation of a proxy or shareholder consent by Mr. Smolyansky or Mrs. Smolyansky will be made through a definitive proxy statement or definitive consent statement, including the definitive consent statement filed by them with the SEC on July 2, 2025 (the “Consent Statement”). Lifeway shareholders are urged to read the Consent Statement, including any amendments or supplements thereto, and any other soliciting materials, when they become available as they will contain important information. Shareholders may obtain, free of charge, copies of the Consent Statement and other relevant documents at sec.gov.

Participants in the Solicitation

Mr. Smolyansky and Mrs. Smolyansky filed the Consent Statement with the SEC on July 2, 2025, which relates to, among other matters, their intent to seek shareholder consents to remove Lifeway’s current board of directors and elect each of Ludmila Smolyansky, Edward Smolyansky, Richard Beleutz, Cindy Curry, Michael Leydervuder, George Sent, and Robert Whalen (each, a “Nominee”) as directors of Lifeway. In addition, Mr. Smolyansky filed a preliminary proxy statement with the SEC on April 16, 2025, relating to his intent to nominate each Nominee for election as directors of Lifeway at its 2025 annual meeting of shareholders. Each Nominee may be deemed to have an interest in any solicitation of written consents or proxies by Mr. Smolyansky and Mrs. Smolyansky, as applicable.

The participants (the “Participants”) in any solicitation of shareholder consents or proxies by Mr. Smolyansky or Mrs. Smolyansky may be deemed to be Mr. Smolyansky, Mrs. Smolyansky and each of the other Nominees. Lifeway shareholders can obtain information regarding the Participants and their direct and indirect interests, by security holdings or otherwise, in Appendix B to the Consent Statement, which information is incorporated herein by reference.

Dr. David Jeremiah Issues Statement on Devastating Floods in Texas

SAN DIEGO, July 11, 2025 /PRNewswire/ — Almost a week after the devastating flash floods hit Texas on Independence Day, there are more than a hundred lost individuals and more than 150 still missing. As we learn more about the lives lost and the heroics of those amid the storm, our hearts break. Every natural disaster is upsetting and pulls at our heartstrings, but when children are at the center of the stories, it takes on a different tone.

Unless we have experienced a similar loss, we cannot begin to fathom what the families, friends, and communities in Texas are feeling, but we can sympathize, support, and pray with and for them during the days and weeks to come.

As a pastor, one of the hardest things is to comfort a parent who has lost their child. In this moment, I want to share a special message to all those mourning the loss of children from this flood –

The death of a child is one of the world’s greatest sorrows, and the pain is intense, but in that pain, I praise the Lord because, through the tears, there’s a sunbeam of hope. Scripture gives us reasons to trust that children are not lost forever. Instead, they are given the gift of bypassing the sorrows of this world and are instantly transported to heaven, where we’ll meet them and enjoy their fellowship throughout eternity.

In the Gospels, when Jesus is asked to raise a synagogue leader’s young daughter from the dead, He responds, “She is not dead, but sleeping.” These words are not just spoken to the girl’s family but to every mom or dad or grandparent who has ever lost a little one. You will see them again.

Our few moments on earth are nothing compared to our eternal fellowship with those we love on the new earth. The Lord knew this flood was coming. His presence was with every child and believer in its midst, and His presence is with you now and in the difficult days that lie ahead.

As the news continues to unfold on this tragedy and clean up eventually begins, may we as a nation take a moment to pray for all those impacted –

Heavenly Father,

Before Your ascension, You told us, “Surely I am with you always,” so I pray that the knowledge of Your presence would be known and felt by all those experiencing grief and loss across Texas.

May Your Spirit prevail and may the sorrows of today be turned into joy and peace in the future as Your comfort surrounds the broken-hearted.

We know that many children are now in Your loving arms. While the pain this side of heaven is indescribable, we know that You love these children and called them, saying, “Let the little children come to Me, and do not forbid them; for of such is the kingdom of heaven.”

As King David found hope, comfort, and cheer in the assurance that his baby had gone to heaven and they would be reunited one day, may those same feelings envelop all those who have lost a loved one.

May we, as neighbors, not only lift our brothers and sisters up in prayer, but may we also be Your hands and feet to so many in need in the days ahead.

I ask that You keep this region in your loving care. Provide wisdom to the leaders of the state, cities, counties, and organizations leading the recovery efforts.

And as the days pass, may our sorrow turn to joy as we point our hearts and minds upward to heaven and ponder the coming reunions.

We pray this in Jesus’ name,

Amen.

With the donation of 2 million tags, the company’s initiative scales up a pioneering program for cattle development, integrity, and traceability in the state

SÃO PAULO, July 11, 2025 /PRNewswire/ — JBS has invested more than US$ 7 million in cattle traceability and support for small producers in Pará, as part of a pioneering state program that aims to trace the entire herd of cattle and buffaloes in the region by the end of 2026. The results of JBS’s initiatives were presented during the “Expedition to the Sustainable Meat and Leather Market of Pará,” an event promoted by the Nature Conservancy (TNC) Brazil.

The initiative is part of a broader collation involving the government, producers, civil society, and industry. As part of its actions, JBS has already allocated US$ 5 million to its Traceability Accelerator Program, which aims to encourage the adoption of tags for animal traceability among the company’s indirect suppliers. This includes the donation of 2 million ear tags to producers and 175 readers to the Pará State Agricultural Defense Agency (Adepará).

The Accelerator Program initially focuses on Southeast Pará, in the region between the municipalities of Marabá and Santana do Araguaia. JBS teams and partner organizations conduct field visits to identify and engage with farms, working directly with traceability operators who are trained and accredited by the State of Pará. The readers donated by the company record data from the animals’ individual identification tags, enabling the monitoring of individual cattle across the state, which holds the second-largest herd in Brazil.

“Our actions were designed to scale up the state program by supporting both direct and indirect suppliers, with the capacity to reach up to 2 million tags for herd traceability. This phase is crucial to overcoming bottlenecks and testing traceability tools and solutions at scale,” said Fábio Dias, JBS’s Head of Sustainable Livestock, during the event.

In strategic partnership with Adepará and TNC, the JBS Traceability Accelerator Program already has partner companies for field operations. Future expansion is planned for other regions of the state, such as the Southwest (Altamira, Anapu, and Pacajá), the Lower Amazon (Belterra and Santarém), and the Marajó region. There is also interest in replicating the model in other states.

JBS has also allocated a significant part of its investment to the Green Offices in Pará: since 2021, the program has received US$ 2 million. These offices offer free and specialized support for the environmental regularization of rural properties, with a special focus on small producers.

The main goal of the JBS Green Offices is to assist producers from registration to validation in the Rural Environmental Registry (CAR), promote adherence to the Environmental Regularization Program (PRA) when applicable, support the lifting of embargoes, and help non-compliant producers regain commercial qualification. In addition, they connect producers to requalification programs such as SIRFLOR and Reconecta in Pará.

In the state, JBS operates four physical offices located in the Southeast region (Santana do Araguaia, Redenção, Tucumã, and Marabá). Regularization is accelerated through the Sustainable Territories Platform (PTS), in partnership with the State Secretariat for Environment and Sustainability (SEMAS). Since 2024, the offices have also offered technical and managerial assistance to producers (EV 2.0).

Nationally, the results are significant: since the launch of the JBS Green Offices program in 2021, 18,042 farms have already been regularized, and, 7,005 hectares are in process of forest restoration.

Rooftop solar panels covering the equivalent of 1.5 football fields will provide 48% of the center’s electricity.

MASON, Ohio, July 11, 2025 /PRNewswire/ — Festo, a global leader in industrial automation controls and systems and industrial training systems, inaugurated today a rooftop solar power generating system, the largest of its kind in Mason, Ohio. The Festo North American Regional Service Center along I-71 will now generate through solar power 48% of its annual electric power needs onsite.

The rooftop installation features 3,929 solar panels covering 85,180 square feet of rooftop. Its annual generating capacity is rated at 2.602GWh which is equivalent to the annual electricity consumed by 393 homes. This solar power installation reduces annual CO2 emissions equivalent to the carbon sequestration of a 2,300-acre forest.*

Installation on the solar power array began in November 2024 and concluded in May. Kokosing Solar Power, Athens, Ohio, was the project’s general contractor. The solar panels are installed on the rooftops of two of the three connected buildings and on the entryway’s carport. Eight solar-powered electric vehicle charging stations are a feature of the project.

Built in 2015 and expanded several times since, the Festo Regional Service Center is the North American distribution hub for Festo’s globally manufactured automation products. The facility, which employs 350 people, also assembles custom orders and builds unique products for North American customers. Festo Didactic, the learning division of Festo, builds hands-on systems that community colleges utilize to train the next generation of manufacturing and processing technicians.

“The Festo Regional Service Center’s solar project does more than save energy – it is a model of resilience and forward thinking that reflects this city’s economic and environmental goals,” commented Mason’s Mayor Diana Nelson. “It aligns with Mason initiatives that help local businesses invest in sustainable growth.”

Headquartered in Esslingen, Germany, Festo is a family-owned $3.9 billion business employing more than 20,000 people in 60 countries. Festo celebrates its 100th anniversary this year and is proud to have operated in the United States for more than 50 years. Members of the founding Stoll family joined local and state dignitaries for a ribbon cutting ceremony and tour of the Center. The solar power initiative was funded in part by a grant from the Stoll family.

Sustainability is firmly anchored in Festo’s corporate strategy. In 2024, the company joined the World Resources Institute Science Based Targets Initiative (SBTi), which aims to reduce greenhouse gas emissions in line with the Paris Climate Agreement. Also in 2024, Festo global operations offset 100% of its direct carbon emissions and achieved CO2 neutrality for indirect emissions. Festo plans to generate 25% of its electricity through solar power by 2030.

Key Points

  • Through its sponsorship, Marathon Petroleum supports the National Medal of Honor Museum’s mission to inspire visitors with stories of courage, sacrifice and integrity.
  • The museum opened in Arlington, Texas, and honors the bravery and sacrifice of America’s most distinguished military heroes.
  • Marathon Petroleum employees attended a special preview event and described the experience as deeply personal and profoundly moving.

The National Medal of Honor Museum (NMOHM) officially opened its doors to the public on March 25 in Arlington, Texas, offering a powerful tribute to the nation’s most courageous military heroes.

Because Marathon Petroleum Corporation (MPC) is a supporting sponsor of the NMOHM, several MPC employees were invited to a special Corporate Partner Day, where they had the opportunity to explore the museum and reflect on the extraordinary stories it preserves. For many attendees, the experience was deeply moving. Veteran Chris Staats, MPC Vice President of Refining in Martinez, California, said the visit was an incredible experience.

“I am proud of what I did serving my country and understand the hardships of military life,” said Staats. “But the Medal of Honor awardees have experiences on a different level. Their actions display a level of character and courage that is truly amazing. The museum allowed me to share in their experience in a very personal and private way.”

Other veterans who were part of the MPC group were also especially grateful for the opportunity to see the museum, and appreciated the company’s commitment to honoring our nation’s heroes.

“MPC played a role in supporting the NMOHM through multiple donations, ultimately reaching the Leaders Circle level,” said Tim Aydt, Executive Vice President Refining. “We felt like this would be another important way to show support for our veteran community both inside and external to MPC.”

“We are incredibly grateful for the support of partners like Marathon, whose commitment helps us honor the legacy of our nation’s Medal of Honor Recipients and share their stories with people across the country,” said Chris Cassidy, NMOHMF President and CEO.

The NMOHM has welcomed thousands of visitors and continues to educate, engage and uplift through the powerful stories of America’s heroes, helping their legacies endure for generations to come.

“Having a space dedicated to these extraordinary individuals brings the values of courage, sacrifice and integrity to life,” said Cassidy. “The response has been remarkable. People leave feeling inspired to serve others and reminded of the best in each of us.”

This Summer, Stress Relief Is in Bloom

Whether you’re navigating summer travel or prepping for back-to-school routines, you’re not alone in seeking calm. National wellness trends show a spike in demand for natural stress relief, sleep support, and daily rituals that restore balance.

That’s where lavender shines.

At Traditional Medicinals, we’ve sourced lavender for decades—not just for its soothing aroma, but for its botanical integrity and therapeutic strength. At Traditional Medicinals, we believe that crafting effective herbal wellness products begins long before the tea bag is sealed. It starts in the soil, with the growers, the ecosystems, and the traditions that inform how our herbs are cultivated and harvested.

From the Hills of Austria to Your Evening Ritual

Our organic lavender is grown by Hans and Hans Pietr, a father-son team who converted their 600-acre farm in Austria to organic after witnessing the toll conventional farming took on their health and land. Today, 260 hectares of their property are certified organic, and 40 acres are dedicated to cultivating camphor-rich lavender for Traditional Medicinals.

Lavender thrives in rocky soil and requires expert care to retain its aroma and therapeutic qualities. With the support of Waldland, a farmer-owned cooperative, the Pietrs have fine-tuned their harvesting and drying practices to preserve the highest quality, something we verify with every batch.

What Calms Us Shouldn’t Harm the Planet

Lavender is just one of over 100 botanicals we source with intention. Across every sourcing partnership—from wild collectors to organic farmers—we prioritize regenerative practices, traditional plant knowledge, and multi-year relationships that uplift communities and ecosystems.

Through multi-year partnerships and advanced planning, we’ve cultivated a supplier network that allows us to invest in people, protect ecosystems, and ensure consistent medicinal quality. Our herbs are tested not only to meet U.S. regulatory requirements but also to uphold certifications such as USDA Organic.

The Future of Wellness Is Transparent, Ethical, and Effective

Integrity at Traditional Medicinals isn’t just about what goes into the cup. It’s about how the plants were grown, how the people behind them were treated, and how the planet is respected in the process. In an era of greenwashing and quick fixes, we’ve spent 50 years modeling what ethical sourcing and functional herbal products can truly look like.

This summer, as consumers seek better sleep, lower stress, and mindful rituals, we’re proud to offer teas that meet the moment, crafted with purpose, backed by science, and rooted in relationships.*

Because wellness should feel good and do good, too.

KERRVILLE, Texas, July 11, 2025 /PRNewswire/ — In an extraordinary outpouring of generosity, the Community Foundation of the Texas Hill Country announced today that it has received more than $30 million in just one week for the Kerr County Flood Relief Fund to support flood relief efforts following the devastating storms that swept across the region.

The announcement was made during a press conference held Friday, July 11, 2025, at the Dallas Dougherty Memorial Pavilion in downtown Kerrville, where local leaders, donors and community members gathered to honor lives lost, recognize the community’s strength and lay out a path toward recovery.

“The heartbreak we’ve experienced as a community is profound, but so is the response,” Austin Dickson, Chief Executive Officer of the Community Foundation of the Texas Hill Country, said. “In a matter of days, thousands of donors from across Texas and beyond have stepped up to say: we are with you. This is a moment of collective grief, but also of extraordinary love.”

Among the leading donors, to date, are H-E-B, which contributed $2 million, and James Avery Artisan Jewelry, which donated $500,000 to the Kerr County Flood Relief Fund.

“The Butt Family, H-E-B, and the H.E. Butt Foundation have a deep connection to Kerrville and the Hill Country, where our company was founded. We are heartbroken by the tragic events that have devastated our communities,” said Winell Herron, H-E-B Senior Vice President of Public Affairs. “As the community embarks on the long road ahead, we support the Foundation’s critical efforts to help rebuild and recover. We encourage others to join us in offering hope, strength, and assistance to impacted families.”

“The Hill Country has always been home for us. It’s where my dad and mom started the company, where our Associates live and work, and where our story began. Like so many people facing unimaginable loss during this time, we are also grieving a beloved family member,” Chris Avery, chairman of the board of directors for James Avery, said. “It’s been incredible seeing the dedication and selflessness of first responders and how people have shown up with donations, kind words, and support. We’ve been overwhelmed by the response to the Deep in the Heart of Texas charm and the outpouring of support from people all over the country and the world. It reminds us that even in the hardest moments, we’re not alone. We’re grateful for the Community Foundation’s commitment to invest as our community recovers. We stand with them to be here for the long haul as we begin to rebuild.”

The Foundation also announced an initial $5 million in emergency grants to nonprofit organizations that will, in turn, direct the funds to those in need. These grants will be allocated across four priority categories identified as the most urgent areas of community need:

  • Support for Individuals and Families: $1.25 million
  • Support for Local Businesses: $1.25 million
  • Support for First Responders: $1.25 million
  • Support for Crisis Response: $1.25 million

These grants are already being disbursed to vetted nonprofit partners actively serving affected communities across the Hill Country. For the full list of nonprofit organizations receiving grants, please visit https://www.communityfoundation.net/kerr-county-flood-relief-grants

To ensure future funding decisions are guided by community voices, the Foundation also introduced plans to form a Community Advisory Committee. This committee will include local nonprofit leaders, residents and stakeholders who will help advise on long-term recovery investments and equitable resource distribution.

“We know this is just the beginning,” Dickson said. “We’re grateful to say we’ve raised over $30 million in just one week—but the needs are tremendous, and continued support will be critical in the months ahead. Recovery will take months, if not years, but we are committed to walking every step of this journey with the communities we serve. We will listen, we will learn, and we will continue to act with compassion, urgency and accountability.”
