(“Canada Nickel” or the “Company“) (TSXV: CNC) (OTCQX: CNIKF) is pleased to announce the closing of the $20 million Convertible Note with Taykwa Tagamou Nation (“TTN”) previously announced on December 16, 2024. The investment marks the largest known direct equity investment by a First Nation in a Canadian critical minerals company to date and reflects a shared commitment to long-term partnership, economic self-determination, and responsible resource development.

This milestone further solidifies Canada Nickel’s relationship with TTN, who is already a development partner in both the Crawford Nickel Sulphide Project and associated infrastructure, including the power transmission line and electric haul fleet.

Convertible Note 
The $20 million secured Convertible Note (the “Note”) will have a five-year term from closing.  The coupon has been adjusted from a fixed 4.75% to a coupon of 6.15% per annum paid quarterly prior to conversion to reflect TTN’s financing cost. The Note provides TTN with the right to convert into 16.67 million common shares (at a conversion price of $1.20 per share), representing an 7.9% equity interest in the Company (based on Canada Nickel’s current issued and outstanding share capital of 193,590,725 common shares). TTN will also have a right to one seat on the Company’s Board of Directors for so long as it holds the Convertible Note or, after conversion, at least 7.9% of the Company’s shares.

More Than 11,000 Lives Transformed Through the Donation of Manual Washing Machines in Low-Income and Displaced Communities

In March 2024, Whirlpool Foundation President Pam Klyn traveled from Benton Harbor, Mich., to Puducherry, India, with a small Whirlpool Corporation team. They were there to take an important step in addressing the challenge that 60 percent of the world faces – washing clothes by hand, largely due to unreliable access to electricity and water. Previously, Whirlpool had explored ways to address this need but found the distribution of manual washing machines in remote locations to be particularly complex.

The group from Whirlpool were guests of Navjot Sawhney, founder and CEO of The Washing Machine Project. The two organizations came together in 2023 after discovering they had a shared mission. Sawhney, an engineer, had developed a manual washing machine to help lessen the burden of hand washing clothes, a burden that falls primarily on women and girls. The Washing Machine Project was there to distribute manual washing machines, the first in this area, and this moment would prove pivotal for the Puducherry community, where Whirlpool has operations, and for both organizations.

Whirlpool began supporting The Washing Machine Project to help address the global washing divide after realizing the potential impact of their combined resources, talents and efforts. The Washing Machine Project needed support in manufacturing manual washing machines at scale, and Whirlpool, which had previously developed its own manual washing machine, needed distribution support. Together, they could scale and reach populations who could greatly benefit from these time-saving machines.

In the past year, 340 Whirlpool employee volunteers donated nearly 4,000 hours to build 645 manual washing machines using a manual assembly line thoughtfully developed by company volunteers. Whirlpool employees also participated in “Washout” events, where they were able to experience how grueling it can be to hand wash clothes, helping them build empathy with the majority of the global population who have no alternative but to do their laundry by hand. The Washing Machine Project and Whirlpool have distributed these machines to communities in India, Mexico, the Republic of Congo and Ghana – impacting over 11,000 lives and counting.

This is one of many examples illustrating how this collaboration is helping women reclaim their time and improve their lives.

In April 2025, the collaboration between Whirlpool and The Washing Machine Project was recognized with a Gold Halo Award for Best Employee Engagement Initiative by Engage for Good. The new integration empowers companies to prepare for upcoming European Union regulations faster and more cost-effectively

This five-year project focuses on implementing scalable solutions for sustainable palm oil production. Its aim is to support 5,400 independent smallholders in adopting regenerative agricultural practices that improve farming conditions, reduce synthetic inputs, and strengthen climate resilience.

The Rokan Hulu Landscape and Livelihoods Initiative will also strengthen two farmer organisations and help 2,500 farmers achieve certification under the Roundtable on Sustainable Palm Oil (RSPO) and Indonesia Sustainable Palm Oil (ISPO) standards.

Additionally, it aims to create diversified income opportunities for 2,000 community members—60 percent of whom will be women—while implementing measures to safeguard biodiversity and mitigate deforestation risks. A key element of the initiative is establishing a multi-stakeholder jurisdictional alliance to promote ecosystem restoration and ensure alignment with sustainability standards.

Preferred by Nature, an international NGO headquartered in Denmark with extensive experience in sustainable agriculture and forestry projects, will lead project coordination, capacity building, and training in sustainable practices. Dutch agri-agency Stichting Agriterra will focus on strengthening farmer organisations, enabling financial sustainability, and fostering cooperative business models, while international NGO SAN will provide expertise in regenerative agriculture and deliver on-ground support through its Indonesian partners Kaleka and Setara Jambi.

Both Musim Mas and Ferrero have a shared interest in securing a sustainable and traceable palm oil supply chain that complies with regulatory standards and meets voluntary commitments.

Addressing Systemic Challenges in Palm Oil Supply Chains
This project aligns the shared objectives of Ferrero and Musim Mas with development goals by addressing systemic challenges within independent smallholder supply chains.

These challenges include low productivity, varying levels of familiarity with sustainable farming practices, and environmental degradation, such as declining soil health. Independent smallholders, who manage over 40 percent of Indonesia’s planted palm oil, often encounter barriers to meeting RSPO and ISPO standards, including resource constraints, uneven access to knowledge, and land tenure issues. This initiative seeks to tackle these barriers by equipping farmers with the necessary tools and training to adopt sustainable practices, achieve certifications, and improve market access.

At the landscape level, the project fosters a multi-stakeholder alliance involving corporate, governmental, and civil society actors to strengthen ecosystem protection. These efforts safeguard biodiversity and support alignment with global sustainability standards like the EUDR.

A Model for Sustainable Palm Oil Production
By combining private sector commitments with nonprofit expertise, the Rokan Hulu Landscape and Livelihoods Initiative sets a benchmark for sustainable palm oil production and creates a win-win scenario for all stakeholders. Farmers can benefit from increased productivity, improved market access, and diversified incomes. Meanwhile, partners like Ferrero and Musim Mas can secure a reliable, sustainable, and traceable palm oil supply chain.

This project also generates long-term economic benefits for rural communities, contributes to global climate goals, and positions the Rokan Hulu region as a leading example of sustainable palm oil production.

This transformative initiative sets the stage for a more sustainable and inclusive palm oil industry. By addressing systemic challenges and fostering collaboration, the project paves the way for a resilient and environmentally responsible supply chain that benefits all stakeholders.
