(NASDAQ: LWAY) who together exercise voting control with respect to approximately 26% of the outstanding shares of Lifeway Foods, today provided an update on the consent solicitation process launched through the filing of a definitive Consent Statement with the U.S. Securities and Exchange Commission (SEC) on July 2, 2025.

Consent Solicitation Gains Momentum

“Our outreach program is fully underway, as momentum continues to build behind our consent solicitation,” stated the Smolyanskys. “We are encouraged by the positive response from fellow shareholders who share our concerns about the current Board’s actions.”

Response to Lifeway Foods

On July 3, 2025, the Company issued a press release stating its view that the consent solicitation is legally deficient because the public filing of the Consent Statement does not constitute adequate notice to shareholders, and because the Board has not set a record date. The Company further “urged” shareholders to “disregard the Smolyanskys’ recent filings…”

However, the Company failed to acknowledge that both a record date and a shareholder list were formally requested by Mr. Smolyansky in a letter dated June 17, 2025—a request that remains unfulfilled.

Mr. Smolyansky responded:

“Predictably, the Board is seeking to suppress shareholders and avoid accountability yet again. Regardless of which side they support, all shareholders should be offended that their directors, having already postponed the Company’s 2025 annual meeting, are apparently planning to challenge our written consent based on their own failures to act. Shareholders do not need further evidence that this Board will never respond to Lifeway’s shareholders until it is forced to do so under law, and we ask all shareholders to help us achieve that goal by signing and returning the WHITE consent card, as described in our definitive consent statement.”

Board Actions Contradict Own Statements

Even more concerning, recent securities filings suggest that Board leadership does not believe the Board’s own statements in a prior press release that Danone’s $27 per share offer “severely undervalues the Company,” which it has used as justification to adopt a poison pill.

Jason Scher, the lead independent director and Chairperson of the Audit and Corporate Governance Committee, sold 24,566 of his 24,567 shares for nearly $600,000 at an average share price of $24.23. His Form 4 filings over the last two weeks indicate he now owns only a single common share of Lifeway Foods. These sales appear to violate the Company’s director stock ownership and holding policy, which requires that Mr. Scher hold Lifeway shares valued at 200% of his annual retainer. Edward and Ludmila Smolyansky call on the Board to address why this does not violate its policy, and how Mr. Scher’s sales are consistent with the Board’s purported view that Danone’s offer undervalues the Company.

Instead, they are given the gift of bypassing the sorrows of this world and are instantly transported to heaven, where we’ll meet them and enjoy their fellowship throughout eternity.

In the Gospels, when Jesus is asked to raise a synagogue leader’s young daughter from the dead, He responds, “She is not dead, but sleeping.” These words are not just spoken to the girl’s family but to every mom or dad or grandparent who has ever lost a little one. You will see them again.

Our few moments on earth are nothing compared to our eternal fellowship with those we love on the new earth. The Lord knew this flood was coming. His presence was with every child and believer in its midst, and His presence is with you now and in the difficult days that lie ahead.

With the donation of 2 million tags, the company’s initiative scales up a pioneering program for cattle development, integrity, and traceability in the state

SÃO PAULO, July 11, 2025 /PRNewswire/ — JBS has invested more than US$ 7 million in cattle traceability and support for small producers in Pará, as part of a pioneering state program that aims to trace the entire herd of cattle and buffaloes in the region by the end of 2026. The results of JBS’s initiatives were presented during the “Expedition to the Sustainable Meat and Leather Market of Pará,” an event promoted by the Nature Conservancy (TNC) Brazil. 

The initiative is part of a broader collation involving the government, producers, civil society, and industry. As part of its actions, JBS has already allocated US$ 5 million to its Traceability Accelerator Program, which aims to encourage the adoption of tags for animal traceability among the company’s indirect suppliers. This includes the donation of 2 million ear tags to producers and 175 readers to the Pará State Agricultural Defense Agency (Adepará). 

The Accelerator Program initially focuses on Southeast Pará, in the region between the municipalities of Marabá and Santana do Araguaia. JBS teams and partner organizations conduct field visits to identify and engage with farms, working directly with traceability operators who are trained and accredited by the State of Pará. The readers donated by the company record data from the animals’ individual identification tags, enabling the monitoring of individual cattle across the state, which holds the second-largest herd in Brazil. 

“Our actions were designed to scale up the state program by supporting both direct and indirect suppliers, with the capacity to reach up to 2 million tags for herd traceability. This phase is crucial to overcoming bottlenecks and testing traceability tools and solutions at scale,” said Fábio Dias, JBS’s Head of Sustainable Livestock, during the event. 

In strategic partnership with Adepará and TNC, the JBS Traceability Accelerator Program already has partner companies for field operations. Future expansion is planned for other regions of the state, such as the Southwest (Altamira, Anapu, and Pacajá), the Lower Amazon (Belterra and Santarém), and the Marajó region. There is also interest in replicating the model in other states. 

JBS has also allocated a significant part of its investment to the Green Offices in Pará: since 2021, the program has received US$ 2 million. These offices offer free and specialized support for the environmental regularization of rural properties, with a special focus on small producers. 

The main goal of the JBS Green Offices is to assist producers from registration to validation in the Rural Environmental Registry (CAR), promote adherence to the Environmental Regularization Program (PRA) when applicable, support the lifting of embargoes, and help non-compliant producers regain commercial qualification. In addition, they connect producers to requalification programs such as SIRFLOR and Reconecta in Pará.  

In the state, JBS operates four physical offices located in the Southeast region (Santana do Araguaia, Redenção, Tucumã, and Marabá). Regularization is accelerated through the Sustainable Territories Platform (PTS), in partnership with the State Secretariat for Environment and Sustainability (SEMAS). Since 2024, the offices have also offered technical and managerial assistance to producers (EV 2.0). 

Nationally, the results are significant: since the launch of the JBS Green Offices program in 2021, 18,042 farms have already been regularized, and, 7,005 hectares are in process of forest restoration.

Rooftop solar panels covering the equivalent of 1.5 football fields will provide 48% of the center’s electricity. 

MASON, Ohio, July 11, 2025 /PRNewswire/ — Festo, a global leader in industrial automation controls and systems and industrial training systems, inaugurated today a rooftop solar power generating system, the largest of its kind in Mason, Ohio. The Festo North American Regional Service Center along I-71 will now generate through solar power 48% of its annual electric power needs onsite.

The rooftop installation features 3,929 solar panels covering 85,180 square feet of rooftop. Its annual generating capacity is rated at 2.602GWh which is equivalent to the annual electricity consumed by 393 homes. This solar power installation reduces annual CO2 emissions equivalent to the carbon sequestration of a 2,300-acre forest.*

Installation on the solar power array began in November 2024 and concluded in May. Kokosing Solar Power, Athens, Ohio, was the project’s general contractor. The solar panels are installed on the rooftops of two of the three connected buildings and on the entryway’s carport. Eight solar-powered electric vehicle charging stations are a feature of the project.

Built in 2015 and expanded several times since, the Festo Regional Service Center is the North American distribution hub for Festo’s globally manufactured automation products. The facility, which employs 350 people, also assembles custom orders and builds unique products for North American customers. Festo Didactic, the learning division of Festo, builds hands-on systems that community colleges utilize to train the next generation of manufacturing and processing technicians.

Innovative Biomanufacturing Technology Deployed at World-Class Scale to Meet Growing Demand for More Sustainable, Resilient Supply Chains

SAN DIEGO, July 11, 2025 /PRNewswire/ — Geno announces the commencement of operations at the world’s largest GENO™️ Bio-BDO (1,4-butanediol) manufacturing plant. The new manufacturing plant, located in Eddyville, Iowa, uses Geno’s proprietary biocatalyst and process technology to produce 1,4-butanediol (BDO) from U.S. grown, plant-based sugars, in a single-step fermentation process. The Geno-licensed facility is operated by Qore, a joint venture between Cargill and HELM that was created to help leading brands replace their fossil-based chemistries with more sustainable, plant-based alternatives.

Geno invented, scaled up, and engineered the GENO™️ Bio-BDO process, which it licenses to global manufacturers. The technology was originally commercialized with the start-up of the first licensed plant in 2016. Geno’s Bio-BDO process enables the use of traceable, responsibly sourced, and renewable plant-based feedstocks, replacing fossil fuel-based inputs. The process is expected to reduce greenhouse gas emissions associated with the production of BDO by up to 90 percent when compared to traditional fossil-based BDO production. Qore publicly announced the official start of production at their new plant this week.
