Toronto, Ontario, Nov. 02, 2026 (GLOBE NEWSWIRE) — Atlas One Capital Corporation (TSXV: ACAP.P) (the “Corporation” or “Atlas One”), a capital pool company listed on the TSX Venture Exchange (“TSXV”), and Ramsden Metals Inc. (“Ramsden Metals” and, together with Atlas One, the “Parties”) are pleased to provide an update on their proposed business combination transaction (the “Proposed Transaction”) as previously announced on July 14, 2026. It is anticipated that the Proposed Transaction will constitute the qualifying transaction of Atlas One in accordance with Policy 2.4 – Capital Pool Companies of the Corporate Finance Manual (the “CPC Policy”) of the TSXV. The resulting company following the completion of the Proposed Transaction is referred to as the “Resulting Issuer”. All currency references used in this news release are in Canadian currency unless otherwise noted.

Definitive Agreement

The Parties are pleased to announce that they have entered into a definitive agreement dated October 30, 2026 (the “Definitive Agreement”) pursuant to which Atlas One will acquire all of the issued and outstanding securities of Ramsden Metals in exchange for the issuance of securities of Atlas One. As consideration for the acquisition of all of the outstanding common shares of Ramsden Metals (“Ramsden Shares”), holders of Ramsden Shares will receive one (1) post-Consolidation (as defined below) common share of Atlas One (each, a “Resulting Issuer Share”) for each one (1) Ramsden Share held at the time of the completion of the Proposed Transaction.

The Proposed Transaction will be completed by way of a three-cornered amalgamation among Atlas One, Ramsden Metals, and a wholly owned subsidiary of Atlas One, to be incorporated in the Province of Ontario by Atlas One, which will amalgamate (the “Amalgamation”) with Ramsden Metals (the amalgamated company shall hereinafter be referred to as “Amalco”). Pursuant to the Amalgamation, Atlas One shall acquire all of the issued and outstanding Ramsden Shares. The result of the foregoing shall be that, on completion of the Proposed Transaction, Amalco shall be a wholly owned subsidiary of the Resulting Issuer. Upon the completion of the Proposed Transaction, it is expected the Resulting Issuer will change its name to Ramsden Metals Ltd., or such other name as Ramsden Metals may determine (the “Name Change”), and the Resulting Issuer will be a mining issuer focused on exploration of the Eagle’s Nest Critical Metals Project.

Under the terms of the Definitive Agreement, Atlas One shall consolidate (the “Consolidation”) its outstanding common shares (the “Atlas Shares”) on a basis that results in the existing Atlas Shareholders collectively holding that number of post-Consolidation Atlas Shares equal to an agree value of Atlas (fixed at $325,000) divided by the offering price under the Concurrent Offering (as defined below); provided that if the Concurrent Offering is comprised solely of an offering of Ramsden Shares issued on a flow-through basis, the price used to determine the consolidation ratio shall be 70% of the offering price under the Concurrent Offering.

The Parties have agreed that the Proposed Transaction is conditional upon certain conditions precedent, including, but not limited to, the completion of the Concurrent Financing (as defined below), the Consolidation, Name Change and the receipt of all necessary regulatory and shareholder approvals, including the approval of the Amalgamation by the shareholders of Ramsden Metals.

There can be no assurance that the Proposed Transaction will be completed as proposed or at all. Investors are cautioned that, except as disclosed in the filing statement to be prepared in connection with the Proposed Transaction, any information released or received with respect to the Proposed Transaction may not be accurate or complete and should not be relied upon. Trading in the securities of a capital pool company should be considered highly speculative. The TSXV has in no way passed upon the merits of the Proposed Transaction and has neither approved nor disapproved the contents of this news release.

Shareholder Approval

Atlas One shall hold an annual general and special shareholder meeting for the purposes of obtaining shareholder approval for the Name Change and Consolidation. Atlas One will not seek nor is it required to obtain securityholder approval of the Proposed Transaction pursuant to applicable securities laws or the policies of the TSXV. The Proposed Transaction is not a “Non-Arm’s Length Qualifying Transaction” as such term is defined in the CPC Policy. No Non-Arm’s Length Party to Atlas One (as such term is defined in the CPC Policy) (a) has any direct or indirect beneficial interest in Ramsden Metals, or (b) is an insider of Ramsden Metals. There is no relationship between or among a Non-Arm’s Length Party to Atlas One and a Non-Arm’s Length Party to the Qualifying Transaction (as such terms are defined in the CPC Policy).

Concurrent Financing

The Proposed Transaction remains conditional upon an expected offering (the “Concurrent Financing”) of subscription receipts (the “Subscription Receipts”) by Ramsden Metals on such price, size and other terms as may be determined by Ramsden Metals and accepted by the TSXV, provided that following the Proposed Transaction the funds resulting to the Resulting Issuer are sufficient to satisfy the applicable financing and listing requirements of the TSXV.

It is expected that each Subscription Receipt will represent the right of a holder to receive, upon satisfaction or waiver of certain escrow release conditions, without payment of additional consideration, securities of Ramsden Metals in accordance with the terms and conditions of a subscription receipt agreement (the “Subscription Receipt Agreement”) to be entered into among the Parties and a subscription receipt and escrow agent upon closing of the Concurrent Financing.

Pursuant to the terms of the Proposed Transaction, the Concurrent Financing and the Subscription Receipt Agreement, any Ramsden Share issued upon conversion of the Subscription Receipts would be exchanged for one Resulting Issuer Share and any common share purchase warrant of Ramsden Metals issued upon conversion of the Subscription Receipts would be exchanged for one common share purchase warrant of the Resulting Issuer.

The Parties acknowledge that an agent may be engaged to act as agent on a “commercially reasonable efforts” basis for the Concurrent Financing, or finders may be engaged in connection with the Concurrent Financing, and in connection therewith may be paid a commission in an amount to be determined.

The Parties expect to announce the Concurrent Financing by news release upon launch of the same, and to include additional details and final terms of the Concurrent Financing in such news release.

The Resulting Issuer

The Parties expect that the Resulting Issuer following from the Proposed Transaction will carry on the existing business of Ramsden Metals and be a mineral exploration company focused on exploration of the Eagle’s Nest Critical Metals Project. See “Definitive Agreement” above for details concerning the expected corporate structure of the Resulting Issuer upon completion of the Proposed Transaction.

From Brand Presentation to Sales and Service

The 11 markets are the UAE, Kuwait, Qatar, Saudi Arabia, Israel, Iraq, Jordan, Lebanon, Bahrain, Oman and Egypt. As the starting point of FREELANDER’s international business, the region is now moving from brand presentations and partnership talks to preparing sales and service networks.

FREELANDER 8 is expected to launch in the UAE in the first quarter of 2027.

“For me, bringing FREELANDER to the world means more than entering new markets. It means earning the trust of our customers, every day. That takes a great product, strong local partners and service people can rely on,” said Ms Lucia Mao, CEO of FREELANDER International, at FREELANDER Nightfall.

In the UAE, Al Tayer Motors and Premier Motors are FREELANDER’s official dealer partners. At FREELANDER Nightfall, held during the 2026 Chery International User Summit in Wuhu in October, the brand signed new partnership agreements for Bahrain and Oman.

Morocco Opens the Way into Africa

In Africa, Morocco will be FREELANDER’s first step and, together with Tunisia, will form the brand’s first group of African markets. Preparations are actively under way, with entry expected in mid-2027. FREELANDER will work with prospective local partners on sales, after-sales and product introduction plans suited to each market.

Entry timing, specifications, pricing and sales arrangements for each market will be announced through official channels.

~ FDA sets PDUFA target action date of May 1, 2027 ~

~ If approved, ifezuntirgene inilparvovec will be the world’s first disease-modifying treatment
for Huntington’s disease ~

LEXINGTON, Mass. and AMSTERDAM, Nov. 02, 2026 (GLOBE NEWSWIRE) — uniQure N.V. (NASDAQ: QURE), a leading gene therapy company advancing transformative therapies for patients with severe medical needs, today announced the U.S. Food and Drug Administration (FDA) has accepted for review the Biologics License Application (BLA) for ifezuntirgene inilparvovec, an investigational gene therapy for the treatment of Huntington’s disease submitted under the Accelerated Approval pathway. The application has been granted Priority Review with a Prescription Drug User Fee Act (PDUFA) target action date of May 1, 2027.

In its acceptance letter, the FDA stated that they are tentatively planning to discuss this application at an Advisory Committee meeting.  The Company will be notified once the date and timelines have been finalized.

“The FDA’s acceptance of our BLA for review marks an important milestone for the Huntington’s disease community, which has waited generations for a treatment that changes the course of this devastating disease,” stated Matt Kapusta, chief executive officer of uniQure. “Backed by compelling data from our Phase I/II studies, we believe ifezuntirgene inilparvovec has the potential to become the first disease modifying treatment for Huntington’s disease. With the FDA’s priority review underway, we will work in conjunction with the Agency, clinicians, and the Huntington’s community to support the review process.   The confirmatory trial remains a key priority, with screening anticipated to begin by year end and the study is expected to be well underway by the time of potential approval.”

The BLA is supported by the previously announced 36-month data analysis from the Phase I/II clinical study of ifezuntirgene inilparvovec, compared to a propensity score-matched external control derived from the Enroll-HD natural history database, as previously announced on September 24, 2025.

The Company and FDA have aligned on key elements of the confirmatory study design. The study is designed as a randomized, standard-of-care trial enrolling approximately 200 patients in a 2:1 ratio of ifezuntirgene inilparvovec to standard of care, with Total Functional Capacity (TFC) as the primary endpoint at 36 months. The Company plans to initiate patient screening in the U.S. by the end of 2026.

Ifezuntirgene inilparvovec is the first investigational therapy for Huntington’s disease to have received Breakthrough Therapy and Regenerative Medicine Advanced Therapy (RMAT) designations from the FDA. Ifezuntirgene inilparvovec also holds Fast Track designation from the FDA.

About Ifezuntirgene Inilparvovec (AMT-130)

Ifezuntirgene inilparvovec is a novel gene therapy candidate for the treatment of Huntington’s disease, which utilizes a proprietary, gene-silencing miQURE® platform and incorporates a miRNA, specifically designed to silence the huntingtin gene and the potentially highly toxic exon 1 protein fragment. Treated patients receive a single administration through targeted, MRI-guided, convection-enhanced stereotactic neurosurgical delivery directly into the striatum (caudate and putamen).

About the Phase I/II Clinical Program of Ifezuntirgene Inilparvovec

uniQure is conducting two multi-center Phase I/II clinical studies evaluating the safety, tolerability, and efficacy of ifezuntirgene inilparvovec for the treatment of Huntington’s disease.

In total, the Phase I/II clinical studies have dosed 51 patients with ifezuntirgene inilparvovec. The U.S. randomized study enrolled 26 patients who received either a single administration of ifezuntirgene inilparvovec (n=6 low dose; n=10 high dose) or a sham procedure (n=10); four control patients subsequently crossed over to treatment after approximately 12 months. The European open-label study enrolled 13 patients (n=6 low dose; n=7 high dose). A third cohort of 12 patients explored both doses in combination with immunosuppression, and a fourth cohort of six U.S. patients is evaluating the high dose in patients with lower striatal volumes compared to those enrolled in previous cohorts.

About Huntington’s Disease

Huntington’s disease is a rare, inherited neurodegenerative disorder that leads to motor symptoms including chorea, behavioral abnormalities and cognitive decline resulting in progressive physical and mental deterioration. The disease is an autosomal dominant condition with a disease-causing CAG repeat expansion in the first exon of the huntingtin gene that leads to the production and aggregation of abnormal protein in the brain. Approximately 75,000 people have Huntington’s disease in the U.S.1, EU2, and the UK3, with hundreds of thousands of others at risk of inheriting the disease. Despite the clear etiology of Huntington’s disease, there are currently no approved therapies to delay the onset or to slow the disease’s progression.

uniQure Forward-Looking Statements

This press release contains forward-looking statements within the meaning of Section 27A of the Securities Act and Section 21E of the Exchange Act. All statements other than statements of historical fact are forward-looking statements, which are often indicated by terms such as “anticipate,” “believe,” “could,” “expect,” “intend,” “look forward to,” “may,” “plan,” “potential,” “seek,” “should,” “will” and similar expressions and the negatives of those terms. Forward-looking statements are based on management’s beliefs and assumptions and on information available to management only as of the date of this report. Examples of these forward-looking statements include, but are not limited to, statements concerning: the Company’s beliefs related to the review and approval of its biologics license application (“BLA”) for ifezuntirgene inilparvovec; expectations regarding the adequacy of clinical data to support the marketing application and approval of ifezuntirgene inilparvovec; expectations regarding timing of receiving potential approval of, ifezuntirgene inilparvovec; whether the FDA will hold an advisory committee to discuss the BLA and the timing of such review and approval based on the Prescription Drug User Fee Act (“PDUFA”) target action date of May 1, 2027 for the BLA; and its belief related to the potential for ifezuntirgene inilparvovec, if approved, to meaningfully reduce disease progression   based on the Company’s evaluation and view of certain measurements of disease progression. The Company’s actual results could differ materially from those anticipated in these forward-looking statements for many reasons. These risks and uncertainties include, among others: the risk that the FDA ultimately concludes that the Phase I/II trial data and/or the confirmatory trial data are not sufficient to support accelerated approval; the risk that more patient data become available that results in a different interpretation than the one derived from the year three and four data analyses, respectively; risks related to the Company’s interactions with regulatory authorities, which may affect the pathways to regulatory approval; whether RMAT designation, Breakthrough Therapy designation, or any accelerated pathway, if granted, will lead to regulatory approval; the Company’s ability to conduct and fund any required confirmatory study for ifezuntirgene inilparvovec; the Company’s ability to successfully complete any required confirmatory study for ifezuntirgene inilparvovec; the risk that accelerated approval, if granted, may be subject to post-approval requirements that are difficult or costly to satisfy; and the Company’s ability to continue to build and maintain the infrastructure and personnel needed to commercialize ifezuntirgene inilparvovec, if approved. These risks and uncertainties are more fully described under the heading “Risk Factors” in the Company’s periodic filings with the U.S. Securities & Exchange Commission (“SEC”), including its Annual Report on Form 10-K filed with the SEC on March 2, 2026, its Quarterly Report on Forms 10-Q filed with the SEC on May 5, 2026 and July 29, 2026, respectively, and in other filings that the Company makes with the SEC from time to time. Given these risks, uncertainties and other factors, you should not place undue reliance on these forward-looking statements and, except as required by law, the Company assumes no obligation to update these forward-looking statements, even if new information becomes available in the future.
