  • Predictive Interim analysis indicates low probability of study meeting its primary efficacy endpoint if continued
  • Comprehensive analysis and evaluation of available open-label extension data will follow
  • No safety concerns were identified in the interim analysis

PARSIPPANY, N.J., Nov. 02, 2026 (GLOBE NEWSWIRE) — Teva Pharmaceuticals, a U.S. affiliate of Teva Pharmaceutical Industries Ltd. (NYSE and TASE: TEVA), today announced that it will discontinue the Phase 2 TOPAS-MSA study (NCT06568237) evaluating emrusolmin (TEV-‘286) in adults with multiple system atrophy (MSA). The decision follows a recommendation from the independent data monitoring committee (IDMC), based on a prespecified interim futility analysis. The analysis met the predefined futility criterion, indicating a low probability of the study meeting its primary efficacy endpoint if continued. This was an interim predictive assessment and not the study’s final efficacy analysis. No safety concerns were identified in the interim analysis.

Emrusolmin is being developed in partnership with MODAG GmbH. A comprehensive analysis of the TOPAS-MSA data and available data from the open-label extension study of emrusolmin in MSA (NCT07197866) will follow. The decision announced today concerns TOPAS-MSA and does not represent a final decision on the broader emrusolmin program.

“While we are disappointed by the outcome of this interim analysis for the Phase 2 study, we remain deeply committed to learning everything we can from these data,” said Eric Hughes, M.D., Ph.D., Executive Vice President, Global R&D and Chief Medical Officer at Teva. “We are deeply grateful to the patients, families, investigators, and study teams who contributed their time and commitment to this research. Our hope is that the science and learnings can deepen our understanding of MSA and help us determine a path forward for emrusolmin.”

Teva will work with the TOPAS-MSA study investigators to ensure the study protocols are followed while the Phase 2 study is discontinued. Teva plans to share the TOPAS-MSA findings with the scientific community following completion of its comprehensive analysis.

Teva to Host Q3 Earnings Call on November 3, 2026
Teva will host its third-quarter 2026 earnings conference call on November 3, 2026 at 8:00 a.m. ET. Register here. A live webcast of the call will be available on Teva’s website at: https://ir.tevapharm.com/Events-and-Presentations.

About the TOPAS-MSA Program
TOPAS-MSA (NCT06568237; TV56286-NDG-20039) is a randomized, double-blind, placebo-controlled Phase 2 study designed to evaluate the efficacy and safety of emrusolmin in adults with multiple system atrophy (MSA). The study was designed to enroll approximately 350 participants to receive emrusolmin 300 mg or placebo for approximately 48 weeks, followed by a four-week follow-up period. The primary endpoint is change from baseline to Week 48 in the modified Unified Multiple System Atrophy Rating Scale Part I score.

The separate Phase 2 open-label extension (OLE) study (NCT07197866; TV56286-NDG-20041) is designed to evaluate the long-term safety and tolerability of emrusolmin in eligible participants who completed the 48-week treatment period of TOPAS-MSA.

About emrusolmin
emrusolmin, also known as TEV-‘286, is an investigational, orally administered small molecule designed to target alpha-synuclein aggregation, one of the core pathogenic mechanisms believed to be involved in MSA. Emrusolmin is being developed in partnership with MODAG GmbH. The U.S. Food and Drug Administration granted Orphan Drug designation to emrusolmin for MSA in 2022 and Fast Track designation in September 2025.

About Multiple System Atrophy (MSA)
MSA is a rare neurodegenerative disorder classified clinically as “atypical parkinsonism” and belongs to the group of synucleinopathies. MSA is characterized histopathologically by abnormal deposits of the α-synuclein protein, mainly in oligodendroglial cells (glial cytoplasmic inclusions) and also in certain nerve cells. Typically, there is a dysfunction of the autonomic nervous system, i.e., disturbances of bladder function, erectile function, intestinal mobility, or the regulation of blood pressure in combination with a movement disorder. The movement disorder often presents with either Parkinson-like symptoms or a disturbance of cerebellar function, such as ataxia, gait and speech problems. In the US, EU, and Japan, MSA affects about 40,000 people (prevalence of 4 per 100,000), with about 6,000 new cases diagnosed each year (incidence of 0.6 per 100,000). Post-diagnosis life expectancy is about 6-10 years. Due to the relatively small number of affected patients and lack of effective therapy, MSA qualifies for orphan status, allowing a shorter development path. This unmet medical need for MSA disease modification is the driver to develop new therapies that could potentially impact the lives of patients.

Special meeting of Chemomab shareholders to vote on the proposed merger scheduled for December 4, 2026

TEL AVIV, Israel, and DURHAM, N.C., Nov. 02, 2026 (GLOBE NEWSWIRE) — Chemomab Therapeutics (Nasdaq: CMMB) (“Chemomab”) and Scipher Medicine Corporation (“Scipher”), a leader in immunology precision medicine, today announced that on October 30, 2026, the U.S. Securities and Exchange Commission (“SEC”) declared effective the Registration Statement on Form S-4 (as amended, the “Registration Statement”) filed by Chemomab and Snowdrift Parent Corporation in connection with the previously announced proposed business combination between Chemomab and Scipher. The definitive proxy statement/prospectus for the special meeting of Chemomab’s shareholders in connection with the proposed merger (the “Proxy Statement”) is now also available.

The SEC’s declaration of effectiveness marks an important milestone in the proposed business combination. Chemomab shareholders of record as of October 29, 2026 (the “Record Date”) will have the opportunity to approve the proposed business combination at a special meeting of Chemomab shareholders (the “Special Meeting”) scheduled for Friday, December 4, 2026, at 3:00 p.m. Israel Time (8:00 a.m. Eastern Time). If the proposed business combination is approved, it is expected to close in early 2027, subject to the satisfaction of customary closing conditions. Upon closing, the combined company will operate under the name “Scipher Medicine Corporation” and the shares of the combined company’s common stock are expected to be listed on the Nasdaq Capital Market and traded under the ticker symbol “SCIP.”

The proposed merger is expected to create a leading immunology precision medicine company that includes SPECTRA™, Scipher’s AI network medicine platform, and nebokitug, which the combined company intends to assess in a Phase 2 trial for rheumatoid arthritis (RA). Preparations are underway for the trial, and, assuming the closing of the merger, the trial is expected to begin in the first half of 2027 and read out in 2028. RA represents a multi-billion dollar market opportunity where the majority of patients do not achieve a state of low disease activity or remission with current gold-standard therapies.

The Registration Statement and the Proxy Statement are available at www.sec.gov and also at the Investors page on the Chemomab website at www.chemomab.com. Chemomab shareholders are encouraged to vote their shares as soon as possible so they can be tabulated prior to the Special Meeting.

About the Proposed Transaction
Under the terms of the merger agreement, as of the closing and immediately prior to a proposed private placement financing, and subject to the assumptions and adjustments set forth in the merger agreement, the pre-merger Chemomab equity holders are expected to own approximately 32% of the combined company, and the pre-merger Scipher equity holders led by Northpond Ventures, with participation from Khosla Ventures and Blue Owl Healthcare Opportunities, and other leading investors are expected to own approximately 68% of the combined company, each on a fully-diluted basis and subject to adjustment. In addition, pre-merger Chemomab shareholders are expected to receive contingent value rights, or CVRs, providing the opportunity to receive additional value upon the achievement of certain specified milestones related to nebokitug, subject to the terms and conditions of the CVR agreement. The transaction has received unanimous approval from the boards of directors of both companies and is expected to close in early 2027, subject to certain closing conditions, including, among other things, approval by the shareholders of Chemomab, the redomiciling of Chemomab to the United States, and the satisfaction of other customary closing conditions. In connection with the companies’ entry into the merger agreement, Chemomab shareholders who held approximately 20% of the voting power of Chemomab as of the Record Date have entered into voting support agreements, pursuant to which they have agreed to vote all their share capital of Chemomab in favor of approval of the merger agreement and the transaction.

Additional information about the proposed business combination is set forth in the Registration Statement and Proxy Statement. Investors and security holders are urged to read those materials.

Company Reiterates Commitment to Addressing Liquidity Needs in Disciplined Manner at the Direction of the Enhanced Board and Management Team

ORLANDO, Fla., Nov. 02, 2026 (GLOBE NEWSWIRE) — Innventure, Inc. (NASDAQ: INV) (“Innventure” or the “Company”), today announced that its Board of Directors (the “Board”) has formed a Strategic Review Committee (the “Committee”) of disinterested directors to oversee a wide range of strategic matters, including an evaluation of capital strategies and other strategic priorities to create shareholder value.

“We are committed to continuing to take actions aimed at enhancing shareholder value, and we value constructive investor feedback as we work through this process,” said Bruce Brown, Chairman. “The Board and management team are focused on evaluating strategies with particular attention to capital efficiency. As the Strategic Review Committee conducts its work, Innventure remains focused on reducing parent company operating costs, addressing near-term liquidity requirements, and supporting independent fundraising efforts at each of our operating companies.”

Initiation of Strategic Review

The Committee is working with independent financial advisors to support a comprehensive review of capital strategies and has been actively considering potential avenues to strengthen the Company’s financial position. The Committee, Board, and management team will continue to act in shareholders’ best interests and support the review process. No timetable has been set for the conclusion of the review, and no decisions have been made regarding potential actions.

Capital Management and Funding Plans (ATM, Accelsius, AeroFlexx and Refinity)

Innventure has undertaken significant actions, including a decrease in headcount since the end of Q1 from 40 to 15, reducing payroll costs by approximately 57%, excluding severance costs. The Company continues to explore additional cost-cutting initiatives.

Innventure has near-term liquidity requirements at the parent-company level given that the majority of the consolidated balance sheet cash Innventure reports is attributable to Accelsius. The Company aims to meet its obligations while maintaining financial discipline, minimizing unnecessary dilution, and preserving the value of its operating company interests. Innventure is fully supportive of independent capital formation at its operating companies, including Accelsius, which has engaged Evercore Group L.L.C. to act as its financial advisor in connection with evaluating its private capital formation needs and alternatives.

To address near-term liquidity needs, Innventure established its at-the-market equity offering program (the “ATM”) on October 6, 2026, as an alternative to the $75 million Standby Equity Purchase Agreement that Innventure entered into in 2023 in connection with going public. The addition of this program does not increase the amount of capital the Company intends to raise in the aggregate. Rather, it provides an additional tool that the Company can employ selectively as capital needs arise, after considering funding requirements, prevailing market conditions and the dilutive impact on shareholders. The Company does not intend to use the ATM to raise capital for Accelsius at current share prices or raise the full $60 million available under the ATM.

Innventure continues to believe that it is in the best interest of shareholders to limit its ongoing funding of AeroFlexx and Refinity while continuing to pursue strategic alternatives for both companies, including potential sales and interim third-party financings. Accordingly, Innventure intends to conclude funding for AeroFlexx within the next month and Refinity by the end of the year, with funding during this interim period subject to the oversight of the Committee. While material cost reductions were initiated at Refinity and it was previously indicated it would be self-funded beginning in October 2026, the Company now believes that providing Refinity with limited capital in the near term is prudent to allow Refinity additional time and opportunity to achieve a potential outcome that may preserve or realize value for Innventure shareholders.

Enhanced Governance

Over the past several months, Innventure has taken steps to strengthen its governance, independence and leadership, including appointing Michael Madon as an independent director and reducing the size of the Board from nine to seven directors, six of whom are independent. The Company’s Board includes highly qualified individuals with the right mix of skills across technology and R&D commercialization, finance, capital markets, and public company governance to support management.

On September 1, Dr. Bill Grieco assumed the role of Chief Executive Officer and on October 19, Eric Stober joined as Chief Financial Officer. Dr. Grieco is a seasoned entrepreneur and proven leader in technology commercialization with 25 years of experience scaling R&D and commercialization organizations across the chemical, pharmaceutical, clean tech, and specialty materials industries. Mr. Stober is a finance executive with more than two decades of experience across public companies, capital markets, and strategic transactions, most recently serving as CFO of Capital Factory and previously as CFO of Astrotech Corporation, where he played a key role in restructuring the company and managed the sale of its satellite operations business to Lockheed Martin.

These appointments reflect the Board’s commitment to rigorous, independent oversight as the Company focuses on disciplined capital allocation and evaluates the full range of avenues to create shareholder value.

The Company recognizes the importance of providing shareholders with clear information regarding its strategic direction and capital allocation priorities. Innventure intends to provide additional updates as appropriate as it advances these initiatives and reaches meaningful milestones.

TORONTO, Nov. 02, 2026 (GLOBE NEWSWIRE) — Adyen, the global financial technology platform of choice for leading businesses, today shares new data that finds amid rising costs, tariff pressures and softer consumer spending, Canadian small businesses are heading into the holiday season with little room for financial disruption.

An Adyen survey of 1,015 Canadian small and medium-sized business owners found 71% say recent economic conditions such as tariffs, interest rates and inflation have affected their operations. Four in ten (40%) cite rising supply costs and a third (34%) shrinking profit margins, while 29% have lost sales or revenue due to lower consumer spending. The findings come as small business confidence dropped 10 points to 47.9 in September, according to the CFIB Business Barometer, and Canada lost 68,000 jobs in September, a second straight monthly decline. As margins shrink, how quickly businesses can access cash matters more than ever: more than half (53%) of owners say receiving payouts faster would make a difference to their business.

For many businesses, those pressures are steadily eroding the cash cushion they rely on to cover day-to-day costs. One in four (25%) surveyed owners say their business could cover wages, rent, supplies and other operating costs for less than a month without sales payouts, and 14% could last a week or less. Contrary to the assumption that cash flow is mainly a challenge for the smallest operators, the pressure intensifies as businesses grow: nearly half (47%) of businesses with 26–250 employees say the time it takes to receive funds from sales often causes cash flow challenges, more than double the rate of sole traders (20%). Among those larger businesses, 79% say faster payouts would have an impact, including 30% who say it would be significant.

When cash runs short, many owners are shouldering the financial risk personally rather than turning to traditional lenders. Half (50%) would use personal savings if they needed funding today, compared to 34% who would seek a bank loan, 17% who would seek a credit union loan and 12% who would borrow from family or friends. Personal guarantees or financial exposure (28%) and too much paperwork (25%) are the top barriers to accessing capital.

As businesses grow and their funding needs become more complex, many are beginning to look beyond traditional lenders altogether. Among businesses with 26–250 employees, 32% cite strict collateral requirements and 31% slow approval timelines as barriers to capital, and nearly one in four (23%) would turn to financing through a technology provider or software platform they already use, compared to 8% of business owners overall.

The consequences of these funding gaps would ripple out to the employees and communities that depend on these businesses. Small businesses (those with 1–99 employees) employ 46.6% of Canada’s private-sector workforce, according to Innovation, Science and Economic Development Canada. If unable to secure funding when needed, 36% of surveyed owners could delay, halt or cancel growth plans, 19% anticipate operational cutbacks such as layoffs or delayed wages (rising to 41% among businesses with 26–250 employees), and 17% say their business could close or go bankrupt.

“Canadian businesses are under real pressure right now, but there’s a clear opportunity in these findings,” said Sander Meijers, Canada Country Manager at Adyen. “Owners are telling us that faster access to their own revenue and simpler paths to funding would make a real difference, especially as they grow. Financing built into the platforms businesses already use is a modern evolution of business banking, and it can help keep teams employed, growth plans on track and local economies moving.”

Through its financial products, Adyen enables the platforms it powers to offer faster access to sales revenue and embedded financing, giving the businesses on those platforms the means to manage day-to-day operations, navigate cash flow challenges and pursue growth without waiting on traditional financing.

Methodology
These findings are from a survey conducted by Adyen in October 2026, among a sample of 1,015 Canadian small and medium-sized business owners and self-employed Canadians who are members of the Angus Reid Forum and are involved in their business’s payments, cash flow, financing or banking decisions. Respondents represent businesses with up to 250 employees. The survey was conducted in English and French. For comparison purposes only, a probability sample of this size would carry a margin of error of +/-3.1 percentage points, 19 times out of 20.
