SHANGHAI, China, Oct. 22, 2026 (GLOBE NEWSWIRE) — FREELANDER has completed the first test drive of the international variant of FREELANDER 8 at the 2026 Chery International User Summit in Wuhu. From 19 to 21 October, international media, content creators and dealer partners experienced FREELANDER 8 on and off road, across an all-terrain course at Tuju Campground, an obstacle course and a paved test course.

Mud, Rain and Changing Terrain

The programme began on 19 October at Tuju Campground, where rain added to the challenge of an all-terrain course with mud tracks, S-bends, wavy roads and sand and gravel. i-ATS (Intelligent All-Terrain System) helped drivers adapt to the changing surfaces. Its nine modes combine seven terrain programmes with Smart Mode, which responds to changing surface conditions, and Expert Mode for experienced drivers.

“I think the driving experience is very good. The systems are working very well on the mud,” said a guest from Slovakia. “The weather is perfect for testing this car today.”

The All-Terrain Dual Lock System, which combines a virtual central differential lock with a rear electronic limited-slip differential (e-LSD), helped maintain traction on soft ground, while the dual-chamber air suspension can raise the vehicle for more ground clearance off road.

“I think it’s a combination of elegance, beauty and power for the off-road,” said a guest from the Dominican Republic.

Steep Climbs, Water and Cross-Axle Sections

On 20 and 21 October, the obstacle course included steep inclines, water crossings and cross-axle sections. Under the relevant test conditions, FREELANDER 8 can climb gradients of up to 70%, wade through water up to 900 mm deep and pass an 800 mm cross-axle test. When wading, radar measures the water depth, and the centre display shows it in real time. These capabilities are subject to the vehicle’s operating limits and appropriate driving conditions.

On the Road and in the Car Park

On 21 October, the paved test course allowed participants to assess acceleration, braking, handling and ride comfort. For the international left-hand drive version, the 2.0T Dedicated Hybrid Engine and dual-motor all-wheel-drive system deliver 460 kW of peak power and 0–100 km/h acceleration in 5.8 seconds. A dedicated session also introduced SIVP (Super Intelligent Valet Parking), which will be available in selected markets for supported parking scenarios, subject to system operating conditions.

First-Hand Impressions

Guests also highlighted how composed FREELANDER 8 felt in difficult conditions. “It was like driving normally,” said a guest from Greece, describing the mud course. “I guess they will love the design and the security that you felt while driving it,” said another guest from the Dominican Republic.

Beyond the Legend

The test drive programme ran alongside FREELANDER Nightfall on 19 October, where guests were welcomed by Mornine, an embodied AI humanoid robot from Chery International’s AiMOGA brand. FREELANDER 8 is expected to launch in the UAE in the first quarter of 2027. Together, the Summit programme shows how FREELANDER 8 brings together premium heritage, intelligent technology and all-terrain capability. This combination reflects the brand slogan “Beyond the Legend” and its vision of building on its heritage through intelligent innovation and distinctive design.

Revenue

Gold equivalent sales for the quarter of 38,348 ounces1 (Q4 FY26: 47,411 AuEq oz) for revenue of $206 million (Q4 FY26: $257 million) at an average gold sales price of $5,128/oz (Q4 FY26: $5,599/oz) and an average antimony sales price of $23,842/t (Q4 FY26: $30,602/t). Revenue from Tomingley includes 7,800 ounces delivered into forward contracts at $2,884/oz.

Björkdal’s and Costerfield’s average gold sales prices were $5,264/oz and $5,919/oz respectively. Revenue for the quarter at these operations includes adjustments to provisionally priced concentrate sales, which are then revalued at each reporting date (by using the current market price at the end of each reporting period). The average sales price is pre-adjusted revenue divided by the number of ounces sold during the quarter. Metal prices and final invoice assay adjustments resulted in positive provisional pricing adjustments of $10 million at Björkdal. This was driven by ~1,200 additional ounces realised from upgraded concentrate shipments, together with a 4% increase in the gold price over the quarter. At Costerfield, there was a negative provisional pricing adjustment of $1 million mainly attributed to declining antimony prices (the closing Shanghai Metal Market price was down 9% on Q4 FY26).

Operating Costs, Cash Operating Costs per Gold Equivalent Ounce Produced, All-In Sustaining Costs (“AISC”) per Gold Equivalent Ounce Produced and Capital Expenditures

Group AISC was $2,805/AuEq oz1 for the quarter and group cash costs were $2,424/AuEq oz for the quarter.

Total operational sustaining, growth and exploration capital expenditure during Q1 FY27 was $59 million.

Sustaining capital was ~$13 million which included $6 million for capital development across all sites.

Growth capital of ~$37 million included $16 million for the Newell Highway realignment at Tomingley, $10 million for mobile equipment purchases and rebuilds at Tomingley and Björkdal, and $4 million for tailings storage facility construction at Björkdal.

Exploration expenditure of ~$9 million was primarily incurred at Costerfield. This focused on extending mineral resources at the Kendall, Brunswick South and Cuffley deposits, as well as recommencing several high-priority targets further afield.

Operations Performance

The primary source of ore continues to be from Roswell. Underground ore mined was above plan at 385,710t largely driven by availability of stoping ore enabling production from multiple sources.

Processing continues to perform well with milling exceeding plan primarily because of the continued use of a mobile crusher to pre-crush material prior to entering the processing circuit with ongoing trials to determine optimal product sizes.

During the quarter, new monthly records for both mining (139,499t mined) and processing (120,314t milled) were set. A total of 21,506 ounces of gold was produced for the quarter (Q4 FY26: 20,896 oz). The site cash costs for the quarter were $2,305/oz (Q4 FY26: $2,227/oz) with an AISC of $2,340/oz (Q4 FY26: $2,481/oz).2 Gold sold for the quarter was 20,458 ounces at an average sales price of $4,795/oz, generating revenue of $98 million. Bullion stocks totalled 2,586 ounces, valued at $15 million using the closing price at quarter end. The site’s operating cash flow was $52 million for the quarter.

Work continued on the Newell Highway diversion during the quarter with continued good progression of offline works, although some time was lost because of wet weather. Concrete pours were ongoing for culvert bases with work continuing on the ‘northern tie-in’ of the offline works, work ongoing on the current alignment as well as commencing on the ‘southern tie-in’ during the quarter. Current plans (subject to weather delays) are for traffic to switch onto the new highway alignment early in the June 2027 quarter, with open pit mining activities to commence thereafter.

Exploration

During the quarter Near Mine exploration at Tomingley was focused on testing the area between Roswell and Wyoming One as well as extending the newly discovered mineralisation west of the Macleans Resource. Additionally, drilling was undertaken to further investigate a mineralised monzodiorite package immediately to the north of Roswell.

Within the tenements surrounding the Mining Licence, exploration continued and was focused on the El Paso deposit which lays ~2km to the south of the scheduled production at the San Antonio open pit.

On 15 October 2026, Alkane released the results from its deep drill hole (1,651m) under the Peak Hill historic gold mine. The drilling tested for a potential copper-gold porphyry system hypothesised to exist below the high sulphidation system previously mined. While the drilling did not fully resolve the porphyry target, it successfully intersected the continuation of the mineralised high-sulphidation epithermal system approximately 1 km below the Proprietary open pit, demonstrating significant vertical continuity of alteration and mineralisation. Key results included 6.4 metres at 0.42 g/t Au from 1,000.6 metres and 153 metres at 0.11 g/t Au and 0.02% Cu from 1,427 metres, confirming the system remains open at depth and may transition toward a deeper porphyry source. The results highlight substantial exploration upside beneath the existing resource, with a further 6,600 metres of follow-up drilling planned to test for higher-grade extensions and better define the scale of the mineralised system.10

Operations Performance

Costerfield delivered another steady operational performance for the quarter, with both ore mining and milling rates exceeding plan. Tonnes mined were strong, with mining advance tracking reasonably well, although head grades came in below plan. Challenging ground conditions slowed drilling rates, as well as resulting in excessive dilution in some mining areas and restricted access to some planned mining areas, which in turn weighed on overall plan compliance.

Processing set successive monthly throughput records during the quarter (July 13,259t; August 13,929t; September 14,341t) for 41,528t milled, 14% above plan, on strong mill utilisation. Work continues on blend control, reviewing operational and maintenance processes to continue with optimising mill throughput.

Work continues across numerous work fronts to achieve operational consistency across all aspects of the operation. Positive results are beginning to be seen in both mobile and fixed plant maintenance as well as mining and processing.

A total of 8,752 gold equivalent ounces1 was produced during the quarter (Q4 FY26: 11,659 AuEq oz). The site cash costs for the quarter were $2,731/AuEq oz (Q4 FY26: $1,898/AuEq oz) with an AISC of $3,194/AuEq oz (Q4 FY26: $2,568/AuEq oz).2 Gold sold for the quarter was 6,790 ounces at an average sales price of $5,919/oz and antimony sold for the quarter was 172 tonnes at an average sales price of $23,842/t, generating revenue of $42 million. Finished product stocks were 4,515 ounces. The site’s operating cash flow was $29 million for the quarter. Note that the lowering of antimony price also has the effect of reducing equivalent gold production versus the preceding quarters1.

Exploration

During the quarter, exploration activities focused on six key prospects across the Costerfield property. Close to the current mining operations, drilling was primarily directed towards extending mineral resources at the Kendall, Brunswick South and Cuffley deposits. Work also included follow-up testing of a newly discovered mineralised trend located west of Brunswick South, which continues to demonstrate potential for additional high-grade mineralisation.

Further afield and within 3km of Costerfield operations, drilling programs recommenced at several high-priority exploration targets. To the east drilling tested the depth extension to the Brown’s deposit and to the west a potential northern extension to True Blue. North of Costerfield drilling recommenced on the Northern Dykes prospect targeting mineralised igneous intrusions.

Geological Map of Costerfield showing areas of exploration during Q1 FY27

Geological Map of Costerfield showing areas of exploration during Q1 FY27

During the quarter Alkane also provided updates on 3 Costerfield exploration programs summarised below.

At True Blue, 33 additional drill holes (19,012m) significantly improved geological confidence in the deposit through infill drilling of the Freeman Vein and associated structures. High-grade gold-antimony intercepts such as 57.6g/t Au and 25.4% Sb, 20.9g/t Au and 19.5% Sb, and 84.1g/t Au with 15.4% Sb confirmed the continuity and economic potential of the system, while also highlighting greater structural complexity than previously interpreted. The enhanced geological understanding supports future development studies and has generated several high-priority exploration targets along strike, at depth below the Komodo Fault, and toward the nearby West Costerfield prospect.4

Drilling at the Brunswick South Deposit continued to deliver strong gold-antimony results from an extensive 91-hole infill and extension drilling program. Drilling confirmed continuity between the shallow historical resource and the recently discovered deeper mineralisation, with standout intersections including 50.1g/t Au and 26.2% Sb over 2.17m, 109.9g/t Au over 0.65m, and 25.0g/t Au over 1.70m from the emerging Kiwi Zone. The program defined two principal mineralised domains: an upper antimony-rich gold shoot and a lower, gold-dominant Kiwi Zone extending over approximately 400m strike. Results have been incorporated into mine planning, with development access having commencing during this quarter.5

Exploration at Cuffley and the Sub-KC system resulted in the discovery of a new high-grade mineralised domain between previously mined high-grade panels at Cuffley and continued expansion of the emerging Sub-KC deposit at depth. Exceptional assays included 580.9g/t Au and 24.0% Sb over 0.61m, including 0.25m at 1,360g/t Au, together with additional high-grade results of 168.9g/t Au and 33.5% Sb over 0.90m and 60.1g/t Au and 15.2% Sb over 1.26m. The newly defined Cuffley mineralisation is readily accessible from existing underground infrastructure and has been incorporated into the mine schedule, while ongoing drilling at Sub-KC continues to demonstrate strong potential for further resource growth and new mineralised repetitions along strike.6

Pre-stripping of the first stage of the Nylunds open pit has been completed and ore extraction will begin in the current (Q2 FY27) quarter. Initial till removal has been completed on the new portal to the Storheden deposit, the portal is also expected to be established in the current (Q2 FY27) quarter. Lateral development to the Storheden deposit from underground has also commenced. Capital works on the lifts to the tailings dam facilities are on schedule and within budget.

A total of 10,482 gold ounces was produced during the quarter (Q4 FY26: 9,935 oz). The site cash costs for the quarter were $2,411/oz (Q4 FY26: $3,121/oz) with an AISC of $3,012/oz (Q4 FY26: $4,184/oz).2 Gold sold for the quarter was 10,702 ounces at an average sales price of $5,264/oz, generating revenue of $66 million. Finished product stocks were 1,738 ounces. The site’s operating cash flow was $21 million for the quarter.

Exploration

At Björkdal during the quarter drilling progressed on the northern and eastern extensions of the Björkdal mine targeting the open continuation of the deposit. Drilling also continued on the delineation of skarn mineralisation discovered in 2025. Drilling was paused for Storheden during the quarter, however it is slated to recommence in Q2 FY27.

Geological map of Björkdal showing areas of exploration during Q1 FY27

Geological map of Björkdal showing areas of exploration during Q1 FY27

During the quarter Alkane released two exploration updates summarised below.

Near-mine exploration at Björkdal focused on the Eastern and Northern Extensions of the underground mine, where 29 diamond drill holes totalling 15,568 metres were completed. Drilling continued to confirm strong grade continuity and extensions of the mineralised vein systems, with several high-grade gold intersections returned, including 86.1 g/t Au over 1.25 m, 81.3 g/t Au over 4.4 m and 31.5 g/t Au over 0.85 m. The program significantly improved geological confidence, extended known mineralisation to a record depth of 762 metres below surface, and confirmed mineralised veins up to 600 metres beyond existing underground development. Results indicate the Björkdal mineral system remains open both along strike and at depth, supporting ongoing resource growth and future mine life extension opportunities.7

Exploration at the Storheden deposit, located approximately 700 metres north of the Björkdal mine, continued to demonstrate significant growth potential during the quarter. Sixteen extensional diamond drill holes completed in early 2026 successfully extended high-grade gold mineralisation and confirmed a mineralised system now defined over a 2.7 km strike length and to a depth of 464 metres, with mineralisation remaining open in all directions. The program delivered several outstanding high-grade intercepts, including 107.0 g/t Au over 0.4 m and 50.9 g/t Au over 0.95 m. Incorporation of recent drilling into an updated Mineral Resource estimate resulted in the declaration of an Indicated Resource of 1.07 Mt at 2.51 g/t Au for 87 koz and an Inferred Resource of 1.85 Mt at 2.11 g/t Au for 125 koz, significantly increasing the contained gold inventory and improving confidence in the deposit.8

Northern Molong Porphyry Project (NMPP) (gold-copper)
Alkane Resources Ltd 100%

Field work on the NMPP for the quarter comprised several small soil sampling programs at various extensions to known prospects. This was completed to prepare for an approximately 4,000m RC drilling program beginning in the following quarter.

A 178km2 exploration licence (EL8646) was acquired from Alice Queen that borders the eastern and northern margins of the NMPP, resulting in doubling the area of the NMPP. EL8646 is expected to transfer to Alkane in the following quarter.

Environmental baseline studies to inform the development approval of the Boda-Kaiser Au-Cu resources have continued in the quarter.

Nagambie Project
Period of Earn-In

Under the Earn-in agreement between Nagambie Resources and Alkane Resources, two LM90 drill rigs were mobilised to the Nagambie Project in Q4 FY26 and drilled throughout Q1 FY27 completing 5,937m of diamond core drilling targeting beneath the historic western pit. A summary of the first 3 holes drilled into the project by Alkane was released in October 2026 and is summarised below.

Initial drilling at Nagambie has successfully confirmed the continuity and high-grade nature of the epizonal gold-antimony system, returning significant intersections including 3.3 g/t Au and 0.7% Sb over 10.6 metres (including 17.0 g/t Au and 5.9% Sb over 1.3 metres) in the C3 zone, and 1.2 g/t Au and 2.5% Sb over 9.7 metres in the C2W zone. Drilling also extended the C2 mineralisation approximately 115 metres below its previously known extent and identified several broad zones of gold and antimony mineralisation outside the existing resource, including 42.0 metres at 1.8 g/t Au and 0.2% Sb. Results continue to highlight strong similarities with the Costerfield gold-antimony system and demonstrate significant resource growth potential, with mineralisation remaining open at depth and along strike. Ongoing drilling is focused on further defining the extent of the system and assessing additional exploration upside across the project.11

Non-IFRS Performance Measures

This announcement contains references to all-in sustaining costs which is a non-IFRS measure and does not have a standardised meaning under IFRS. Therefore, this measure may not be comparable to similar measures presented by other companies. All-in sustaining costs include total cash operating costs, sustaining mining capital, royalty expense and accretion of reclamation provision. Sustaining capital reflects the capital required to maintain a site’s current level of operations. All-in sustaining cost per ounce of gold equivalent in a period equals the all-in sustaining cost divided by the equivalent gold ounces produced in the period.

Endnotes

1 Gold equivalent ounces calculated by multiplying quantities of gold and antimony in period by respective average market price of commodities in period, adding the two amounts to get ‘total contained value based on market price’ and dividing that total contained value by the average market price of gold in period. I.e., AuEq = ((Au Produced x Au $/oz) + (Sb Produced pre-payability x 70% payability x Sb $/t)) / (Au $/oz). The average market prices for the September quarter were $6,035/oz Au (being the average of the daily PM price, sourced from www.lbma.org.uk) and $19,982/t Sb (being the average Shanghai Metal Market Price sourced from www.metal.com). The AUD:USD exchange rate for the September quarter was 0.7062. Metallurgical recoveries for gold and antimony are well established through current and historical plant performance, and actual recoveries achieved during the period are set out in Table 1. Antimony is recovered into a gold-antimony concentrate and sold under existing offtake arrangements. It is the Company’s opinion that all of the elements included in the metal equivalent calculation have a reasonable potential to be recovered and sold.

2 AISC is a non-IFRS measure and does not have a standardised meaning under IFRS and might not be comparable to similar financial measures disclosed by other companies. Refer to “Non-IFRS Performance Measures” at the end of this announcement.

Foremost to receive proceeds of $650,000, retain 20% in GR and Blackwing properties, and will have a 6-month grace period for initial JV expenditures

VANCOUVER, British Columbia, Oct. 22, 2026 (GLOBE NEWSWIRE) — Foremost Clean Energy Ltd. (NASDAQ: FMST) (CSE: FAT) (“Foremost” or the “Company”) is pleased to report that it has entered into an agreement with Denison Mines Corp. (“Denison”) to sell a 31% interest in the GR and Blackwing properties (together the “Properties”), form two exploration joint ventures (“JVs”), and issue 1,031,191 share purchase warrants (the “Warrants”) in exchange for total consideration of $650,000 (collectively, the “Transaction”). The warrants will have an exercise price of $1.80 per warrant share, which represents over a 175% premium to Foremost’s closing share price on October 22, 2026, and will have a 5-year term.

David Cates, Interim CEO of Foremost commented, “The GR and Blackwing properties are located in the northwestern portion of the Athabasca Basin region and are situated along the Grease River shear zone and the Black Bay fault respectively – both of which are geologically prospective areas that have historically been subject to little or no exploration. While these Properties have the potential to become a new area of exploration focus in the region, the scale of the Properties and the annual work expenditures required to keep the claims in good standing are significant. As a result, forming JVs with Denison is an ideal arrangement for Foremost, whereby Foremost retains exposure to potential future exploration success without having to carry the full cost of exploring this district-scale area.”

Completion of the Transaction is expected to take place on or about November 2, 2026, subject to receipt of all regulatory and stock exchange approvals and other customary closing conditions.

GR & Blackwing Highlights

  • Foremost and Denison agree to form two exploration JVs on closing, where Foremost retains a 20%-ownership interest in each of the Properties.
  • The GR property is comprised of 16 mineral claims covering 78,585 hectares, and the Blackwing property is comprised of 3 mineral claims covering 12,627 hectares (See Figure 1).
  • Denison will be responsible for funding 80% of future expenditures, pursuant to the JV agreements, and commits to either carry out geophysical studies or make deficiency deposits to maintain the Properties until at least January 4, 2028 (the “Initial Expenditures”).
  • Foremost expects Denison will carry out geophysical studies within the next 12 months to further define the exploration potential of the Properties and generate future drill targets.
  • Foremost retains an option to decide within 6 months of the earlier of completion of the initial geophysical surveys or the date of the last of the Initial Expenditures whether it (i) funds its share of Initial Expenditures or (ii) dilutes its ownership pursuant to the terms of the JVs.

Figure 1. GR & Blackwing Properties

Warrant Terms

  • On closing, Foremost will issue 1,031,191 Warrants with an exercise price of $1.80 per warrant share and a term of 5 years (the “Term”).
  • Exercise price of $1.80 represents over a 175% premium to Foremost’s closing share price of $0.64 on October 22, 2026.
  • The number of warrants exercisable by Denison at any time is limited to such number of Warrants that, if exercised, would not result in Denison’s ownership of Foremost exceeding 19.95% (the “Ownership Cap”).
  • At maturity, if exercise of any remaining Warrants would result in the holder exceeding the Ownership Cap, then Foremost will either (a) apply for and obtain an extension of the Term of the Warrants for such duration as may be approved by the Canadian Securities Exchange, or (b) purchase from the holder any remaining Warrants not exercisable due to the Ownership Cap based on the differential between the exercise price and the current market price for each warrant share.
  • The Warrants will be subject to a four-month hold period and thereafter will be transferable.

Amended & Restated Option Agreement

  • The Option Agreement entered into between Denison and Foremost on September 23, 2024 (the “Original Option Agreement”) included 10 properties and will be amended and restated (the “A&R Option Agreement”) on closing to exclude the GR & Blackwing Properties such that Foremost will no longer have any right to increase its ownership interest in those two Properties.
  • Accordingly, any subsequent expenditures incurred by Foremost in connection with the GR and Blackwing Properties will be governed by the applicable JV agreements and will not count towards satisfaction of Option Tranche 3 under, and as defined in, the A&R Option Agreement.
  • The A&R Option Agreement will preserve Foremost’s right to complete Option Tranche 3 and earn an additional 19% interest (for an aggregate interest of 70%) in 7 of the remaining 8 properties under option from Denison and a minimum 51% interest in Hatchet Lake, by (i) completing $12.0 million in eligible exploration expenditure on the remaining 8 properties by July 9, 2029, and (ii) payment to Denison of $2.5 million in additional consideration in a combination of cash or common shares of Foremost.
  • The full details of the A&R Option Agreement will be available under Foremost’s profile on SEDAR+ at www.sedarplus.ca.

National Investor Relations & Television Campaign

The Company has extended its previous engagement with RedChip Companies Inc. (“RedChip”) of 31 E Horatio Ave, Suite #100, Maitland, FL 32751 (email: info@redchip.com) to provide marketing services from mid-October 2026 to April 2027 at a cost of USD$11,000 per month.

Additionally, RedChip has secured a two-week national television campaign for Foremost, featuring a 30-second advertisement on CNBC, Fox Business, Bloomberg TV, and other platforms to raise awareness about the Company.    The campaign is scheduled to commence during the second half of October at a cost of USD$150,000 payable to RedChip.

No securities will be issued to RedChip as compensation. To the Company’s knowledge, RedChip (including its directors and officers) holds no securities of the Company and maintains an arm’s-length relationship.

Nasdaq Compliance Notification

The Company received a notification letter (the “Notification Letter”) from The Nasdaq Stock Market LLC (“Nasdaq”) indicating that the Company is not currently in compliance with Nasdaq Listing Rule 5550(a)(2). This rule requires listed securities to maintain a minimum bid price of US$1.00 per share, and the Company’s common shares have closed below this threshold for 30 consecutive business days from September 4, 2026, to October 16, 2026.

The Notification Letter does not immediately affect the listing or trading of Foremost’s common shares on the Nasdaq Capital Market under the symbol “FMST.” In accordance with Nasdaq Listing Rule 5810(c)(3)(A), Foremost has been granted a 180-calendar day compliance period, ending on April 19, 2027, to regain compliance with the minimum bid price requirement. To achieve compliance, the closing bid price of the Company’s common shares must meet or exceed US$1.00 for a minimum of ten consecutive business days during this period.

If Foremost does not regain compliance by April 17, 2027, the Company may be eligible for an additional 180-calendar day grace period, provided it meets the continued listing requirement for market value of publicly held shares (US$1 million) and all other initial listing standards for the Nasdaq Capital Market, except for the bid price requirement. The Company would also need to notify Nasdaq of its plans to cure the deficiency.

Foremost’s management is evaluating all available options to address the bid price deficiency, including increased investor awareness, and remains committed to maintaining its Nasdaq listing. The Company’s business operations, financial condition, and corporate strategy are unaffected by this notification.   Foremost is disclosing this notification, as required by Nasdaq rules, within four business days of receipt.

Forward-Looking Statements

Except for the statements of historical fact contained herein, the information presented in this news release and oral statements made from time to time by representatives of the Company are or may constitute “forward-looking statements” as such term is used in applicable United States and Canadian laws and including, without limitation, within the meaning of the Private Securities Litigation Reform Act of 1995, for which the Company claims the protection of the safe harbor for forward-looking statements. These statements relate to analyses and other information that are based on forecasts of future results, estimates of amounts not yet determinable and assumptions of management. Any other statements that express or involve discussions with respect to predictions, expectations, beliefs, plans, projections, objectives, assumptions or future events or performance (often, but not always, using words or phrases such as “expects” or “does not expect,” “is expected,” “anticipates” or “does not anticipate,” “plans,” “estimates” or “intends,” or stating that certain actions, events or results “may,” “could,” “would,” “might” or “will” be taken, occur or be achieved) are not statements of historical fact and should be viewed as forward-looking statements. Such forward-looking statements involve known and unknown risks, uncertainties and other factors which may cause the actual results, performance or achievements of the Company to be materially different from any future results, performance or achievements expressed or implied by such forward-looking statements. Such risks and other factors include, among others, statements regarding: the completion of the Transaction and the timing thereof, including the sale of a 31% interest in each of the Properties, the formation of the joint ventures, entry into the A&R Option Agreement and the issuance of the Warrants; the receipt by the Company of total consideration of $650,000; the Company retaining a 20% interest in each of the Properties; Denison funding 80% of future expenditures and carrying out geophysical studies or making deficiency deposits to maintain the Properties until at least January 4, 2028; the expectation that Denison will carry out geophysical studies within the next 12 months and that such studies will further define the exploration potential of the Properties and generate future drill targets; the potential for the Properties to become a new area of exploration focus and the Company’s exposure to potential future exploration success; the Company’s election to fund its share of the Initial Expenditures or dilute its ownership interest; the exercise of the Warrants; the application of the Ownership Cap and any extension of the Term or purchase by the Company of Warrants not exercisable due to the Ownership Cap; the Company’s ability to complete Option Tranche 3 under the A&R Option Agreement, including completing $12.0 million in eligible exploration expenditures by July 9, 2029 and paying $2.5 million in additional consideration to Denison; the availability of information on SEDAR+; the timing, scope and cost of the marketing services and television campaign to be provided by RedChip; and the long-term growth in demand expected for carbon-free energy sources.

In making the forward-looking statements in this news release, the Company has applied several material assumptions, including, without limitation, that: the transactions with Denison will be completed on the terms and within the timeframes currently anticipated; all required approvals, including any approval of the Canadian Securities Exchange, will be obtained in a timely manner; Denison will perform its obligations under the joint venture agreements, the Warrants and the A&R Option Agreement; geophysical studies on the Properties will be carried out as expected and will yield results supporting further exploration; the Company will have access to sufficient capital, on acceptable terms, to fund its share of joint venture expenditures (if it so elects) and to satisfy the requirements of Option Tranche 3; the market price of the Company’s common shares will not change in a manner that adversely affects the Warrants or the Company’s obligations relating to the Ownership Cap; RedChip will deliver its services as scheduled and at the anticipated cost; there will be no material adverse change in uranium prices, general economic, market or industry conditions; and exploration and permitting activities will not be materially delayed by weather, regulatory or other factors.

Forward-looking information is subject to certain risks, trends and uncertainties that could cause actual results to differ materially from those projected. Many of these factors are beyond the Company’s ability to control or predict. Important factors that may cause actual results to differ materially and that could impact the Company and the statements contained in this news release include, among others: the risk that the transactions with Denison are not completed on the anticipated terms or timeline, or at all; the failure to obtain any required regulatory or stock exchange approvals; the risk that Denison does not carry out geophysical studies or other expenditures on the Properties as anticipated, or that such studies do not identify drill targets or further define exploration potential; the inherent uncertainty of mineral exploration and the speculative nature of exploration-stage properties; the dilution of the Company’s interest in the joint ventures should it elect not to, or be unable to, fund its share of expenditures; the risk that the Company is required to purchase Warrants from Denison or that an extension of the Term is not approved; the potential dilution to shareholders resulting from the exercise of the Warrants; the Company’s inability to complete Option Tranche 3 or to fund the required expenditures and additional consideration under the A&R Option Agreement, and the consequences of any default thereunder; the availability of capital to fund programs and the resulting dilution caused by the raising of capital through the sale of shares; continuity of agreements with third parties, including Denison and RedChip; the effectiveness of the Company’s investor relations and marketing activities; fluctuations in uranium and other commodity prices and in the market price of the Company’s common shares; risks and uncertainties associated with the environment; and delays in obtaining governmental approvals, permits or financing. Additional factors that may cause actual results to differ materially and that could impact the Company and the statements contained in this news release can be found in the Company’s filings with the Securities and Exchange Commission.

Although the Company has attempted to identify important factors that could cause actual actions, events or results to differ materially from those described in forward-looking statements, there may be other factors that cause actions, events or results not to be as anticipated, estimated or intended. There can be no assurance that such statements will prove to be accurate as actual results and future events could differ materially from those anticipated in such statements. NEW YORK, Oct. 22, 2026 (GLOBE NEWSWIRE) — Namib Minerals (“Namib” or “the Company”) (Nasdaq: NAMM) today announced that its subsidiary, Bulawayo Mining Company (Private) Limited, has signed a nonbinding term sheet with Ecobank Zimbabwe Limited (“Ecobank”) for a proposed non-dilutive $30 million, 36-month loan facility (the “Proposed Facility”) intended to support Redwing Mine’s resource-definition and bankability programme. The Proposed Facility remains subject to completion of the customary conditions precedent and the execution of definitive documentation.

Upon completion of the definitive documentation and satisfaction of the customary conditions precedent, on the proposed terms, the Proposed Facility, together with previously secured funding allocated to the programme, is expected to provide the funding required to complete Step 3 of the Company’s Development Timelines and Milestones (“Development Milestones”), based on the programme’s current scope and budget. Step 3 focuses on resource definition and establishing the bankability of Redwing Mine.

As previously announced, Step 3 had been partly funded by the US$6.5 million non-dilutive term loan facility secured from African Banking Corporation of Zimbabwe Limited (“BancABC”). Under the term sheet, the Proposed Facility would finance hoist-related expenditures, expansion and maintenance of the milling plant, drilling equipment, mine development and further exploration drilling to increase Redwing Mine’s resource base.

Resource definition and bankability are key milestones in assessing the potential to develop Redwing Mine into a larger-scale gold operation. Completion of this programme will inform the proposed development’s scale, capital requirements and construction plan, and support the Company’s investment decision.

The Company intends to provide further updates on the status of the Proposed Facility and progress against the Development Milestones.

The term sheet also contemplates Ecobank and Ecobank Group acting as lead arranger and underwriter for financing the construction phase of Redwing’s proposed larger-scale development, following completion of the definitive feasibility study and subject to further conditions and arrangements. The Company intends to provide further details of the scope, amount and terms as they develop upon completion of the definitive feasibility study.

“Further to our announcement on 5 June 2026, we believe Ecobank’s continued support of the Company further reflects confidence in our resources and operating record. If completed on the proposed terms, this Facility would, subject to the results of the definitive feasibility study and negotiation of definitive documentation, complete the funding package for Redwing’s resource-definition and bankability programme. Our focus is on delivering this programme and establishing the basis for a disciplined construction decision,” said Sphe Mchunu, Chief Financial Officer of Namib Minerals.
