Positive IND-Enabling Proof-of-Concept Study Demonstrates Sustained Efficacy Without Observed Tolerance, Reduced Inflammation-Associated Swelling, and Favorable Tolerability

MIAMI, Oct. 22, 2026 (GLOBE NEWSWIRE) — MIRA Pharmaceuticals, Inc. (NASDAQ: MIRA) (“MIRA” or the “Company”), a clinical-stage pharmaceutical company developing novel oral therapies for neurologic, inflammatory and metabolic disorders, today announced positive results from a 21-day preclinical proof-of-concept study evaluating oral MIRA-55 in a validated model of chronic inflammatory pain. The results support the continued advancement of MIRA-55 toward an Investigational New Drug (IND) submission.

The study demonstrated that once-daily oral MIRA-55 significantly reduced both mechanical and thermal pain hypersensitivity (p < 0.001 versus vehicle) as from the lowest dose used. MIRA-55 achieved pain-relieving effects comparable in magnitude to celecoxib (Celebrex®), a widely prescribed medication for pain and inflammation, at the higher doses evaluated.

Importantly, the effects were maintained throughout the three-week study without evidence of tolerance. MIRA-55 also reduced inflammation-associated swelling and was well tolerated, with no adverse clinical signs observed during repeated daily administration.

These findings build on MIRA’s earlier preclinical studies, including previously reported results demonstrating that oral MIRA-55 normalized pain responses and reduced inflammation in an acute inflammatory pain model, outperforming injected morphine in that study. Together, these findings extend MIRA-55’s demonstrated preclinical analgesic activity into a model of persistent, chronic inflammatory pain, further supporting its development as a next-generation oral therapy designed to provide effective, long-term pain relief with an improved safety and tolerability profile.

Key Study Highlights

  • Significant Pain Relief: MIRA-55 significantly reduced both mechanical and thermal pain hypersensitivity compared with vehicle-treated animals (p < 0.001).
  • Comparable to Celebrex: MIRA-55 demonstrated pain-relieving effects comparable in magnitude to celecoxib, with no statistically significant differences observed between those treatments.
  • Sustained Efficacy Without Observed Tolerance: Pain relief was maintained throughout the three-week study, with no observed decline in effectiveness during repeated daily dosing.
  • Reduced Inflammation-Associated Swelling: MIRA-55 reduced paw swelling to a similar magnitude as the reduction observed with celecoxib.
  • Consistent Results Across Both Sexes: MIRA-55 demonstrated comparable pain-relieving activity in male and female animals.
  • Favorable Observed Tolerability: No adverse clinical signs or deaths were reported, and normal body-weight gain was maintained throughout the treatment period.

Advancing a Potential New Treatment for Chronic Inflammatory Pain
Chronic inflammatory pain remains a significant medical challenge, affecting patients with conditions such as arthritis and other inflammatory disorders. Existing treatments, including nonsteroidal anti-inflammatory drugs (NSAIDs), can provide meaningful relief but may be limited by gastrointestinal, cardiovascular, renal, and other safety considerations, particularly with prolonged use.

MIRA-55 is a next-generation oral synthetic cannabinoid analog designed to modulate cannabinoid receptor pathways involved in pain signaling and inflammation. The program aims to deliver effective, sustained pain relief while minimizing unwanted effects associated with existing treatment approaches.

The U.S. Drug Enforcement Administration has determined that MIRA-55 is not a controlled substance.

“We are building a differentiated pain therapeutics franchise around two distinct programs addressing major unmet medical needs,” said Erez Aminov, Chairman and Chief Executive Officer of MIRA Pharmaceuticals. “With Ketamir-2 advancing toward Phase 2 clinical development for neuropathic pain and MIRA-55 progressing toward an IND for inflammatory pain, we are creating a pipeline of oral therapies targeting distinct but complementary areas of pain. We believe this strategy positions MIRA to create meaningful value for patients and shareholders as both programs advance through development.”

Study Design and Scientific Findings
The 21-day study was conducted by an independent contract research organization using the Complete Freund’s Adjuvant (CFA) model, a well-established preclinical model used to investigate persistent inflammatory pain.

The study included 72 male and female rats. MIRA-55 was administered orally once daily at multiple dose levels and evaluated against a vehicle control and celecoxib, an established prescription anti-inflammatory medication.

Researchers assessed mechanical and thermal pain sensitivity, inflammation-associated paw swelling, and general tolerability throughout the study.

MIRA-55 demonstrated statistically significant pain-relieving activity across all tested doses, with a dose-related response. Analgesic activity was observed following the first administration at the highest dose, while sustained effects were established within the first several days of treatment and maintained through the end of the study.

“One of the most encouraging aspects of these findings is the durability of the response,” said Itzchak Angel, Ph.D., Chief Scientific Advisor of MIRA Pharmaceuticals. “MIRA-55 demonstrated sustained analgesic activity over repeated low oral daily dosing, without evidence of tolerance, and produced consistent effects in both male and female animals. These results extend our earlier acute pain findings into a model of persistent inflammatory pain. The relationship between pain relief and reduced swelling also suggests potentially distinct contributions from pain-signaling and inflammatory pathways, which we are continuing to investigate.”

Supporting Advancement Toward Clinical Development
The positive findings provide additional proof-of-concept evidence supporting MIRA-55’s ongoing IND-enabling development program.

Additional tissue analyses are underway to evaluate inflammatory cytokines and molecular markers associated with pain signaling and neuroinflammation, including changes in the dorsal root ganglia and spinal cord. These analyses are expected to provide further insight into MIRA-55’s mechanism of action and help inform its continued development.

MIRA is advancing MIRA-55 toward a planned IND submission in the first quarter of 2027, subject to completion of the remaining required preclinical and regulatory activities.

About MIRA-55
MIRA-55 is an orally administered, next-generation synthetic cannabinoid analog being developed as a potential treatment for inflammatory pain. The compound is designed to modulate cannabinoid receptor pathways involved in pain and inflammation while minimizing unwanted psychoactive effects.

Previous preclinical studies have demonstrated analgesic and anti-inflammatory activity, including pain normalization in comparison with morphine in an acute inflammatory pain model. More recent findings demonstrate sustained pain-relieving activity in a model of chronic inflammatory pain.

The U.S. Drug Enforcement Administration has determined that MIRA-55 is not a controlled substance. MIRA-55 remains in preclinical development, and its safety and efficacy in humans have not been established.

WEKA’s AI data storage and memory capabilities will support Smartbird’s dedicated AI clusters as part of a broader strategy to build a network of leading technology partners

Smartbird X WEKA

Smartbird Expands Enterprise AI Infrastructure Ecosystem with WEKA Technology
Smartbird Expands Enterprise AI Infrastructure Ecosystem with WEKA Technology

PALO ALTO, Calif., Oct. 22, 2026 (GLOBE NEWSWIRE) — Smartbird, Inc. (NASDAQ: BIRD), the enterprise AI infrastructure company, and WEKA, the AI data and memory infrastructure company, today announced a partnership to deliver managed AI infrastructure services for enterprise AI workloads. By combining WEKA NeuralMesh software with Smartbird’s dedicated AI clusters, the offering gives enterprises a fully managed AI infrastructure foundation that is sovereign by design and ready for production workloads from day one.

The agreement marks the first in a broader network of infrastructure ecosystem partnerships that will support Smartbird’s strategy to deliver a proven stack of best-of-breed technologies as a fully-managed, enterprise-grade AI infrastructure service.

Why It Matters Now: Production AI Demands Infrastructure Enterprises Can Control

As AI moves to production scale and adopts agentic AI applications that operate continuously, infrastructure economics become increasingly important: GPU utilization, power consumption, and cost per token can determine whether AI initiatives scale or stall.

At the same time, many organizations, particularly in highly regulated industries such as government, healthcare, and financial services, cannot move sensitive data into shared public cloud environments. Some also lack in-house teams with the specialized expertise to build and operate advanced AI infrastructure. Smartbird is focused on serving these organizations, offering dedicated, sovereign, private AI infrastructure delivered and operated as a managed service.

“Enterprises don’t want to assemble AI infrastructure from individual parts. They want a complete solution that works, operated by people who have done this before,” said Dr. Nadia Carlsten, president and CEO of Smartbird. “Every Smartbird AI cluster is designed around the customer’s specific requirements, whether they’re a bank, a hospital, a manufacturer, or a government agency. By incorporating WEKA NeuralMesh, Smartbird gives customers a data and memory layer proven to perform at scale. This partnership reflects our approach to building infrastructure: experienced partners, trusted technologies, and disciplined execution.”

Workload-First, Customer-First: Dedicated AI Infrastructure

Launched in June 2026, Smartbird designs, builds, and operates dedicated AI clusters for enterprises. Each cluster is delivered as a managed service, designed for the customer’s specific workloads and deployed either on-premises or in a dedicated colocation environment.

A Proven Technology Stack

Smartbird clusters incorporating WEKA NeuralMesh software deliver:

  • High-performance data and memory infrastructure. Customers can deploy rapidly and ensure GPUs are continuously supplied with data, with throughput reaching hundreds of gigabytes per second.
  • Fully managed, end-to-end. Smartbird delivers and operates the complete infrastructure stack: facilities, compute, networking, data infrastructure, and data orchestration. Customers get one accountable partner without having to integrate multiple vendors or manage multiple hardware release cycles.
  • Sovereign by design. Customer data stays within a customer-controlled environment and runs on fully dedicated infrastructure, providing the isolation, encryption, and auditability that regulated industries require.
  • A fast, efficient foundation for inference and agentic AI. As enterprise AI shifts from periodic training to persistent inference and agentic applications, the Smartbird-WEKA solution expands GPU memory capacity, shortens time to first token, and reduces recomputation, thereby lowering token costs.

“Agentic AI is unforgiving: idle GPUs and stalled pipelines land straight on the P&L statement. Enterprises have been told the fix is a tradeoff, performance or sovereignty, but that was always a failure of infrastructure, not a law of physics,” said Liran Zvibel, co-founder and CEO at WEKA. “WEKA NeuralMesh ends the tradeoff. Smartbird delivers it as dedicated clusters customers don’t have to build or operate. Together, we’re giving regulated industries production AI that runs at full speed, on infrastructure only they touch, with more output per GPU, per watt and per dollar.”

VANCOUVER, British Columbia, Oct. 22, 2026 (GLOBE NEWSWIRE) — GoldHaven Resources Corp. (“GoldHaven” or the “Company”) (CSE: GOH) (OTCQB: GHVNF) (FSE: 4QS) is pleased to provide an update on its ongoing diamond drilling program at the D Zone silver-lead-zinc target, located within its flagship Magno Project in northwestern British Columbia.

Highlights

  • Four of five completed drill holes intersected semi-massive to massive sulphide mineralization at Middle D.
  • GOH26-10 and GOH26-13 intersected approximately 10.75 metres and 13 metres, respectively, of cumulative sulphide mineralization across separate intervals.
  • GOH26-10 encountered multiple mineralized horizons containing visible galena and sphalerite, together with arsenopyrite-rich sulphides and garnet-bearing skarn, highlighting the polymetallic character of the target.
  • Preliminary portable XRF screening of selected drill-core locations in GOH26-10 returned individual spot readings of up to 411,000 ppm zinc (41.1% Zn), 38,500 ppm lead (3.85% Pb) and 17,600 ppm tin (1.76% Sn), with laboratory assays pending.*

*Portable XRF readings are preliminary, non-representative spot measurements and should not be interpreted as laboratory assays or indicative of interval grades.

GoldHaven has completed five diamond drill holes from two drill pads approximately 75 metres (m) apart within the Middle D area of the historically named D Zone, with four of the five completed holes intersecting semi-massive to massive sulphide mineralization within a geophysical anomaly identified in an airborne survey conducted by the Company in early 2026.

The Company is currently advancing drill hole GOH26-14 as it continues to evaluate the distribution and geometry of mineralization within the target area.

D Zone Drilling Results

The current drilling campaign is focused on evaluating the Middle D portion of the D Zone, an area of historically documented silver-lead-zinc mineralization within the Magno Project.

Rob Birmingham, President and CEO of GoldHaven, commented:

“We are encouraged by the results at D Zone, with four of our first five drill holes intersecting significant intervals of semi-massive to massive sulphide mineralization. The identification of multiple mineralized horizons, including visible lead-zinc sulphides and indications of tin-bearing skarn, is particularly interesting.

“These early results are helping us build a better understanding of the system and guide our next exploration targets. With drilling continuing and assays pending, we look forward to evaluating the potential of D Zone alongside our ongoing tungsten exploration at Kuhn.”

Table 1: D Zone Drilling Summary

DRILL HOLE ID SULPHIDE MINERALIZATION INTERVAL APPROXIMATE LENGTH (m) DEPTH (m)

Reported intervals represent visual geological observations along drill core and are not necessarily true widths. Assay results are pending. The presence of sulphides does not necessarily indicate economically significant grades of silver, lead, zinc or other metals.

Middle D Zone 2026 drill locations and sulphide intersections. Intervals represent downhole lengths, not true widths. Assays pending.

Figure 1: Middle D Zone 2026 drill locations and sulphide intersections. Intervals represent downhole lengths, not true widths. Assays pending.

Detailed Geological Observations – GOH26-10

GOH26-10 intersected four distinct mineralized zones between approximately 58.8 and 138.1 metres downhole, including 10.75 metres of cumulative semi-massive to massive sulphide mineralization and an additional 0.7 metres of mineralized skarn across separate intervals.

The upper zone (58.8–62.15 m) contains visible galena and sphalerite associated with pyrite and pyrrhotite. Deeper intervals (91.9–98.0 m and 134.2–135.5 m) contain predominantly pyrite, pyrrhotite and arsenopyrite, with locally observed sphalerite, reported cassiterite and hematite alteration. A fourth interval (137.4–138.1 m) comprises garnet-bearing, hematite-altered skarn.

These contrasting mineral assemblages may reflect different mineralization conditions within the D Zone system and will help guide ongoing geological interpretation and exploration targeting.

Figure 3: Drill core from GOH26-10 showing sulphide mineralization within the upper polymetallic replacement-style zone, where geological logging identified galena and sphalerite associated with pyrite and pyrrhotite.

Preliminary Portable XRF Observations

Portable X-ray fluorescence (pXRF) screening of selected drill core using a SciAps X-505 handheld analyzer returned individual spot readings of up to 411,000 ppm zinc (41.1% Zn) at 134.6 metres, 280,500 ppm zinc (28.05% Zn) and 38,500 ppm lead (3.85% Pb) at 61 metres, and 17,600 ppm tin (1.76% Sn) at 93.6 metres in GOH26-10.

These preliminary measurements were obtained from select locations on heterogeneous mineralized core for geological screening purposes. They are subject to analytical limitations, including potential matrix effects, and are not laboratory assays or representative of grades across the reported drill intervals. Laboratory assays are pending and may differ materially from the pXRF readings.

The SciAps X-505 handheld pXRF analyzer is calibrated before each use using the manufacturer-provided calibration plate. Geochemical reference standards used in the drill program’s QA/QC procedures are also analyzed regularly with the pXRF to monitor instrument performance.

Historical Mineralization and Exploration Potential

The D Zone has been the subject of historical exploration, including drilling that reportedly intersected significant silver-lead-zinc mineralization.

Historical results include a reported interval of 7.6 metres grading 240 g/t silver, 4.73% lead and 4.74% zinc, providing context for the mineralization historically encountered in the broader D Zone area.

Historical results are from 1982 exploration drilling and have not been independently verified by the Company. They are provided for historical context and are not necessarily indicative of current drilling results.

GoldHaven’s 2025 surface exploration program also identified high-grade polymetallic mineralization across portions of the Magno Project.

The Company is investigating whether the sulphide mineralization encountered in the current drilling is associated with the historically documented mineralized system and how the mineralized intervals relate to one another. The Middle D area is located in a geophysical anomaly identified in the airborne survey conducted in early 2026.

Historical drill results and surface samples are not necessarily representative of grades or widths in the current drill holes.

Next Steps

GoldHaven’s near-term priorities at D Zone include:

  1. Completing GOH26-14 and evaluating additional drill targets within the Middle D area.
  2. Completing geological logging, sampling and submission of mineralized drill core for laboratory analysis.
  3. Integrating drill-hole information into updated geological plans and cross-sections to evaluate the potential continuity and orientation of mineralization.
  4. Reviewing the current drill results in the context of historical drilling and 2025 surface sampling.
  5. Reporting assay results as they become available and have undergone appropriate quality assurance and quality control review.

The Company will provide further updates as exploration progresses.

Deep Isolation-sponsored event will bring together leaders in nuclear energy, finance and civil society to explore responsible power growth

PLANO, Texas, Oct. 22, 2026 (GLOBE NEWSWIRE) — Deep Isolation Nuclear, Inc. (OTCQB: DBHL) (“Deep Isolation” or the “Company”), a leading innovator in nuclear waste disposal technology, today announced that President and Chief Executive Officer Rod Baltzer will participate in The energy horizon: responsible power growth, an Economist Enterprise event scheduled for Nov. 9 at the Yale Club in New York City. The event will bring together leaders from the energy, finance and civil society sectors to explore how nuclear power can help meet rising electricity demand.

Baltzer will be joined by Shawn Reynolds, portfolio manager at VanEck, and Laura Hermann, deputy executive director of Energy Communities Alliance. The discussion will examine the opportunities and responsibilities associated with expanding nuclear energy, including the role of financing, public confidence and sustainable waste disposal solutions.

“As global energy demand accelerates, nuclear power has an increasingly important role to play in delivering reliable, low-carbon electricity,” said Baltzer. “But responsible nuclear growth requires us to think beyond electricity generation and address the entire nuclear lifecycle, including permanent waste disposal. We are excited to join Economist Enterprise and fellow industry leaders to explore how innovation, investment and community collaboration can help build a sustainable nuclear future.”

Deep Isolation is advancing deep borehole disposal technology designed to provide a safe, scalable and potentially cost-effective pathway for the permanent isolation of spent nuclear fuel and high-level radioactive waste. The Company’s participation in the Economist Enterprise event reflects its commitment to supporting responsible nuclear energy expansion through scientifically grounded waste management solutions.

  • Seven abstracts spanning CKD translational model studies and drug product characterization provide converging evidence supporting a multifactorial mechanism of action for rilparencel
  • One clinical abstract presents a new pooled Phase 2 analysis of patients meeting key PROACT 1 inclusion criteria that continues to indicate a strong safety profile and kidney function stabilization in patients with advanced CKD and type 2 diabetes mellitus

WINSTON-SALEM, N.C., Oct. 22, 2026 (GLOBE NEWSWIRE) — ProKidney Corp. (Nasdaq: PROK) (“ProKidney” or the “Company”), a leading late clinical-stage cell therapy company focused on chronic kidney disease (CKD), today announced that the Company will present eight abstracts, including one oral presentation, at the upcoming American Society of Nephrology’s (ASN) Kidney Week being held from October 21-25, 2026, in Denver, CO.

“The data being presented at Kidney Week 2026 continue to build a more cohesive picture of how rilparencel may lead to stabilization of kidney function,” said Bruce Culleton, M.D., CEO of ProKidney. “Across multiple complementary non-clinical models, we are seeing evidence supporting an adaptive, multifactorial mechanism that involves attenuation of oxidative damage, metabolic dysregulation, and pro-inflammatory signaling, while supporting vascular and tubular repair within diseased and injured kidney cells. Importantly, these mechanistic observations coupled with the stabilization of kidney function observed across our recent Phase 2 studies in patients with advanced CKD and type 2 diabetes further strengthen our confidence in the ongoing Phase 3 PROACT 1 study.”

Forward-Looking Statements
This press release includes “forward-looking statements” within the meaning of the “safe harbor” provisions of the Private Securities Litigation Reform Act of 1995. ProKidney’s actual results may differ from its expectations, estimates and projections and consequently, you should not rely on these forward-looking statements as predictions of future events. Words such as “expect,” “estimate,” “project,” “budget,” “forecast,” “anticipate,” “intend,” “plan,” “may,” “will,” “could,” “should,” “believes,” “predicts,” “potential,” “continue,” and similar expressions (or the negative versions of such words or expressions) are intended to identify such forward-looking statements. These forward-looking statements include, without limitation, the achievement and timing of the topline data readout of the Company’s PROACT 1 trial and other milestones provided, the Company’s beliefs that its Phase 3 REGEN-006 (PROACT 1) trial could be sufficient to support a potential BLA submission and full regulatory approval, that eGFR slope can be used as a surrogate endpoint on an accelerated approval pathway for rilparencel, expectations with respect to financial results and expected cash runway, including the Company’s expectation that current cash will support operating plans into mid-2027, future performance, development and commercialization of products, if approved, the potential benefits and impact of the Company’s products, if approved, potential regulatory approvals, the size and potential growth of current or future markets for the Company’s products, if approved, the advancement of the Company’s development programs into and through the clinic and the expected timing for reporting data, the making of regulatory filings or achieving other milestones related to the Company’s product candidates, and the advancement and funding of the Company’s developmental programs, generally. Most of these factors are outside of the Company’s control and are difficult to predict. Factors that may cause such differences include, but are not limited to: disruptions to our business or that may otherwise materially harm our results of operations or financial condition as a result of our recent domestication to the United States; the inability to maintain the listing of the Company’s Class A common stock on Nasdaq; the inability of the Company’s Class A common stock to remain included in various indices and the potential negative impact on the trading price of the Class A common stock if excluded from such indices; the inability to implement business plans, forecasts, and other expectations or identify and realize additional opportunities, which may be affected by, among other things, competition and the ability of the Company to grow and manage growth profitably and retain its key employees; the risk of downturns and a changing regulatory landscape in the highly competitive biotechnology industry; the risk that results of the Company’s clinical trials may not support approval; the risk that the FDA could require additional studies before approving the Company’s drug candidates; the inability of the Company to raise financing in the future; the inability of the Company to obtain and maintain regulatory clearance or approval for its products, and any related restrictions and limitations of any cleared or approved product; the inability of the Company to identify, in-license or acquire additional technology; the inability of the Company to compete with other companies currently marketing or engaged in the biologics market and in the area of treatment of kidney diseases; the size and growth potential of the markets for the Company’s products, if approved, and its ability to serve those markets, either alone or in partnership with others; the Company’s estimates regarding expenses, future revenue, capital requirements and needs for additional financing; the Company’s financial performance; the Company’s intellectual property rights; uncertainties inherent in cell therapy research and development, including the actual time it takes to initiate and complete clinical studies and the timing and content of decisions made by regulatory authorities; the fact that interim results from our clinical programs may not be indicative of future results; the impact of geo-political conflict on the Company’s business; and other risks and uncertainties included under the heading “Risk Factors” in the Company’s most recent Annual Report on Form 10-K, subsequent Quarterly Reports on Form 10-Q and other filings with the Securities and Exchange Commission. The Company cautions readers that the foregoing list of factors is not exclusive and cautions readers not to place undue reliance upon any forward-looking statements, which speak only as of the date made. The Company does not undertake or accept any obligation or undertaking to release publicly any updates or revisions to any forward-looking statements to reflect any change in its expectations or any change in events, conditions or circumstances on which any such statement is based.

– Company’s achievement of pre-defined revenue, growth and operational milestones increases facility commitment by $15.0 million –

– Capital now available to support continued growth of the YCANTH® business and advancement of the Company’s global Phase 3 common warts program through topline data readouts, the first of which is expected in Q1’27 –

WEST CHESTER, Pa., Oct. 22, 2026 (GLOBE NEWSWIRE) — Verrica Pharmaceuticals Inc. (“Verrica” or the “Company”) (Nasdaq: VRCA), a therapeutics company developing and commercializing medications for the treatment of dermatological diseases, including skin cancers, today announced that it has achieved the pre-defined revenue, growth and operational milestones required to increase the maximum commitment amount under its credit facility with an entity controlled by Paul B. Manning, Chairman and Chief Executive Officer of PBM Capital and Chairman of Verrica’s Board of Directors. As a result of the achievement of these milestones, the full $27.5 million of non-dilutive capital under the facility is now available to Verrica, with the first $12.5 million having been funded in September.

“Verrica’s achievement of these milestones resulted directly from the momentum our team has built with YCANTH,” said Jayson Rieger, PhD, MBA, President and Chief Executive Officer of Verrica. “We committed to clear revenue, growth and operational goals when we closed this facility in August, and we delivered on them. Importantly, the capital now available to Verrica by this facility allows us to complete our two pivotal studies in the common warts program, with readouts from the studies expected in the first quarter and in mid-2027, respectively. Under the facility, we have no obligation to make scheduled principal or interest cash payments during the term of the facility, and the favorable covenant package allows us to fully utilize our cash to support our growth. On behalf of all of us at Verrica, I would like to again thank Paul Manning for his confidence in our progress and for providing this highly flexible funding to support our programs.”

“Verrica’s execution over the past several months reinforces my confidence in the team and in YCANTH,” said Paul B. Manning, Chairman of Verrica’s Board of Directors. “I am pleased to continue supporting the Company as it builds on this progress.”

Terms of the Credit Agreement

Under the terms of credit agreement, Verrica may borrow up to $27.5 million from time to time, at its option. Borrowings under the facility will bear interest at the one-month secured overnight financing rate (SOFR) plus 8.00% per annum, subject to a SOFR floor of 4.50%. All interest under the facility will be payable in kind, subject to the absence of any event of default under the credit agreement (which results in interest being payable in cash and increased during the pendency of such event of default, unless otherwise elected by the lender). The term loans will mature on December 31, 2030. The credit agreement also requires mandatory prepayments with the proceeds of certain transactions and events, and quarterly payments if positive operating cash flow exceeds a specified amount. The credit facility is secured by substantially all of the assets of Verrica and certain subsidiaries.
