New Prototype Combines Reduced Acoustic Signature, Artificial Intelligence and Autonomous Flight as Eva Defense Accelerates Development of Next-Generation Unmanned Systems

LAS VEGAS, Nev., Sept. 17, 2026 (GLOBE NEWSWIRE) — Eva Live Inc. (NASDAQ: GOAI) (“Eva Live” or the “Company”), an artificial intelligence technology company, today announced that its wholly owned subsidiary, Eva Defense Inc. (“Eva Defense”), has unveiled a next-generation low-noise autonomous drone prototype designed for stealth-oriented defense, intelligence, surveillance and reconnaissance applications.

The prototype represents another major step in Eva Defense’s strategy to build an integrated ecosystem combining advanced unmanned aircraft, artificial intelligence, autonomous mission software and resilient communications.

Unlike conventional small unmanned aircraft that can produce a readily identifiable acoustic signature, Eva Defense’s prototype is being engineered with low-noise operation as a core design objective, with the goal of reducing the aircraft’s acoustic detectability during missions where discretion is critical.

The aircraft is also being designed as an intelligent autonomous platform rather than simply a remotely piloted drone. Eva Defense intends for future versions of the platform to integrate with the Company’s SwarmOS technology, allowing artificial intelligence to assist with mission planning, navigation, sensor information, fleet coordination and management of multiple autonomous aircraft from a unified command environment.

Potential applications include intelligence, surveillance and reconnaissance (ISR), perimeter monitoring, infrastructure protection, communications relay, reconnaissance and other defense and security missions where autonomous operation and a reduced acoustic footprint could provide significant operational advantages.

DEVELOPED WITH INPUT FROM EXPERIENCED MILITARY AND TECHNOLOGY LEADERS

Development of Eva Defense’s technology roadmap is being guided by the Company’s Defense Advisory Board, including General Robert Brooks Brown, U.S. Army (Ret.), a retired four-star general and former Commanding General of U.S. Army Pacific, and technology and cybersecurity executive Ross Mandel.

General Brown served more than 38 years in the U.S. Army and commanded U.S. Army Pacific, I Corps and Joint Base Lewis-McChord, the U.S. Army Combined Arms Center and Fort Leavenworth, and the U.S. Army Maneuver Center of Excellence and Fort Benning.

Eva Defense’s advisory board was established to take an active role in helping direct product development, requirements and testing priorities so that the Company’s technologies are developed around the practical requirements of government and defense users.

“We don’t want to build another conventional drone. Our objective is to build an intelligent aircraft that can operate autonomously, operate quietly and ultimately work cooperatively with other autonomous systems,” said David Boulette, Chief Executive Officer of Eva Live Inc. “Having experienced military leaders such as four-star General Robert Brown involved in our development process gives our engineering team something incredibly valuable — direct input from people who understand how these technologies could actually be used in the field.”

BUILDING AN AI-POWERED DEFENSE ECOSYSTEM

The new prototype is part of a broader Eva Defense technology architecture currently centered around three complementary areas:

Autonomous Aircraft: Compact unmanned platforms designed around autonomous operation, advanced sensing and reduced acoustic signatures.

SwarmOS: Eva Defense’s AI-powered command-and-control architecture being developed to allow a single operator to plan and coordinate missions involving multiple autonomous aircraft.

Resilient Communications: Advanced communications technologies designed to maintain connectivity and mission capability in challenging environments, including environments where conventional GPS or radio-frequency communications may be degraded or denied.

Eva Defense has separately entered into a development program targeting a sub-55-pound resilient communications UAS designed for operation in Denied, Degraded, Intermittent and Limited (“DDIL”) environments. That program is targeting secure communications, autonomous mission execution, resilient networking and future integration with intelligent fleet-management capabilities.

Together, these initiatives are intended to create a modular defense ecosystem in which aircraft, artificial intelligence and communications infrastructure operate as a coordinated platform rather than as independent technologies.

FROM PROTOTYPE TO PLATFORM

Eva Defense plans to continue development and testing of the new low-noise prototype while evaluating improvements to flight characteristics, acoustic performance, autonomous navigation, endurance, payload integration and communications.

The Company believes the prototype represents an important step toward its larger objective: developing autonomous unmanned systems capable of operating with progressively less human intervention while coordinating with other aircraft and providing operators with real-time intelligence and mission control.

“The drone itself is only the beginning,” Boulette continued. “Our larger vision is an autonomous defense network where AI can coordinate aircraft, sensors and communications systems together. We believe the combination of low-noise aircraft, autonomous intelligence and resilient communications can create an entirely new class of unmanned defense platform.”

Representing 15.6 MWh of storage capacity across Spain and Chile, the firm-order portfolio extends Turbo Energy’s AI-driven energy management technology across a diversified base of C&I applications as industrial operators seek greater energy cost control and resilience amid renewed market volatility

VALENCIA, Spain, Sept. 17, 2026 (GLOBE NEWSWIRE) — Turbo Energy, S.A. (Nasdaq: TURB) (“Turbo Energy” or the “Company”), a global technology integrator specializing in AI-driven energy storage and energy management solutions, today announced the continued expansion of its commercial and industrial (“C&I”) footprint through 15 firm-order energy storage projects across Spain and Chile.

Representing an estimated aggregate order value attributable to Turbo Energy of approximately €3 million, or approximately US$3.48 million¹, the portfolio combines 15.6 MWh of storage capacity and 5.95 MW of power units with energy management systems designed to optimize how electricity is generated, stored and consumed at each site.

The projects demonstrate continued commercial traction and execution across a diversified base of C&I applications. Two systems are already operating, three are under installation, nine are in manufacturing stage and one is under development, advancing the portfolio from signed orders into deployed energy infrastructure. Based on current project schedules, Turbo Energy expects the projects not yet operating to progress through delivery, installation and commissioning between Q4 2026 and H1 2027, subject to customer site readiness and other project-specific conditions.

Turbo Energy is addressing a broad range of real-world energy requirements, including solar energy time shifting, self-consumption optimization, peak-demand management, off-grid power supply, electric-vehicle charging, mitigation of grid interruptions and participation in energy flexibility services.

Across the portfolio, Turbo Energy combines modular battery storage with energy management systems and its AI-driven optimization capabilities. By analyzing generation, consumption and operating requirements, the Company’s technology is designed to automate charging and discharging decisions, coordinate storage with on-site renewable generation and improve the economic use of energy assets.

The portfolio is expanding as businesses face renewed uncertainty across global energy markets. Disruptions affecting energy flows through and around the Strait of Hormuz have contributed to heightened volatility in oil, refined products, freight and broader energy markets, reinforcing the exposure of industrial margins to energy price shocks.

Against this backdrop, by transforming battery storage from standalone equipment into an actively managed energy system, Turbo Energy’s technology is designed to help operators optimize when electricity is generated, stored and consumed, manage peak-demand exposure and strengthen continuity during grid disruptions. This intelligent layer provides customers with greater control over the energy variables within their operations.

“Energy volatility is no longer a temporary operating issue. It is a structural risk for industrial competitiveness,” said Mariano Soria, Chief Executive Officer of Turbo Energy. “Customers are not simply looking for more battery capacity. They need an intelligent energy layer capable of coordinating generation, storage and demand around the economics of their operations.”

“These 15 projects demonstrate that our technology can be deployed across different industries, system sizes and energy requirements. With projects spanning development, manufacturing, installation and operation, the portfolio shows the repeatability of our AI-driven platform across a more diversified C&I customer base,” Soria added.

The 15 projects are separate from the Company’s previously announced 366 MWh Pamesa Net Zero industrial deployment under a $53 million contract. The estimated €3 million order value and 15.6 MWh capacity reported in this release exclude Pamesa. While Pamesa demonstrates Turbo Energy’s ability to execute at major industrial scale, this separate portfolio demonstrates the repeatability of its technology across a broader base of modular C&I installations, customers, applications and operating environments.

For purposes of this release, the “firm-order portfolio” comprises 15 projects supported by binding purchase orders and/or executed supply agreements received or entered into by Turbo Energy and excludes non-binding proposals and letters of intent. As with any commercial agreement, the orders remain subject to their respective contractual terms, including any applicable modification, cancellation or termination provisions. The estimated aggregate €3 million order value represents the value attributable to Turbo Energy under the underlying orders and does not represent revenue recognized within a single reporting period. Revenue recognition and cash collection depend on the contractual and execution milestones applicable to each project.

¹ U.S. dollar amount calculated using an exchange rate of US$1.1604 per euro, the Federal Reserve H.10 rate reported for September 11, 2026, in the release dated September 14, 2026.

Chief Commercial Officer Bryan Downey Joins Panel Discussion on Reinventing the Launch Playbook for Small and Mid-Size Pharma

KANSAS CITY, Kan., Sept. 17, 2026 (GLOBE NEWSWIRE) — Cingulate Inc. (NASDAQ: CING), a biopharmaceutical company utilizing its proprietary Precision Timed Release™ (PTR™) drug delivery platform to develop a pipeline of next-generation products, today announced that Chairman and CEO Shane J. Schaffer and Chief Commercial Officer Bryan Downey will participate in two sessions at the upcoming Indegene Digital Summit, joining industry leaders to discuss evolving approaches to pharmaceutical commercialization and product launches.

The sessions, which will take place September 22, 2026, at the National Constitution Center in Philadelphia, reflect Cingulate’s approach as the Company prepares for the potential commercialization of its lead asset, CTx-1301, a once-daily extended-release formulation of dexmethylphenidate HCl being developed for the treatment of attention-deficit/hyperactivity disorder (ADHD).

Dr. Schaffer will participate in “The SMART Launch: Rethinking Go-To-Market for Emerging Pharma Launches,” exploring how emerging pharmaceutical companies can retain ownership and strategic control of their assets while accessing the capabilities, expertise, technology and scale needed to support successful commercialization.

The discussion will examine alternatives to the traditional choices of building a large commercial infrastructure internally, licensing an asset to a larger pharmaceutical company, or divesting the asset entirely. Topics will include the economics of pharmaceutical launches, partner ecosystem strategies, maintaining quality and accountability across a distributed model, and reducing commercialization risk while preserving strategic control.

“The traditional pharmaceutical commercialization model was largely built for companies with large portfolios, significant resources and extensive internal infrastructure,” said Schaffer. “For emerging biopharma companies, there is an opportunity to rethink that model and build commercialization strategies around the individual asset. By combining a focused internal commercial core with the capabilities and scale of experienced external partners, companies can retain greater strategic control while pursuing a more capital-efficient approach to launch.”

Downey, Cingulate’s Chief Commercial Officer, will participate in “Small & Mid-Size Pharma. Big-Time Launches: Reinventing the Launch Playbook.” The panel will address how small and mid-size pharmaceutical companies can build efficient, scalable commercialization organizations while operating with fewer resources and a more focused portfolio.

“The launch environment for emerging and mid-size pharmaceutical companies requires a different level of discipline and focus, structured as part of launch strategy and not as a constraint,” said Downey. “The opportunity is to identify the capabilities that truly need to be built internally, leverage technology and strategic partners where they can add value, and establish the infrastructure needed to execute effectively well before approval. A successful launch should be viewed as a continuous, data-driven process rather than a single event.”

About Attention Deficit/Hyperactivity Disorder (ADHD)
ADHD is a chronic neurobiological and developmental disorder that affects millions of children and often continues into adulthood. The estimated market size of the US ADHD market is approximately 100 million annual prescriptions. The condition is marked by an ongoing pattern of inattention and/or hyperactivity-impulsivity that interferes with functioning or development. In the U.S., over 20 million patients have been diagnosed with ADHD. Among this group, 12 million are adults and over 8 million are under the age of 17. According to the CDC, just 53.6 percent of all children and teens with ADHD reported they were actively treating their symptoms with medication in 2022, with 65-90 percent demonstrating clinical ADHD symptoms that persist into adulthood. Current market trends demonstrate that adult ADHD prevalence is larger and growing faster than the child and adolescent segments combined.

About CTx-1301
CTx-1301 (dexmethylphenidate HCl) is a once-daily, multi-core tablet utilizing Cingulate’s proprietary Precision Timed Release™ (PTR™) platform to deliver three precisely timed releases of active medication across the day. This design aims to provide rapid onset of effect and entire active-day duration. CTx-1301 is being evaluated for the treatment of ADHD under the FDA’s 505(b)(2) pathway. In October 2025, the FDA accepted for review the NDA for CTx-1301 and assigned a PDUFA target action date of May 31, 2026. On June 1, 2026, the FDA issued a Complete Response Letter for the CTx-1301 NDA; the Company is working to complete the requested CMC work and plans to resubmit the NDA as promptly as practicable. There can be no assurance regarding the timing of any resubmission or whether approval will occur.

About Precision Timed Release™ (PTR™) Platform Technology
Cingulate is developing ADHD and anxiety disorder product candidates capable of achieving true once-daily dosing using Cingulate’s innovative PTR drug delivery platform technology. It incorporates a proprietary Erosion Barrier Layer (EBL) providing control of drug release at precise, pre-defined times with no release of drug prior to the intended release. Approval follows successful multi-state validation across several locations, building on initial commercial rollout earlier this year and enabling adoption across the chain’s U.S. franchise system.

VANCOUVER, British Columbia, Sept. 17, 2026 (GLOBE NEWSWIRE) — Beyond Oil Ltd. (TSX: BOIL) (OTCQB: BEOLF) (“Beyond Oil” or the “Company”), a food-tech innovation company dedicated to reducing health risks associated with fried food while improving food quality, lowering operational costs, minimizing waste and enhancing sustainability, today announced an important milestone in its previously disclosed commercial relationship with a renowned American fast-food chain.

Following the initial commercial rollout that commenced earlier this year, the restaurant chain has now approved Beyond Oil for system-wide use across its hundreds of franchise partner locations throughout the United States.

The approval follows successful validation across several restaurant locations in three states, building on the initial rollout with three franchisees earlier this year. The expanded evaluation focused on food quality, oil quality, worker safety and the ease of integrating Beyond Oil into existing restaurant operations.

With the formal evaluation process completed, the restaurant chain plans to support broader adoption across its U.S. franchise system through its internal best practices, standard operating guidelines and operations training teams. As part of the ongoing relationship, Beyond Oil will also be invited to participate in the brand’s franchise events and conferences, providing direct engagement with franchise partners across the system.

“These relationships take time to build. You need to earn credibility with the customer, build trust and prove that the product works consistently in their real operating environment,” said Jonathan Or, CEO of Beyond Oil. “We have tremendous respect for the way this brand puts food quality at the center of its decision-making and for the care it takes before introducing something new across its system. Reaching system-wide approval is therefore a meaningful milestone for us. It opens the door to broader adoption across the organization and creates the opportunity for Beyond Oil to become part of a new operating standard. We have spent the past year building similar relationships and progressing through these processes with several other restaurant chains, including groups of comparable and larger scale, and we look forward to advancing these relationships toward potential approvals and commercial milestones in the months ahead.”

About Beyond Oil Ltd.
We all love fried food. Let’s make it better. Not by changing what people love. By improving the system behind it. Beyond Oil Ltd. (TSX: BOIL, OTCQB: BEOLF) is a food-tech innovation company on a mission to help foodservice operators improve fried food across every dimension that matters: quality, health, consistency, safety, sustainability and profitability. We achieve these outcomes by improving the system behind every kitchen, the frying performance and oil management that determine what lands on the plate. The Company’s patented technology, cleared by the FDA and Health Canada, integrates into existing kitchen workflows to improve frying performance and oil management, helping operators deliver more consistent food, strengthen operational control and reduce oil waste. Beyond Oil’s solution serves restaurant chains, supermarkets, hotels, catering, institutions and industrial frying operations worldwide, turning frying into a measurable, repeatable and scalable brand standard. The result is a better frying standard, helping every fryer, every shift and every plate live up to the food people love. For more information, please visit: www.beyondoil.co.

ETFs trade like a stock, and there will be brokerage commissions associated with buying and selling exchange traded funds unless trading occurs in a fee-based account. ETFs may trade for less than their net asset value. Investing in ETFs may not be suitable for all investors. ETFs are subject to loss of principal and there is no guarantee the holdings will continue to pay dividends. Diversification does not ensure a profit and may not protect against loss in declining markets. Investors should refer to the individual ETF prospectus for a more detailed discussion of the specific risks and considerations for an individual ETF.

Covered Call Strategy Risk: This risk arises when an investor holds a long position in a stock and simultaneously sells a call option against it. While this strategy can generate income, it limits potential upside gains if the stock price rises significantly above the strike price of the option.

Counterparty Risk: This is the risk that a counterparty to a financial transaction will default on their obligations. In the context of options trading, counterparty risk arises from the possibility that the option seller (writer) may not be able to fulfill their obligation to deliver the underlying asset if the option expires in-the-money.

Options Risk/Flex Options Risk: This refers to the inherent risks associated with trading options, such as the risk of losing the entire premium paid for an option if it expires out-of-the-money. Flex options risk is a specific type of options risk that arises from the flexibility of flex options, which can be adjusted or exercised under certain conditions.

Portfolio Turnover Risk: This is the risk associated with frequent buying and selling of assets within a portfolio. High portfolio turnover can lead to increased transaction
costs, potential capital gains taxes, and the possibility of missing out on potential gains from assets that are sold too early.

MLPs Risk: Investments in the debt and equity securities of MLPs involve risks that differ from investments in the debt an d equity securities of corporate issuers, including risks related to limited control and limited rights to vote on matters affecting the partnership, risks related to potential conflicts of interest between the partnership and its general partner, cash flow risks, dilution risks and risks related to the general partner’s right to require unitholders to sell their common units at an undesirable time or price. The Fund and its shareholders are not eligible for a tax deduction based on income received from MLPs that is available to individuals who invest directly in MLPs.

Concentration Risk: The Fund concentrates its investments in issuers of one or more particular industries to the extent permitted by applicable regulatory guidance. There is a risk that those issuers (or industry sector) will perform poorly and negatively impact the Fund. Concentration risk results from maintaining exposure (long or short) to issuers conducting business in a specific industry. The risk of concentrating investments in a limited number of issuers in a particular industry is that the Fund will be more susceptible to market, economic, political, regulatory, and other conditions and risks associated with that industry than a fund that does not concentrate its investments and invests more broadly across industries and sectors.

Westwood ETFs does not provide tax advice. Please consult your tax advisor before making any decisions or taking any action based on this information.

Industry Specific Risk: The Power and Infrastructure Companies in which the Fund invests, are subject to risks specific to the industry they serve, including the following:

Energy Sector Risk: The Fund will be sensitive to changes in, and its performance will depend to a greater extent on, the overall condition of the energy sector. Companies operating in the energy sector are subject to risks including, but not limited to, economic growth, worldwide demand, political instability in the regions that the companies operate, government regulation stipulating rates charged by utilities, interest rate sensitivity, oil price volatility, energy conservation, environmental policies, depletion of resources, and the cost of providing the specific utility services and other factors that they cannot control. The energy sector is cyclical and is highly dependent on commodity prices; prices and supplies of energy may fluctuate significantly over short and long periods of time due to, among other things, national and international political changes, OPEC policies, changes in relationships among OPEC members and between OPEC and oil-importing nations, the regulatory environment, taxation policies, and the economy of the key energy-consuming countries. Commodity prices have recently been subject to increased volatility and declines, which may negatively affect companies in which the Fund invests. Companies in the energy sector may be adversely affected by terrorism, natural disasters or other catastrophes. Companies in the energy sector are at risk of civil liability from accidents resulting in injury, loss of life or property, pollution or other environmental damage claims and risk of loss from terrorism and natural disasters. Disruptions in the oil industry or shifts in fuel consumption may significantly impact companies in this sector. Significant oil and gas deposits are located in emerging markets countries where corruption and security may raise significant risks, in addition to the other risks of investing in emerging markets. Companies in the energy sector may also be adversely affected by changes in exchange rates, tax treatment, government regulation and intervention, negative perception, efforts at energy conservation and world events in the regions in which the companies operate (e.g., expropriation, nationalization, confiscation of assets and property or the imposition of restrictions on foreign investments and repatriation of capital, military coups, social unrest, violence or labor unrest). Because a significant portion of revenues of companies in this sector is derived from a relatively small number of customers that are largely comprised of governmental entities and utilities, governmental budget constraints may have a significant impact on the stock prices of companies in this sector. The energy sector is

highly regulated. Entities operating in the energy sector are subject to significant regulation of nearly every aspect of their operations by federal, state and local governmental agencies. Such regulation can change rapidly or over time in both scope and intensity. Stricter laws, regulations or enforcement policies could be enacted in the future which would likely increase compliance costs and may materially adversely affect the financial performance of companies in the energy sector. A downturn in the energy sector of the economy, adverse political, legislative or regulatory developments or other events could have a larger impact on the Fund than on an investment company that does not invest a substantial portion of its assets in the energy sector. At times, the performance of securities of companies in the energy sector may lag the performance of other sectors or the broader market as a whole. The price of oil, natural gas and other fossil fuels may decline and/or experience significant volatility, which could adversely impact companies operating in the energy sector.

Electricity Related Companies Risk. Electricity related companies are subject to general risks of companies involved with generating, storing, supplying, and transmitting electricity and include regulation of those businesses, the general state of the economy, intense competition, consolidation, domestic and international politics, and excess capacity. In addition, electrical companies may also be affected by overall capital spending levels (including both private and public sector spending), economic cycles, technological obsolescence, delays in modernization, and labor relations. Companies in the various electrical industries may also be significantly impacted by government policies, regulations, import controls, and contractual fixed pricing. Actions taken by central governments may dramatically impact supply and demand forces that influence the market price of conventional and alternative electricity, resulting in sudden decreases in value.

Oil and Gas Companies Risk. The profitability of oil and gas companies is related to worldwide energy prices, including all sources of energy, and exploration and production costs. The price of oil and gas, the earnings of oil and gas companies, and the value of such companies’ securities can be extremely volatile. Such companies are also subject to risks of changes in commodity prices, changes in the global supply of and demand for oil and gas, interest rates, exchange rates, the price of oil and gas, the prices of competitive energy services, the imposition of import controls, world events, friction with certain oil-producing countries and between the governments of the United States and other major exporters of oil to the United States, actions of OPEC, negative perception and publicity, depletion of resources, development of alternative energy sources, energy conservation, technological developments, labor relations and general economic conditions, as well as market, economic and political risks of the countries where oil and gas companies are located or do business, fluctuations caused by events relating to international politics, including political instability, expropriation, social unrest and acts of war, acts of terrorism, energy conservation, the success of exploration projects and tax and other governmental regulatory policies. Oil and gas companies operate in a highly competitive and cyclical industry, with intense price competition. A significant portion of their revenues may depend on a relatively small number of customers, including governmental entities and utilities. Oil and gas companies are exposed to significant and numerous operating hazards. Oil and gas equipment and services, as well as oil and gas exploration and production, can be significantly affected by natural disasters and adverse weather conditions in the regions in which they operate.
The revenues of oil and gas companies may be negatively affected by contract termination and renegotiation. Oil and gas companies are subject to, and may be adversely affected by, extensive federal, state, local and foreign laws, rules and regulations. Oil and gas exploration and production companies may also be adversely affected by environmental damage claims and other types of litigation. Laws and regulations protecting the environment may expose oil and gas companies to liability for the conduct of or conditions caused by others or for acts that complied with all applicable laws at the time they were performed. The international operations of oil and gas companies expose them to risks associated with instability and changes in economic and political conditions, social unrest and acts of war, foreign currency fluctuations, changes in foreign regulations and other risks inherent to international business. Such companies may also have significant capital investments or operations in, or engage in transactions involving, emerging market countries, which may increase these risks.

Midstream Energy Companies Risk. Midstream energy companies that provide crude oil, refined product and natural gas services are subject to supply and demand fluctuations in the markets they serve which may be impacted by a wide range of factors, including fluctuating commodity prices, weather, increased conservation, increased governmental or environmental regulation, depletion, rising interest rates, declines in domestic or foreign production, accidents or catastrophic events, increasing operating expenses and economic conditions.

Marine Shipping Energy Companies Risk. Marine shipping energy companies are primarily marine transporters of natural gas, crude oil or refined petroleum products. Marine shipping companies are exposed to many of the same risks as other energy companies. The highly cyclical nature of the marine transportation industry may lead

to volatile changes in charter rates and vessel values, which may adversely affect the revenues, profitability and cash flows of energy companies with marine transportation assets. Fluctuations in charter rates result from changes in the supply and demand for vessel capacity and changes in the supply and demand for certain energy commodities. Changes in demand for transportation of commodities over longer distances and supply of vessels to carry those commodities may materially affect revenues, profitability and cash flows. The value of marine transportation vessels may fluctuate and could adversely affect the value of shipping company securities in the Fund’s portfolio. Declining marine transportation values could affect the ability of shipping companies to raise cash by limiting their ability to refinance their vessels, thereby adversely impacting such company’s liquidity.
Shipping company vessels are at risk of damage or loss because of events such as mechanical failure, collision, human error, war, terrorism, piracy, cargo loss and bad weather. In addition, changing economic, regulatory and political conditions in some countries, including political and military conflicts, have from time to time resulted in attacks on vessels, mining of waterways, piracy, terrorism, labor strikes, boycotts and government requisitioning of vessels. These sorts of events could interfere with shipping lanes and result in market disruptions and a significant reduction in cash flow for the shipping companies.

Geopolitical Risk. Global political and economic instability could affect the operations of energy companies in unpredictable ways, including through disruptions of natural resource supplies and markets and the resulting volatility in commodity prices. Market disruptions arising out of geopolitical events could also prevent the Fund from executing advantageous investment decisions in a timely manner.

Nuclear Industry Risk. Companies in the Nuclear Industry may face considerable risk as a result of, among other risks, incidents and accidents, breaches of security, ill-intentioned acts of terrorism, air crashes, natural disasters (such as floods or earthquakes), equipment malfunctions or mishandling in storage, handling, transportation, treatment or conditioning of substances and nuclear materials. Such events could have serious consequences, especially in case of radioactive contamination and irradiation of the environment, for the general population, as well as a material, negative impact on the Fund’s portfolio companies. In addition, nuclear energy and technology companies are subject to competitive risk associated with the prices of other energy sources, such as natural gas and oil. Consumers of nuclear energy may have the ability to switch between nuclear energy and other energy sources and, as a result, during periods when competing energy sources are less expensive or nuclear energy sources are out of favor, the revenues of nuclear energy companies may decline with a corresponding impact on earnings.

Utilities Sector Risk. Companies in the utilities sector may be adversely affected by changes in exchange rates, domestic and international competition and governmental regulations on rates charged to customers.
Privatization and deregulation in the utilities sector may subject companies to greater competition and losses in profitability. Companies in the utilities sector may have difficulty obtaining an adequate return on invested capital, raising capital, or financing large construction programs during periods of inflation or unsettled capital markets. In addition, companies in the utilities sector may be adversely affected due to increase in fuel and operating costs and the costs of complying with regulations. Furthermore, natural disasters, terrorist attacks, government intervention or other factors may render a utility company’s equipment unusable or obsolete and negatively impact profitability.

Industrial Companies Risk. Industrial companies face a number of risks, including supply chain and distribution disruptions, business interruptions, product obsolescence, third-party vendor risks, cyber attacks, trade disputes, product recalls, liability claims, scarcity of materials or parts, excess capacity, changes in consumer preferences, and volatility in commodity prices and currencies. The performance of such companies may also be affected by technological developments, labor relations, legislative and regulatory changes, government spending policies, and changes in domestic and international economies.

Heavy menstrual bleeding is reported in approximately 1 in 3 reproductive-aged women, according to the American College of Obstetricians and Gynecologists, with approximately 23 million seeking care from a healthcare professional in the U.S. last year.

It is the leading cause of iron deficiency and anemia among premenopausal women, and the primary symptom driving hysterectomies in the U.S.

CAMBRIDGE, Mass. and COPENHAGEN, Denmark, Sept. 17, 2026 (GLOBE NEWSWIRE) — Hemab Therapeutics (Nasdaq: COAG), a clinical-stage biotechnology company developing therapies that reimagine the treatment of blood coagulation disorders to sustain life and human resilience, today announced that the first healthy volunteer has been dosed in its Phase 1 clinical trial evaluating HMB-003, an investigational therapy for the management of heavy menstrual bleeding.

HMB-003 is a novel fatty-acid-conjugated peptide antifibrinolytic, designed to stabilize clots and reduce bleeding. Engineered to directly inhibit plasmin at its active site, HMB-003 blocks fibrinolysis independently of the plasminogen activation pathway. In preclinical studies, HMB-003 demonstrated greater activity over tranexamic acid in the models evaluated. In minipigs, a single subcutaneous dose achieved peak plasma levels within hours and sustained antifibrinolytic activity for approximately one week, supporting the potential for cycle-matched, once-per-cycle dosing. Such a dosing profile would represent a significant improvement over current short-acting therapies.

Heavy menstrual bleeding is “The Missed Vital Sign”. According to data compiled by Wellcome Leap’s international health initiative:

  • Reported in approximately 1 in 3 reproductive-aged women (American College of Obstetricians and Gynecologists)
  • 10 times more prevalent than asthma and diabetes in the same population
  • Leading cause of anemia and iron deficiency, which cause fatigue, shortness of breath and difficulty concentrating
  • Primary symptom driving a significant portion of the roughly 600,000 hysterectomies conducted in the U.S annually
  • 3.6 weeks of work missed annually per affected woman, costing the U.S. economy more than $94 billion
  • 11 academic weeks in total lost across the formative teenage years
  • Nearly 23 million women seeking care from a healthcare professional for heavy menstrual bleeding each year

“Millions of women and girls live with heavy menstrual bleeding and have no approved non-hormonal, long-acting treatment option,” said Benny Sørensen, MD, PhD, CEO of Hemab. “Dosing our first participant with HMB-003, purpose-built for the management of heavy menstrual bleeding, is the first step toward resetting the standard of care for these women. Beyond heavy menstrual bleeding, we believe HMB-003 has the potential to become a cornerstone therapy for underserved patients across several large indications. We look forward to sharing results that will inform our clinical development plans for heavy menstrual bleeding and provide insights into HMB-003’s potential for other bleeding conditions, no later than the middle of 2027.”

The Phase 1 study (NCT07798505) is a randomized, placebo-controlled, single-ascending-dose escalation trial designed to evaluate the safety, tolerability, pharmacokinetics, and pharmacodynamics of HMB-003 in healthy adult volunteers. Results from this study are expected to inform dose selection and clinical development plans for HMB-003 across additional high-unmet-need bleeding conditions.

About Heavy Menstrual Bleeding
Heavy menstrual bleeding is a common condition characterized by excessive menstrual blood loss that disrupts a person’s physical, emotional, social, and daily life, affecting an estimated one in three reproductive-age women, or more than 23 million women in the U.S. alone. The condition is frequently associated with pain, iron-deficiency anemia, and fatigue, and carries a significant social burden, including stigma and substantial lost days from work and school. Current treatment options are limited. Tranexamic acid (TXA), the primary non-hormonal therapy, has a short half-life that requires frequent dosing throughout menstruation, limiting adherence. Hormonal therapies are not suitable, or not preferred, for many women. To date, there remains no approved non-hormonal, customized hemostatic treatment option for heavy menstrual bleeding.

About HMB-003
HMB-003 is a subcutaneously administered peptide-based plasmin inhibitor with a durable half-life — a proven therapeutic target in coagulation medicine — being developed as a novel antifibrinolytic designed to reduce bleeding across multiple settings. Engineered to directly inhibit plasmin at its active site, HMB-003 blocks fibrinolysis independently of the plasminogen activation pathway. HMB-003 is optimized to provide sustained bleed protection across multiple high-unmet-need conditions, ranging from heavy menstrual bleeding and hereditary hemorrhagic telangiectasia to peri-operative bleeding management. For more information, please visit clinicaltrials.gov (NCT07798505).

Cash redemption simplifies the capital structure with no common shares issued in the redemption

CALABASAS, Calif., Sept. 17, 2026 (GLOBE NEWSWIRE) — NeOnc Technologies Holdings, Inc. (Nasdaq: NTHI) (“NeOnc” or the “Company”), a multi-Phase 2 clinical-stage biopharmaceutical company developing novel therapies for central nervous system (CNS) cancers, today announced that it has redeemed for cash all 6,000 outstanding shares of its Series A Convertible Preferred Stock (the “Series A Preferred Stock”) at their aggregate stated value of $6.0 million. Following the redemption, no shares of Series A Preferred Stock remain outstanding.

The redemption was funded with a portion of the net proceeds from the Company’s $15 million registered direct offering announced on September 9, 2026, consistent with the use of proceeds disclosed for that offering.

“We made a deliberate decision to redeem the Series A Preferred Stock in cash and eliminate the potential dilution these securities represented for our shareholders,” said Amir F. Heshmatpour, Executive Chairman, President and Chief Executive Officer of NeOnc. “Our recent financing enabled us to retire all outstanding Series A Preferred Stock before its discounted conversion feature became available, simplifying our capital structure without issuing common shares in the redemption. As we advance NEO100 and NEO212, disciplined management of shareholder capital remains central to our strategy. We are focused on translating clinical progress into lasting value for patients and shareholders.”

NeOnc issued the Series A Preferred Stock in June 2026 in a private placement for gross proceeds of $5.0 million. Under its terms, the Company had the right to redeem all outstanding shares for cash at stated value within four months of issuance. Had the Company elected not to redeem, the stated value would have increased by $166.67 per share, and the shares would have become convertible, at the holders’ option, into NeOnc common stock at a conversion price equal to 80% of the lowest closing price during the five trading days prior to conversion, subject to a $1.00 floor price.

The remaining balance of warrants maturing in 2026 now stands at less than 21 million units. The exercise of these warrants added $3,290,485.00 to the treasury in 2026.
  • Immediate Removal of ~32% of Shares from the Public Float: Key executives have frozen 100% of their current controlling shares.
  • Dilution Protection: An automatic lock-up provision is in place for approximately 100 million additional convertible securities held by management in the event of future exercise.
  • Strengthened Support for Glencore Debt: This commitment aligns directly with the senior secured debt, which has been increased to US$40,000,000.

A Significant Strategic Alignment Commitment

Following the closing of the US$10,000,000 increase in debenture financing announced on September 2, 2026, Abcourt’s directors and senior management team are formalizing their long-term vision and confidence in the success of the flagship Sleeping Giant and Flordin projects.

Key Terms of the Lock-Up Agreement

The agreement executed by key executives (Noureddine Mokaddem, Pascal Hamelin, François Mestrallet, and Alain Lévesque) establishes institutional-grade retention terms while providing standard flexibility mechanisms:

  • Capital and Future Securities Freeze: Lock-up of approximately 32% of the outstanding share capital. Restrictions apply to all securities currently held or subsequently acquired (including shares resulting from the future exercise of options or warrants), whether held directly or indirectly by the executive or members of their immediate family.
  • Trading Restrictions (Subject to Consent): Unless prior written consent is obtained from Glencore (which shall not be unreasonably withheld), it is prohibited to sell, transfer, lend, pledge, assign, enter into short sales, or use any derivative, swap, or hedging strategy intended to transfer the economic risk associated with the securities.
  • Specific Permitted Exceptions: Lock-up restrictions do not apply to the following circumstances:
    • Death of the Executive: The legal transfer of securities to the estate and subsequent dispositions by the estate are fully authorized.
    • Family and Corporate Planning: Transfers to immediate family members, holding companies, or family trusts controlled by the executive are permitted, provided that the transferee signs an identical lock-up commitment.
    • Settlement of Tax Obligations: The sale of the minimum number of shares required to fund tax liabilities arising from the exercise of options or warrants is permitted within 30 days of the exercise, subject to providing detailed written notice to Glencore.
    • Change of Control (Takeover Bid): Securities may be tendered to a bona fide takeover bid or a merger targeting all shareholders (the lock-up is reinstated if the transaction is not completed).
  • Duration Linked to Debt Repayment: The lock-up remains in effect until the later of:
    • The 2nd anniversary of the amending agreement with Glencore;
    • 10 days after the full cash repayment of at least 75% of the US$40,000,000 debt principal (including interest). In the event of a financial default under the debenture, the lock-up is automatically extended.
  • Rigorous Control and Enforcement: Abcourt’s official transfer agent has received strict legal instructions to apply restrictive legends (stop-transfer orders) and to reject any unauthorized transactions.

Pascal Hamelin, President and Chief Executive Officer of Abcourt, stated:

“This lock-up agreement and the full exercise of our warrants demonstrate the absolute, long-term commitment of the entire management team to the success of the Sleeping Giant and Flordin projects. By freezing the securities of key individuals until the project’s ultimate success, we ensure maximum staff retention and motivation. For our shareholders, this provides a major guarantee of stability: by immediately locking up nearly one-third of our outstanding shares and all of our convertible securities until our financial partnership with Glencore is repaid, we strengthen our capital structure and 100% align our personal interests with value creation at Abcourt Mines.”
