Expands technology portfolio and addressable market, with $500 million or more in expected annual cost synergies and immediate non-GAAP EPS accretion

IRVINE, Calif., Oct. 05, 2026 (GLOBE NEWSWIRE) — Skyworks (Nasdaq: SWKS) today announced the successful completion of its combination with Qorvo. The close of the transaction creates a U.S.-based, global leader in high-performance radio frequency (RF), power management, and analog and mixed-signal semiconductor solutions.

“This combination is about far more than bringing two companies together,” said Phil Brace, chief executive officer and president of Skyworks. “Our customers are tackling increasingly complex challenges and need partners with the capabilities, engineering expertise and scale to help them innovate faster. Together, we are well positioned to deliver more integrated, system-level solutions and accelerate the next generation of connected technologies. Today marks an important milestone—but it is only the beginning. We see an extraordinary opportunity to create long-term value for our customers, shareholders and employees while helping shape the future of our industry.”

The transaction creates a larger, more diversified semiconductor company, combining complementary RF, analog, and power technologies with expanded engineering capabilities — approximately 8,000 engineers and more than 12,000 issued and pending patents.

In Mobile, the combination broadens its RF front-end portfolio, positioning the company to benefit from rising RF complexity. As 5G-Advanced evolves and the industry moves toward 6G, smartphones are expected to support more frequency bands, new spectrum and AI-driven features, increasing demand for highly integrated RF solutions.

Beyond Mobile, the combination more than doubles Skyworks’ addressable market and establishes a platform spanning physical AI and connected edge, defense and aerospace, data center and networking, and automotive. It also broadens the technology portfolio into RF GaN, low-voltage power, and wired broadband.

Skyworks will benefit from greater end-market breadth, strengthened domestic manufacturing, and annualized cost synergies of $500 million or more, expected to be realized within 24 to 36 months post-close when the companies are fully integrated.

The transaction is expected to be immediately accretive to non-GAAP EPS while maintaining a favorable capital structure. Skyworks will provide financial guidance on its fiscal fourth-quarter earnings call on Nov. 3.

Bob Bruggeworth, former chief executive officer and president of Qorvo and a member of the Skyworks Board of Directors, added, “This next chapter begins with an immense amount of pride. I’ve had the opportunity to see firsthand our teams preparing for this moment with tremendous focus and discipline. I have great confidence in the future of the combined company and its ability to deliver on the promise of the combination.”

Under the terms of the merger agreement, Qorvo shareholders are entitled to receive $32.50 in cash and 0.960 of Skyworks’ common share for each share of Qorvo common stock they owned. Legacy Skyworks shareholders own approximately 63% of the combined company and legacy Qorvo shareholders own approximately 37%, on a fully diluted basis. The company will continue to operate as Skyworks and trade under the SWKS ticker symbol on the NASDAQ market.

As previously announced, Phil Brace will continue to serve as chief executive officer and president of Skyworks. Bob Bruggeworth, Richard Clemmer and Chris Koopmans, formerly on the Qorvo board of directors, have each joined the Skyworks Board of Directors.

The EM&T Board and executives will publicly showcase the largest high-performance rare earth magnet facility in production outside China as U.S. defense, drone, and automotive demand for non-China supply accelerates, ahead of January 1, 2027 DFARS sourcing restrictions and the planned U.S. expansion

MIAMI, FL, Oct. 05, 2026 (GLOBE NEWSWIRE) — Evolution Metals & Technologies Corp. (“EM&T” or the “Company”) (Nasdaq: EMAT), a U.S.-based critical materials and advanced manufacturing company, today announced that the Company will publicly showcase the largest high-performance rare earth magnet facility in production outside of China, at a ribbon-cutting ceremony on Thursday, December 17, 2026, in Pohang, South Korea. The flagship facility anchors the Company’s phased expansion of annual rare earth magnet production capacity, targeting more than 10,000 metric tons, and positions EM&T as a scaled, non-China source of high-performance rare earth permanent magnets for U.S. defense, unmanned aircraft systems (UAS), and automotive supply chains across the United States and allied markets.

Showcase Highlights:

  • Largest high-performance rare earth magnet facility in production outside China, located in Pohang, South Korea
  • Phased expansion targeting more than 10,000 metric tons of annual rare earth magnet production capacity
  • Positioned ahead of DFARS 252.225-7052, effective January 1, 2027, restricting Chinese-origin rare earth magnets in qualifying U.S. defense systems
  • Follows the August 13, 2026 White House proclamation imposing a 100 percent tariff on the most sensitive foreign unmanned aircraft and certain parts
  • Strategic offtake and trade discussions with defense and automotive commercial partners on site
  • Live magnet making, guided production-line tours, and an executive operational briefing on December 17, 2026

The operational showcase and ribbon-cutting ceremony will take place from 1:00 p.m. to 4:00 p.m. (KST) at the Company’s Pohang facility (46, Blue Seoro 2-gil, Donghae-myeon, Nam-gu, Pohang-si, Gyeongsangbuk-do, Republic of Korea). Confirmed attendees include senior government dignitaries, institutional investors, defense and automotive commercial partners, Company leadership, and international media. The program will feature an executive operational briefing, guided technical tours of active production lines and live magnet making, formal addresses by visiting dignitaries, and a ribbon-cutting ceremony. The afternoon will conclude with executive interviews, bilateral discussions to explore strategic offtake and trade opportunities, and an executive networking reception featuring live music and traditional Korean barbecue. A live webcast of the executive operational briefing will be available at investors.evolution-metals.com.

“On December 17, we will publicly inaugurate what we believe is the largest high-performance magnet facility in production outside of China,” said David Wilcox, Executive Chairman of EM&T. “This is a first step in taking production the Company has already proven in Korea to the next level. With DFARS 252.225-7052 taking effect on January 1, 2027 to restrict Chinese-origin rare earth magnets in qualifying U.S. defense systems, and following the August 13, 2026, White House proclamation imposing a 100 percent tariff on the most sensitive foreign unmanned aircraft and certain parts, the demand for secure supply chains is urgent. EM&T is built to serve as that definitive manufacturing solution for the United States and its partnered commercial markets. Pohang is where that solution is already running at commercial scale, and it is the platform from which we will build in the United States.”

Save the Date - Ribbon Cutting Event

“Our Pohang facility represents the operational foundation for EM&T’s next phase of commercial growth,” said Frank Moon, Chief Executive Officer of EM&T. “The plant is intended to support the expansion of annual rare earth magnet production to more than 10,000 metric tons per annum, from the operating base the Company already runs in Korea. That is the scale this next stage of production requires. Defense, unmanned aircraft, and automotive customers are seeking secure, non-China magnet supply, and Pohang is where EM&T is producing it today.”

To attend the event in Pohang, South Korea, please RSVP to RSVP@evolution-metals.com.

The employees received, in the aggregate, non-qualified stock options to purchase 207,150 shares of Bicara’s common stock, par value $0.0001 per share, with an exercise price of $18.20 per share, equal to the closing price of Bicara’s common stock as reported by Nasdaq on October 1, 2026. One-fourth of the options vest on the first anniversary of the employee’s applicable start date, with the remaining options vesting in 12 equal quarterly installments thereafter, subject to the employee’s continued service with the company through each applicable vesting date.

All of the above-described awards were granted outside of Bicara’s stockholder-approved equity incentive plans and are pursuant to Bicara’s 2026 Inducement Plan, which was adopted by Bicara’s board of directors in January 2026. About Bicara Therapeutics
Bicara Therapeutics is a clinical-stage biopharmaceutical company committed to bringing transformative bifunctional therapies to patients with solid tumors. Bicara’s lead program, ficerafusp alfa, is a first-in-class bifunctional antibody designed to drive tumor penetration by breaking barriers in the tumor microenvironment that have challenged the treatment of multiple solid tumor cancers. Specifically, ficerafusp alfa combines two clinically validated targets: an epidermal growth factor receptor (EGFR) directed monoclonal antibody with a domain that binds to human transforming growth factor beta (TGF-β). Through this targeted mechanism, ficerafusp alfa reverses the fibrotic and immune-excluded tumor microenvironment driven by TGF-β signaling to enable tumor penetration that drives deep and durable responses. Ficerafusp alfa is being developed in head and neck squamous cell carcinoma, where there remains a significant unmet need, as well as other solid tumor types. New DRS UK capability will support growing demand for counter-UAS, air defence and active protection system applications

ARLINGTON, Va., Oct. 05, 2026 (GLOBE NEWSWIRE) — Leonardo DRS, Inc. (Nasdaq: DRS) announced the establishment of DRS UK, a new subsidiary created to support the company’s business in the United Kingdom, along with the launch of local production of tactical radars in the UK.

The newly purpose-built production site expands DRS’s manufacturing footprint and creates a dedicated local presence to support UK defence customers, industry partners and system integrators. The company said the investment is intended to strengthen long-term support for UK programmes and provide greater flexibility to meet evolving operational requirements.

DRS tactical radars are designed to detect, track and classify a wide range of airborne and ground threats, including unmanned aircraft systems (UAS) and rockets, artillery and mortars (RAM). The radars support counter-UAS, air defence, force protection and active protection system applications.

DRS said more than 10,000 radar panels have been deployed worldwide with operational service with the United States Armed Forces, NATO allies and other international customers.

“Establishing DRS UK and launching a full local tactical radar capability, strengthens our ability to support customers and partners with the proximity, responsiveness and manufacturing capacity needed to meet evolving operational requirements,” said John Baylouny, president and chief executive officer of Leonardo DRS. “This investment enables closer collaboration with UK industry partners and integrators to deliver counter-UAS, air defence and force protection capabilities that help protect the warfighter.”

“Our investment in UK-based manufacturing for advanced sensing technologies reinforces the industrial capability, supply chain resilience and skilled workforce needed to support critical defence priorities,” said Max Cohen, senior vice president and general manager overseeing DRS’s tactical radar portfolio. “By establishing this local capacity, we are creating high-value engineering and manufacturing opportunities while positioning DRS UK to support future export growth and deliver greater value to customers across the UK and Europe.”

The UK operation will serve as a strategic hub for DRS’s tactical radar business in the UK and Europe, the company said.

Index rises to 146 as sales increase +2.2% year over year and +0.7% month over month

MILWAUKEE, Oct. 05, 2026 (GLOBE NEWSWIRE) — Fiserv, Inc. (NASDAQ: FISV), a leading global provider of payments and financial services technology, today published the Fiserv Small Business Index for September 2026, showing that back-to-school demand helped lift small business sales even as consumers continued to make fewer shopping trips. September sales rose +2.2% year over year and +0.7% month over month, the strongest annual gain since June.

Consumers who had been pulling back on discretionary purchases opened their wallets for back-to-school necessities in September. Retail foot traffic returned, clothing sales strengthened, sporting goods surged and grocery spending rebounded, even as restaurant visits declined and higher prices continued to shape spending across other categories.

“September’s results reflect the resilience of consumers and small businesses, but also the trade-offs households are making as they manage higher costs,” said Prasanna Dhore, Chief Data Officer, Fiserv. “Spending remains deliberate, with consumers shifting dollars among categories to meet immediate needs while pulling back elsewhere.”

Key Takeaways

Higher prices again did the heavy lifting

Average tickets were up +4.2% year over year, while total foot traffic (transactions) fell for the eleventh straight month (-2.0% year over year, -0.2% month over month). As families shifted from summer to school-year routines, spending moved toward retail and away from dining out.

Retail rebounded on back-to-school traffic

Total Retail sales rose +3.0% year over year and +1.3% month over month, matching June’s high. Transactions increased +2.4% year over year, while average tickets edged up +0.5%. Sporting Goods, Hobby and Miscellaneous Retailers gained +5.5% on +6.6% transaction growth, led by a +10.4% increase among Sporting Goods Retailers. Clothing foot traffic rose +6.1%, even as average tickets fell -4.7% year over year.

Back-to-school needs reshuffled family budgets

Discretionary sales rose +2.0% year over year, up from +0.9% in August and approaching the +2.4% increase in essentials. However, discretionary transactions fell -2.2% year over year, suggesting families shifted spending toward clothing, shoes and school supplies and away from dining and services. Goods sales increased +2.9% on +2.2% transaction growth, while average tickets edged up +0.7%. Services grew +1.9% on higher prices, with average tickets up +5.4% and foot traffic down -3.5%, its steepest decline in more than a year.

Restaurants lost more ground

Food Services and Drinking Places sales fell -1.0% year over year and -0.2% month over month as transactions declined -3.9%, offsetting a +2.8% increase in average tickets. Limited-Service Restaurants again posted the steepest declines, with sales down -4.0% and transactions down -5.6% year over year. Full-Service Restaurant sales edged up +0.8%, while Drinking Places rose +5.3% year over year.

Gasoline surged and grocery rebounded

Gas Station sales grew +21.1% year over year and +6.0% month over month as average tickets rose +20.9% and transactions remained nearly flat at +0.2%. Adjusted for inflation, sales fell -5.0%, indicating drivers paid more but did not buy more. Grocery sales also rebounded: Food and Beverage Retailer sales rose +1.9% year over year as transactions increased +1.5%, likely reflecting back-to-school restocking.
