The Bonduelle Group demonstrates its resilience, ending fiscal year 2025-2026 with stable sales and profitability

Message from Xavier Unkovic – Chief Executive Officer

Transforming ourselves to sustainably strengthen our performance

The past fiscal year unfolded in a particularly challenging environment, marked by the accumulation of major external shocks. In particular, our group faced the impact of unregulated imports of Chinese sweet corn, which put pressure on both volumes and selling prices, rising energy costs driven by international geopolitical tensions, and an exceptional heatwave that significantly affected agricultural yields for the 2026 harvest.

These adverse factors slowed the improvement of our profitability trajectory and temporarily weighed the delivery of our roadmap. However, they do not call into question the fundamentals of our strategy. On the contrary, they underscore the need to continue, with determination, the transformation already underway in order to strengthen the resilience of our business model in an environment that has remained particularly volatile over the past two years.

We are therefore continuing to execute our Transform to Win program to equip the company with the means to grow and enhance its competitiveness.
We have focused our resources on value-creating activities, brands and categories, evolved our portfolio through innovation to meet changing consumer expectations, and improved our operational efficiency.

This year’s financial performance does not yet fully reflect the potential of this transformation. However, the foundations are now firmly in place, our priorities are clear, and the first signs of progress are already visible.

In an environment that remains uncertain, we are fully committed to accelerating Bonduelle’s transformation. The group’s B Corp certification in January 2026 demonstrates our commitment to delivering profitable and sustainable growth, creating long-term value for all our stakeholders.

Net income rose by 27.7 million euros despite a 5.0% decrease in current operating income on reported figures, while the current operating margin reached 3.6% on reported figures.

Improved working capital requirements, resulting from a substantial reduction in inventory levels and rigorous investment control, contributed to the growth in current operating cash flow (1).

Europe Zone

The Europe Zone, which accounted for 62.8% of the business activity over the period, rose by +1.3% on both reported figures and a like-for-like basis (2).

In a sluggish market, the canned foods segment delivered growth of 1.5%. This performance was driven by the growth of branded sales, including canned products, particularly under the Cassegrain brand, as well as the gradual normalization of private-label volumes following the introduction of tariffs on Chinese sweet corn imports. The large-scale activation plan rolled out for the Bonduelle brand across Europe, featuring a new visual identity, a powerful communication campaign, and innovations designed to meet evolving consumer expectations, is beginning to deliver tangible results in several markets.

The frozen products segment recorded growth of 2.1%, driven by the gradual ramp-up of Bonduelle branded innovations in the retail channel, in line with the strategic evolution of our portfolio, as well as by increased activity in the food service activity.

The fresh prepared salads business declined by 0.4%, impacted by competitive pressure and delisting losses. However, the Quarter 4 marked a gradual recovery in activity (+4.4%), supported by favorable weather conditions to the consumption of fresh prepared products and by the launch of new branded products in France and Italy.

Non-Europe Zone

The Non-Europe Zone, representing 37.2% of the business activity over FY 2025-2026, decline by 1.0% on like-to-like basis (2) (-4.1% on reported figures).

After a year of growth in 2024-2025, North American operations declined by 5.6% on a like-for-like basis (2) (-12.4% on reported figures) over the full fiscal year. Market conditions remained challenging, with inflation and the impact of several agricultural crises putting significant pressure on raw material availability, which weighed heavily on performance despite the strong momentum on our innovations and the recovery in the foodservice channel (+9.4%).

The Eurasia, Export and Mercosur region recorded growth of 8.7% on a like-for-like basis (2) (+13.6% on reported figures). This performance was driven by the growth of our brands and brand activation initiatives in a dynamic market environment, as well as by the success of several product innovations.

Current Operating Income

(in millions of euros) 2025-2026 2024-2025 Variation at current exchange rates Variation at constant exchange rates and scope
Sales 2,186.2 2,203.8 -0.8% +0.4%
Current operating income 79.6 83.8 -5.0% -10.5%
Current operating margin rate 3.6% 3.8% -16 bps -41 bps

For fiscal year 2025-2026, the Bonduelle Group reported a current operating income of 79.6 million euros at current exchange rates and 75.0 million euros at constant exchange rates, compared with 83.8 million euros in the previous fiscal year. Current operating margin stood at 3.6% on reported figures, representing a decline of 16 basis points at current exchange rates, and 3.4% on a like-for-like basis (2), representing a decline of 41 basis points compared with the previous fiscal year.

This decrease in current operating profitability reflects the following developments and contributions:

  • In Europe, despite sales growth driven in particular by higher value-added meal solutions, profitability declined compared with the previous fiscal year. This was mainly due to increased pricing pressure from private-label products, which drove prices downward, as well as elevated inventory levels in certain categories, particularly sweet corn;
  • Outside Europe, current operating profitability improved slightly. This performance was primarily driven by the strong results achieved in Eurasia, where prices increase implemented in an inflationary environment helped support margins while preserving market positions. By contrast, Bonduelle Americas’ profitability remained broadly stable, impacted by several agricultural crises and less favorable market conditions;
  • Operational performance improvement initiatives and overhead optimization programs continued to deliver benefits across the group. However, these gains were offset by the negative impact of underutilized industrial capacity, resulting from proactive inventory reduction measures.

Consolidated net income

As of June 30, 2026, in an uncertain economic environment that weighed on the pace of the group’s transformation plan, challenges in the North American fresh ready-to-eat business led to the recognition of a 35 million euros impairment charge on Bonduelle Americas’ goodwill. Combined with logistics optimization costs in the United States and restructuring and reorganization expenses, these items brought non-recurring charges for the period of -47.3 million euros. As a result, reported operating income amounted to 32.3 million euros compared with 73.0 million euros a year earlier.

Financial results improved to -29.2 million euros, compared with -35.1 million euros at the close of the previous fiscal year. Interest expense recorded during the year decreased significantly to -28.8 million euros, primarily driven by an improvement in the group’s financing cost (3.15% from 3.81%). Foreign exchange gains and losses were neutral during this period, compared with a 2.0 million euros loss in the prior year.

Income tax expense amounted to -24.4 million euros, compared with -20.1 million euros in the previous fiscal year.

Share of profit from equity-accounted investments contributed to 4.3 million euros, primarily reflecting Bonduelle’s share of earnings from its investment in Nortera Foods, which is accounted for using the equity method.

After taking into account net financial expense, income tax expense and the share of profit from equity-accounted investments, Bonduelle Group’s net income from continuing operations for fiscal year 2025-2026 amounted to a loss of 16.9 million euros, compared with a profit of 19.7 million euros in the previous fiscal year.

In accordance with IFRS 5, the contribution from businesses that have been sold, are held for sale or have been discontinued is reported under “Net income from discontinued operations”. Accordingly, items recorded under this heading for the fiscal year amounted to 33.1 million euros. These mainly include the capital gain arising from the disposal of the packaged salad business in France, as well as the annual result of BF Agricola in Spain, whose operations were discontinued during the year.

Including net income from discontinued operations, Bonduelle Group’s consolidated net income for fiscal year 2025-2026 amounted to 16.2 million euros, compared with the loss of 11.5 million euros in the previous fiscal year and the loss of 111 million euros two years earlier.

Sheen Dental and Hansen Incarnati join SDL as the Company plans to bring outsourced production to Sarasota

TAMPA, Fla., Oct. 02, 2026 (GLOBE NEWSWIRE) — Standard Dental Labs Inc. (OTCQB: TUTH) (“SDL” or the “Company”) today announced the acquisition, effective October 2, 2026, of substantially all of the operating assets of Dr. Tooth, LLC, the dental laboratory business also known as Sheen Dental Laboratory and Hansen Incarnati. The acquisition expands SDL’s customer base and advances its strategy of consolidating Florida dental laboratories around regional production facilities.

Based on current operating levels, management estimates that the acquired business adds just over $800,000 in annualized revenue. Combined with SDL’s previously announced annualized revenue estimate of approximately $822,000 for its existing operations, the acquisition brings the Company’s estimated annualized revenue base to more than $1.6 million, nearly double the prior estimate. These figures reflect management’s estimates of operating activity extended over 12 months and are not a forecast of revenue to be reported for calendar 2026.

SDL plans to move production for the acquired business to its Sarasota facility, bringing work currently outsourced to China into the Company’s Florida operations. Management believes domestic production can strengthen quality control and communication with dentists, help recover former customer relationships and increase utilization of the Sarasota facility. By adding volume to its existing production infrastructure, SDL expects the acquisition to improve the facility’s profitability as integration progresses.

Management, which will included the existing Dr. Tooth management team of Denis Thaxton and Gavin White, believes these changes create an opportunity to rebuild the acquired business to more than $1.1 million in annualized revenue. Achieving that objective will depend on retaining current accounts, recovering customers and successfully transitioning production.

“Our focus is to bring this work back to Florida and give dentists direct access to the people making their restorations,” said James D. Brooks, President and Chief Executive Officer of Standard Dental Labs Inc. “We are adding an established customer base to our Sarasota operation, where the additional production can improve the economics of the facility. We also see a clear opportunity to win back business by giving customers the domestic production and responsive service they want.”

The transaction was structured as an asset purchase with a combination of cash and SDL common stock, including performance conditions tied to retained customer revenue.

  • Continued improvement: An increased response was seen in participants on litifilimab from week 24 through week 52, with more individuals achieving clear or almost clear skin (27.2%; CLA IGA 0-1) and improvements in disease activity (28.8%; CLASI-70) than at week 24 (19.0% and 21.7%, respectively)
  • Rapid onset: Participants that switched from placebo to litifilimab experienced improvements in skin disease activity in as early as four weeks — consistent with results seen in participants who started on litifilimab reported earlier this year
  • Consistent safety: Litifilimab’s safety profile remained consistent with previous studies, with no new safety signals identified
  • Results from the Phase 3 part of AMETHYST are expected in the first half of 2027; in January 2026 the FDA granted Breakthrough Therapy Designation to litifilimab in CLE

CAMBRIDGE, Mass., Oct. 02, 2026 (GLOBE NEWSWIRE) — Biogen Inc. (Nasdaq: BIIB) today announced 52-week results from the Phase 2 part of the ongoing AMETHYST Phase 2/3 study (Part A) of litifilimab in people living with cutaneous lupus erythematosus (CLE). The updated results, presented at the European Academy of Dermatology and Venereology (EADV) 2026 Congress in Vienna, Austria, represent the longest dataset reported for litifilimab in CLE and further support its potential to achieve rapid and durable improvements in skin disease activity. In the study, participants treated with litifilimab in the double-blind, placebo-controlled period showed continued clinical improvements in skin disease activity through Week 52. Notably, participants who switched from placebo to litifilimab treatment at Week 24 experienced a rapid onset of treatment effect as early as four weeks.

“Access to 52-week data is critical when evaluating a treatment for a lifelong, chronic disease like cutaneous lupus erythematosus, which can cause permanent scarring and disfigurement that many patients will carry with them forever. That is why achieving clear or almost clear skin, which is rarely seen in CLE, is a truly transformative treatment goal for this disease,” said Joseph F Merola, MD, MMSc, dermatologist, rheumatologist and President of the Rheumatologic Dermatology Society, Lupus Foundation Medical and Scientific Board. “It is highly encouraging to see continued improvement in skin clearance with litifilimab treatment – with over a quarter of participants reaching clear or almost clear skin – and data supporting litifilimab’s long-term safety profile.”

Litifilimab is being evaluated as a potential once-monthly, first-in-class treatment designed to reduce inflammation at its source by selectively targeting blood dendritic cell antigen 2 (BDCA2) receptors on plasmacytoid dendritic cells (pDCs), which play a central role early in the inflammatory process in CLE. In January 2026, litifilimab was granted Breakthrough Therapy Designation by the U.S. Food and Drug Administration (FDA) for the treatment of CLE.

The Phase 2 portion of the ongoing Phase 2/3 AMETHYST study evaluated 93 adults with active skin symptoms for whom standard antimalarial medications were not effective or not tolerable. Over the course of a full year, the study tracked key measures of skin redness, scaling and disease activity to assess how well litifilimab helped participants achieve healthier skin. By Week 52, more than a quarter (27.2%) of participants who received litifilimab from the beginning of the study achieved the clinical endpoint of clear or almost clear skin, as measured by a Cutaneous Lupus Activity Investigators’ Global Assessment Revised (CLA-IGA-R) erythema score of 0 or 1, up from 19.0% at Week 24. Similar improvements were seen on the Cutaneous Lupus Erythematosus Disease Area and Severity Index Activity-70 (CLASI-70) measurement with 28.8% of participants receiving litifilimab from the beginning of the study achieving a 70% or greater reduction in CLASI A at Week 52, compared to 21.7% at Week 24. For participants who started the study on placebo and transitioned to litifilimab halfway through the study, the onset of benefit was rapid – as early as four weeks – when skin symptoms began to improve. By Week 52, approximately one in three (33.7%) of these crossover participants reported clear or almost clear skin.

“Living with cutaneous lupus erythematosus carries a heavy physical toll, including dyspigmentation, pain, and scarring, which can be associated with comorbidities like depression and anxiety that can have a profound impact on daily life. These 52-week data reinforce litifilimab’s potential to deliver rapid improvement and demonstrate its durable skin clearance effects,” said Daniel Quirk, M.D., Chief Medical Officer at Biogen. “We are encouraged by these results that build on findings in earlier studies as we anticipate the upcoming Phase 3 study results that reflect our commitment to advancing targeted therapies for serious autoimmune conditions.”

Over the course of the 52-week treatment period, litifilimab was generally well tolerated with a safety profile consistent with previously reported Phase 2 studies and no new safety signals identified. The majority of adverse events (AEs) reported were mild or moderate in severity, and serious AEs occurred in 3.4% (3/88) of participants during the extended treatment period. The most common AEs (≥5% during the extended treatment period) were nasopharyngitis, influenza and arthralgia.

“People living with cutaneous lupus erythematosus face debilitating symptoms, including scarring, hair loss, and extreme sensitivity to light, yet they have long relied on treatments not specifically developed or studied for CLE,” said Albert T Roy, President and CEO of the Lupus Research Alliance. “The new data on litifilimab are encouraging because they point to the potential for both rapid symptom relief and durable improvement for people living with this condition. We look forward to seeing additional data from the Phase 3 study.”

About AMETHYST

AMETHYST is a two-part, Phase 2/3 multicenter, double-blind, placebo controlled, randomized study to evaluate the efficacy and safety of litifilimab compared to placebo. The study aims to assess the efficacy of litifilimab in participants with active subacute cutaneous lupus erythematosus (SCLE) and/or chronic cutaneous lupus erythematosus (CCLE) who are refractory or intolerant to antimalarial therapy. The Phase 2 and Phase 3 parts of the study are each 52 weeks in duration. Participants will be randomized to receive subcutaneous treatment with litifilimab or placebo every four weeks for 20 weeks with an additional dose at Week 2. All participants will receive litifilimab during the 28-week extended treatment period from Weeks 24 to 48. The Phase 3 part of the AMETHYST study remains blinded and is expected to read out in the first half of 2027. More information on the AMETHYST study (NCT05531565) is available at clinicaltrials.gov.

About Litifilimab (BIIB059)

Litifilimab (known as BIIB059) is an investigational first-in-class monoclonal antibody that is the first potential treatment developed by Biogen for lupus and is being evaluated in patients with systemic lupus erythematosus (SLE) and cutaneous lupus erythematosus (CLE). Its targeted mechanism of action acts early in the disease pathway to address the immune dysregulation that drives lupus. Litifilimab selectively targets BDCA2 receptors on plasmacytoid dendritic cells (pDCs) to reduce inflammation. Biogen developed litifilimab over two decades as part of a dedicated lupus discovery and development program.

Litifilimab is an investigational therapeutic candidate that has not yet been approved by any regulatory authority, and its safety and effectiveness have not been established.

Positive results from the CLE portion of the two-part Phase 2 LILAC study were previously published in The New England Journal of Medicine (NEJM) showing litifilimab met the study’s primary endpoint by demonstrating superior efficacy to placebo in reducing skin disease activity. In LILAC, litifilimab was generally well tolerated. The AMETHYST (NCT05531565) Phase 3 trial of litifilimab in CLE is currently ongoing.

About Cutaneous Lupus Erythematosus (CLE)

CLE, a type of lupus, is a serious autoimmune skin disease that impacts the daily lives of patients, including their emotional and mental health. It can lead to disfigurement in the form of hair loss, permanent scarring and abnormal skin color. In CLE, the immune system attacks healthy skin, causing rashes, pain, itching and sensitivity to sunlight. Currently, there are no approved targeted therapies for CLE and the last drug was approved in the 1950s.

MT Højgaard Holding’s business unit Enemærke & Petersen has been awarded the order for an extensive refurbishment of the Taastrupgaard housing complex in Taastrup. The project will be carried out under a general contract for the housing association AKB Taastrup, which is managed by KAB.

The final contract is expected to be signed on 15 October, following expiration of the standstill period, and will be conditional upon obtaining schedule B approval from Høje-Taastrup Municipality. The contract covers phase 2 of the area’s master plan as well as an option for phase 3, which is expected to be contracted during 2028-29. Combined, the two phases involve work valued at DKK 665 million.

The refurbishment follows the “Fremtidens Taastrupgaard” master plan, which is supported by the Danish Building Fund. The master plan aims to significantly improve the quality of the neighborhood and the homes, while meeting the requirements of the Danish Parliament’s “Parallel Society Package” regarding the creation of mixed urban and residential areas with a wider range of services. The first phase of the master plan has already been completed; phases 2 and 3 entail a comprehensive refurbishment of 19 residential blocks comprising a total of 522 homes, along with landscaping and paving work.

As part of the refurbishment, two blocks will be demolished and 102 homes abolished, while several of the remaining homes will be converted into new housing types such as youth housing, accessible housing, and “drive-in” housing, and some homes will be merged. The facades of the blocks will be replaced or retrofitted with additional insulation, and new heating and ventilation systems, electrical installations, balconies, floors, and kitchens will be installed.

Work will commence in the first quarter of 2027 and be completed in the first quarter of 2030. Phase 2 involves 301 housing units, which will be reduced to 214. Phase 3 involves 221 units, which will be reduced to 183.

“We look forward to collaborating with AKB Taastrup, KAB, and the developer’s advisers to future-proof Taastrupgaard in one joint project team focused on progress, quality, and handover by block to minimise inconvenience for residents. We have a solid plan that we look forward to realising in close dialogue with the residents and their representatives,” says Kim Thinggaard, CEO of Enemærke & Petersen.

The contract has no impact on MT Højgaard Holding’s expectations for 2026, but it confirms Enemærke & Petersen’s market-leading position in the refurbishment and transformation of social housing, among other things through multi-year construction partnerships with KAB and Civica. Enemærke & Petersen is currently engaged in more than 25 housing refurbishment projects.
