THREE MONTHS ENDED SEPTEMBER 30, 2026

We posted sales of $10.1 billion for the third quarter of 2026, a decrease of 4% from the third quarter of 2025. The lower sales largely reflects:

  • lower global light vehicle production, including lower vehicle production in North America and China of 5% and 7%, respectively, partially offset by 3% higher vehicle production in Europe;
  • the end of production of certain programs;
  • the divestitures of our Lighting and Rooftop Systems businesses during 2026;
  • net customer price concessions as compared to the prior year;
  • lower engineering revenue, primarily in our Complete Vehicles segment; and
  • the net weakening of foreign currencies against the U.S. dollar.

These factors were partially offset by:

  • the launch of new programs during or subsequent to the third quarter of 2025; and
  • net favourable commercial items.

Adjusted EBIT increased 11% to $683 million for the third quarter of 2026 compared to $613 million for the third quarter of 2025, primarily due to:

  • net favourable commercial items;
  • productivity and efficiency improvements, including the benefit of operational excellence initiatives and prior restructuring actions, net of customer price concessions; and
  • recoveries for tariffs and lower tariff costs incurred.

These factors were partially offset by:

  • reduced earnings on lower organic sales, and related product mix impacts;
  • higher commodity costs, partially offset by higher scrap recoveries; and
  • net transactional foreign exchange losses in the third quarter of 2026, compared to net transactional foreign exchange gains in the third quarter of 2025.

Income from operations before income taxes was $552 million in the third quarter of 2026, up $79 million or 17% compared to the third quarter of 2025. Income from operations before income taxes includes Other expense, net(2) and Amortization of acquired intangible assets totaling $96 million and $75 million in the third quarters of 2026 and 2025, respectively. Excluding Other expense, net and Amortization of acquired intangible assets from both periods, income from operations before income taxes in the third quarter of 2026 increased $100 million or 18% compared to the third quarter of 2025, largely reflecting the increase in Adjusted EBIT and lower interest expense.

Net income attributable to Magna International Inc. was $383 million for the third quarter of 2026 compared to $305 million in the third quarter of 2025. Excluding Other expense, net, after tax and Amortization of acquired intangibles from both periods, net income attributable to Magna International Inc. was $486 million in the third quarter of 2026 compared to $375 million in the third quarter of 2025.

Diluted earnings per share were $1.44 in the third quarter of 2026, an increase of 33% from the comparable period. Adjusted EPS were $1.83, compared to $1.33 for the third quarter of last year, an increase of 38%. The increase in Adjusted EPS primarily reflects the impact of higher Adjusted EBIT, lower interest expense and effective tax rate, and a decrease in average diluted shares outstanding resulting from share repurchases over the past 12 months.

In the third quarter of 2026, we generated cash from operations of $950 million, and Free Cash Flow of $584 million.

(2) Other expense, net is comprised of restructuring activities, loss on assets held for sale, impacts related to Fisker, and gain on investment during the three months ended September 30, 2026 & 2025. A reconciliation of these Non-GAAP financial measures is included in the back of this press release.

NINE MONTHS ENDED SEPTEMBER 30, 2026

We posted sales of $31.4 billion for the nine months ended September 30, 2026, an increase of 1% compared to $31.2 billion for the nine months ended September 30, 2025. The higher sales largely reflects:

  • the launch of new programs during or subsequent to the first nine months of 2025;
  • the net strengthening of foreign currencies against the U.S. dollar, which increased reported U.S. dollar sales by $678 million; and
  • net favourable commercial items.

These factors were partially offset by:

  • the end of production of certain programs;
  • lower global light vehicle production;
  • lower complete vehicle assembly volumes with full-cost contractual arrangements;
  • the divestitures of our Lighting and Rooftop Systems businesses during 2026;
  • lower engineering revenue, primarily in our Complete Vehicles segment; and
  • net customer price concessions subsequent to the first nine months of 2025.

Adjusted EBIT increased 24% to $1.9 billion for the nine months ended September 30, 2026 compared to $1.6 billion for the nine months ended September 30, 2025 primarily due to:

  • productivity and efficiency improvements, including the benefit of operational excellence initiatives and prior restructuring actions, net of customer price concessions;
  • net favourable commercial items;
  • higher equity income, including favourable commercial items during the first nine months of 2026;
  • recoveries for tariffs and lower tariff costs incurred;
  • higher net transactional foreign exchange gains in the first nine months of 2026, compared to the first nine months of 2025;
  • the net strengthening of foreign currencies against the U.S. dollar, which had a favourable impact on reported U.S. dollar Adjusted EBIT; and
  • lower warranty costs.

These factors were partially offset by:

  • higher commodity costs, partially offset by higher scrap recoveries;
  • reduced earnings on lower organic sales;
  • lower income on lower engineering revenue;
  • higher employee profit sharing and incentive compensation; and
  • higher professional fees.

During the nine months ended September 30, 2026, income from operations before income taxes was $1.2 billion, up $44 million or 4% over the prior year. Income from operations before income taxes includes Other expense, net(2) and Amortization of acquired intangible assets totaling $571 million and $189 million in the first nine months of 2026 and 2025, respectively. Net income attributable to Magna International Inc. was $840 million in the nine months ended September 30, 2026, compared to $830 million in the prior year period. Excluding Other expense, net, after tax and Amortization of acquired intangibles from both periods, net income attributable to Magna International Inc. was $1.4 billion in the first nine months of 2026 compared to $1.0 billion in the prior year period.

Diluted earnings per share were $3.08 during the nine months ended September 30, 2026, compared to $2.94 in the comparable period. Adjusted diluted earnings per share were $5.06, compared to $3.55 for the nine months ended September 30, 2025. The increase in Adjusted EPS primarily reflects the impact of higher Adjusted EBIT, lower interest expense and effective tax rate, and a decrease in average diluted shares outstanding resulting from share repurchases over the past 12 months.

During the nine months ended September 30, 2026, we generated cash from operations of $2.6 billion. Free Cash Flow was $1.6 billion in the period, including balance sheet-related customer recoveries for contract adjustments associated with certain electric vehicle programs in North America.

RETURN OF CAPITAL TO SHAREHOLDERS

During the three and nine months ended September 30, 2026, we paid dividends of $129 million and $397 million, respectively. In addition, we repurchased 7.9 million shares for $529 million and 22.9 million shares for $1.434 billion, respectively, for the three and nine months ended September 30, 2026. There were 1.3 million remaining shares available for repurchase as of September 30, 2026, under our current Normal Course Issuer Bid (“NCIB”); the remaining shares were repurchased in October.

On October 29, our Board of Directors declared a third quarter dividend of $0.495 per Common Share. The dividend is payable on November 27, 2026, to shareholders of record as of the close of business on November 13, 2026.

OTHER MATTERS

Subject to the approval by the Toronto Stock Exchange, our Board of Directors approved a new NCIB to repurchase up to approximately 25.8 million of our Common Shares, representing 10% of our public float of Common Shares. This NCIB is expected to be effective on November 9, 2026 and will terminate no later than November 8, 2027.

Our full year Outlook for 2026 is provided annually, with quarterly updates, and is intended to provide information about management’s current expectations and plans and may not be appropriate for other purposes. Although considered reasonable by Magna as of the date of this document, the 2026 Outlook above and the underlying assumptions may prove to be inaccurate. Accordingly, our actual results could differ materially from our expectations as set forth herein. The risks identified in the “Forward-Looking Statements” section below represent the primary factors which we believe could cause actual results to differ materially from our expectations.

KEY DRIVERS OF OUR BUSINESS

Our business and operating results are dependent on light vehicle production by our customers in three key regions – North America, Europe, and China. While we supply systems and components to many OEMs globally, we do not supply systems and components for every vehicle, nor is the value of our content consistent from one vehicle to the next. As a result, customer and program mix relative to market trends, as well as the value of our content on specific vehicle production programs, are also important drivers of our results.

Ordinarily, OEM production volumes are aligned with vehicle sales levels and thus affected by changes in such levels. Aside from vehicle sales levels, production volumes are typically impacted by a range of factors, including: geopolitical factors, such as military conflicts and tariffs; supply chains, including disruption to supply of and/or increased costs of steel, aluminum, resin, and energy supplies, as well as semiconductor and memory (DRAM) chips; OEM, supplier or sub-supplier disruptions; relative currency values; commodity prices; labour disruptions, as well as the availability and relative cost of skilled labour; regulatory frameworks; and other factors.

Overall vehicle sales levels are significantly affected by changes in consumer confidence levels, which may in turn be impacted by consumer perceptions and general trends related to the job, housing, and stock markets, as well as other macroeconomic and political factors. Other factors which typically impact vehicle sales levels and thus production volumes include: vehicle affordability; interest rates and/or availability of credit; fuel and energy prices; relative currency values; and considerations applicable to EVs, including EV range, charging infrastructure, and electricity pricing.

NON-GAAP FINANCIAL MEASURES RECONCILIATION

In addition to the financial results reported in accordance with U.S. GAAP, this press release contains references to the Non-GAAP financial measures reconciled below. We believe the Non-GAAP financial measures used in this press release are useful to both management and investors in their analysis of the Company’s financial position and results of operations, and to improve comparability between fiscal periods. In particular, management believes that Adjusted EBIT and Adjusted diluted earnings per share are useful measures in assessing the Company’s financial performance by excluding certain items that are not indicative of the Company’s core operating performance. Management also believes that Free Cash Flow is a useful measure in assessing the Company’s ability to generate cash to maintain operations and repay its debt. The presentation of Non-GAAP financial measures should not be considered in isolation, or as a substitute for the Company’s related financial results prepared in accordance with U.S. GAAP.

Certain of the forward-looking financial measures provided in our Outlook are provided on a Non-GAAP basis. We do not provide a reconciliation of such forward-looking measures to the most directly comparable financial measures calculated and presented in accordance with U.S. GAAP. To do so would be potentially misleading and not practical given the difficulty of projecting items that are not reflective of ongoing operations in any future period. The magnitude of these items, however, may be significant.

It is the first time the prestigious international award has been won by a Danish company.

Evaxion CEO Helen Tayton-Martin and founder and Chief AI Officer Andreas Holm Mattsson received the award last night at the American Museum of Natural History in New York City. It represents yet another important external recognition of AI-Immunology™, which harnesses the power of artificial intelligence to decode the human immune system and develop novel immunotherapies for cancer as well as infectious and autoimmune diseases.

AI-Immunology™ is Evaxion’s proprietary, clinically validated and scalable AI platform with which it conducts rapid, efficient and high-quality target discovery, drug design and development. “The International Prix Galien Award is a tremendous recognition of our science and technology, which we are honored and delighted to receive. The INVL Baltic Sea Growth Fund, the leading private equity fund in the Baltics, has announced that its portfolio company, Galinta, one of the largest buckwheat producers in Europe and a major producer of cereal flakes in the Baltics, has signed an agreement to acquire 100% of the shares in the Estonian company Worldline. The company produces packaged rice, groats, and other cereal products under the ‘Baltix’ brand.

“With this acquisition, Galinta strengthens its position in Estonia and gains a well-established producer with a brand that is familiar to consumers. We also see tangible synergies in raw material procurement, production, and logistics,” says Aurimas Taraškevičius, CEO of Galinta.

‘Baltix’ is one of the top three brands in its category in the country, and its products are sold in all major Estonian retail chains.

In 2025, the Galinta Group’s revenue amounted to EUR 37.9 million. The acquisition will add approximately EUR 2.1 million in annual revenue to the Galinta Group.

The transaction is expected to be completed by the end of this year, subject to approval from the Estonian Competition Authority and the fulfilment of other customary closing conditions.

About the INVL Baltic Sea Growth Fund

With a fund size of EUR 165 million, the INVL Baltic Sea Growth Fund is one of the leading private equity funds in the Baltics. Its anchor investor is the European Investment Fund (EIF), which is a part of the European Investment Bank and committed EUR 30 million with the support of the European Fund for Strategic Investments (a key element of the Investment Plan for Europe, or the Junker Plan) while also allocating resources from the Baltic Innovation Fund (a “fund of funds” initiative developed in cooperation with the governments of Lithuania, Latvia and Estonia,  to increase capital investment in high-growth potential small and medium-sized enterprises in the Baltics).

The fund is managed by INVL Asset Management, the leading Baltic alternative asset manager, which is a part of the Invalda INVL Group with over 30 years of experience. The group’s companies manage or have under supervision EUR 2.3 billion in assets across various investment strategies, including private equity, forests and agricultural land, renewable energy, real estate, and private debt. Additionally, the group provides family office services in Lithuania, Latvia and Estonia, manages pension funds in Latvia, and invests in global third-party funds.

About Galinta

Galinta is one of the largest producers and traders of buckwheat, rice and other groats in the Baltic region, whose 100% of shares were acquired by INVL Baltic Sea Growth Fund in February 2024. Having started its operations in 1997 as a trader of grain grown by Lithuanian farmers, the company today supplies its products not only to Baltic consumers but also to customers in the United States, the United Kingdom and Scandinavia. During the fund’s management period, the company has been pursuing an active expansion strategy in the region — in 2025 it acquired Lithuanian buckwheat groats producer Ekofrisa, thereby strengthening its market position.

About Worldline

The company began its operations in 1997 by supplying grain products to various food industry manufacturers and packers. Six years later, having acquired packaging equipment, the company started packaging its own products as well. That same year, the well-known brand Baltix was introduced, which quickly gained consumer recognition.

Today the company supplies products both to the HoReCa sector and to food industry companies in Estonia and beyond, with its clients including not only local but also Finnish and Latvian retail chains. Its core business remains the import, export and packaging of grain products, while for those with a sweet tooth, the company additionally offers a variety of cupcakes, cookies and other treats.

Activity driven by all business lines

9M 2026 KEY FIGURES:

  • Total premium income1 at €44.4 billion, up +12.8%2
  • Net inflows3 at +€15.0 billion of which +€3.2 billion in Q3

Nicolas Denis, Chief Executive Officer of Crédit Agricole Assurances, said:
“As a leading insurer, we are, with our teams, and those of our banking partners, fully mobilized to protect our customers and territories from the consequences of geopolitical, climate and societal risks that have reached unprecedented levels in recent months. In this demanding context, the strength of our results confirms our ability to fulfill our missions over the long term and for all our fellow citizens. The nearly 13% growth of our premium income, which reached €44.4 billion, reflects society’s need for protection and the confidence placed in us by our customers. Our contribution to the pre-tax income of Crédit Agricole S.A. group continues to grow by 2.1%, reaching €1.947 billion, despite high claims related to climate events. These strong results also confirm the soundness of our development and transformation strategy “Shape Tomorrow”, recently illustrated by the launch of Crédit Agricole Insurance Partners and the integration of Milleis Vie.
It enables us above all to be present in all circumstances alongside our customers, in their projects as well as in difficult times. Being strong to be useful: this is the essence of our model and our commitment.”

DOUBLE-DIGIT GROWTH ACROSS ALL BUSINESS LINES

Over the first nine months of the year, Crédit Agricole Assurances generated a total premium income1 of €44.4 billion, up +12.8%2 compared with the end of September 2025. The momentum is driven by all business lines.

In savings and retirement, premium income1 reached €33.9 billion at the end of September 2026, up +13.6% year-on-year. Preferential profit-sharing offers (PAB) on euro payments that ended on September 30 stimulated gross inflows3. They amounted to €22.3 billion (+12.7%) on General Account and €11.6 billion on Unit-Linked products (+15.3%). As a result, the share of Unit-Linked within gross inflows stood at 34.2% (+0.5 point year on-year).

Net inflows3 amounted to +€15.0 billion, up +€3.0 billion year-on-year. Net inflows3 reached +€8.0 billion on the General Account (+€1.7 billion year-on-year) and +€7.0 billion on Unit-Linked (+€1.3 billion year-on-year).

Life insurance assets under management4 reached €395.8 billion at the end of September 2026 (+7.9% year-on-year) thanks to very strong net inflows3 and a favorable market and capitalization effect over the period. They included €270.5 billion on the General Account (+6.3% over one year) and €125.3 billion on Unit-Linked (+11.7% year-on-year). As a result, Unit-Linked reserves represented 31.6% of total life insurance outstandings at the end of September 2026, up +1.1 points compared to December 31, 2025.

In property and casualty5, activity continued its growth trajectory with premium income1 up by +10.1% compared to the end of September 2025, reaching €5.9 billion, including PiùVera Assicurazioni which was not consolidated in Q3 2025. At constant scope, the increase was +7.9%. The portfolio amounted to 18.3 million contracts, growing +6.4% year-on-year (+2.6% at constant scope).

Equipment rates within the Crédit Agricole Group banks kept growing year-on-year, both in Regional Banks (45.3%6, up +0.7 point), LCL (29.1%6, up +0.5 point), and CA Italia (21.2%7, up +0.6 point).

In personal protection (death and disability / creditor / group insurance8), premium income1 amounted to €4.6 billion, up +10.7% year-on-year, including PiùVera Assicurazioni and PiùVera Protezione which were not consolidated in Q3 2025. At constant scope, premium income growth was +6.4%. Creditor insurance grew by +8.6% (+2.2% at constant scope), both on consumer credit and mortgage credit. Individual death and disability grew by +11.0% (+9.2% at constant scope), while group insurance was dynamic at +20.0%.

In individual and group health9, premium income1 kept growing at +14.8% year-on-year (+12.7% at constant scope).

RESULTS DRIVEN BY SAVINGS AND RETIREMENT BUSINESS AND IMPACTED BY CLIMATE EVENTS

The first nine months of the year were impacted by severe weather events: storms, droughts, hailstorms, wildfires. However, growth in savings and retirement and favorable liquidations on prior year claims in property and casualty insurance helped to absorb the impact of these climate events. Consequently, Crédit Agricole Assurances’ contribution to Crédit Agricole S.A. group’s pre-tax income amounted to €1,947 million, up +2.1% year-on-year. Crédit Agricole Assurances’ contribution to Crédit Agricole S.A.’s net income Group share declined by -1.2% year-on-year to €1,443 million, due to an unfavorable base effect on corporate income tax.

As a result of the climate events that occurred since the beginning of the year, the combined ratio10 increased by +1.8 points year-on-year to stand at 97.2%. The undiscounted net combined ratio increased by +2.5 points, at 100.1%.

The contractual service margin stood at €27.9 billion at end of September 2026, up +1.6% compared to the end of December 2025. It included a strong contribution from new business, exceeding the CSM release through P&L, that helped to offset the less favorable market conditions affecting the stock revaluation in the third quarter.
