VANCOUVER, British Columbia, Nov. 02, 2026 (GLOBE NEWSWIRE) — Pecoy Copper Corp. (“Pecoy Copper” or the “Company”) (TSXV: PCU; FSE: D5E; OTCQX: PCUUF) is pleased to announce that it has entered into subscription agreements with Hudbay Minerals Inc. (TSX, NYSE: HBM) (“Hudbay”) and an additional strategic investor (the “Strategic Investor” and, together with Hudbay, the “Investors”). Under these subscription agreements, subject to the terms and conditions thereof, Hudbay and the Strategic Investor have agreed to subscribe for 14,914,100 and 9,762,425 common shares of the Company (the “Common Shares”), respectively, on a non-brokered private placement basis at a price of C$2.02 per Common Share (the “Issue Price”) for aggregate gross proceeds to the Company of approximately C$49.8 million (the “Private Placement”).

The net proceeds from the Private Placement are expected to be used to advance exploration and development activities at the Company’s flagship Pecoy copper-gold project (“Pecoy” or the “Pecoy Project”) in southern Peru, including ongoing drilling, resource definition and expansion activities, geological and metallurgical studies, and technical work supporting the Company’s planned updated mineral resource estimate, as well as for general corporate and working capital purposes.

Highlights:

  • The investments by Hudbay and the Strategic Investor in Pecoy Copper further strengthen the Company’s shareholder base and demonstrate confidence in the long-term potential of the Pecoy Project.
  • Hudbay will invest approximately C$30.1 million and the Strategic Investor will invest approximately C$19.7 million, each at the Issue Price, for aggregate gross proceeds of approximately C$49.8 million.
  • The Issue Price represents a 10% premium to the 10-day volume-weighted average price (VWAP) of the Common Shares on the TSX Venture Exchange (the “TSXV”) as of October 30, 2026.
  • The strategic investments will provide additional financial flexibility to advance exploration, resource definition and technical studies at Pecoy, including the Company’s planned updated mineral resource estimate.

Vincent Metcalfe, President and CEO of Pecoy Copper, commented: “We are extremely pleased to announce these strategic equity investments in Pecoy Copper, representing an important milestone for our Company. We believe these capital commitments reflect the substantial geological potential of Pecoy and the progress achieved through our exploration programs. This additional capital further strengthens our financial position as we continue to expand our understanding of the mineralized system, pursue resource expansion, growth opportunities and advance technical work required to support the next phase of the project’s development. We look forward to building on our relationships with both organizations.”

Peter Kukielski, Chief Executive Officer of Hudbay, commented: “Pecoy is an exciting copper development project in Peru, a jurisdiction where Hudbay has been operating successfully for over a decade. This investment helps to facilitate project de-risking activities and increases our exposure to a high-quality development project in an attractive copper belt.”

Immediately following the Private Placement, each of Hudbay and the Strategic Investor is expected to hold approximately 9.99% of the issued and outstanding Common Shares, calculated on a partially diluted basis.

In connection with the Private Placement, the Company and Hudbay will enter into, subject to closing of the Private Placement with Hudbay, an investor rights agreement (the “Hudbay IRA”). The terms of the Hudbay IRA will grant Hudbay certain rights, provided that it maintains certain ownership thresholds in the Company, including: (a) the right to participate in equity financings and top-up holdings in relation to dilutive issuances in order to maintain pro rata ownership (up to 9.99%); and (b) the right to nominate one person to the board of directors of the Company (or the right to nominate two persons, if the board of directors of the Company is comprised of ten or more directors).

Closing of the Private Placement with each Investor is expected to occur on or about November 5, 2026, and is subject to the satisfaction of customary closing conditions and the receipt of customary regulatory approvals, including the acceptance of the TSXV. The Common Shares to be issued in connection with the Private Placement will be subject to a statutory hold period in accordance with applicable securities laws.

About Pecoy Copper

Pecoy Copper is advancing the Pecoy Copper-Gold-Molybdenum-Silver Project and the Tororume Project, which together cover approximately 19,800 hectares in southern Peru’s Arequipa region. Prior to the Company’s current drill program, less than 49,000 metres of historical drilling had been completed at Pecoy, defining a broad mineralized system with potential for expansion along strike and at depth.

Closed on Sale of The Everly and Solis Gainesville II and Exited Final Real Estate Financing Investment; Proceeds Used to Reduce Debt

Recast Unsecured Credit Facility, Closed New $100 Million Seven-Year Term Loan and Refinanced Constellation Energy Building Loan

VIRGINIA BEACH, Va., Nov. 02, 2026 (GLOBE NEWSWIRE) — AH Realty Trust (NYSE: AHRT) (“AHRT” or the “Company”) today announced that it has completed several transactions last week, continuing its execution of the strategic transformation announced at the beginning of the year to simplify the Company and strengthen its balance sheet:

  • Multifamily disposition: Completed the sale of The Everly and Solis Gainesville II, totaling 407 units in Gainesville, Georgia.
  • Real estate financing exit: The Company’s partner completed the sale of Solis Kennesaw, marking the Company’s exit from its final real estate financing investment.
  • Credit facility recast and new term loan: Closed the recast of its unsecured credit facility, consolidating previously separate term loans into a $150 million revolving credit facility and two $200 million term loans, maturing in 2030 and 2031. The Company also entered into a new $100 million seven-year term loan maturing in 2033.
  • Constellation Energy Building refinancing: Refinanced the $121.8 million loan on the Constellation Energy Building at Harbor Point, extending its maturity from November 2026 to October 2029.

The Company used the proceeds from the dispositions to reduce debt, bringing leverage within its long-term leverage target of 5.5x to 6.5x Net Debt to Total Adjusted EBITDAre. The Company now has no material debt maturities until 2029, and its weighted average debt maturity has increased to 4.4 years from 2.0 years.

“When we began implementing our transformation, we told shareholders we would simplify the Company by exiting multifamily, construction and real estate financing, while strengthening AH Realty Trust’s balance sheet with the proceeds,” said Shawn Tibbetts, Chairman, President and Chief Executive Officer of AH Realty Trust. “Last week’s transactions underscore the significant progress we have made in carrying out that commitment. With the transformation now substantially complete and no material maturities until 2029, AH Realty Trust is a simpler, stronger retail and mixed-use office REIT, well-positioned to create long-term value for shareholders.”

Since announcing its transformation in February, the Company has rebranded as AH Realty Trust, sold its general contracting and real estate services business and, with last week’s closings, completed its exit from real estate financing. In May 2026, the Company sold nine multifamily properties to affiliates of Harbor Group International, LLC (“HGI”). Following the sale of The Everly and Solis Gainesville II, the Company has sold 11 of the 13 multifamily properties it previously identified for sale. Two properties, Greenside and Premier, remain under contract with affiliates of HGI. The Company expects to close the sale of Greenside in November 2026 and Premier in the second quarter of 2027.

Nasdaq Ticker to Change to ‘SAEN’ on November 4, 2026

MILAN, Nov. 02, 2026 (GLOBE NEWSWIRE) — Genenta Science S.p.A. (Nasdaq: GNTA) (the “Company”) today announced that it will do business as Saentra Forge and that its American Depositary Shares (“ADSs”) are expected to begin trading on the Nasdaq Capital Market under the new ticker symbol “SAEN”, effective at the opening of trading on Wednesday, November 4, 2026.

On October 20, 2026, the Board of Directors resolved that the Company will do business as Saentra Forge and approved the change of the ticker symbol of its ADSs from “GNTA” to “SAEN.”

The new identity reflects the Company’s transformation, announced in January 2026, into a next-generation strategic industrial consolidator focused on acquiring majority or full ownership of companies operating in security–regulated sectors, with activities spanning aerospace, defense and national security — including physical AI, robotics, autonomous systems, advanced sensors and cybersecurity — as well as biotechnology and biosecurity.

“Saentra” evokes the idea of a central hub, the place where strategic companies are gathered; “Forge” recalls the industrial work of transformation, where material is shaped into something stronger. Together, the name describes what the Company does: a hub that provides capital, governance, and access to the U.S. public markets to Italian scale-ups in national-security sectors, helping them grow into national champions.

“The forge is where strength takes shape,” said Pierluigi Paracchi, Chief Executive Officer. “Saentra Forge brings together companies that already have the technology and the customers, and gives them governance, access to capital and a long-term owner aligned with the country’s strategic interests. The ticker change to SAEN marks the moment when the market can see the Company for what it is today.”

Together with the new business name, the Company is introducing a new visual identity, including a new logo, color palette and corporate website at www.saentra.com. The identity will be rolled out across the Company’s communications, investor materials and digital channels from November 4, 2026.

No Action Required by Shareholders

The Company’s legal name will remain Genenta Science S.p.A., and its by-laws, corporate structure, jurisdiction of incorporation, tax identifiers, and existing contracts are unaffected. The ticker symbol change and adoption of the Saentra Forge business name will not affect the Company’s outstanding ordinary shares or ADSs, the rights of shareholders or ADS holders, or their respective ownership interests. No action is required by existing shareholders or ADS holders since doing business under a new name does not require an amendment to the Company’s by-laws or a shareholders’ resolution. The Company’s ADSs will continue to trade on the Nasdaq Capital Market under the new ticker symbol SAEN beginning November 4, 2026.

About Saentra Forge

Saentra Forge is the business name of Genenta Science S.p.A. (Nasdaq: SAEN), a next-generation strategic industrial consolidator focused on acquiring majority or full ownership of companies operating in security–regulated sectors, with activities spanning aerospace, defense and national security — including physical AI, robotics, autonomous systems, advanced sensors and cybersecurity — as well as biotechnology and biosecurity. The Company seeks to acquire and retain profitable businesses operating in sectors covered by Italy’s Golden Power legislation and integrate them into a transparent, Nasdaq-listed platform. Its portfolio includes A.T.C. S.r.l., a wholly owned subsidiary, and Sòphia High Tech S.r.l., in which the Company holds a strategic investment with a contractual path to majority ownership through existing options.

Forward-Looking Statements

This press release contains forward-looking statements within the meaning of applicable U.S. securities laws, including statements concerning the anticipated effective date of the ticker symbol change, the Company’s adoption of the Saentra Forge commercial brand, its strategic direction, potential acquisitions and investments, and its plans to develop an integrated industrial group. These statements are based on current expectations and assumptions and involve risks and uncertainties that could cause actual results to differ materially from those expressed or implied. Such risks include, among others, the Company’s ability to implement its strategic initiatives, identify and complete suitable acquisitions, obtain required regulatory approvals, integrate acquired businesses, secure financing, and successfully transition its operations toward strategic industrial sectors, the outcome of certain pending legal proceedings, as well as other risks described in the Company’s filings with the U.S. Securities and Exchange Commission. The Company undertakes no obligation to update any forward-looking statements, except as required by applicable law.
