Dipti Vachani appointed as Chief Executive Officer
Signed multi-year license renewals with Charter and TCL
Reiterate confidence in long-term $600 million annual revenue outlook

SAN JOSE, Calif., Nov. 02, 2026 (GLOBE NEWSWIRE) — Adeia Inc. (Nasdaq: ADEA) (the “Company” or “Adeia”), the technology company pioneering foundational innovations that shape how the world computes, connects and experiences entertainment, today announced financial results for the third quarter ended September 30, 2026.

“I am honored to join Adeia at such an exciting time as AI is driving innovation in both media and semiconductors, and Adeia’s foundational technologies are at the heart of these trends,” said Dipti Vachani, chief executive officer of Adeia. “Our third quarter results reflected strong deal activity with eight license agreements signed across Pay-TV, consumer electronics, e-commerce and social media. Those deals included significant renewals with long-time customers Charter and TCL and four new customers during the quarter. We are on target to achieve our long-term annual revenue outlook of $600 million and we remain excited about our future.”

Vachani continued, “I want to thank the Board for their confidence in me and Paul Davis for his support during this transition. Through my nearly 30 years of experience in the semiconductor space, I have a deep understanding of the technology, the ecosystem and the barriers to scale that Adeia customers are experiencing. With my proven track record, coupled with our talented team of innovators and extensive patent portfolios, I am confident that we have all the ingredients to grow and expand our business.”

“We are pleased with the progress that we have made to date as our pipeline remains strong and is growing,” said Keith Jones, chief financial officer. “As we approach the end of the year, our revenue could be impacted by the ultimate timing of executing a select few deals. We remain confident in our ability to achieve the high-end of our revenue guidance range for 2026. However, we felt it prudent to adjust the range to reflect the potential impact to the extent certain of these deals are executed beyond the end of the year.”

Non-GAAP Financial Measures

In addition to disclosing financial results calculated in accordance with U.S. Generally Accepted Accounting Principles (GAAP), the Company’s earnings release contains non-GAAP financial measures adjusted, where applicable, for either one-time or ongoing non-cash acquired intangibles amortization charges, costs related to actual or planned business combinations including transaction fees, integration costs, severance, facility closures, and retention bonuses, separation costs, all forms of stock-based compensation, leadership transition costs, loss on debt extinguishment, expensed debt refinancing costs, impairment of intangible assets, impact of certain foreign currency adjustments, discontinued operations and related tax effects. In addition, adjusted EBITDA adjusts for recurring charges of interest expense, income taxes, depreciation and amortization. Management believes that the non-GAAP measures used in this release provide investors with important perspectives on the Company’s ongoing business and financial performance and are helpful to provide investors with an understanding of our core operating results reflecting our normal business operations. The non-GAAP financial measures disclosed by the Company should not be considered a substitute for, or superior to, financial measures calculated in accordance with GAAP. Our use of non-GAAP financial measures has certain limitations in that the non-GAAP financial measures we use may not be directly comparable to those reported by other companies. For example, the terms used in this press release, such as EBITDA margin, which is defined as EBITDA as a percentage of revenue, adjusted EBITDA, adjusted EBITDA margin, non-GAAP operating expenses, non-GAAP net income and non-GAAP diluted earnings per share (EPS) do not have a standardized meaning. Other companies may use the same or similarly named measures, but exclude different items, which may not provide investors with a comparable view of our performance in relation to other companies. We seek to compensate for the limitation of our non-GAAP presentation by providing a detailed reconciliation of the non-GAAP financial measures to the most directly comparable GAAP measures in the tables attached hereto. Investors are encouraged to review the related GAAP financial measures and the reconciliation of these non-GAAP financial measures to their most directly comparable GAAP financial measures. All financial data is presented on a GAAP basis except where the Company indicates its presentation is on a non-GAAP basis.

Set forth below are reconciliations of the Company’s reported and forecasted GAAP to non-GAAP financial metrics.

Financial Outlook

For the fourth quarter of 2026, Ethos expects the following:

  • Total Revenue: Between $220 million and $224 million, representing a 102% increase year-over-year at the midpoint
  • Adjusted EBITDA: Between $30 million and $32 million

For the full fiscal year 2026, Ethos expects the following:

  • Total Revenue: Between $838 million and $842 million, representing a 117% increase year-over-year at the midpoint
  • Adjusted EBITDA: Between $134 million and $136 million

Ethos’ financial outlook for the fourth quarter and full fiscal year 2026 are forward-looking, and actual results may differ materially as a result of many factors. Refer to the Forward-Looking Statements safe harbor below for information on the factors that could cause the company’s actual results to differ materially from these forward-looking statements.

Reconciliation of Adjusted EBITDA on a forward-looking basis to net income, the most directly comparable GAAP measure, is not available without unreasonable efforts due to high variability and complexity and low visibility with respect to certain charges excluded from this non-GAAP measure, including interest expense, interest income, and income tax expenses. Ethos expects the variability of these items could have a significant, and potentially unpredictable, impact on its future GAAP financial results.

Conference Call Information

Ethos will host a conference call for analysts and investors to discuss its earnings results for the third quarter 2026 and outlook for its fourth fiscal quarter and fiscal year 2026 today at 1:30 p.m. Pacific time (4:30 p.m. Eastern time). A live webcast and accompanying presentation can be accessed through the events section of the Ethos investor relations website at investors.ethos.com. A recorded webcast of the event will also be available on the Ethos Investor Relations website.

Non-GAAP Financial Information

Ethos has provided in this press release financial information that has not been prepared in accordance with generally accepted accounting principles in the United States (GAAP). We believe that non-GAAP financial measures, among others, provide important supplemental information to management and investors, help evaluate our business, identify trends affecting our performance, formulate business plans, and make strategic decisions.

The presentation of these non-GAAP financial measures is not meant to be considered in isolation or as a substitute for comparable GAAP financial measures and should be read only in conjunction with the Company’s consolidated financial statements prepared in accordance with GAAP. For further information regarding these non-GAAP measures, including the reconciliation of these non-GAAP financial measures to their most directly comparable GAAP financial measures, please refer to the financial tables below.

Adjusted EBITDA –  Ethos defines Adjusted EBITDA as net income excluding interest expense, interest income, income tax expense (benefit), depreciation and amortization, and stock-based compensation expense and related taxes as set forth in the table below. Adjusted EBITDA Margin is calculated by dividing Adjusted EBITDA for a period by revenue for the same period. Ethos uses Adjusted EBITDA and Adjusted EBITDA Margin to assess performance, to inform the preparation of its annual operating budget and quarterly forecasts, to evaluate the effectiveness of its business strategies, and to assist its board of directors in monitoring its business and financial performance. Ethos believes that Adjusted EBITDA and Adjusted EBITDA Margin provide useful information to investors about its business and financial performance, enhance their overall understanding of its past performance and future prospects, including by providing consistency and comparability with its past financial performance, and allow for greater transparency with respect to measures used by its management in investors’ financial and operational decision making. In addition, Ethos believes Adjusted EBITDA is widely used by investors, securities analysts, and other parties in evaluating companies in its industry as a measure of operational performance.

Contribution Profit – Ethos defines Contribution Profit as gross profit less sales and marketing expense, which includes agent payments and underwriting costs for non-activated policies, plus stock-based compensation and related taxes related to its employees and overhead costs allocated to sales and marketing expenses. Gross profit is defined as revenue less cost of revenue. Cost of revenue primarily consists of underwriting costs associated with activated policies. Overhead costs allocated to sales and marketing expenses include professional fees, technology expenses, and other related expenses. Contribution Margin is calculated by dividing Contribution Profit for a period by revenue for the same period.

Non-GAAP Net Income and Non-GAAP Net Income Per Share, Basic and Diluted – Ethos defines non-GAAP net income as net income/(loss), adjusted to exclude stock-based compensation and related taxes, to provide investors and management with greater visibility into the underlying performance of its recurring core business operations. Ethos defines non-GAAP net income per share, basic, as non-GAAP net income divided by the weighted-average shares outstanding. Ethos defines non-GAAP net income per share, diluted, as non-GAAP net income divided by the weighted-average shares outstanding, which includes the dilutive effect of potentially diluted common stock equivalents outstanding during the period, if any.

About Trevi Therapeutics, Inc.
Trevi Therapeutics, Inc. is a clinical-stage biopharmaceutical company developing the investigational therapy Haduvio™ (oral nalbuphine extended-release) for the treatment of chronic cough in patients with idiopathic pulmonary fibrosis (IPF), non-IPF interstitial lung disease (non-IPF ILD), and refractory chronic cough (RCC). In clinical trials, Haduvio showed a statistically-significant reduction in cough frequency, consistent across baseline cough frequencies and showed improvements in patient-reported outcomes, in both patients with IPF-related chronic cough and in patients with RCC. Haduvio is believed to act on the cough reflex arc both centrally and peripherally as a kappa agonist and a mu antagonist (KAMA), targeting opioid receptors that play a key role in controlling chronic cough. Nalbuphine is not currently scheduled by the U.S. Drug Enforcement Agency.

Chronic cough in patients with IPF and non-IPF ILD is a condition with high unmet need and no FDA-approved therapies. There are ~140,000 U.S. patients with IPF, and two-thirds of these patients are faced with uncontrolled chronic cough. Additionally, there are ~228,000 U.S. patients with non-IPF ILD, with 50-60% having uncontrolled chronic cough. The impact of chronic cough is significant, with patients coughing up to 1,500 times per day. This consistent cough, and any associated damage, may lead to a higher risk of morbidity and mortality, including worsening disease, a higher risk of progression, increased respiratory hospitalizations, and a decline in patients’ quality of life.

RCC is a condition with high unmet need and no FDA-approved therapies. RCC is defined as a persistent cough lasting >8 weeks despite treatment for an underlying condition (i.e., asthma, gastroesophageal reflux disease, non-asthmatic eosinophilic bronchitis, upper airway cough syndrome, or post-nasal drip) and includes unexplained chronic cough. There are ~2-3 million U.S. patients with RCC, and it is believed to be associated with cough reflex hypersensitivity involving both the central and peripheral nervous systems. RCC is highly debilitating and may impact patients physically, psychologically, and socially.

The FDA has conditionally accepted Haduvio as the trade name for nalbuphine ER. Its safety and efficacy have not been evaluated by any regulatory authority.

PERTH, Australia, Nov. 02, 2026 (GLOBE NEWSWIRE) — Novo Resources Corp. (Novo or the Company) (ASX: NVO) (TSX: NVO) (OTCQB: NSRPF) is pleased to report on the recent and planned key activities of the Company.

PORTFOLIO

Novo continues to assemble a diversified gold exploration and development portfolio located across leading mining provinces in Australia, comprising a mix of greenfields, advanced greenfields, and advanced exploration projects.

A dedicated project generation program continues to focus on identifying advanced gold and copper assets to further enhance Novo’s portfolio.

Novo Resources Corp.

WESTERN AUSTRALIAN PORTFOLIO

Exploration programs completed across the Company’s Pilbara project portfolio (Figure 1) have provided several high-priority drill targets where RC drilling is planned for 2027, subject to grant of tenements and land access approvals.

Novo Resources Corp.

Figure 1: Novo Pilbara and Onslow tenure showing main projects and significant prospects.

Wyloo Polymetallic Project

In Q2 2026, soil sampling and rock chip samples were collected to the southeast of the Wyloo SE prospect. A total of 142 minus 80 mesh soil samples were collected at a 80 m x 20 m spacing highlighting the 600 m long, 270 m wide Vera antimony – arsenic soil anomaly which is open to the north and east (Figure 2).

Novo Resources Corp.

Figure 2. Stream sediment and rock Sb assay results over geology, showing the Kavira and Vera prospects to the west and east of Wyloo SE

The field team has recently completed follow up on-ground soil sampling at the Vera and Kavira prospects, located to the east and west (respectively) of Wyloo SE (Figure 2). This fieldwork has been focussed on defining the extent of the mineralised system across the southern portion of the Wyloo E47/4213 tenement. Ongoing work over the Kavira stream sediment anomaly was completed in Q3 2026. This infill soil sampling is being analysed using the Ultrafine+™, an analytical technique designed to detect anomalism beneath Tertiary transported cover, with results still pending.

Fieldwork at the Vera and Kavira prospects is progressing in preparation for an AC drilling program planned for 2027, designed to drill under the Tertiary transported cover, subject to the receipt of land access approvals including heritage surveys.

Egina Gold Camp

As previously advised by Novo on 27 May 2026 (refer to Novo’s ASX announcement entitled “Egina Gold Project Update”), Northern Star Resources Ltd (ASX:NST) (NST) informed Novo that they are withdrawing from the earn-in under the Egina Earn In and Joint Venture Agreement.

The data from Northern Star’s recent exploration activities is being reviewed and soil sampling within the Egina Gold Project tenements is ongoing in November 2026. Novo has engaged Consultant Geologist Allan Kneeshaw, who was involved with the discovery of the Hemi Gold Project, to review the litho-geochemistry of the Egina Gold Project and assist Novo’s geological team in identifying gold mineralisation targets adjacent to the Millindinna Intrusive Suite in preparation for drilling programs in 2027. An update on the results of this review is planned for release in December 2026.

The Millindinna Intrusive Suite is an Archean layered mafic – ultramafic intrusive suite which has intruded older sedimentary sequences in the Mallina Basin. The Suite is closely associated with regional exploration targets, including intrusive gold systems (such as Hemi-style targets).

Novo Resources Corp.

Target areas along structural corridors related to the suite are considered highly prospective for Hemi style gold mineralisation and will be the focus of the Novo geological team’s exploration field work in the Pilbara Craton’s Central Pilbara Tectonic Zone.

Farno Joint Venture

Under the Farno JV with Northern Star Resources (NST), NST has been completing mapping, rock chip sampling, interpretation and spoils resampling of historic AC holes. This is to develop a more holistic interpretation over the JV tenement.

NST proposes on-ground gravity and Induced Polarisation (IP) geophysical surveys of the Farno JV tenement, E47/2502, subject to land access approvals. The geophysical surveys are designed to develop targets for potential drill testing.

However, due to heritage constraints exploration has been limited to low impact activities in areas which can be accessed.

Teichman Gold Project

Novo is also advancing gold exploration at the Teichman Gold Project, which is part of the Croydon JV (70% Novo and 30% Runnel Holdings Pty Ltd, an entity of Mark Gareth Creasy (Creasy Group)).

The project area includes multiple historic workings centred on two main mineralised shear zones, over an area of approximately 2.5 km by 1.3 km. Previous exploration at Teichman included mapping and surface sampling and has defined multiple shear-hosted gold targets along the Pride and Teichman trends (Figure 4).

On ground fieldwork undertaken this month consisted of gridded soil sampling designed to further define targets for a maiden RC drilling program. Results from this sampling are still pending. This program followed discussions with the Mugarinya Community, which facilitated Novo’s access to the Yandeyarra Reserve to undertake low-impact exploration.

Heritage surveys are planned to clear a program of RC drilling for H1 2027 following delays in heritage access agreements being finalised.

BELLTOPPER GOLD PROJECT – VICTORIA

Internal mining studies completed based on the updated Exploration Target announced in February 2026, that assumed underground mining and toll treatment, support the current evaluation of development options for the Belltopper Gold Project in Victoria.

Novo is considering all strategic options including securing a project partner for the potential development of the project.  Recent mining approvals within Victoria, including the exploration tunnel at Southern Cross Gold’s Sunday Creek Project, provides confidence that the regulatory environment within Victoria can support further consideration of an appropriately assessed and studied underground gold project at Belltopper.

Work continues to define the potential of Belltopper. The selection of preliminary drill site location selection has commenced for potential drilling in H1 2027, aiming to provide further confidence in the updated 2026 Exploration Target (Figure 5) and the definition of further potential reefs.

A program of 2,500 m of diamond drilling will target a number of known and expected reefs in the core central portion of the Exploration Target, focussed at the Belltopper anticline and converging reefs in the nose of the structure.

TIBOOBURRA GOLD PROJECT – NEW SOUTH WALES

Novo Resources Corp.

Figure 6 – Location map showing Novo’s Tibooburra, NSW project

A ~2,700 m Reverse Circulation (RC) drilling program is scheduled to commence at the Tibooburra Gold Project (Tibooburra) (Figure 6) in Q4 2026, as Novo has now obtained all required regulatory and land holder approvals. RC drilling is planned to test the Clone prospect (~2,700 m) and follow up the results of the 2025 drilling program that identified plunging high-grade shoots that are open in multiple directions.

Novo Resources Corp.

Figure 7 – Location, tenure and key prospects at Tibooburra, NSW. Tenements EL9867 and EL9900 are newly granted (and 100% owned by Novo). All other tenements belong to the Tibooburra Gold Project Farm-In JV with Awati Resources Pty Ltd (wholly owned subsidiary of Manhattan Gold Corporation Ltd).

Regional stream sediment sampling, coupled with targeted mapping and gridded surface soil sampling, commenced in September and a follow up sampling program is underway. This fieldwork aims to generate new gold-anomalous zones in potentially recessive areas on the 30 km long Albert Goldfield, grow the target pipeline, and help prioritise those targets for potential future exploration drilling in H1 2027.

SUSTAINABILITY

There were no safety, environmental or heritage incidents reported during Q3.

Discussions with representatives of various Traditional Owners are ongoing as Novo reviews and updates the relevant access agreements. Novo continues to work closely with the Mugarinya Community Board, whose approval is required to allow exploration drilling to take place within the Yandeyarra Reserve once Western Australian Government approval has also been received. Novo remains in close contact with Traditional Owners to ensure appropriate heritage protection for planned exploration activities across all of its projects.

CORPORATE

Project Generation

Novo continues to focus its efforts on a dedicated and disciplined project generation program to identify value accretive opportunities across targeted gold and copper assets that complement the Company’s current portfolio. The Company is currently working on potential opportunities with third parties, none of which are sufficiently advanced to warrant disclosure, and the Company will make an announcement if and when any of these opportunities become formal and binding.

Comet Well and Purdy’s North

As announced in February 2025, Novo’s board of directors resolved to seek interest from parties to acquire or be part of a joint venture in relation to the Comet Well and Purdy’s North project. This process remains on-going. As part of this decision, a sale process for the Mechanical Ore Sorter is underway.

Relinquishment of Tenure

The Company’s exploration programs across key Pilbara areas continue to successfully identify priority targets for follow-up drilling, while also identifying tenure that provides little further exploration value.

As a result, tenure which does not complement Novo’s exploration strategy continues to be relinquished to reduce land tenure holding costs.

The Company currently manages an estimated ~5,620 sq km of 100% owned tenure, of which ~626 sq km of tenure forms the Harding Dam Battery Metal Joint Venture (SQM Priority tenements), both managed by our JV partners. Novo has reduced annual holding costs by entering into joint ventures, or by relinquishing or divesting tenure of limited prospectivity.

Financial Update

As of 30 September 2026, Novo had a cash balance of A$8.5 million (C$8.3 million).

In addition, Novo has an investment portfolio of shares held in ASX-listed and unlisted companies that is valued at approximately A$38.1 million (C$37.7 million), consisting of:

COLUMBUS, Ohio, Nov. 02, 2026 (GLOBE NEWSWIRE) — This holiday, Bath & Body Works is celebrating the iconic fragrance A Thousand Wishes with the introduction of two new interpretations of the original: A Thousand Wishes Granted and A Thousand Crystal Wishes. New solid perfume formats offer another way to wear both A Thousand Wishes and A Thousand Wishes Granted, while A Thousand Crystal Wishes completes the collection with a collectible eau de parfum embellished with crystals by Swarovski. The launch comes to life through a holiday campaign featuring global fashion icon and A Thousand Wishes muse Valentina Ferrer.

The Original Favorite, A Thousand Wishes

Since its launch in 2014, A Thousand Wishes has become one of Bath & Body Works’ most enduring fragrance icons. Featuring notes of pink prosecco, sparkling quince, crystal peonies, gilded amber and amaretto crème, the fragrance is known for its sparkling character and association with celebration, making it a favorite for both gifting and everyday wear.

More than 10 years later, A Thousand Wishes continues to rank among Bath & Body Works’ most-loved fragrances. The fragrance has generated over $1 billion in total sales since launch and ranked among the brand’s top five fragrances by total shop sales in 2025.

The expansion reflects Bath & Body Works’ Consumer First Formula, including product innovation through new formats, enhanced fragrance quality through higher fragrance concentrations and expanded access through Bath & Body Works stores, Ulta Beauty and Amazon. Together, these enhancements give consumers more ways to discover, wear, and enjoy one of the brand’s most loved fragrance icons.

“A Thousand Wishes has become a Bath & Body Works icon because of its ability to evoke joy, celebration and emotional connection through fragrance,” said Mary Testa-Gough, assistant vice president of product & fragrance development at Bath & Body Works. “As we continue to invest in our most loved fragrances, we remain focused on elevating every touchpoint of the scent experience through enhanced fragrance quality, improved longevity, and innovative formats that enable consumers to build a fragrance wardrobe for every mood, moment, and ritual.”

Meet A Thousand Wishes Granted

The collection expands this season with the introduction of A Thousand Wishes Granted, a fragrance that builds on the spirit of the original while offering a new scent experience. The fragrance combines bright fruit notes of wild raspberry accord and fresh bergamot with warm, soft marshmallow musk and golden amber for a more intimate expression of the original.

Consumers will also find new ways to enjoy the collection with the introduction of solid perfume for both A Thousand Wishes and A Thousand Wishes Granted. The portable format offers a convenient way to refresh and layer the fragrances throughout the day, while the dermatologist-approved* formula glides onto skin with a lightweight feel.

The collection also features enhancements across select fragrance and body care products, including higher fragrance concentrations in fine fragrance mist and eau de parfum for longer-lasting wear, along with refreshed packaging.

Embellished with Swarovski® Crystals: A Thousand Crystal Wishes

A Thousand Crystal Wishes brings the most elevated expression to the collection, featuring notes of sparkling raspberry, sugared jasmine, crystal muguet, pink patchouli and sheer woods, the limited-edition eau de parfum was crafted with the highest fragrance load in the Bath & Body Works portfolio, creating a rich and long-lasting fragrance experience. Presented in an individually numbered bottle, the limited-edition eau de parfum is designed as both a fragrance and collectible keepsake, complete with a removeable bow charm, embellished with Swarovski Crystals, extending the experience beyond the fragrance itself.

In a nod to the fragrance’s a thousand wishes inspiration, only 1,000 individually numbered bottles were created. The limited-edition fragrance will launch on 11/11, a date chosen to reinforce the collection’s wish-inspired storytelling. A Thousand Crystal Wishes will be available through Bath & Body Works Drops and at select stores.

Celebrating the Magic of a Wish: Introducing A Thousand Wishes Muse Valentina Ferrer

Brought to life through a holiday campaign starring global fashion icon and A Thousand Wishes muse Valentina Ferrer, the collection celebrates the optimism, possibility and joy that have defined the fragrance since 2014, while introducing its signature spirit to a new generation around the world.

Inspired by the idea that every wish holds possibility, the campaign captures Ferrer through a world of light, reflection and celebration, showcasing the optimism and wonder that have long defined A Thousand Wishes. Through imagery of water and movement, the creative highlights the transformative power of making a wish and embracing what comes next.

“There’s something beautiful about making a wish. It’s a moment where you allow yourself to dream without limits and imagine everything that could be ahead of you,” said Ferrer. “A Thousand Wishes by Bath & Body Works captures a sense of optimism and celebration, which makes it feel especially fitting during the holidays when you’re reflecting on wishes, dreams and the moments that matter most.”

The campaign will debut during the Latin GRAMMY Awards, including a Spanish-language adaptation of the creative, and will appear across social media, YouTube and digital platforms throughout the holiday season.

NESS ZIONA, Israel, Nov. 02, 2026 (GLOBE NEWSWIRE) — Foresight Autonomous Holdings Ltd. (Nasdaq and TASE: FRSX) (“Foresight” or the “Company”), an innovator in 3D perception systems, today issued a reminder, further to its announcement dated September 30, 2026, regarding the voluntary delisting of its ordinary shares, no par value per share (the “Ordinary Shares”), from trading on the Tel Aviv Stock Exchange Ltd. (“TASE”). The Company encourages holders of Ordinary Shares traded on the TASE to contact their banks or brokers to arrange for the conversion of their Ordinary Shares into American Depositary Shares (“ADSs”).

As previously announced, the last day of trading of the Ordinary Shares on the TASE will be January 1, 2027, and the Ordinary Shares will be delisted from the TASE on January 4, 2027.

The Company’s ADSs, each currently representing ninety (90) Ordinary Shares, will continue to be listed and trade on the Nasdaq Capital Market (“Nasdaq”), under the symbol “FRSX.” The voluntary delisting from the TASE will not affect the Company’s listing on Nasdaq or its reporting obligations under U.S. securities laws.

The Bank of New York Mellon (“BNY”), the depositary for the Company’s ADS program, will waive its issuance fees for the conversion of Ordinary Shares into ADSs through January 7, 2027. Beginning January 8, 2027, BNY will charge issuance fees of $5.00 per 100 ADSs delivered or a fraction thereof. The waiver applies only to BNY’s issuance fees; shareholders should consult their banks or brokers regarding any other applicable fees or charges.

A conversion guide prepared by BNY, including custodian details, required delivery instructions, issuance fees and settlement procedures, is available on the Company’s website at https://ir.foresightauto.com/wp-content/uploads/2026/11/Foresight-Conversion-Guide-Shares-to-ADSs.pdf.

Shareholders are encouraged to review the guide and contact their banks or brokers promptly to allow sufficient time to complete the conversion and benefit from BNY’s fee waiver.

To convert Ordinary Shares into ADSs, shareholders should instruct their banks or brokers to deposit the Ordinary Shares with one of BNY’s Israeli custodians identified in the conversion guide and provide complete delivery instructions. Deposits must result in the issuance of whole ADSs; deposits resulting in fractional ADSs will be rejected by the custodians.

Shareholders should confirm in advance that their receiving broker is able to accept delivery of the ADSs through The Depository Trust Company (“DTC”). Unless the Company makes special arrangements with BNY, deliveries after January 7, 2027, will be made on a delivery-versus-payment basis for the applicable issuance fees. The receiving DTC broker must accept delivery and payment of those fees for settlement to be completed.
