KUALA LUMPUR, Malaysia, Oct. 30, 2026 (GLOBE NEWSWIRE) — Alps Group Inc (“Alps” or “the Company”) (Nasdaq: ALPS), an integrated biotechnology platform headquartered in Malaysia, today announced that its shareholders approved, in accordance with Cayman Islands law, all of the proposals submitted at the Company’s Extraordinary General Meeting held on October 30, 2026 (the “EGM”).

At the EGM, the Alps shareholders approved (i) a share consolidation of the Company’s ordinary shares and its preferred shares at a ratio of one-for-five, whereby every five shares consolidated into one (the “Share Consolidation”); (ii) an increase in the Company’s authorized share capital (the “Share Capital Increase”); and (iii) the adoption of the Second Amended and Restated Memorandum and Articles of Association.

As a result of the Share Consolidation, the Company’s authorized share capital will be consolidated at a ratio of one-for-five, such that the existing share capital is consolidated from US$50,000 divided into 500,000,000 shares comprising (i) 495,000,000 ordinary shares with a par value of US$0.0001 each (the “Ordinary Shares”) and (ii) 5,000,000 preferred shares with a par value of US$0.0001 each (the “Preferred Shares”) to US$50,000 divided into 100,000,000 shares comprising (i) 99,000,000 Ordinary Shares with a par value of US$0.0005 each and (ii) 1,000,000 Preferred Shares with a par value of US$0.0005 each.

Immediately following the Share Consolidation being effected, as a result of the Share Capital Increase, the authorized share capital of the Company will be increased from US$50,000 divided into 100,000,000 shares comprising (i) 99,000,000 Ordinary Shares with a par value of US$0.0005 each and (ii) 1,000,000 Preferred Shares with a par value of US$0.0005 each to US$105,000 divided into 210,000,000 shares comprising (i) 200,000,000 Ordinary Shares with a par value of US$0.0005 each and (ii) 10,000,000 Preferred Shares with a par value of US$0.0005 each. The Share Consolidation and the Share Capital Increase are together referred to as the “Authorized Share Capital Changes”.

The Authorized Share Capital Changes will be effective at market open on November 9, 2026. The Company’s Ordinary Shares will continue to trade on a post-consolidation basis on the Nasdaq Global Market under the Company’s existing trading symbol “ALPS.” The new CUSIP number for the Company’s Ordinary Shares following the Share Consolidation will be G0231P124.

The Company currently has 158,400,314 Ordinary Shares outstanding. After the effectiveness of the Authorized Share Capital Changes, the Company will have approximately 31,680,063 Ordinary Shares outstanding. The Share Consolidation will apply to all authorized shares of the Company and will be completed on a proportional basis. As a result, the number of Ordinary Shares held by the Company’s shareholders, following the Share Consolidation, will be proportionally reduced without affecting the voting powers and interests of the Company’s current shareholders. No fractional shares will be issued in connection with the Share Consolidation and, in the event that a shareholder would otherwise be entitled to receive a fractional share upon the Share Consolidation, the total number of shares to be received by such shareholder will be rounded up to the next whole share.

In connection with the Share Consolidation, the terms of the Company’s warrants will be adjusted in line with the Share Consolidation so that the number of Ordinary Shares underlying the warrants will be proportionately reduced, and the exercise price of the warrants will be proportionately increased.

The Authorized Share Capital Changes will not change the proportionate ownership interest of any shareholder, and the Company does not expect them to materially affect the overall market capitalization of the Company.

The Company’s transfer agent, Continental Stock Transfer & Trust Company, is acting as the exchange agent for the Share Consolidation and will send shareholders of record holding their shares electronically in book-entry form a transaction notice indicating the number of Ordinary Shares held after the Share Consolidation. Shareholders who hold their shares through a broker, bank, or other nominee will have their positions adjusted to reflect the Share Consolidation, subject to their broker, bank, or other nominee’s particular processes, and are not expected to be required to take any action in connection with the Share Consolidation. Shareholders holding paper certificates may (but are not required to) send their certificates to the Company’s transfer agent, which will issue a new stock certificate reflecting the Share Consolidation to each requesting shareholder.

Immediately following the Share Consolidation and the Share Capital Increase being effected, the Company will adopt the Second Amended and Restated Memorandum and Articles of Association to reflect the Share Consolidation and the Share Capital Increase.

Next CEO to Be Announced by June 30, 2027; CEO and Chair Roles to be Separate

Doug Bergeron’s Flawed Track Record as CEO Raises Questions over Accountability and Leadership

DANBURY, CT, Oct. 30, 2026 (GLOBE NEWSWIRE) — Ethan Allen Interiors Inc. (“Ethan Allen” or the “Company”) (NYSE: ETD) today urged shareholders to vote FOR all five Company nominees and WITHHOLD on all five DGB nominees on the BLUE proxy card ahead of the Company’s November 4, 2026 Annual Meeting of Stockholders.

Ethan Allen’s shareholders face a consequential decision: who will select the Company’s next CEO, oversee its growth investments and be accountable for the results.

Why Shareholders Should Vote FOR All Five Company Nominees

  • New leadership with a firm announcement deadline. Independent directors are leading the search with a nationally recognized firm. The next CEO will be announced by June 30, 2027 and will join the Board. The CEO and Chair roles will be separate. The Board is also evaluating potential director additions with expertise in cybersecurity, AI, supply chain or vertical integration.
  • A handover with a clear end point. After the CEO transition, Mr. Kathwari will serve as a non-executive director to support the handover until the 2027 Annual Meeting, when he will leave the Board.
  • A profitable business with resources to invest. Ethan Allen generated $52.5 million in operating cash flow in fiscal 2026 and ended that year with no debt. The Board’s focus is to use that financial strength to drive growth and returns.
  • Growth investments must deliver stronger results. Online designer appointments, live chat and 3D room planner already connect digital discovery with personalized design services. Marketing spending rose 10% in fiscal 2026, with a further 15% increase projected for fiscal 2027. The Board is focusing on turning these investments and the Company’s manufacturing and delivery capabilities into stronger sales and profits.
  • All five nominees contribute to the decisions ahead. David Sable brings independent leadership and customer strategy expertise to CEO selection and growth priorities; Cynthia Ekberg Tsai, technology judgment to digital investment; Maria Eugenia Casar, financial discipline to capital allocation; Tara I. Stacom, real-estate judgment to design-center returns; and Farooq Kathwari, operating knowledge to the handover. Retaining all five preserves these complementary perspectives through the transition.

Why Shareholders Should WITHHOLD on All Five DGB Nominees

  • Two CEO handovers during a complete Board reset. DGB proposes replacing every director, installing an interim CEO and then selecting a permanent CEO. In the Board’s judgment, that sequence risks delaying investment decisions and disrupting coordination across manufacturing, design, retail and delivery.
  • The interim candidate’s experience leaves an important gap. Stefanie Tsen Ward’s disclosed background includes neither public company CEO experience nor manufacturing leadership. Those capabilities matter in Ethan Allen’s vertically integrated operating model. The Board opposes adding an interim appointment to the permanent CEO transition.
  • Unclear authority and accountability. DGB says Ms. Ward would work in “close partnership” with Mr. Bergeron. Shareholders deserve clarity about his operating authority, who would approve growth investments and who would be accountable for results.
  • Projections require a clear investment case. DGB has published projections and a transition framework, including a first 100-day plan to validate key assumptions. Before giving DGB control, shareholders should require clarity on annual cash investment, working capital needs, expected returns and the consequences if growth falls short.
  • Financial oversight deserves scrutiny. During Mr. Bergeron’s tenure as CEO, VeriFone restated three quarters of fiscal 2007 results and settled a Securities and Exchange (“SEC”) action concerning financial reporting and internal controls. The SEC alleged that operating income was overstated by 129%; VeriFone settled without admitting or denying the allegations. The Board believes that record warrants scrutiny of the financial assumptions he asks Ethan Allen shareholders to trust.
  • Shareholders bore the consequences. VeriFone’s share price fell 46% in one day after the company announced that its financial results required restatement. Related shareholder litigation resulted in a $95 million settlement1, funded by VeriFone and its insurers and approved by the court in 2014. VeriFone acknowledged the accounting errors but denied the lawsuit’s allegations of securities fraud and related wrongdoing2. Shareholders deserve an explanation of costly securities litigation during Mr. Bergeron’s leadership.
  • Mr. Bergeron’s value-creation record warrants scrutiny. ISS’s 2013 review of VeriFone identified negative one-year and five-year shareholder returns through fiscal 2012, lagging its industry group and the broader market, and a pay-for-performance disconnect. Shareholders should weigh that record when evaluating DGB’s projected returns.
  • U.S. sanctions compliance also deserves scrutiny. For the quarter ended January 31, 2013, when Mr. Bergeron was CEO, VeriFone disclosed that employees of non-U.S. subsidiaries provided unauthorized technical support to a distributor for terminal resales to banks subject to U.S. sanctions3. Verifone said employees circumvented its compliance measures. Shareholders deserve an explanation of his oversight.

YOUR VOTE IS IMPORTANT!

Vote FOR all five Company nominees – M. Farooq Kathwari, David M. Sable, Maria Eugenia Casar, Tara I. Stacom and Cynthia Ekberg Tsai – and WITHHOLD on all five DGB nominees on the BLUE proxy card.

Shareholders can find additional information at www.VoteEthanAllen.com. Please follow the BLUE proxy card instructions to vote by internet, telephone or mail.

If you have already voted, you may change your vote by submitting a later-dated valid proxy. Only your latest valid vote will count. For assistance, contact Georgeson LLC toll-free at (888) 717-2572 or ethanallen@georgeson.com.

SINGAPORE, Oct. 30, 2026 (GLOBE NEWSWIRE) — Lendlease Global Commercial Trust Management Pte. Ltd. (the “Manager”), the manager of Lendlease Global Commercial REIT (“Lendlease REIT”), announces its first quarter business updates for FY2027.

Operational Performance

As of 30 September 2026, Lendlease REIT’s portfolio committed occupancy stood at a healthy 94.4%2. The retail portfolio remained close to full occupancy at 98.2%, easing slightly from 98.5% in the prior quarter. This was mainly due to temporary vacancies from the ongoing space reconfiguration works at PLQ Mall.

The portfolio’s weighted average lease expiry (“WALE”) remained healthy at 4.4 years by net lettable area (“NLA”) and 3.4 years by gross rental income (“GRI”), underpinned by a well-spread lease expiry profile with only 4.8% of NLA and 7.7% by GRI due for renewal in FY2027.

Positive Retail Rental Reversion and Strong Tenant Sales Momentum

Lendlease REIT’s retail portfolio achieved a positive rental reversion of 10.0%1 for 1Q FY2027. Visitation and tenant sales grew 27.4% and 45.5% YoY respectively, mainly driven by the inclusion of PLQ Mall for the full quarter. Excluding PLQ Mall, like-for-like visitation and tenant sales increased 6.7% and 8.1% YoY respectively.

During the quarter, Lendlease REIT continued to strengthen its retail offering by welcoming new-to-portfolio and new-to-market tenants, including Gentlewomen and LSOUL at 313@somerset, heytea and PastaGo at PLQ Mall and Setirom at Jem. These additions are expected to support footfall across the portfolio.

The reconfiguration of approximately 16,000 sq ft of space at PLQ Mall remains on track for completion by end-2026, with new tenants expected to enhance the mall’s positioning and support income growth.

Capital Management

Reduced Cost of Debt

As of 30 September 2026, gross borrowings stood at S$1,679.9 million, with gearing lowered to 38.7% from 38.9% as of 30 June 2026.

The weighted average cost of debt3 improved to 2.50% per annum, from 2.75% per annum reported for FY2026, attributed mainly to the loans associated with PLQ Mall that were refinanced at a lower cost of borrowing. As at 30 September 2026, approximately 68% of Lendlease REIT’s borrowings are hedged to fixed rates.

The interest coverage ratio (“ICR”)4 remained healthy at 2.1 times5, with the benefits of the lower blended cost of funding from the June 2026 perpetual securities refinancing set to accrue progressively over time.

Mr. Guy Cawthra, Chief Executive Officer of the Manager, said, “Despite ongoing global uncertainty and macroeconomic headwinds, we are encouraged by our strong start to FY2027. Our portfolio has demonstrated resilience, underpinned by healthy leasing momentum and continued execution of our capital management initiatives. We look to build on this momentum in the quarters ahead, supported by the full-period contribution from PLQ Mall and the positive rental reversions secured over the past year.”

Award and Recognition

Global Sector Leader and Regional Sector Leader in the Retail category

In the GRESB 2026 Assessment, Lendlease REIT retained its title as Regional Sector Leader (Asia Retail Listed) for the seventh consecutive year, ranking first across all peer groups with a score of 96.6, well above the GRESB average of 80.9. Lendlease REIT was also recognised as the Global Sector Leader (Retail Listed), underscoring its sustainability leadership on a global scale.

Separately, Lendlease and Lendlease REIT received the Impact Enterprise Excellence Award (Large Enterprise) at the Sustainability Impact Awards 2026, in recognition of the strength of its sustainability strategy and its positive environmental and social impact.

Milestone underscores execution of pivotal Phase 2/3 trial evaluating Annamycin in combination with cytarabine for relapsed or refractory acute myeloid leukemia (AML)

Fully treated, randomized, double-blind n=90 Part A population sets up Annamycin dose selection for Part B, with balanced representation of AML patients who failed 7+3 chemotherapy and venetoclax-based regimens

HOUSTON, Oct. 30, 2026 (GLOBE NEWSWIRE) — Moleculin Biotech, Inc. (Nasdaq: MBRX) (“Moleculin” or the “Company”) today announced that dosing has been completed in Part A of its pivotal Phase 2/3 MIRACLE trial evaluating Annamycin in combination with cytarabine (AnnAraC) for the treatment of adults with relapsed or refractory acute myeloid leukemia (R/R AML). The Company remains on track to report comprehensive Part A data in the first quarter of 2027.

Reaching this treatment milestone represents continued execution in the MIRACLE trial as the Company advances toward a comprehensive analysis of the full 90-patient Part A population. The planned Q1 2027 data readout is expected to provide important insights into the potential of AnnAraC across clinically distinct R/R AML patient populations and support selection of the optimal Annamycin dose for advancement into Part B of the trial.

The expanded Part A dataset is expected to provide further insight into AnnAraC in patients who have relapsed from or are refractory to different first-line AML treatment approaches, including intensive 7+3 chemotherapy and venetoclax-based regimens. The Company expects the final Part A population to reflect an approximately 50/50 split between these treatment groups, compared with an approximately 70/30 split, respectively, among the first 45 subjects. This broader representation is expected to help characterize AnnAraC’s potential across patient populations with differing treatment histories and clinical challenges.

“Reaching the completion of dosing in Part A represents another important step toward our planned Q1 2027 comprehensive n=90 data readout,” said Walter Klemp, Chairman and Chief Executive Officer of Moleculin. “Combined with the continued absence of cardiotoxicity in blinded interim data, we believe our Q1 2027 readout positions us to select our Part B dose and to define Annamycin’s potential role across today’s R/R AML landscape.”

About the MIRACLE Trial

MIRACLE is a pivotal Phase 2/3 study of Annamycin in combination with cytarabine for the treatment of adult subjects with AML who are refractory to, or have relapsed (R/R) after, induction therapy. Part A of the trial is a randomized, double-blind portion of the study that compares two different doses of Annamycin plus cytarabine to a control arm of cytarabine plus placebo, all with just one cycle of therapy.

Importantly, as specified by the MIRACLE protocol, remission rates for all three arms, including the control arm, reflect outcomes measured after only a single cycle of therapy. The most commonly cited historical benchmarks in this setting, including the MIRROS and CLASSIC I studies, as well as Moleculin’s own MB-106 study, permitted multiple cycles of treatment. The Company therefore expects absolute remission rates for both the control and Annamycin arms to be lower than those reported in such multi-cycle datasets and believes the most meaningful comparison is the performance of the Annamycin arms relative to the concurrent, randomized control arm evaluated on the same single-cycle basis.

The comprehensive Part A analysis is expected to evaluate efficacy and safety across the complete randomized population and support selection of the optimal Annamycin dose for advancement into Part B of MIRACLE.

For additional information on the MIRACLE trial, please visit ClinicalTrials.gov and reference Identifier NCT06788756.

About Moleculin Biotech, Inc.

Moleculin Biotech, Inc. is a Phase 3 clinical stage pharmaceutical company advancing a pipeline of therapeutic candidates addressing hard-to-treat tumors and viruses. The Company’s lead program, Annamycin (also known as naxtarubicin), has shown to be an efficacious and well tolerated anthracycline designed to avoid multidrug resistance mechanisms and to lack the cardiotoxicity common with currently prescribed anthracyclines. Annamycin is currently in development for the treatment of relapsed or refractory acute myeloid leukemia (AML) and soft tissue sarcoma (STS) lung metastases.

The Company is conducting the MIRACLE (Moleculin R/R AML AnnAraC Clinical Evaluation) Trial (MB-108), a pivotal, adaptive design, multi-center, randomized, double-blind, placebo-controlled Phase 2/3 trial evaluating Annamycin in combination with cytarabine (also referred to as “Ara-C”), together referred to as AnnAraC, for the treatment of relapsed or refractory acute myeloid leukemia. Following a successful Phase 1B/2 study (MB-106), with input from the FDA, the Company believes it has substantially de-risked the development pathway toward a potential approval for Annamycin for the treatment of AML. This study remains subject to appropriate future filings with potential additional feedback from the FDA and their foreign equivalents.

Additionally, the Company is developing WP1066, an Immune/Transcription Modulator capable of inhibiting p-STAT3 and other oncogenic transcription factors while also stimulating a natural immune response, targeting brain tumors, pancreatic and other cancers. Moleculin also has in its pipeline a portfolio of antimetabolites, including WP1122 for the potential treatment of pathogenic viruses, as well as certain cancer indications.

Forward-looking statements in this press release include, without limitation, the potential efficacy and safety of Annamycin and AnnAraC in R/R AML, the continued absence of cardiotoxicity based on blinded interim data, expected timing of the comprehensive Part A data readout in Q1 2027, the anticipated composition of the Part A population including the expected approximate 50/50 split between patients who failed intensive 7+3 chemotherapy and those who failed venetoclax-based regimens, the potential for Part A data to support dose selection for Part B, and the potential for Part A data to support dose selection for Part B. Moleculin will require significant additional financing, for which the Company has no commitments, in order to conduct its clinical trials as described in this press release, and the milestones described in this press release assume the Company’s ability to secure such financing on a timely basis. Although Moleculin believes that the expectations reflected in such forward-looking statements are reasonable as of the date made, expectations may prove to have been materially different from the results expressed or implied by such forward-looking statements. The Company relies on the reports of its expert with regard to the absence of cardiotoxicity. (Nasdaq: CDT) (“CDT” or the “Company”), today welcomed a significant development in the U.S. regulatory landscape for compounded peptides, which the Company believes is supportive of its strategic investment in Pep’d Inc., a U.S.-based peptide and telehealth company.

The U.S. Department of Health and Human Services (“HHS”) has announced an interim enforcement discretion policy covering six peptide bulk drug substances: BPC-157, Epitalon, KPV, MOTS-c, Semax and TB-500 while the U.S. Food and Drug Administration (“FDA”) continues the rulemaking process concerning the Section 503A Bulks List.

Under the new policy, HHS has stated that it does not intend to take enforcement action against qualifying state-licensed pharmacies, federal facilities or licensed physicians compounding products containing these specified peptides, provided the detailed conditions of the policy and other applicable requirements of Section 503A of the Federal Food, Drug, and Cosmetic Act are satisfied.

CDT believes the development represents an important evolution of the U.S. regulatory framework for peptides by establishing a more clearly defined pathway through which specified peptides may be compounded and prescribed to individual patients under appropriate medical supervision and quality controls.

The new HHS policy potentially expands the addressable opportunity available to compliant participants in the U.S. peptide market while increasing the importance of physician oversight, domestic pharmacy fulfillment, product quality, testing and regulatory compliance.

James Bligh, Chief Executive Officer of CDT Equity, commented:

“CDT invested in Pep’d because we believe peptides represent an important and rapidly developing area of healthcare, and this week’s announcement from HHS is an encouraging development for the sector. While the policy remains interim and the peptides covered by it have not been approved by the FDA, we believe this represents an important step in the evolution of the U.S. peptide market and a positive development for CDT’s investment in this hugely exciting sector.”

Latest $1.5 Million Installment Reflects Continued Milestone Progress as DARE-LARC1 Advances in Preclinical Development

Company Exploring Potential Strategic Collaborations for DARE-IDDS Platform in Obesity, Diabetes and Other Large Chronic-Disease Markets

SAN DIEGO, Oct. 30, 2026 (GLOBE NEWSWIRE) — Daré Bioscience, Inc. (NASDAQ: DARE), a purpose-driven health biotech company solely focused on closing the gap in women’s health between promising science and real-world solutions, today announced receipt of an additional $1.5 million funding installment under its multi-year grant agreement in support of development of DARE-LARC1, an investigational long-acting reversible contraceptive based on Daré Bioscience’s intelligent drug delivery system (DARE-IDDS) platform.

With this installment, Daré Bioscience has received a total of approximately $43.3 million in non-dilutive funding under the grant agreement. The remaining approximately $5.6 million of the up to approximately $48.9 million commitment is tied to the future achievement of development and other milestones specified in the grant agreement. The funding will support continued preclinical development of DARE-LARC1, including nonclinical studies, activities intended to support an Investigational New Drug (IND) application, and other program-related work.

“Every installment we receive under this grant agreement reflects real progress on a program we believe has the potential to meaningfully expand contraceptive choice for women around the world,” said Sabrina Martucci Johnson, Founder, President and Chief Executive Officer of Daré Bioscience. “Importantly, this funding does not dilute our shareholders while enabling us to keep advancing DARE-LARC1 toward an IND submission. It also validates development of the DARE-IDDS platform itself, and that validation is the foundation for the strategic discussions to potentially extend the application of this technology into obesity, diabetes and other chronic diseases.”

Extending the DARE-IDDS Platform Beyond Contraception

Daré Bioscience believes the DARE-IDDS platform may have potential beyond women’s health, including with GLP-1 analogs, anti-obesity medications, hormone therapies for areas such as diabetes, breast cancer, and infertility, and neurologic disease treatments such as for Parkinson’s disease, where long-term dosing and treatment burden are central challenges. Many current therapies in these areas rely on frequent injections or daily dosing, and maintaining adherence over months and years can be difficult for patients. A device designed to enable programming not only how much drug is released, but when, could offer an alternative approach. Daré Bioscience is exploring strategic collaborations with companies developing therapies in these areas to evaluate the DARE-IDDS platform in additional indications.

Advancing Long-Acting Contraception

DARE-LARC1 is being developed as a long-acting contraceptive that uses a programmable implantable device (DARE-IDDS) to deliver levonorgestrel over an extended period. By combining an active pharmaceutical ingredient found in several types of contraceptive products with a device designed to control the timing and duration of drug release, the DARE-LARC1 program aims to offer an alternative approach to contraception that would not require daily administration.

“The DARE-IDDS technology was engineered from the ground up for flexibility, to enable control over not just how much drug is released, but when. That design philosophy is what gives us confidence the platform may have utility in therapeutic areas beyond contraception, and we look forward to generating the data to show it,” commented Annie Thurman, MD, FACOG, Medical Director of Daré Bioscience.

Looking Ahead

Daré Bioscience expects to continue advancing DARE-LARC1 through nonclinical development and activities intended to support a future IND submission. Under the grant agreement, Daré Bioscience’s receipt of additional funding is contingent on achieving specified development milestones and other requirements. The Company is also exploring potential collaborations to evaluate the application of DARE-IDDS in additional therapeutic areas.

DARE-IDDS is an investigational device in preclinical development. It has not been approved or cleared for clinical investigation in humans or for any use in humans. The DARE-IDDS features described in this press release are based on the results of technological proof-of-concept studies.
