  • The segment reported an operating loss of $1.5 million and an Adjusted EBITDA loss of $0.1 million.

Reconciliation of GAAP to Non-GAAP Financial Measures

The Company reports its consolidated financial results in accordance with generally accepted accounting principles (“GAAP”). To supplement the Company’s consolidated financial results in this press release, the Company also presents Adjusted EBITDA and Adjusted EBITDA margin, which are non-GAAP financial measures. The Company defines Adjusted EBITDA as net income before interest, income taxes, depreciation and amortization, further adjusted for share-based compensation expense and other items impacting the comparability of the Company’s underlying operating performance between periods. Adjusted EBITDA margin is defined as Adjusted EBITDA for a period divided by revenue for the same period.

The Company believes these non-GAAP financial measures provide useful supplemental information regarding the performance of the Company and its segments to both management and investors. In addition, by excluding certain items, these non-GAAP financial measures enable management and investors to further evaluate the underlying operating performance of the Company.

Supplemental reconciliations of the Company’s consolidated net income on a GAAP basis to Adjusted EBITDA and Adjusted EBITDA margin are presented in the following table. Investors are encouraged to review the reconciliations of the non-GAAP financial measures to their most directly comparable GAAP financial measures, which are provided below. Adjusted EBITDA and Adjusted EBITDA margin should be considered in addition to, and not as substitutes for, or in isolation from, measures prepared in accordance with GAAP.

The Company does not allocate its provision for income taxes to its business segments and as a result, presents it in a separate column in the following tables.

Agreement generates non-dilutive funding; PEA evaluating direct shipping planned for H1 2027

VANCOUVER, British Columbia, Oct. 21, 2026 (GLOBE NEWSWIRE) — Blue Jay Gold Corp. (TSXV: JAY) (OTCQB: JAYGF) (FSE: JAY) (“Blue Jay” or the “Company”) is pleased to announce a materials purchase agreement with Ocean Partners UK Limited (“Ocean Partners”), an international trader of base and precious metal concentrates, in support of its Steller Gold Project (“Steller” or the “Project”), located 55 km south of Whitehorse, Yukon. The materials purchase agreement (the “Agreement”) provides for the sale of the Company’s remediation material (the “Remediation Material”) and gives Ocean Partners exclusivity over the purchase of any further remediation stockpile and similar material from Steller during 2027.

The Remediation Material consists of surface stockpile material extracted by a previous operator during underground development at Skukum Creek. This material will be shipped to the Port of Skagway under the agreement with Ocean Partners.

Highlights

  • Work that Should be Done: Removing this material reduces the historical legacy stockpiles at Steller and advances part of the Company’s remediation program. Shipping it to Skagway makes the remediation work more sustainable, turning a remediation obligation into a source of non-dilutive capital.
  • 2027 Exclusivity: Ocean Partners will have exclusivity over the purchase of any further remediation stockpile and similar material from Steller during 2027.
  • PEA Planned: Blue Jay intends to complete a Preliminary Economic Assessment (“PEA”) in the first half of 2027 evaluating a direct shipping ore (“DSO”) option for the current Steller Mineral Resource under a life-of-mine scenario.
  • Infrastructure Advantage: Steller is connected by road to both Whitehorse and the deep-water port of Skagway, Alaska. The Project is approximately 165 km by road from the point where the material will be delivered.
  • Advance Payment on Delivery: Ocean Partners will pay 90% of the estimated value of each shipment shortly after loading, with the balance settled on final weights and assays.

“Projects with past operations often come with legacy stockpiles, and they create an opportunity to use progressive and novel approaches to rehabilitation. At Steller, geography gives us an elegant solution,” said Geordie Mark, CEO of Blue Jay Gold. “Our approach also highlights a part of Steller that is easy to overlook. Many projects have no simple way to deal with stockpiles. At Steller, we can truck the material from site to a nearby port and load it onto a ship. Doing this with Ocean Partners means the work generates capital for the Company instead of consuming it, and an Agreement that extends through 2027 shows that Ocean Partners sees longer-term value in Steller. This work also gives us an early indication of whether a lower-impact direct shipping approach could work at Steller. That access is a real advantage for the Project, and it is why we intend to complete a PEA in the first half of 2027 that evaluates development options, including direct shipping. This shipment gives us a working test of the logistics that approach would rely on, while our exploration capital stays focused on drilling.”

Brent Omland, CEO of Ocean Partners, added, “Direct shipping of remediation material is one of the products Ocean Partners trades, and Steller has the attributes, with its high-grade gold and silver mineralization, a past-producing mine and road access to a deep-water port, that make it a good fit. The remediation material gives us a practical place to start working together, and our exclusivity through 2027 reflects our confidence in the Project. We look forward to supporting Blue Jay as it advances Steller and considers the options available to bring its material to market.”

Infrastructure and Logistics

Steller is accessed by an approximately 84 km road from Whitehorse and sits approximately 20 km north of the British Columbia border. The material will be collected and trucked by existing highway to Skagway, Alaska, an established port on the Pacific coast. Delivery would take place at Skagway and then shipped to Ocean Partners’ facilities.

Materials Purchase Agreement

Under the Agreement, Ocean Partners will purchase 100% of stockpiled and similar material to the end of 2027. Material will be delivered free on board at Skagway, with payment based on a grade-based payability scale. Ocean Partners will advance 90% of the estimated value of each shipment shortly after loading, with the balance settled on final weights and assays.

Preliminary Economic Assessment

Blue Jay intends to complete a PEA in the first half of 2027 that evaluates a DSO option for the current Mineral Resource Estimate at Steller under a life-of-mine scenario. The Mineral Resource Estimate, prepared by P&E Mining Consultants Inc. with an effective date of October 31, 2025, includes Indicated Mineral Resources of 1,372,000 tonnes grading 9.06 g/t AuEq for 400,000 ounces AuEq and Inferred Mineral Resources of 2,166,000 tonnes grading 6.45 g/t AuEq for 449,000 ounces AuEq, at a 3.0 g/t AuEq cut-off1. Practical experience from shipping the 2026 Remediation Material, including logistics, sampling and commercial terms, is expected to inform the PEA.

The 2026 Remediation Material is not a mineral resource or mineral reserve under National Instrument 43-101 (“NI 43-101”). The Company has not based any decision on a feasibility study of mineral reserves demonstrating economic and technical viability, and there is increased uncertainty and economic and technical risk associated with the bulk sample program.

  1. 2026 Technical Report. TECHNICAL REPORT AND UPDATED MINERAL RESOURCE ESTIMATE OF THE STELLER GOLD PROJECT, WHITEHORSE MINING DISTRICT, YUKON TERRITORY, CANADA. P&E Mining Consultants Inc. Effective Date: Oct. 31, 2025. Cut-off: 3.0 g/t AuEq. Au: US$2,850/oz. Ag: US$34.20/oz. AuEq ratio = Au:Ag 85.6:1

Next Steps

Blue Jay expects to ship the Remediation Material in the near term. The Company will engage a consultant and begin work on the PEA this quarter. Blue Jay will continue to evaluate further remediation pathways in consultation with its partners and stakeholders. Proceeds from the sale of the 2026 Remediation Material will be used to fund exploration at Steller and for general working capital.

NANO Nuclear Energy’s engineering team visits IMPSA’s manufacturing facility for a project kickoff meeting

Initial engineering program is leveraging IMPSA’s decades of nuclear experience to advance engineering and manufacturability of the KRONOS MMR™ design

New York, N.Y. and Mendoza, Argentina, Oct. 21, 2026 (GLOBE NEWSWIRE) — NANO Nuclear Energy Inc. (NASDAQ: NNE) (“NANO” or “the Company”), a leading advanced nuclear micro modular reactor and technology company developing microreactors, nuclear fuel cycle capabilities and nuclear transportation solutions, today announced that it has entered into a Engineering Services Master Agreement (ESMA) with the U.S. subsidiary of IMPSA, one of Argentina’s leading engineering and heavy-manufacturing companies, to support the engineering, design-for-manufacture and potential future fabrication of critical components for NANO Nuclear’s KRONOS MMR™ Energy System.

The three-year agreement establishes a framework for NANO Nuclear to utilize IMPSA’s extensive experience in nuclear pressure vessels, ASME Section III manufacturing, welding, non-destructive examination, quality assurance and heavy-component fabrication as the KRONOS MMR™ design progresses toward manufacturing readiness.

The reactor pressure vessel is specifically identified as a principal reactor-component under evaluation by IMPSA. The parties have separately identified reactor cavity cooling systems, spent-fuel storage systems and additional reactor and transportation components as additional areas of potential collaboration.

Initial KRONOS MMR™ Engineering and Manufacturability Program

Under the ESMA, NANO and IMPSA are beginning with a dedicated KRONOS MMR™ Design Review and Assessment – Engineering Consulting and Manufacturability Feasibility Study. The initial program provides for an estimated six-month period, supported by a retainer. IMPSA’s work is expected to include an independent review of KRONOS MMR™ components against applicable ASME Boiler and Pressure Vessel Code Section III requirements and the application of IMPSA’s prior experience engineering and fabricating nuclear pressure vessels and other nuclear components.

The program aims to incorporate manufacturing expertise into the KRONOS MMR™ design process at an early stage, allowing the companies to identify potential fabrication constraints, inspection limitations, accessibility issues, supply-chain risks and potential design improvements ahead of future manufacturing. As required by NANO, the work may also extend to detailed engineering and fabrication drawings, code-compliant calculations, 3D models and other engineering deliverables.

Figure 1: NANO Nuclear Energy’s engineering team visits IMPSA’s manufacturing facility for a project kickoff meeting

“IMPSA has developed sophisticated nuclear engineering and manufacturing capabilities over many decades, and we see an opportunity to connect that expertise with the next generation of advanced nuclear projects,” said Jay Yu, Founder and Chairman of NANO Nuclear Energy. “Our objective is to build NANO Nuclear with the capabilities needed to commercialize nuclear technology: reactor engineering, manufacturing, fuel, transportation and project execution. Our relationship with IMPSA can strengthen several of those areas at the same time while establishing an important industrial relationship between the United States and Argentina.”

“Advanced reactors have to move from drawings and calculations to modular components that can be manufactured repeatedly, inspected, qualified and assembled,” said James Walker, Chief Executive Officer of NANO Energy. “IMPSA brings more than four decades of nuclear engineering and manufacturing experience and particularly valuable expertise in nuclear pressure vessels and ASME Section III fabrication. Having that manufacturing knowledge applied to KRONOS at this stage is expected to identify constraints earlier, strengthen the design-for-manufacture process and build a much more direct pathway toward future component production.”

The non-exclusive ESMA describes IMPSA as one of the few companies in Latin America certified with ASME N and ASME III N stamps, providing capabilities for the engineering and construction of Class 1 heavy nuclear components.

“This alliance represents a strategic opportunity for IMPSA and for the Argentine nuclear industry,” said Jorge Salcedo Hernández, President of IMPSA. “With decades of experience manufacturing pressure vessels under ASME N-Stamp certification, IMPSA has established itself as one of the few suppliers capable of assessing the manufacturability of nuclear components at an early stage. Our goal is to enable NANO Nuclear to accelerate the KRONOS MMR™ manufacturing process, advancing toward safer and more efficient nuclear systems.”

Future component fabrication, regional projects or other commercial activities beyond the initial engineering services will remain subject to the results of the engineering work, applicable regulatory requirements and, where required, additional work orders or definitive agreements between the relevant parties.

Seed orders for the FY 2027 season up more than 100% Ytd, targeting 50%+ Yoy revenue growth for FY 2027

BEIJING, Oct. 21, 2026 (GLOBE NEWSWIRE) — Origin Agritech Limited (NASDAQ: SEED) (“Origin” or the “Company”), a leading Chinese agricultural technology company, today issued a letter to shareholders from Chief Executive Officer Weibin Yan as the Company enters fiscal year 2027. The full text follows.

Dear Fellow Shareholders,

Two years ago, in August 2024, I returned to Origin Agritech as Chief Executive Officer with a clear objective: to strengthen our position in China’s corn seed industry and build a foundation for sustainable growth.. We closed fiscal 2026 on September 30 with the first phase of our strategic plan complete. Early indicators are encouraging: customer advance payments and seed preorders for spring planting are up more than 100% year-over-year to date. I would like to share the progress we have made, the opportunities ahead, and how we intend to build on this momentum.

Building the Foundation for Growth: The Restructuring Stage

When I rejoined Origin in August 2024, we established a three-stage development plan. Fiscal 2025 and 2026 comprised the Restructuring Stage, during which we made substantial progress. We strengthened our leadership team and expanded sales and marketing across China’s major corn seed regions, re-entering Northeast China last year and launching operations in Guizhou in June this year. We launched four new corn varieties in August 2025, secured exclusive nationwide commercialization rights to Zhongdan 6202 one year later, and began introducing Bangzhongbang 889 for FY 2027.

We upgraded R&D stations in Beijing and Sanya, opened new stations in Zhengzhou and Guizhou. We obtained gene-editing trait authorizations, partnered with China Agricultural University and the Beijing Academy of Agricultural and Forestry Sciences to advance biotechnology commercialization, obtained Beijing Origin’s seed production and operation license, and implemented an AI-assisted information management system. We also completed a sale-and-leaseback of our Xinjiang seed production subsidiary, unlocking capital while retaining operational access, strengthening liquidity without shareholder dilution.

What to expect in FY 2027: The Strong Growth Stage Begins

Fiscal 2027 through fiscal 2029 marks our Strong Growth Stage. The new fiscal 2027 season started very well with our new seed varieties have receiving encouraging market responses across our main business regions. Advance payments are up more than 100% year-over-year in this early season. Building on this momentum, we expect our operating cash flow from the seed business to more than double year over year in FY 2027.

Three engines are driving that growth: our variety portfolio, led by Zhongdan 6202 and Bangzhongbang 889, with new varieties supporting central China; our regional expansion, including full seasons in Northeast China and Guizhou; and most importantly, our technology platform is greatly improving our R&D efficiency, and the planned Origin Agri-tech Agent will greatly accelerate our engagement with the farmers to improve farmer productivity, deepen and broaden our client relationships.

Looking ahead, we are pursuing organic growth and evaluating M&A opportunities in China and Southeast Asia, supported by our international capital platform. For FY 2028 and FY 2029, we target at least 50% year-over-year organic business growth as our new varieties expand across the Huanghuai-Hai belt and China’s Northeast, Northwest, and Southwest regions.

A personal note

I returned to Origin because I believe China’s corn seed market offers significant opportunities for companies with strong genetics, effective distribution, and innovative technology. With more than 200,000 germplasm accessions, authorized gene-edited traits, a growing variety portfolio, and an expanded sales network, strong engagement with the leading experts in the industry, Origin is building the capabilities to capture these opportunities. Our goal is to become one of  China’s leading corn seed companies within five years, and the more than 100% year-over-year increase in advance payments to date is an encouraging early indicator of customer demand. My own capital is invested alongside yours.

Thanks for your investment and attention, I look forward to speaking with you on our next call.

Sincerely,
Weibin Yan
Chief Executive Officer
