(TSX.V: LAB | FNR: 2N6) (“LabGold” or the “Company”) announces that further to its press releases dated September 17, 2026, October 13, 2026, and October 20, 2026 it has extended its non-brokered private placement offering for up to a further thirty (30) days.

The Offering consists of the Shares, each at a price of $0.05 per Share, for aggregate gross proceeds of a maximum of $7,000,000, representing the issuance of up to 140,000,000 Shares.

The Offering will close a second tranche on or about October 23, 2026, with a final closing on or before November 6, 2026. The participants in, and the number of HD Shares and FT Shares to be issued under any further tranches will be determined by the Company and the Lead Investors, provided that the aggregate gross proceeds of the Offering will not exceed $7,000,000. The gross proceeds from the sale of the FT Shares will be used to incur eligible “Canadian exploration expenses” that qualify as “flow-through mining expenditures”, as those terms are defined in the Tax Act (the “Qualifying Expenditures”), on the Company’s mineral properties in Canada. The Company will renounce the Qualifying Expenditures in favour of the subscribers of the FT Shares with an effective date no later than the date permitted under the Tax Act, in an aggregate amount not less than the gross proceeds raised from the issuance of the FT Shares. The net proceeds from the sale of the HD Shares will be used for exploration and development activities, working capital and general corporate purposes.

About Labrador Gold

Labrador Gold is a Canadian-based hybrid mining and investment issuer focused on the acquisition and exploration of prospective mineral projects in Canada and on strategic investments in mining companies and assets that the Company believes have the potential to generate long-term value.

The Mariposa project covers 16,000 ha in the White Gold District and is 40 kilometres southeast of the White Gold Project and 30 kilometres east-northeast of Fuerte’s Coffee gold project. Mariposa shares many geological similarities to both the Golden Saddle (part of the White Gold Project) and Coffee gold deposits including host lithologies, mineralization style and structural control. The property occurs at the headwaters of significant placer gold producing creeks with historic placer production of 73,000 oz from Scroggie Creek (3) indicative of significant bedrock gold mineralization yet to be fully defined. Six significant gold occurrences have been delineated by over 13,000 soil samples to date, including the most advanced Skookum Main and Skookum West prospects.

The Watson Project, a joint venture with Nemo Resources Inc., represents the largest landholding in the Fort Hope Greenstone Belt which is significantly underexplored compared to other greenstone belts (e.g. Red Lake and Pickle Lake) in northwestern Ontario. While the exploration focus will be on gold, the Watson project also hosts significant potential for critical minerals (e.g. antimony, nickel, copper and zinc). The proposed road to the Ring of Fire, expected to begin construction in mid-2026, runs through the Watson property and, once complete, will significantly reduce exploration and development costs.

The Hopedale property covers much of the Archean-age Florence Lake greenstone belt, which extends over 60 kilometers. While typical of greenstone belts globally, the area has been underexplored. LabGold’s work to date has identified gold anomalies in rocks, soils, and lake sediments across a three-kilometer section of the northern portion of the belt. Five gold occurrences lie along this trend, four of which were discovered by LabGold. Additional anomalous gold values occur across approximately 40 kilometers of the southern portion of the belt. Recent exploration has also demonstrated potential for copper, nickel, and cobalt.

The Borden Lake project near Chapleau, Ontario lies immediately southeast of Discovery Silver Corp’s Borden gold mine. Past exploration by LabGold identified two anomalous gold zones based on geochemistry and geophysics.

The Company has 213,485,788 common shares issued and outstanding and trades on the TSX Venture Exchange under the symbol LAB.

BrewDog Boleyn

ELLON, Scotland and LONDON, Oct. 21, 2026 (GLOBE NEWSWIRE) — BrewDog, a leader in U.K. craft beer and one of the world’s most recognised beer brands, owned by Tilray Brands, Inc. (NASDAQ: TLRY; TSX: TLRY), and West Ham United Football Club today unveiled Boleyn Brew, a first-of-its-kind fan-created beer built with West Ham supporters and brewed for matchday. From flavour and style to storytelling, branding and name, Hammers helped shape every part of the beer. Boleyn Brew makes its debut at London Stadium this Saturday when West Ham United take on Southampton, with limited-edition cans available to buy online from today.

Created by Hammers, for Hammers, Boleyn Brew brings together BrewDog’s brewing expertise with the pride, loyalty and unmistakable character of the Claret and Blue faithful. As West Ham United’s Official Beer Partner, BrewDog invited a diverse group of supporters into the process from the beginning, asking them what a true West Ham beer should taste like, look like and stand for. After fan consultations produced a shortlist of names, supporters voted for Boleyn Brew — a proud nod to the Boleyn Ground and the memories, matchdays and moments that continue to unite generations of supporters.

BrewDog x West Ham

Supporters came back again and again to three ideas: history, heritage and unpretentious character. The result is a 4.5% Oat Lager with tropical fruit and citrus notes on a smooth, bready lager base — easy-drinking, full of character and made for the rituals that surround the game: meeting mates before kick-off, raising a pint on the concourse, watching from home or celebrating with the West Ham family. The can design features the iconic Boleyn Gates, connecting every pour back to the ground where so many supporters’ memories were made.

Stuart Harrison, Chief Sales Officer, BrewDog, said: “At BrewDog, we believe the best beers are built with the people who drink them. Boleyn Brew is exactly that: a beer shaped by West Ham fans from the first tasting conversation to the name on the can. It captures what makes this club special — heritage, passion, loyalty and a brilliant matchday atmosphere — and it is the kind of fan-first partnership we are proud to bring to life. We cannot wait to pour the first pints at London Stadium this weekend.”

Club legend Carlton Cole joined supporters throughout the consultation process, helping lead the conversation, taste the beer and bring the spirit of West Ham into the room. Cole was also the face of Claret & Brew, BrewDog and West Ham United’s first club-branded beer, which launched in November 2025 and sold out within hours.

Club legend Carlton Cole said: “After being part of Claret & Brew last season, I loved seeing the fans take this one even further and make a beer they can truly call their own. Boleyn Brew has the heart, loyalty and character of West Ham all over it. It is made by Hammers, for Hammers, and I cannot wait to raise a pint of our beer at London Stadium this weekend!”

West Ham United supporter Simon Fell, who was involved from the start of the process, said: “West Ham gets under your skin. It is the football, the people, the memories, the laughs, the tough days, the brilliant days and everything that comes with being a Hammer. From the start, it felt like supporters were genuinely part of creating something that belongs to us. Boleyn Brew feels properly West Ham: light, easy drinking, full of character and rooted in our history through the Boleyn Gates on the can. It is a beer for West Ham people, and I am proud to have played a small part in it. Our club, our memories, our beer. COYI!”

Fellow Hammer Elaine Hopkinson added: “A pint on matchday is part of the ritual — meeting family, friends and fellow fans, talking about the team and feeling that build-up before kick-off. To help create a beer made for West Ham fans by West Ham fans with BrewDog made it even more special. Boleyn Brew is a brilliant name: direct, proud and rooted in our heritage. The can design captures those iconic elements of the old ground perfectly.”

David Chaplin, Director of Commercial Strategy, West Ham United, commented: “BrewDog has put our supporters at the heart of this partnership, and Boleyn Brew is a brilliant example of what that can create. The engagement, energy and passion from our fans has been fantastic to see, and the final beer is something the West Ham family can be proud of. We are excited to launch it at London Stadium and continue working with BrewDog on experiences, activations and products that bring supporters closer to the club on matchdays and throughout the season.”

Boleyn Brew is the latest fan-first moment from BrewDog and West Ham United, building on a partnership designed to show up for supporters on and beyond matchday. The partnership launched in summer 2025, when BrewDog gifted full kits to grassroots teams across east London and Essex. Claret & Brew followed that November, alongside supporter benefits including free pints and discounts across BrewDog’s lineup. The partnership also forms part of BrewDog’s growing presence across the U.K.’s biggest sporting and live event venues, with BrewDog serving as exclusive beer partner of London Stadium and recently announcing a five-year partnership with Leicester Tigers.

Supporters can be among the first to try Boleyn Brew at the BrewDog container bar near Bridge 2 and at the BrewDog Deck at London Stadium from Saturday’s match against Southampton.

Limited-edition cans of Boleyn Brew are available now at www.brewdog.com while stock lasts.

Initial focus on named-patient access in selected European and MENA markets, providing a capital-efficient foundation for broader commercialization

BOCA RATON, Fla., Oct. 21, 2026 (GLOBE NEWSWIRE) — INmune Bio Inc. (NASDAQ: INMB) (the “Company”), a late-stage biotechnology company focused on inflammation and immunology, today announced that it has entered into a Master Services Agreement with Uniphar Durbin Ireland Limited (“Uniphar”) establishing a scalable framework to support international access, distribution and commercialization of Ebstrocel™, the Company’s allogeneic stromal cell therapy for Recessive Dystrophic Epidermolysis Bullosa (RDEB). INmune Bio initially intends to use the framework to pursue named-patient access in selected European countries and in the Middle East and North Africa (MENA), subject to applicable law and country-specific statements of work. The relationship may subsequently expand across Europe and other territories by mutual agreement.

The Company expects named-patient access to be an important component of its international commercialization strategy for Ebstrocel™. Where permitted by local law and implemented through statements of work, this pathway may allow physicians to request Ebstrocel™ for individual eligible patients before local marketing approval or broad commercial availability.

The Uniphar framework is designed to provide the Company with scalable international commercial infrastructure, beginning with named-patient supply, and potentially expanding to broader commercial distribution as regulatory approvals, pricing and reimbursement are secured in individual countries. Depending on the services agreed in individual statements of work, Uniphar may support regulatory feasibility assessments, market access, product storage and distribution, healthcare-provider and treatment-site onboarding, order-to-cash services, medical information, pharmacovigilance support and end-to-end shipment tracking. By leveraging Uniphar’s established infrastructure rather than building country-by-country capabilities internally, the Company believes this model provides a capital-efficient path to establish Ebstrocel™’s international commercial footprint and scale as additional markets become available.

“This agreement marks an important step in moving Ebstrocel™ from clinical development toward commercialization and bringing Ebstrocel to patients internationally,” said David Moss, Chief Executive Officer of INmune Bio. “Uniphar provides access to established market-access, distribution and order-to-cash capabilities across multiple international markets without requiring INmune Bio to build those capabilities country by country. We believe this provides a capital-efficient way to pursue named-patient opportunities in appropriate markets while building the physician relationships, treatment-center experience and commercial infrastructure needed to support broader international commercialization.”

“We are pleased to partner with INmune Bio as it prepares Ebstrocel for international commercialization,” said Ruth Rostron, Head of Expanded Access at Uniphar. “Uniphar has built an integrated global platform to help innovative medicines navigate the complexities of international access, distribution and commercialization. We believe our infrastructure and experience are well suited to support INmune Bio’s strategy for Ebstrocel, beginning with named-patient access opportunities and expanding as the product progresses through its regulatory and commercial journey.”

About Ebstrocel™

LITTLETON, Colo., Oct. 21, 2026 (GLOBE NEWSWIRE) — Vivos Therapeutics, Inc. (“Vivos” or the “Company”) (Nasdaq: VVOS), a medical device and healthcare services company focused on developing and commercializing diagnostic and treatment methods for patients with obstructive sleep apnea (“OSA”) and other breathing and sleep-related health conditions, today announced receipt of a letter from the Listing Qualifications staff (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) on October 20, 2026 stating that the Company currently complies with Listing Rule 5550(b)(1), requiring the Company to maintain stockholders’ equity of at least $2.5 million.

The Company previously reported the closing of its acquisition of an 11% fully diluted equity interest in SOD Sciences, Inc. (“SOD”) and a 50% undivided co-ownership interest in SOD’s pseudohypoxia early-warning test. As part of the transaction, the Company issued 12,000 shares of Series C Convertible Preferred Stock with an aggregate stated value of $12,000,000. The preferred stock is convertible at a fixed conversion price of $0.15 per share into up to 80,000,000 shares of common stock, subject to a 19.99% exchange cap, pending stockholder approval for lifting the cap, and an initial 4.99% beneficial ownership limitation. The preferred stock is expected to increase stockholders’ equity by more than $10 million, subject to the Company’s final purchase price accounting and review by the Company’s independent registered public accounting firm.

R. Kirk Huntsman, Chairman and Chief Executive Officer of Vivos, stated, “We are pleased to receive the compliance letter from Staff indicating that we are in compliance with Nasdaq’s Stockholders’ Equity Standard required for continued listing on the Nasdaq Capital Market. While the Company regained compliance with the stockholders’ equity requirement following the closing of the transaction with SOD, we continue executing our strategy to maintain compliance and grow our business.”

In its letter, the Staff stated that, based on the Company’s Current Report on Form 8-K filed on October 19, 2026, the Staff has determined that the Company is in compliance with the minimum stockholders’ equity requirement under Nasdaq Listing Rule 5550(b)(1). The letter further stated that if the Company fails to demonstrate compliance upon the filing of its next periodic report, the Company may be subject to delisting, in which case the Staff would provide written notification to the Company, which could then appeal the Staff’s determination to a Nasdaq Hearings Panel.

First Half 2026 Financial Summary of GOWell Technology Limited
Total revenue in the first half of 2026 increased 43% to $33.8 million compared to $23.6 million in the first half of 2025, primarily driven by an increase of $9.0 million in revenues from equipment sales and $1.2 million from service revenue. Adjusted EBITDA, a non-IFRS metric, increased 79% to $14.1 million during the period, as compared to $7.9 million in the first half of 2025, supported by revenue growth and operating leverage.

Full Fiscal Year 2026 Outlook
GOWell reiterates total revenue guidance for the full fiscal year 2026 in the range of $60 million to $68 million, an increase of approximately 27% to 44% as compared to $47.2 million reported for fiscal year 2025. The Company also reiterates Adjusted EBITDA guidance for the full fiscal year 2026 in the range of $25 million and $29 million, an increase of approximately 40% to 63% as compared to $17.8 million reported for fiscal year 2025.

The above guidance was prepared based on numerous variables and assumptions which are inherently uncertain and may be beyond the control of GOWell. For more information regarding this guidance, its underlying assumptions and the reconciliation of non-IFRS financial measures, please see the sections entitled “The Business Combination—Certain Projected Financial Information” in the Company’s Proxy Statement/Registration Statement on Form F-4 filed in connection with the business combination, “Non-IFRS Financial Measures,” and “Forward-Looking Statements” below.

Non-IFRS Financial Measures

We believe that they provide useful information to investors and others in understanding and evaluating our operating results in the same manner as our management team and board of directors.

They should not be considered in isolation or construed as an alternative to net profit or any other measure of performance or as an indicator of our operating performance. Investors are encouraged to review these historical non-IFRS financial measures in light of their most directly comparable IFRS measures, as shown below. The non-IFRS financial measures presented here may not be comparable to similarly titled measures presented by other companies. Other companies may calculate similarly titled measures differently, limiting their usefulness as comparative measures to our data. We encourage investors and others to review our financial information in its entirety and not rely on a single financial
measure.

Platforms get one signed answer (age band, permissions, pseudonym, expiry) with no child PII; new AI protections are designed to help stop harmful conversations before they reach kids

BLUE BELL, Pa., Oct. 21, 2026 (GLOBE NEWSWIRE) — REGO Payment Architectures, Inc. (OTCQB: RPMT) today announced the expansion of its REGO Guardian Global Solution with an API service that digital platforms integrate to get verified parental consent and age assurance.

A parent verifies their relationship with their child once. When the child tries to join or use a participating platform, the parent approves, limits or denies, and the platform gets one signed answer it can verify: the child’s age band, the permissions granted, a per-platform pseudonym and an expiry. The platform never receives the child’s name, birthday, photo or other personal information. The initiative is built on Rego Guardian’s October 15 global SaaS licensing initiative

REGO is also developing AI classification designed to help platforms detect grooming and exploitation patterns in real time and enforce parent-set boundaries before harmful messages reach a child.

Moving Beyond Parental Controls to Proactive AI Protection

Traditional parental controls have largely focused on screen time, application restrictions, and content filtering. But the rapid expansion of conversational AI, personalized gaming companions, and autonomous digital agents introduces an entirely new category of risk.

Today’s AI systems can maintain ongoing conversations, remember previous interactions, personalize responses based on user behavior, and access increasingly sensitive information.

REGO Guardian’s agentic AI architecture is designed to recognize these emerging risks and empower verified guardians to determine what types of communications, interactions, and data access are permissible.

Through platform integrations, guardians could establish personalized restrictions addressing:

  • Sexual grooming and exploitation: Detecting potentially predatory conversational patterns, coercion, inappropriate relationship-building, and sexual solicitation.
  • Financial fraud and manipulation: Identifying suspicious financial requests, scams, sextortion, and attempts to obtain sensitive information.
  • Harmful AI interactions: Restricting conversations involving self-harm encouragement, inappropriate emotional dependency, manipulation, or other high-risk behaviors.
  • Privacy and sensitive data: Applying age-appropriate limitations to the collection, processing, or sharing of behavioral information, location data, biometric identifiers, and other sensitive information.
  • Guardian-defined communication boundaries: Allowing parents to establish individualized policies based on their children’s ages, needs, and family values.

Depending on the participating platform’s capabilities and approved integration, classified interactions could be permitted, limited, withheld, or escalated for appropriate review before being delivered to the child.

Unlike systems limited to notifying parents after an incident, the REGO Guardian framework is designed to support preventive intervention.

Solving a Critical Gap in the Agentic AI Economy

As gaming, financial services, social media, and technology companies increasingly deploy autonomous AI agents, they face a fundamental governance challenge.

Enterprise AI gateways can determine whether an agent is authorized to access a particular application, database, or service. But those systems also need reliable information about the human being served, including whether that person is a minor and whether parental authorization applies.

REGO Guardian is designed to provide that missing trust layer.

REGO Guardian’s goal is to connect what the AI agent is technically capable of doing with what it is authorized to do for a particular user.

Leadership Perspective

Dr. Lisa Strohman, JD, PhD, Head of Product, REGO Guardian

“Artificial intelligence is changing childhood faster than parents can keep up. We are entering a world where AI agents can build relationships with children, remember their vulnerabilities, influence their emotions, and engage in conversations that may lead to exploitation or serious psychological harm. We cannot continue asking parents to protect their children with tools that only alert them after the damage is done.

REGO Guardian represents a fundamental shift from reacting to harm to preventing it. By combining verified parental authority with AI-powered safety intelligence, we are building technology designed to recognize dangerous interactions and enforce family-defined boundaries before harmful content reaches a child. Our mission is simple: give parents the ability to protect their children without sacrificing their children’s privacy, independence, or opportunity to benefit from technology.”

Peter S. Pelullo, Chief Executive Officer, REGO Payment Architectures

“The rapid expansion of agentic AI is creating a new and significant infrastructure market. Companies are investing billions in autonomous technologies, yet age verification, parental authority, and child-specific policy enforcement remain fragmented.

“REGO Guardian is positioned to provide the interoperable trust infrastructure connecting these capabilities across platforms and industries. By combining our proprietary verification architecture with AI-driven protection, we believe we are addressing a critical need for technology companies seeking to build trusted, scalable, and commercially sustainable digital environments.”

A New Foundation for Digital Trust

As agentic systems become increasingly integrated into consumer applications, REGO believes these capabilities could become an important component of future digital trust infrastructure.

Platforms develop the technology. Parents establish the boundaries. REGO Guardian is designed to connect the two.

SUDBURY, Ontario, Oct. 21, 2026 (GLOBE NEWSWIRE) — Magna Mining Inc. (TSX: NICU) (OTCQX: MGMNF) (FSE: 8YD) (“Magna” or the “Company”) is pleased to announce the results of a Pre-Feasibility Study (“PFS”) prepared in accordance with National Instrument 43-101 – Standards of Disclosure for Mineral Projects (“NI 43-101”) for the 100% owned Crean Hill Project (“Crean Hill”), located in the South Range of the Sudbury Basin, northeastern Ontario. All amounts are expressed in Canadian dollars unless otherwise indicated.

Crean Hill PFS Highlights:

  • Twelve-year commercial mine life with over 11 million tons of probable reserves: The Crean Hill PFS contemplates underground mining of 11.4 million tons of probable reserves at an average mining rate of approximately 2,400 tons per day during the twelve-year commercial mine life.
  • Robust production profile with significant precious metals byproduct credits: Average annual payable copper equivalent (“CuEq”)1,2 production of 35.5 million pounds (“lbs”) during commercial production at all-in sustaining costs (“AISC”) of US$3.55 per CuEq payable lb, including 42 thousand ounces of precious metals (platinum + palladium + gold) on average per year which contribute approximately 38.9% of revenues during this time.
  • Attractive base case economics with strong commodity price leverage: Assuming base case commodity prices1, the Crean Hill PFS estimates payback in 1.5 years with an after-tax Internal Rate of Return (“IRR”) of 43.4% and an after-tax NPV7% of $251.0 million. Pre-tax cash flows average approximately $65.2 million per year and increase to $96.2 million per year using September 2026 average commodity prices1, while the after-tax NPV7% increases to $406.1 million, the IRR improves to 65.4%, and the payback period falls to 0.8 years.
  • Manageable initial capital spread over a three-year pre-commercial production period: Initial capital costs from January 1, 2027 are estimated to be $127.0 million. This initial capital is expected to be offset by refundable tax credits3 of $17.2 million and pre-commercial production operating cash flow of approximately $37.4 million using base case price assumptions, leaving a calculated net initial funding requirement of $72.4 million. Construction spending is expected to ramp up gradually over a three-year period with first ore sales in late 2027 and commercial production achieved in early 2030.
  • Positive potential impact from the recently announced Productivity Mega Deduction: Incorporation of the Productivity Mega Deduction (“PMD”)4 could reduce the estimated federal taxes payable over the life of mine, especially during the early years of commercial production. By accelerating the utilization of certain tax deductions via the PMD, the Crean Hill PFS after-tax NPV7% would improve by $5.7 million to $256.7 million and the IRR would increase to 45.5%.

Crean Hill construction to commence in 2027: Based on the results of the PFS (summarized in Table 1), the Company’s Board of Directors has approved construction of the Crean Hill project, which will commence in 2027. In the interim, the Company will continue with detailed engineering work, surface site preparations including installation of grid power and recruitment of additional personnel.

Crean Hill exploration drilling now underway: In addition, an exploration diamond drill rig has been mobilized to the Crean Hill Project and has started drill testing new targets for additional footwall copper and precious metals-rich mineralization.

1 Base case price assumptions: US$5.10/lb Cu, US$8.00/lb Ni, US$20.00/lb Co, US$3,600/oz Au, US$1,500/oz Pt, US$1,200/oz Pd, US$45.00/oz Ag; CAD/USD $1.385. Illustrative spot price case assumptions based on September 2026 average prices: US$6.55/lb Cu, US$7.50/lb Ni, US$24.90/lb Co, US$4,320/oz Au, US$1,785/oz Pt, US$1,310/oz Pd, US$64.50/oz Ag; CAD/USD $1.370.
2 Payable CuEq production considers base case price assumptions and modeled recovery and payabilities for each metal.
3 Assumes $17.2 million in refundable tax credits via the Clean Technology Manufacturing Investment Tax Credit (CTM-ITC).
4 On September 15, 2026, the Canadian federal government announced the Productivity Mega Deduction (“PMD”), allowing businesses to immediately deduct the cost of a broad range of capital assets, rather than claiming those deductions over time. The PMD is subject to legislative approval.

Jason Jessup, CEO of Magna Mining, stated, “We are pleased to announce the results of the Crean Hill PFS, which demonstrates robust economics and a clear path toward construction. The base case delivers an after-tax IRR of 43.4% and a 1.5-year payback period. Crean Hill also benefits from a balanced mix of copper, nickel and precious metals production, providing meaningful exposure to seven payable metals without an overreliance on any single commodity.

The PFS outlines a 12-year commercial mine life and C$72.4 million of net initial funding after refundable tax credits and pre-commercial production operating cash flow. The development plan builds on the core approach established in the 2024 Crean Hill PEA—advancing a new ramp from surface before re-establishing shaft hoisting—and leverages the project’s brownfield setting and existing infrastructure. On the strength of these results, our Board has approved moving forward with construction in 2027. In the interim, our team will continue detailed engineering and design, advance procurement of long-lead items, site preparation and recruitment of the additional people needed to execute the plan. We are also excited to have initiated exploration drilling at Crean Hill for the first time since 2024. I would like to thank everyone whose work and commitment have advanced the project to this important milestone.”

PFS Overview

The Crean Hill project, located in the South Range of the Sudbury Basin (Figure 1), is a brownfield redevelopment of the past-producing nickel-copper-precious metals (platinum, palladium, gold, silver) Crean Hill Mine. Since 1906, the Crean Hill mine site underwent multiple phases of open-pit and underground mining with the most recent operations having ceased in 2002. During this period, approximately 20.4 million tonnes of ore were produced at an average grade of 1.31% nickel, 1.09% copper, and 1.56 g/t total precious metals (platinum + palladium + gold). The underground workings have subsequently flooded, and all surface infrastructure dismantled. In November 2022, the Company acquired Lonmin Canada Inc., including the past-producing Crean Hill Mine. The Company holds the mining rights from the top of the existing concrete capped Shaft #2 (former historic Crean Hill Mine production shaft) to a depth of 4,500 feet (1,372 metres). Vale Canada Limited (Vale) continues to hold all Mining Rights below 4,500 feet. Topics covered in the PFS include the mining design basis, geotechnical design basis, hydrogeology and dewatering, mine access and design, mining method and stope design, development, production schedule, metallurgy, mobile fleet, workforce, ventilation, backfill, material handling and grade control. The PFS was prepared by SGS Geological Services (SGS) with the assistance of Magna’s Projects team, as well as insights from current operations at the Company’s McCreedy West Mine in Sudbury. The PFS incorporates geological information collected by the Company including 199 diamond drill holes for a total of 44,895 metres of drilling between November 2022 and December 2024, the results from the 20,000 tonne bulk sample program executed in the second half of 2024, as well as historic information from the previous underground mining operations at Crean Hill.

Mine Plan and Production Schedule

The Crean Hill PFS mine plan (summarized in Table 1) envisions an underground mining operation, with the probable reserves being hauled and sold to an existing third-party mill in Sudbury. Initial mining is contemplated by ramp access via a new surface portal with the eventual rehabilitation and re-establishment of the historic Shaft #2 for ore hoisting as mining progresses deeper. The PFS assumes go-forward capital spending begins on January 1, 2027 and ramps up over the first three years with initial ore generated towards the end of Year 1 and commercial production anticipated at the end of Year 3 (Figure 2). At the target commercial production rate of approximately 2,400 short tons per day, the mine plan includes 11.4 million short tons over a 12.0 year mine life.

The mineralized zones incorporated in the PFS mine plan include both contact ore (including the Main, Intermediate, 99 and 9400 Zones) as well as footwall ore (the 109 FW Zone). The 11.4 million short tons of probable reserves are derived from the current Crean Hill Mineral Resource Estimate.

Figure 2 shows annual mill feed by ore type and contained CuEq head grade. During commercial production (Years 4-15), ore shipped and processed averages 875,000 tons per year. The contained CuEq head grade uses base case metal prices, without recovery, payability, or cost deductions and averages 2.99% CuEq over the twelve-year commercial mine life. Figure 3 shows payable metal production expressed as CuEq, using the modeled recoveries and payabilities. Precious metal head grades in Figure 2 are in grams per tonne. Annual payable metal production during the twelve-year commercial mine life averages 35.5 million lbs CuEq, comprised of 9.5 million lbs copper, 7.5 million lbs nickel, 6,400 oz gold, 15,600 oz platinum, and 19,900 oz palladium.

Capital and Operating Costs

The Crean Hill Project is a former operating mine site with existing infrastructure such as year-round access, nearby electrical power line grid, and available water sources. Pre-existing infrastructure as well as capital invested prior to the end of 2026 is treated as sunk capital for the purposes of the PFS.

Estimated initial capital is $127.0 million, including $17.9 million of contingency. The estimate comprises capital expenditure from January 1, 2027 to the start of commercial production at the end of Year 3, reflecting the timing of equipment financing (Table 2). Estimated initial capital is presented after equipment financing timing effects. Deferred equipment purchase payments are included in subsequent years. Initial capital is estimated to be $33.0 million in Year 1, $35.0 million in Year 2, and $59.0 million in Year 3. The after-tax cash flow model incorporates the Clean Technology Manufacturing investment tax credits. Eligibility and receipt of those credits remain subject to the applicable requirements and the Company’s tax review. While pre-commercial production operating cash flow and the benefit of refundable tax credits does not reduce the initial capital required, it does help to decrease the net cash outlay at the end of the ramp-up period to an estimated $72.4 million.

Estimated sustaining capital from commercial production at the end of Year 3 onward is $261.7 million.

Project Economics & Sensitivity

At the base-case prices in Table 4, recovered payable metal value comprises the following revenue share 27.3% copper, 34.4% nickel, 12.4% gold, 12.5% platinum, 12.5% palladium, 0.9% cobalt, 0.1% silver. The average annual revenue during commercial production is $223.4 million while pre-tax cash flows average approximately $65.2 million per year (Figure 4). The Crean Hill PFS base case pre-tax NPV7% is $329.7 million and the after-tax NPV7% is $251.0 million, with an after-tax IRR of 43.4% and payback of 1.5 years. The after-tax NPV7% incorporates the Company’s current tax assumptions, including an estimated benefit of $40.0 million LOM from the Clean Technology Manufacturing investment tax credit. The realization of this tax benefit remains subject to the Company’s ability to satisfy the applicable legislative and tax filing requirements.

An illustrative spot-price case scenario based on average metal prices during September 2026 returns a pre-tax NPV7% of $554.3 million, an after-tax NPV7% of $406.1 million, an after-tax IRR of 65.4% and payback of 0.8 years. The average annual revenue during commercial production in the spot-price case scenario is $255.1 million while pre-tax cash flows would average approximately $96.2 million per year. Tables 4 and 5 and Figure 5 show fixed mine plan sensitivities. Price-only sensitivities hold the base exchange rate constant; the illustrative spot case applies USD/CAD 0.730 to revenue and U.S. dollar milling charges, with other cost translations held at the base case rate.

The base case after-tax economic results exclude any benefit associated with the PMD tax incentive. For illustrative purposes, a separate tax sensitivity was completed assuming the Company is eligible to claim available PMD deductions on qualifying expenditures. Under this scenario, the base case after-tax NPV7% increases to $256.7 million and the after-tax IRR increases to 45.5%. This legislation remains subject to approval.

Mining, Processing and Infrastructure

As illustrated in Figure 6, the PFS adopts an underground bulk longhole mining method with access to both transverse and longitudinal stopes via ramps and drifts suitable for medium-to-large-size diesel-powered mobile equipment. Sublevel spacing varies between 80 and 115 feet vertically. Access to the underground workings will be established in a phased approach. Initially, a box cut and portal will be constructed and an access ramp developed to support initial production from the upper portion of the mine. Ore will be generated prior to commercial production from areas above the 500 Level and will rely mostly on repair and rehabilitation of existing ventilation and service raises. Mining above the 2000 Level will rely exclusively on a fleet of 50-ton haul trucks bringing ore, and waste as necessary, to surface up the ramp. As mining progresses deeper, reliance on newly excavated ventilation and egress raises along with the eventual reconstruction of a surface hoisting plant and shaft repair will allow ore to be hoisted from the 2000 Level shaft loading pocket. This will reduce the need for a larger haul truck fleet and the associated mine ventilation upgrade over the life of mine.

Longhole drilling will use self-propelled electric-hydraulic machines, and production blasting will be done with almost exclusively emulsion-type explosives. Mined-out stopes will be backfilled with a combination of unconsolidated rock fill, cemented sand fill and hydraulic fill depending on mining sequence and the availability of suitable waste rock over the course of mine life.

In addition to basic surface infrastructure that will include shop, office and warehousing facilities, a sandfill plant, crushing and sampling tower and eventually a hoist & muck transfer system will be constructed, as well as conventional mine air ventilation and heating infrastructure.

Provision within the life of mine plan has been made for upgrades to the water treatment system associated with discharge to the environment from site. First by the installation of clarifiers to replace the existing pilot plant solids capture system, and eventually a more complex system to manage more complex chemicals.

Once on surface, ore will be reduced to a topsize of 1.5 inches via a contractor-operated surface crusher comprised of a combination of a jaw crusher (until hoisting begins) and cone crusher and then subsampled via the onsite sampling tower with representative subsamples dispatched to the sample preparation and analytical laboratory. Production lots of approximately 2,000 to 4,000 tons of ore will then be shipped to third party milling facilities located in Sudbury, Ontario.

Mineral Resources and Mineral Reserves

The Crean Hill Mineral Resource Estimate is presented below in Table 6 and is based on a 1.75% CuEq cutoff grade. The current Mineral Resources have been updated from the November 1, 2024 Mineral Resources stated in the Preliminary Economic Assessment, and have an effective date of April 15, 2026, which is the close out date for the final mine out models (as-builts) used to deplete historical mining. The underlying resource model parameters and drillhole database remains unchanged from the 2024 model, however the cutoff grade has been updated to 1.75% CuEq, based on the metal prices stated below and the model has been depleted with a more detailed mine-out model, to more accurately account for historical mining. Mineral Resources are inclusive of those resources which have been converted to Mineral Reserves. Allan Armitage, Ph.D., P. Geo. of SGS Geological Services is an independent Qualified Person as defined by NI 43-101 and is responsible for the current Crean Hill Mineral Resource Estimate.

Crean Hill Mineral Resource Estimate Notes:

  1. The effective date of the Crean Hill Property Mineral Resource Estimate (MRE) is April 15, 2026. This is the close out date mine out models (as-builts).
  2. Allan Armitage, Ph.D., P. Geo. of SGS Geological Services is an independent Qualified Person as defined by NI 43-101 101 and is responsible for the current Crean Hill MRE. Armitage conducted multiple site visits to the Crean Hill Property including on May 25-26, 2022, July 25, 2023, July 02, 2024, July 25, 2024 and November 14, 2025.
  3. The classification of the current MRE into Indicated and Inferred mineral resources is consistent with current 2014 CIM Definition Standards – For Mineral Resources and Mineral Reserves.
  4. All figures are rounded to reflect the relative accuracy of the estimate and numbers may not add due to rounding.
  5. The Crean Hill Mineral Resources are inclusive of those Mineral Resources which have been converted to Mineral Reserves.
  6. The mineral resource is presented undiluted and in situ, constrained by 3D grade control resource models, and are considered to have reasonable prospects for eventual economic extraction. The mineral resource is exclusive of mined out material.
  7. Mineral resources which are not mineral reserves do not have demonstrated economic viability. An Inferred Mineral Resource has a lower level of confidence than that applying to an Indicated Mineral Resource and must not be converted to a Mineral Reserve. It is reasonably expected that most Inferred Mineral Resources could be upgraded to Indicated Mineral Resources with continued exploration.
  8. The Crean Hill mineral resource estimate is based on a validated drill hole database which includes data from 3,892 surface and underground diamond drill holes completed between 1951 and March 2024 and totals 475,773 metres. The resource database totals 98,757 assay intervals, representing 197,536 metres of data.
  9. The mineral resource estimate is based on a three-dimensional (“3D”) resource model of the main mineralization and a broader dilution envelope. 3D models of mined out areas were used to exclude mined out material from the current MRE.
  10. Grades for Ni, Cu, Co, Pt, Pd, Ag and Au are estimated for each mineralization domain using ~2.0 m capped composites assigned to that domain. To generate grade within the blocks, the inverse distance squared (ID2) interpolation method was used for all domains.
  11. Specific gravity values were assigned to each block based on a regression formula defined by a database of 32,592 samples. SG=(0.2057xNi%+2.88).
  12. Based on the size, shape, and orientation of the Crean Hill Deposit, it is envisioned that the deposits may be mined using both bulk and selective mining methods including Longhole Stoping and Mechanized Cut and Fill (MCAF) (mining methods that have long been utilized in the Sudbury region). The MRE is reported at a base case cut-off grade of 1.75% CuEq. The mineral resource grade blocks are quantified above the base case cut-off grade and within the constraining mineralized wireframes (considered mineable shapes).
  13. The underground base case cut-off grade of 1.75% CuEq considers metal prices of $7.30/lb Ni, $4.65/lb Cu, $14.85/lb Co, $1,225/oz Pt, $1,135/oz Pd and $3100/oz Au, metal recoveries of 85% for Ni, 91% for Cu,68% for Co,64% for Pt, 69.5% for Pd and70.5% for Au.
  14. The estimate of Mineral Resources may be materially affected by environmental, permitting, legal, title, taxation, socio-political, marketing, or other relevant issues.

Crean Hill Mineral Reserve Estimate Notes:

  1. The effective date of the Crean Hill Mineral Reserve estimate is September 30, 2026.
  1. Mineral Reserves are included within the estimated Mineral Resources.
  2. The Mineral Reserve estimate was prepared under the supervision of Mr. Henri Gouin, P.Eng., of SGS Geological Services and Mr. William van Breugel, P.Eng., Associate Engineer of SGS Geological Services, both considered Qualified Persons as defined by NI 43-101.
  3. Mineral Reserves are based on metal prices of US$4.65/lb Cu, US$7.30/lb Ni, US$14.85/lb Co, US$1225/oz Pt, US$1135/oz Pd, US$3100/oz Au, US$39/oz Ag. Metal recoveries considered are 91% for Cu, 85% for Ni, 68% for Co, 64% for Pt, 69.5% for Pd, 70.5% for Au and 70.5% for Ag.
  4. The estimate of Mineral Reserves may be materially affected by environmental, permitting, legal, title, taxation, socio-political, marketing, or other relevant issues. The Mineral Reserve Estimate is not a guarantee of economic viability.
  5. A mine design cut-off grade of 1.5% NiEq in-situ was applied to each stope which, after considering recovery and payability, exceeds the estimated costs of sustaining development, equipment and fixed plant capital costs, and operating costs. An incremental stope optimization was subsequently completed using a cut-off grade of 1.2% NiEq.
  6. Stope tons and grades include dilution consisting of 20% and mining losses of 8%.
  7. Figures may not sum exactly due to rounding.

Cautionary Statement on Forward-Looking Statements

All statements, other than statements of historical fact, contained or incorporated by reference in this press release constitute “forward-looking statements” and “forward-looking information” (collectively, “forward-looking statements”) within the meaning of applicable securities laws. Generally, these forward-looking statements can be identified by the use of forward-looking terminology, such as “may”, “might”, “potential”, “expect”, “anticipate”, “estimate”, “believe”, “could”, “should”, “would”, “will”, “continue”, “intend”, “plan”, “target”, “forecast”, “prospective”, “significant”, “robust”, “rapid” or other similar words or phrases or variations thereof. Forward-looking statements are necessarily based upon a number of assumptions that, while considered reasonable by management at the time forward-looking statements are made, are inherently subject to business, market, economic, technical and other risks, uncertainties and contingencies that may cause actual results, performance or achievements to be materially different from those expressed or implied by forward-looking statements, including risks and uncertainties relating to the failure of additional drilling and assays to support assumptions, expectations or estimates of potential mineralization, metal tonnes or grade, the failure of additional drilling to support additional expansion or delineation of estimated resources or reserves, the failure to have accurately estimated declared mineral resources or mineral reserves, the failure of additional drilling to support production planning or replenish production, the failure to maintain an adequate rate of development or access to stopes to maintain production, the failure to realize expected or anticipated production rates, mine life, operating and capital costs, recoveries, processing methods, economic returns, cash flows, net present value, internal rate of return, payback period, government funding or tax incentives, commodity prices, exchange rates, future production, development and operating plans or expansions, permitting and project schedules or timelines, changes in project design, scope or development plans, delays in or the failure to obtain required permits, approvals or authorizations, environmental and regulatory risks, infrastructure and power supply risks, labour, equipment and supply-chain constraints, operational, geotechnical, metallurgical, engineering and construction risks, adverse weather, the lack of availability of drill rigs to implement exploration or other programs or the failure to proceed as quickly as planned with additional exploration, development, production or other drilling, continued delays for assay results, the failure to bring the Crean Hill mine back into commercial production subsequent to the completion of the PFS because of funding or technical issues, and other risks disclosed in the Company’s most recent annual information form for the year ended December 31, 2025, available on the SEDAR+ website (at: www.sedarplus.ca). The PFS is based on a number of assumptions and estimates that are subject to significant uncertainties and contingencies. There is no assurance that the anticipated economic results of the PFS will be realized or that commercial production at the past-producing Crean Hill mine will ever be achieved. A PFS is not a guarantee of economic viability and the results of the PFS may be materially affected by subsequent studies, changes in assumptions, project design, market conditions and other factors. Mineral resources that are not mineral reserves do not have demonstrated economic viability and, particularly, inferred mineral resources are considered too speculative geologically to have economic considerations applied to them that would enable them to be categorized as mineral reserves. Although the Company has attempted to identify important risks, uncertainties, contingencies and factors that could cause actual results to differ materially from those expressed or implied in forward-looking statements, there can be no certainty or assurance that the Company has accurately or adequately captured, accounted for or disclosed all such risks, uncertainties, contingencies or factors. Readers should place no reliance on forward-looking statements as actual results, performance or achievements may be materially different from those expressed or implied by such statements. Resource exploration and development, and mining operations, are highly speculative, characterized by several significant risks, which even a combination of careful evaluation, experience and knowledge will not eliminate. Forward-looking statements speak only as of the date they are made. The Company does not undertake to update any forward-looking statements, whether as a result of new information or future events or otherwise, except in accordance with applicable securities laws.
