• Repeat dose mouse studies achieved >95% SERPINA1 mRNA editing, sustained restoration of circulating functional M-AAT and increased total AAT by ~6-fold
  • KRRO-111 reduced pathogenic hepatic Z-AAT by up to 95%, highlighting its potential to reduce toxic protein accumulation in the liver
  • Best-in-class preclinical profile supports KRRO-111’s potential to address both liver and lung manifestations of AATD; regulatory submission expected in the first half of 2027

CAMBRIDGE, Mass., Oct. 22, 2026 (GLOBE NEWSWIRE) — Korro Bio, Inc. (Korro) (Nasdaq: KRRO), a clinical-stage biopharmaceutical company leveraging its novel oligonucleotide promoted editing of RNA (OPERA®) platform to develop a new class of genetic medicines for rare and highly prevalent diseases, today announced preclinical results for its pipeline program KRRO-111 for the potential treatment of alpha-1 antitrypsin deficiency (AATD) delivered subcutaneously. The results highlight KRRO-111’s potential best-in-class profile and its ability to address both the lung and liver manifestations of AATD through a differentiated RNA editing approach.

“In these preclinical studies, KRRO-111 restored functional M-AAT while reducing the toxic Z-AAT that drives liver injury,” said Loïc Vincent, PhD, Chief Scientific Officer of Korro. “That dual profile, with a redosable subcutaneous drug presentation, is what we believe a next-generation AATD therapy needs to support all AATD patients.”

KRRO-111 is a proprietary GalNAc-conjugated RNA-editing oligonucleotide administered subcutaneously and selectively taken up by liver cells. Once inside the liver cells KRRO-111 harnesses endogenous Adenosine Deaminase Acting on RNA (ADAR) enzymes to correct the pathogenic SERPINA1 transcript, enabling production of M-AAT, while reducing synthesis of mutant Z-AAT.

KRRO-111 exhibited potent RNA editing activity (EC50 ~1 nM) achieving up to 98% editing in mouse and human hepatocytes. In single-dose studies in the C57BL/6-PiZ mouse model, KRRO-111 produced up to 91% SERPINA1 editing, with M-AAT accounting for up to 88% of total circulating AAT, and both responses remaining detectable through at least Day 42 post-dose.

In repeat-dose studies, KRRO-111 produced sustained RNA editing and restoration of circulating M-AAT across multiple subcutaneous dosing regimens. In NSG-PiZ mice, SERPINA1 mRNA editing reached 96%, with M-AAT comprising 93% of total circulating AAT and total AAT concentrations reaching 172 μM (~6-fold vs. vehicle) at Day 57. In immunocompetent C57BL/6-PiZ mice, KRRO-111 reduced whole liver Z-AAT levels by 95% relative to vehicle control, as measured by liquid chromatography tandem mass spectrometry (LC-MS/MS) at Day 57.

“People living with AATD face both lung and liver disease. Augmentation therapy addresses only part of that burden while there is no approved therapy for the liver disease,” said Ram Aiyar, PhD, MBA, Chief Executive Officer and President of Korro. “Based on the strength and consistency of these data, we believe KRRO-111 has the potential to become a transformative therapy for both the lung and liver manifestations of AATD, and we look forward to advancing it into the clinic in the first half of 2027.”

Regulatory submission for KRRO-111 is expected in the first half of 2027.

About Alpha-1 Antitrypsin Deficiency (AATD)

AATD is a genetic disorder most commonly caused by a single missense mutation (G-to-A) in the SERPINA1 gene. Affected adults experience pulmonary emphysema and/or hepatic cirrhosis, as well as end organ manifestations. Greater than 95% of severe clinical cases of AATD are homozygous for the PiZ mutation (known as the PiZZ genotype). There are an estimated 3.4 million individuals with deficiency allele combinations worldwide. The only current FDA-approved treatment for AATD is augmentation therapy, a once-weekly infusion of pooled human plasma-derived AAT protein, which remains inadequate to address the lung and liver manifestations of AATD.

About Korro

Korro is a clinical-stage biopharmaceutical company leveraging a novel oligonucleotide promoted editing of RNA (OPERA®) platform to develop a new class of genetic medicines for rare and highly prevalent diseases. OPERA provides precise, tissue-directed delivery of RNA-editing oligonucleotides (REOs) that modify the targeted native mRNA transcript to repair or form a de novo protein with enhanced functionality. The platform combines a suite of capabilities consisting of sophisticated knowledge of transcription biology through ADAR proteins (Adenosine Deaminases Acting on RNA), machine learning optimization of REOs, linker chemistry expertise, along with use of a highly targeted tissue-specific delivery methodology. As such, the OPERA platform has enabled Korro to generate and advance a portfolio of differentiated programs that are designed to harness the body’s natural RNA editing process, providing precise yet transient single base edits to produce therapeutic proteins with augmented activity versus its endogenous counterpart. By editing RNA instead of DNA, Korro is expanding the reach of genetic medicines by delivering additional precision and tunability, which has the potential for increased specificity and improved long-term tolerability. Using an REO-based approach, Korro expects to bring its medicines to patients by leveraging its proprietary OPERA platform with precedented delivery modalities, including N-acetylgalactosamine (GalNAc) conjugated for delivery for subcutaneous administration, manufacturing know-how and established regulatory pathways of approved oligonucleotide medicines. Korro is based in Cambridge, Massachusetts. For more information, visit korrobio.com.

GOLETA, Calif., Oct. 22, 2026 (GLOBE NEWSWIRE) — Palomino Laboratories, Inc. (OTCQB: PALX) (“Palomino” or the “Company”), an artificial intelligence (AI) interconnect product company, today announced it has received its first purchase order (PO) from a strategic hyperscaler customer. The PO includes a statement of work (SOW) for the delivery of high-performance gallium nitride (GaN) MicroLED chips for optical interconnect applications within AI infrastructure.

The Company believes this initial PO represents validation of its core market thesis. Specifically, MicroLED technology originally designed for the display market is not optimized for optical interconnect applications and therefore must be engineered specifically for high-speed data. Subsequently, MicroLED chip performance must be tailored to AI data center link budgets and aligned to customer system requirements.

Under the SOW, Palomino expects to improve both nanomaterial and MicroLED design to increase output power and fiber coupling efficiency performance, consistent with the Company’s technical roadmap. All other MicroLED technical parameters from Palomino’s technology platform are compliant with the customer’s target requirements.

Jeffrey B. Shealy, Co-Founder and CEO, commented: “This first commercial PO from our hyperscaler customer is a significant corporate milestone for Palomino. It confirms that leading AI infrastructure customers recognize that MicroLEDs for optical interconnects must be engineered for bandwidth, reliability and efficiency driven by the AI market.” Mr Shealy continued, “This SOW aligns directly with our AI interconnect product roadmap, and we are executing with urgency to deliver technical performance while addressing the manufacturing supply chain required for volume production.”

Dr. Steven DenBaars, Co-founder and Director of Palomino Laboratories, Inc. and pioneer of GaN MicroLED technology, added: “MicroLEDs are a powerful device platform and optical interconnect architectures impose very different performance constraints relative to those for display applications. Palomino’s work is grounded in foundational GaN MicroLED innovation and protected by our IP portfolio that includes licence rights to University of California, Santa Barbara (UCSB) patents. This PO reflects growing customer recognition that novel material science and MicroLED device design are crucial to unlock the efficiency advantages needed for next-generation AI interconnects.”

Palomino believes the receipt of this first PO is consistent with, and supports, the Company’s previously stated objective that it would secure a development contract from a strategic AI customer in Q4 FY26. The Company expects this work will further strengthen customer engagement and accelerate progress toward MicroLED-enabled optical interconnect solutions for short-reach AI systems.

Net Sales Increased 34%, Driven by Vita Coco Coconut Water Growth of 15%; Organic Net Sales Growth1 of 18%

Net Income Increased $11 million to $35 million and Non-GAAP Adjusted EBITDA² Increased $21 million to $53 million

Raises Fiscal Year 2026 Guidance for Net Sales to Between $810 Million and $820 Million and Non-GAAP Adjusted EBITDA² to between $170 million and $175 million

NEW YORK, Oct. 22, 2026 (GLOBE NEWSWIRE) — The Vita Coco Company, Inc. (NASDAQ:COCO) (“Vita Coco” or “the Company”), a leading high-growth platform of better-for-you beverage brands, today announced financial results for the third quarter ended September 30, 2026.

Third Quarter and Year-to-Date 2026 Highlights Compared to Prior Year Period

  • Net sales were $244 million, an increase of $62 million, or 34%, in the third quarter, and $640 million year-to-date, an increase of $158 million, or 33%.
  • Organic net sales growth1 was 18% in the third quarter and 27% year-to-date.
  • Vita Coco Coconut Water net sales grew 15% in the third quarter and 24% year-to-date.
  • Private Label net sales grew 152% in the third quarter and 85% year-to-date, with the third quarter benefiting from the contribution of Copra, a leading producer of super premium Thai Nam Hom coconut water that was acquired in July 2026.
  • Gross profit was $93 million in the third quarter, an increase of $24 million, and $270 million year-to-date, an increase of $92 million.
  • Gross margin was 38% of net sales in the third quarter consistent with prior year, and was 42% of net sales year-to-date compared to 37%, with tariff refunds delivering a 240 basis point benefit to gross margin year-to-date.
  • Net income was $35 million in the third quarter, compared to $24 million, an increase of $11 million, and $115 million year-to-date, compared to $66 million, an increase of $49 million.
  • Net income per diluted share was $0.58 in the third quarter, compared to $0.40, and $1.89 per diluted share year-to-date, compared to $1.10.
  • Non-GAAP Adjusted EBITDA² was $53 million in the third quarter, compared to $32 million, an increase of $21 million. Non-GAAP Adjusted EBITDA2 was $159 million year-to-date, compared to $84 million, an increase of $75 million.

Michael Kirban, the Company’s Co-Founder and Executive Chairman, stated, “The growth of the coconut water category maintained through the fall, and remains one of the fastest growing beverage categories in our major markets. I am particularly pleased by the strong growth in Europe as we develop the category in key markets, and the continued growth in America, driven by increases in both household penetration and in average consumption per household. This quarter, we were pleased to welcome the Copra team to our family and to start executing our joint plans, which we believe will allow us to compete successfully in the super premium segment. With the investments we are making in our supply chain, and our strong brand performance, I am confident in our plans to maintain our growth into 2027, and our category leadership well into the future.”

Martin Roper, the Company’s Chief Executive Officer, said, “Our strong third quarter net sales growth was driven by robust branded retail growth in all our major markets, and by strong growth in private label shipments, reflecting healthy category growth and the addition of Copra’s super premium products. Excluding the impact of Copra, the underlying 18% organic net sales growth of our business remained very strong, exceeding our expectations. Consumer demand is very healthy, and we are therefore raising our full year Net Sales and Adjusted EBITDA guidance.”

Third Quarter 2026 Consolidated Results

Net sales increased $62 million, or 34%, to $244 million for the third quarter ended September 30, 2026, compared to $182 million in the prior year period. The increase in net sales was driven by case equivalent (“CE”) volume gains of 16% for Vita Coco Coconut Water and 77% for Private Label. Organic net sales growth1, which is net sales growth excluding the impact of Copra, was 18% for the quarter. Copra net sales primarily impacted Private Label, with Copra branded coconut water and commodity net sales recognized in Other.

Gross profit increased to $93 million, from $69 million in the prior year period driven by higher sales volume, the addition of Copra, and minimal tariffs compared to the prior year period, partially offset by higher domestic logistics costs. Gross margin was 38%, in line with the prior year period, benefitting from minimal tariffs compared to the prior year period, offset by higher domestic logistics costs, and the dilutive impact of Copra.

Selling, general and administrative (“SG&A”) expenses were $47 million, compared to $41 million in the prior year period. The increase was primarily driven by costs related to the acquisition of Copra, amortization expense associated with intangible assets acquired in the Copra acquisition, higher people-related costs reflecting increased headcount and stock-based compensation, as well as higher sales related expenses.

Net income was $35 million, or $0.58 per diluted share, compared to net income of $24 million, or $0.40 per diluted share, in the prior year period. Net income benefited from higher gross profit, partially offset by higher SG&A spending and increased income tax expense.

Non-GAAP Adjusted EBITDA2 was $53 million, compared to $32 million in the prior year due to the increased gross profit partially offset by higher SG&A expenses.

Balance Sheet

As of September 30, 2026, the Company’s financial position remained strong with no debt and $152 million in cash and cash equivalents. Cash decreased $45 million from the beginning of the year, and $127 million from end of the second quarter due to net cash used for the acquisition of Copra of $139 million. Our inventory was $111 million, flat to December 31, 2025, with the inclusion of Copra inventory offsetting the inventory draw down from strong year-to-date shipments. Accounts receivable increased to $129 million from $82 million as of prior year end due to strong quarterly sales and the inclusion of Copra.

As of September 30, 2026, the Company had repurchased approximately $86 million of its common stock under its share repurchase program and had $19 million remaining under the existing authorization. During the nine months ended September 30, 2026, the Company repurchased $62 million of its common stock. As of October 22, 2026, the Company has repurchased $94 million of its common stock, and had $11 million remaining of the $105 million authorized amount under the repurchase program.

Fiscal Year 2026 Full Year Outlook³

The Company is increasing its full year 2026 guidance, as follows:

  • Net sales expected to be between $810 million and $820 million, driven by low 20s percent growth of Vita Coco Coconut Water, strong Private Label trends and the addition of Copra. (Prior guidance was between $790 million and $805 million, which included the benefit of Copra).
  • Gross margin expected to be approximately 40% with benefit relative to prior year from lower tariffs, tariff refunds, and higher pricing partially offset by increased ocean freight, product and other transportation costs, alongside adverse product mix, primarily due to the impact of Copra’s private label business and strong private label trends. (No change from prior guidance). Fourth quarter gross margin expected to be approximately 33% due to increases in cost of goods and no offsetting price actions expected until early 2027.
  • Expect to deliver SG&A leverage of approximately 1.5 percentage points of net sales vs. 2025. (Prior guidance was one percentage point).
  • Adjusted EBITDA² expected to be in the range of $170 million to $175 million. (Prior guidance was between $154 million and $161 million).

Uncertainty and instability in the current operating environment, geopolitical landscape, and global economies, including the military conflict in Iran and related impacts, changes in tariff rates, natural disasters, associated potential competitive pricing actions, and our own price elasticity could affect this outlook and our future results.

Footnotes

(1) Organic net sales growth is a supplemental measure of net sales performance that excludes the impact of net sales attributable to the Copra acquisition as set forth in the U.S. GAAP to non-GAAP reconciliation table below.
(2) Adjusted EBITDA represents earnings before interest, taxes, depreciation, and amortization as adjusted for certain items as set forth in the reconciliation table of U.S. GAAP to non-GAAP information and is a measure calculated and presented on the basis of methodologies other than in accordance with GAAP. Please refer to the Non-GAAP Financial Measures herein for further discussion and reconciliation of this measure to GAAP measures.
(3) GAAP Net income 2026 outlook is not provided due to the inherent difficulty in quantifying certain amounts due to a variety of factors including the unpredictability in the movement in foreign currency rates, as well as future charges or reversals outside of the normal course of business.

Non-GAAP Financial Measures

In addition to disclosing results determined in accordance with U.S. GAAP, the Company also discloses certain non-GAAP results of operations, including, but not limited to, Adjusted EBITDA, and organic net sales growth, which include certain adjustments or exclude certain charges and gains that are described in the reconciliation table of U.S. GAAP to non-GAAP information provided at the end of this release. These non-GAAP measures are a key metric used by management and our board of directors to assess our financial performance across reporting periods on a consistent basis by excluding items that we do not believe are indicative of our core operating performance and because we believe it is useful for investors to see the measures that management uses to evaluate the Company. In addition, we believe the presentation of these measures is useful to investors for period-to-period comparisons of results as the items described below in the reconciliation tables do not reflect ongoing operating performance.

These measures are not in accordance with, or an alternative to, U.S. GAAP, and may be different from non-GAAP measures used by other companies. In addition, other companies, including companies in our industry, may calculate such measures differently, which reduces their usefulness as a comparative measure. Investors should not rely on any single financial measure when evaluating our business. This information should be considered as supplemental in nature and is not meant as a substitute for our operating results in accordance with U.S. GAAP. We recommend investors review the U.S. GAAP financial measures included in this earnings release. When viewed in conjunction with our U.S. GAAP results and the accompanying reconciliations, we believe these non-GAAP measures provide greater transparency and a more complete understanding of factors affecting our business than U.S. GAAP measures alone.

  • Introducing the industry’s first Industrial AI Agents at the Edge, providing a practical pathway to Physical AI
  • Built on HPE Private Cloud AI, autonomous AI agents operate directly within industrial environments, continuously monitoring, reasoning, and optimizing operations in real time
  • Addresses three key barriers to industrial AI adoption at scale: data sovereignty, cybersecurity and AI consumption costs

BERLIN, Oct. 22, 2026 (GLOBE NEWSWIRE) — Schneider Electric, a global energy technology leader, today announced a strategic collaboration with NVIDIA and HPE to accelerate the adoption of Physical AI across process and heavy industries.

While much of today’s Physical AI conversation is focused on robotics, humanoids and autonomous machines, process industries face a distinctly different challenge. Operators must manage complex, continuous operations where reliability, safety, cybersecurity and energy efficiency are critical to performance. Yet until now, there has been no clear blueprint for how Physical AI can be practically applied across these complex environments.

Schneider Electric, NVIDIA & HPE share a vision to bring AI closer to industrial operations, embedding intelligence directly within the environments where decisions are made and value is created. As an initial demonstration of this vision, the companies are today introducing Industrial AI Agents at the Edge.

The solution combines HPE Private Cloud AI, co-engineered with NVIDIA within the HPE AI Factory with NVIDIA portfolio Schneider Electric’s deep operational technology expertise to enable organizations to securely deploy and scale AI applications at the industrial edge, bringing real-time intelligence closer to critical operations while maintaining control over sensitive data, security and costs.

Many industrial organizations continue to face challenges when scaling AI across operational environments. Requirements around data governance, cybersecurity, operational performance and AI deployment can create barriers to broader adoption. By operating at the edge, the solution helps address three challenges that continue to limit industrial AI at scale:

  • Data sovereignty. Critical operational data is often too valuable, sensitive or regulated to move beyond operational boundaries. HPE Private Cloud AI provides the secure foundation for Industrial AI Agents at the Edge, enabling organizations to deploy AI close to operations while maintaining control, security, and compliance.
  • Cybersecurity. Increased connectivity can introduce additional risk across industrial and critical infrastructure environments. HPE Private Cloud AI reduces the attack surface by keeping and processing the data close to its source.
  • AI consumption costs. As AI usage grows, cloud-based inference, data transfer and token-related costs can increase, creating challenges for organizations looking to scale AI across sites, assets and operations. Deploying AI at the edge with HPE Private Cloud AI can help reduce some of these costs while providing greater control over where and how AI workloads are executed.

Through Schneider Electric’s EcoStruxure Industrial Insights apps customers can deploy, manage and govern multiple Industrial AI Agents through a single environment, simplifying lifecycle management, security oversight and maintaining full control of critical operations and infrastructure.

The first Industrial AI Agents focus on operational technology monitoring, cybersecurity and energy optimization. Their practical application can already be seen in industrial environments with companies such as CMPC Chile.

Operational Technology Monitoring System in Production: CMPC

The foundation for this next step is already proven at CMPC Chile, part of Empresas CMPC S.A., one of Latin America’s largest pulp, paper and packaging producers. For the past three years, CMPC Chile has used Schneider Electric’s OTMS in production to monitor the health and availability of control systems across its continuous pulp and paper operations.

OTMS provides CMPC’s teams with a unified view of control systems, servers, workstations and switches, helping specialists identify emerging issues earlier, diagnose problems faster and establish clearer maintenance priorities. This proven deployment demonstrates the value of OTMS as a control-system monitoring solution and provides a strong operational foundation for the future introduction of Industrial AI Agents, with the potential to accelerate investigation and decision-making while keeping people in control of critical action.

The first three Industrial AI Agents at the edge

  • OT Monitoring Agents: Combines real-time operational data, equipment configurations, process topology, alarms, maintenance history and engineering context to understand the physical state of industrial operations. The agents identify emerging issues, reasons about likely operational impacts, recommends or initiates corrective actions, and verifies that the intervention delivers the expected physical outcome.
  • Cybersecurity Agents: Correlates network activity, control system behaviour, asset configurations, operational events and process context to detect abnormal conditions. The agents assess potential impacts on industrial operations, recommends or executes response measures, and validates that systems have returned to a secure and stable state.
  • Energy Optimization Agents: Integrates process data, energy consumption patterns, equipment performance, operating conditions and production requirements to understand how energy is used across industrial operations. The agents identify optimization opportunities, recommends or implements adjustments, and verifies the resulting impact on energy efficiency, operational performance and sustainability outcomes.

“The next generation of industrial innovation will be driven by intelligence embedded directly into industrial operations,” said Gwenaelle Huet, Executive Vice President, Industrial Automation, Schneider Electric. “While much of today’s focus is on autonomous machines, we see a significant opportunity to apply Physical AI to the industrial systems that power the world’s critical industries. Together with NVIDIA and HPE, we are bringing together expertise in automation, AI and edge computing to help customers transform operational data into action, improving resilience, efficiency, cybersecurity and sustainability while laying the foundation for more autonomous industrial operations.”

“Industrial operations generate vast amounts of data, but turning that data into action remains one of industry’s biggest challenges. By combining NVIDIA Nemotron™ open AI models and HPE Private Cloud AI, a turnkey AI factory solution, with Schneider Electric’s industrial expertise and OTMS platform, Industrial AI Agents can monitor, reason and optimize operations in real time, accelerating the path to Physical AI for process industries,” commented Sri Kodali, Global Head of Developer Relations – Energy and Utilities at NVIDIA.

“Industrial organizations see real opportunities to use AI, and they want to be sure their sensitive data and critical systems will remain protected. Through our collaboration with NVIDIA and Schneider Electric, we’re helping customers use HPE Private Cloud AI to bring AI closer to where their data is generated and decisions are made. This gives customers a way to expand AI use across their facilities while maintaining the security, privacy and control their businesses require,” said Alexia Clements, SVP, Hybrid Cloud Solution Sales at HPE.

“For the past three years, OTMS has helped us improve visibility into the health and availability of our control systems. In continuous industrial operations, identifying issues early is critical to protecting production and avoiding costly disruption. Looking ahead, we see significant potential for AI Agents to build on this proven foundation, helping our specialists investigate issues faster and move more effectively from insight to action, while keeping people in control of critical decisions,” said Matías Jory, Digital & Process Manager, Industrial Operations Vice-Presidency, CMP.

Together, Schneider Electric, NVIDIA and HPE are creating the foundation for the next generation of industrial operations, where intelligent systems can continuously monitor, reason and optimize performance. Over time, these capabilities will help automate the automation, enabling safer, more efficient and increasingly autonomous operations across process industries.

This release contains forward-looking statements within the meaning of Section 27A of the Securities Act of 1933 and Section 21E of the Securities Exchange Act of 1934. Forward-looking statements give our expectations or forecasts of future events and can generally be identified by the use of words such as “believe,” “expect,” “anticipate,” “estimate,” “intend,” “project,” “plan,” “likely,” “may,” “should” or other words or phrases of similar import. Similarly, statements that describe our business strategy, outlook, objectives, plans, intentions or goals also are forward-looking statements. Examples of forward-looking statements include, but are not limited to, statements we make regarding, and the guidance we give with respect to, our anticipated operating or financial results, future financial performance and outlook, future dividend declarations, and future economic conditions.

We believe that our expectations are based on reasonable assumptions. Forward-looking statements, however, are subject to a number of risks and uncertainties that are difficult to predict and, in many cases, beyond our control. Accordingly, our actual results could differ materially from the projections, anticipated results or other expectations expressed in this release, and no assurances can be given that our expectations will prove to have been correct. Factors that could cause the outcomes to differ materially include, but are not limited to, the following: macroeconomic conditions, including inflation, interest rates, labor market conditions, financial and capital market conditions, recessionary pressures or concerns over a prolonged economic slowdown, and the related impact on consumer spending behavior, payments, debt levels, savings rates and other behaviors; domestic and international political events and conditions, including significant shifts in trade policy, such as changes to, or the imposition of, tariffs and/or trade barriers and consequently any economic impacts, volatility, uncertainty and geopolitical instability resulting therefrom, as well as ongoing wars and military conflicts, and international tensions or hostilities; local or global public health issues, climate-related events, impacts to the power grid, and natural disasters; future credit performance, including the level of future delinquency and charge-off rates; loss of, or reduction in demand for services and/or products from, significant brand partners or customers in the highly competitive markets in which we operate, including competition from new and non-traditional competitors, such as financial technology companies, and with respect to new products, services and technologies, such as the emergence or increase in popularity of agentic commerce, digital payment platforms and currencies and other alternative payment and deposit solutions; the concentration of our business in U.S. consumer credit; inaccuracies in the models and estimates on which we rely, including our credit risk management models and the amount of our Allowance for credit losses; the inability to realize the intended benefits of acquisitions, dispositions and other strategic initiatives; our level of indebtedness and ability to access financial or capital markets; pending and future federal and state legislation, executive action, regulation, supervisory guidance, and regulatory and legal actions, including, but not limited to, those related to financial regulatory reform and consumer financial services practices, as well as any such actions that would place limits on credit card interest rates or late fees, interchange fees or other charges; failures or breaches in our operational or security systems, including as a result of cyberattacks, unanticipated impacts from technology modernization projects or otherwise; and any liability or other adverse impacts arising out of or related to the spinoff of our former LoyaltyOne segment or the bankruptcy filings of Loyalty Ventures Inc. (LVI) and certain of its subsidiaries, including the pending litigation against us in connection with the spinoff. The foregoing factors, along with other risks and uncertainties that could cause actual results to differ materially from those expressed or implied in forward-looking statements, are described in greater detail under the headings “Risk Factors” and “Management’s Discussion and Analysis of Financial Condition and Results of Operations” in our Annual Report on Form 10-K for the most recently ended fiscal year, which may be updated in Item 1A of, or elsewhere in, our Quarterly Reports on Form 10-Q filed for periods subsequent to such Form 10-K.
