RISE IN BUSINESS ACTIVITY IN Q3 2026 STILL DRIVEN BY FRANCE

In Q3 2026, HighCo posted gross profit of €19.16 m on a reported basis, for growth of 22.5%, including Sogec and Budgetbox, and €15.88 m like for like (up 1.6%) with:

  • the expected slowdown over the quarter of the businesses in the Retail Activation division, which grew 16.7% to €11.40 m on a reported basis (down 5.2% like for like);

In France, reported gross profit totalled €17.71 m in Q3 2026 up 27.2%, including €3.27 m in margin relating to Sogec and Budgetbox businesses. Excluding these acquisitions in 2025, the businesses posted organic growth of 3.7% in Q3 2026 to €14.44 m like for like. The Retail Activation division (up 23.6% on a reported basis with Sogec and down 3% on a like-for-like basis excluding Sogec) declined slightly over the quarter, as expected, after the strong momentum in the first half. The development of the solutions HighCo Nifty (mobile coupons) and HighCo Merely (promotion management SaaS platform) is moving forward, and the number of e-coupons processed continues to rise. Businesses in the Retail Agencies division showed a decline over the quarter (down 3.3%). The gross profit of the Retail Media division posted growth, as expected (up 87.6% reported with Budgetbox and up 38.2% like for like excluding Budgetbox), as the historical in-store media selling businesses benefit from a favourable comparative base.

In the first nine months of 2026, business in France grew (up 31.5% reported, up 5.3% like for like), accounting for 92% of the Group’s reported gross profit.

Businesses in Spain showed growth of 2.6% and accounted for 0.9% of the Group’s reported gross profit.

For the first nine months of 2026, International businesses fell 18.7% to €4.7 m and account for 8% of the Group’s reported gross profit.

CSR STRATEGY: ECOVADIS GOLD MEDAL RENEWED

In September 2026, HighCo’s “Gold” medal was renewed by EcoVadis as recognition for its CSR performance and responsible purchasing, with an overall score of 85 out of 100 and a strong increase of 7 points. This detailed assessment measures the maturity of CSR policies and actions taken based on 21 criteria grouped into four themes: Environment, Labour and Human Rights, Ethics, and Sustainable Procurement. HighCo has therefore maintained its ranking in the top 5% of companies assessed by EcoVadis.

The Group continues its sustainability actions, with the development of its strategic roadmap to 2030: “Impact 2030”.

REFINED GUIDANCE FOR 2026

Based on the reported business performance in Q3, in line with forecasts, and the business levels expected for Q4, the Group has refined its guidance for 2026:

  • Gross profit of more than €77 m including the acquisitions of Sogec and Budgetbox activities over the full year, for growth of more than 15% (reported 2025 gross profit: €66.65 m);
  • Adjusted operating margin (adjusted headline PBIT/gross profit) of slightly more than 13% (2025 adjusted operating margin: 12.1%).

In the fourth quarter, the Group’s financial resources will mainly be allocated to restructuring Sogec’s businesses.

CONFIRMATION OF A SIGNIFICANT IMPROVEMENT IN PROFITABILITY AS OF 2027

As announced in September, the Group’s strategy to refocus its activities and transform its business, under way since 2025, will begin to pay off. As a result, HighCo expects a significant improvement in its profitability, with adjusted operating margin of more than 15% as of 2027.

SYNERGIE reported third-quarter 2026 revenue of €917.2 million, up 11.2% compared with the same period in 2025 (+2.4% on a like-for-like basis). For the first nine months of the year, revenue amounted to €2,627.7 million, representing a growth of 9.1% (+2.3% at constant scope and exchange rates). This increase is mainly due to the acquisitions completed in Switzerland and Canada. International operations now account for 64.3% of Group revenue, compared with 60.7% at the end of September 2025.

International revenue increased by +19.0% in the third quarter (+4.6% on a like-for-like basis). In Northern and Eastern Europe, revenue rose by +11.3% (-1.0% on a like-for-like basis), supported by the integration of the Swiss operations acquired during the year, while on a like-for-like basis activity remained affected by a subdued economic environment. In France, revenue amounted to €316.0 million in the third quarter, broadly stable compared with the same period in 2025 (-1.2%). In an economic environment that remains complex, the Group’s operations continue to demonstrate resilience.

Supported by the resilience of its business model and the diversification of its activities, the Group remains confident in its ability to sustain its growth trajectory.

SHAREHOLDER INFORMATION WEBSITE: https://brightflixx.capital/

CAVITATION TECHNOLOGIES, INC. — THE OFFER

Final Offer Price and Record Date

Under the tender offer for CVAT Shares (the “CVAT Offer”), the final offer price per share (the “Final Offer Price”) will equal (a) a net aggregate purchase price of $35,000,000, less the outstanding liabilities of the Company on the Record Date, divided by (b) the total number of CVAT Shares outstanding on the Record Date. The Record Date for determining the Final Offer Price is December 24, 2026.

Based on recent information reported by the Company, showing outstanding liabilities of approximately $738,000 and 332,820,459 CVAT Shares outstanding as of October 16, 2026, the initial undiluted estimated price would be approximately $0.105 per share. The Final Offer Price will be calculated using the actual number of outstanding CVAT Shares and the Company’s outstanding liabilities existing at the close of the Record Date.

Key Timelines and Extensions

Offer Commencement Date: October 20, 2026.

Record Date: December 24, 2026, which is 45 business days after commencement of the CVAT Offer.

Offer Extension: The initial period of the CVAT Offer consists of 65 business days from and after commencement and is scheduled to expire at 11:59 p.m., Pacific Time or Pacific Daylight Time, as applicable, on January 26, 2027 (the “Expiration Time”). After the Final Offer Price is announced following the Record Date, the Expiration Time will be extended as necessary to provide shareholders at least 30 business days to review the Final Offer Price and decide whether to tender their CVAT Shares.

Key Conditions to the Offer

The CVAT Offer is subject to the satisfaction or waiver of the conditions set forth in the Tender Offer Agreement dated October 9, 2026 between the Purchaser and the Company (the “BF-CVAT Agreement”). The most significant conditions include:

Minimum Tender. A sufficient number of CVAT Shares must be validly tendered to enable the Purchaser to acquire at least 90% of the Company’s outstanding common stock.

Concurrent Alchemy Offer. The conditions to the Purchaser’s concurrent tender offer for Alchemy must be satisfied or waived, and sufficient ABI Shares must be validly tendered to enable the Purchaser to acquire or own at least 90% of Alchemy’s outstanding common stock.

Compliance. The Company must be in compliance with its representations, warranties, and covenants under the BF CVAT Agreement, subject to the materiality standards specified in that agreement.

No Material Adverse Effect. No material adverse effect may have occurred with respect to the Company’s business or financial condition.
Regulatory Approval. The transaction must be reviewed and cleared by the Committee on Foreign Investment in the United States (CFIUS), and no governmental entity may have taken adverse action to block or prevent the acquisition of tendered CVAT Shares.

Delivery of Shares; Payment Services

Shareholders may tender CVAT Shares by delivering physical stock certificates or using book-entry procedures to transfer their shares to Dynamic Stock Transfer, Inc., the designated depositary and paying agent. Dynamic Stock Transfer will receive tendered CVAT Shares, process tender acceptances, and distribute payment for CVAT Shares accepted and purchased by the Purchaser.

ALCHEMY BEVERAGES INC. — THE OFFER

Final Offer Price and Record Date

Under the tender offer for ABI Shares (the “ABI Offer”), the final offer price per share will equal (a) a net aggregate purchase price of $7,000,000, less Alchemy’s outstanding liabilities on the Record Date, divided by (b) the total number of ABI Shares outstanding on the Record Date. The Record Date for determining the final offer price is December 24, 2026.

Based on recent information reported by Alchemy, showing outstanding liabilities of approximately $88,441.81 and 18,798,473 ABI Shares outstanding as of October 16, 2026, the initial undiluted estimated price would be approximately $0.368 per share. The final offer price will be calculated using the actual number of outstanding ABI Shares and Alchemy’s outstanding liabilities existing at the close of the Record Date.

Key Timelines and Extensions

The ABI Offer commenced on October 20, 2026. The Record Date is December 24, 2026. The initial offer period consists of 65 business days after commencement and is scheduled to expire at 11:59 p.m., Pacific Time or Pacific Daylight Time, as applicable, on January 26, 2027. After the Final Offer Price is announced, the Expiration Time will be extended as necessary to provide shareholders at least 30 business days to review the Final Offer Price and decide whether to tender their ABI Shares.

Key Conditions to the ABI Offer

The ABI Offer is subject to the satisfaction or waiver of the conditions set forth in the Tender Offer Agreement dated October 9, 2026 between the Purchaser and Alchemy (the “BF-ABI Agreement”). The most significant conditions include:

Minimum Tender. A sufficient number of ABI Shares must be validly tendered to enable the Purchaser to acquire at least 90% of Alchemy’s outstanding common stock.

Concurrent CVAT Offer. The conditions to the Purchaser’s concurrent tender offer for the Company must be satisfied or waived, and sufficient CVAT Shares must be validly tendered to enable the Purchaser to acquire or own at least 90% of the Company’s outstanding common stock.

Compliance. Alchemy must be in compliance with its representations, warranties, and covenants under the BF-ABI Agreement, subject to the materiality standards specified in that agreement.

No Material Adverse Effect. No material adverse effect may have occurred with respect to Alchemy’s business or financial condition.

Regulatory Approval. The transaction must be reviewed by CFIUS, and no governmental entity may have taken adverse action to block or prevent the acquisition of tendered ABI Shares.

Fairness Opinion

Because Alchemy is privately held and its shares are not listed on a national securities exchange or OTC Markets platform, Alchemy will, pursuant to the BF-ABI Agreement, obtain a fairness opinion from a qualified independent third party regarding the current market value of Alchemy and its capital stock. The fairness opinion may not be used to reduce the final offer price determined following the Record Date, but, depending on the value assigned to Alchemy, may provide a basis for an upward adjustment in the final market price under the ABI Offer and the CVAT Offer.

Enrique Martinez, Chief Executive Officer of Fnac Darty, declared: “Our group is performing very strongly in a complex context, as illustrated by the events of the last few days in France. I would like to thank our teams who have shown exemplary professionalism and commitment in the stores that have been affected by theft and violence. We are determined to quickly restore these stores to be able to welcome our customers again in the best conditions. We are pleased that EP Group’s public takeover bid has obtained the required clearance from the European Commission and can now move forward to completion. KEY FIGURES AT THE END OF SEPTEMBER 2026

Change vs 2025 restated     +1.9%     +1.2%

In Q3 2026, Group revenue amounted to €2,509 million, up +1.8% on a like-for-like basis1 compared with Q3 20252. France was almost stable at -0.4% LFL1. The Rest of Europe posted strong growth (+5.0% LFL1).

At the end of September 2026, revenue was €6,966 million, up +1.1% on a like-for-like basis1 compared with 9M 20252.

Gross margin rate has increased by 40 bps compared with 9M 2025 restated2, primarily due to the growing contribution of services businesses and a favorable product mix.

CHANGES BY DISTRIBUTION CHANNEL

At the end of September 2026, in-store sales were stable. Conversely, online sales increased (+5.3% compared with 9M 20252) and represented more than 21% of the Group’s total sales, driven in particular by the Group’s marketplaces (direct and reverse). Omnichannel sales (Click & Collect) increased compared with 9M 20252 and represented close to 50% of the Group’s online revenue. These results confirm, once again, the relevance of the omnichannel strategy adopted by Fnac Darty.

CHANGE BY PRODUCT CATEGORY AT THE END OF SEPTEMBER

Domestic appliances posted solid growth, driven by small domestic appliances, particularly floor care, coffee and seasonal products. Large domestic appliances also grew, benefiting from the good performance of air conditioning and refrigeration products in favorable weather conditions.

Consumer electronics recorded slight growth, with contrasting trends across categories. Hardware sales continued to benefit from the end of support for Windows 10 and the ongoing replacement cycle. Telephony sales grew, driven by a good third quarter, while sound, photo and television were slightly down.

Diversification posted mid-single-digit growth, driven in particular by double-digit growth in toys & games.

Services continued to grow, supported by strong momentum in subscription-based offers.

Lastly, editorial products declined, penalized by an unfavorable comparison base in gaming following the successful launch of the Switch 2 in 2025. Books were down in a market with few notable new releases, while audio remained very dynamic thanks to vinyl.

CHANGE BY GEOGRAPHY AT THE END OF SEPTEMBER

France posted a -0.6% decline in LFL1 revenue compared with 9M 20252. Although weather conditions supported certain categories, activity remained affected by a subdued consumer environment.

Rest of Europe posted an increase in LFL1 revenue of +3.5% compared with 9M 20252:

  • Italy posted LFL1 growth of +2.5% across all distribution channels.
  • Belgium-Luxembourg recorded LFL1 growth of +5.2%, driven by strong consumption momentum.
  • Portugal posted LFL1 growth of +8.0%, driven by strong momentum across both brands and all distribution channels. The acquisition of 11 Staples stores will strengthen the brand’s territorial footprint in 2027.
  • Spain posted LFL1 growth of +4.4%, supported by positive momentum across all categories, both in stores and online. Renovated stores performed well.
  • Switzerland was down -1.1% LFL1, mainly impacted by the decline in the book and hardware markets.

UNIEURO

The integration of Unieuro is progressing in line with the announced timetable. The French and Italian teams are working together to deploy the strategic initiatives of the Beyond everyday plan. Operating performance in Italy is satisfactory. The Group confirms its target of at least €20 million in synergies by the end of 2026.

REPAIR & BEYOND

For the ninth consecutive year, Fnac Darty is presenting the results of its after-sales services barometer, which outlines the major durability trends observed in the field. Reported at the beginning of October, it provides objective and independent insight into product reliability and repairability. This new edition notably highlights the solutions available in the event of breakdowns and the expertise of the entire repair sector in dealing with increasingly complex products.

BEYOND DIGITIZED OMNICHANNEL

Opened on October 6, the new Fnac store in Toulouse illustrates the evolution of the brand’s model: smoother customer journeys, enhanced services, modular spaces and personalized support. Designed to adapt to key trading periods and host new events and experiences, it brings together all Fnac product categories, complemented by a Darty corner dedicated to small domestic appliances, a WeFix area for smartphone and tablet repairs, and a Lego shop-in-shop. This new concept reflects the ambitions of Beyond everyday: simplifying the customer experience, strengthening the complementarity between stores, e-commerce, services and repair, and enhancing proximity and expertise.

BEYOND RETAIL

Retailink by Fnac Darty continued to roll out its XXL DOOH offering with a new display at Fnac La Défense, inaugurated this summer, bringing its network of large-format displays in Paris and Nice to six. This expansion is in line with the Group’s strategy to digitize its points of sale and reinforces the ambition of the Group’s retail media agency to offer the most comprehensive premium DOOH Retail Media solution in the French market.

EP GROUP’S TAKEOVER BID FOR FNAC DARTY

Fnac Darty and EP FR HOLDCo, the vehicle controlled by EP Group and established for the purposes of the proposed public tender Offer for the outstanding shares and OCEANEs of Fnac Darty announced on October 20, 2026 that they had received the merger control clearance from the European Commission for the planned acquisition of Fnac Darty.

As a result of the receipt of this decision, which constitutes the last expected approval of the transaction, the French Financial Markets Authority (Autorité des marchés financiers, “AMF”) announced on October 20, 2026 that the Offer for Fnac Darty securities will close on November 9, 2026.

Fnac Darty shareholders and OCEANE holders therefore have until November 9, 2026 to tender their securities to the EP FR HOLDCo Offer.

The Offer price is €35 per share, following the payment on June 5, 2026 of a dividend of €1 per share in respect of the 2025 financial year, and €81.163 per OCEANE.

The AMF is expected to publish the Offer results notice in the days following November 9, 2026.

The settlement will take place on November 12, 2026.

If successful, the Offer will be reopened for at least ten trading days.

Documentation relating to the Offer is available on Fnac Darty’s website in the section dedicated to the Offer (www.fnacdarty.com/le-groupe/investisseurs/projet-doffre-publique-dachat-de-ep-group/) and on the AMF website (www.amf-france.org).

OUTLOOK

The Group confirms its expectation of an increase in its 2026 current operating margin rate and free cash flow from operations.
Fnac Darty is continuing to implement the strategic roadmap of the Beyond everyday plan, presented on June 11, 2025, and confirms the objectives communicated for 2030.

DEFINITIONS OF ALTERNATIVE PERFORMANCE INDICATORS

Revenue The Group’s “real” revenue (or income from ordinary activities) corresponds to its reported revenue. The Group uses the notions of change in revenue detailed below.
Current operating income Fnac Darty uses current operating income as the main management balance. This is defined as the difference between the total operating income and the “Other non-current operating income and expense.”
Current operating income is an intermediate line item intended to facilitate the understanding of the entity’s operating performance that can be used as a way to estimate recurring performance. This indicator is presented in a manner that is consistent and stable over the long term in order to ensure the continuity and relevance of financial information.
Change in revenue at a constant exchange rate Change in revenue at a constant exchange rate means that the impact of changes in exchange rates has been excluded. The exchange rate impact is eliminated by recalculating sales for period N-1 using the exchange rates used for period N.
Change in revenue on a like-for-like basis Change in revenue on a like-for-like basis means that the impact of changes in the scope of consolidation is corrected so as to exclude the modifications (acquisition, disposal of subsidiary). Revenue of subsidiaries acquired or sold since January 1 of period N-1 are, therefore, excluded when calculating the change (in the event of a significant variation at Group level).
Change in revenue on a same-store basis The change in revenue on a same-store basis means that the impact of directly owned store openings and closures is excluded. Revenue of stores opened or closed since January 1 of period N-1 is excluded from calculations of the change.

1 Like-for-like basis – LFL: excludes currency effects, changes in scope, store openings and closures.
2 Restated data: include the IFRS 5 reclassification of Nature & Découvertes as shown in the IFRS 2025 consolidated financial statements.

3 Calculated on the basis of an interest accrual period from 23 March 2026 to 12 November 2026, being the settlement date of the initial acceptance period of the Offer.
4 Restated data: include the IFRS 5 reclassification of Nature & Découvertes as shown in the IFRS 2025 consolidated financial statements.
5 Like-for-like basis – LFL: excludes the effect of changes in foreign exchange rates, changes in scope, and store openings and closures.
