Non-interest expense for the third quarter of 2026 decreased $1.6 million compared to the second quarter of 2026, primarily due to decreases in salaries and benefits, legal and professional and other non-interest expense, partially offset by an increase in communications and technology expense primarily resulting from restructuring expenses recognized in the third quarter of 2026.

Non-interest expense for the third quarter of 2026 increased $13.3 million compared to the third quarter of 2025, primarily due to increases in salaries and benefits, occupancy and communications and technology expense, primarily as a result of the restructuring expenses discussed above, as well as an increase in other non-interest expense.

GAAP TO NON-GAAP RECONCILIATIONS

The following items are non-GAAP financial measures: adjusted non-interest expense, adjusted income tax expense, adjusted net income, adjusted net income available to common stockholders, adjusted pre-provision net revenue (“PPNR”), adjusted diluted earnings per common share, adjusted return on average assets, adjusted return on average common equity, adjusted efficiency ratio, adjusted non-interest income to average earning assets and adjusted non-interest expense to average earning assets. These are not measures recognized under GAAP and therefore are considered non-GAAP financial measures. The table below provides a reconciliation of these non-GAAP financial measures to the most directly comparable GAAP measures.

These non-GAAP financial measures are adjusted for certain items, listed below, that management believes are non-operating in nature and not representative of its actual operating performance. Management believes that these non-GAAP financial measures provide meaningful additional information about the Company to assist management and investors in evaluating operating results, financial strength, business performance and capital position. Non-GAAP financial measures have inherent limitations, are not required to be uniformly applied and are not audited. As such, these non-GAAP financial measures should not be considered in isolation or as a substitute for analyses of operating results or capital position as reported under GAAP.

New facilities provide approximately $270 million of liquidity at closing; oversubscribed syndication allowed the facilities to be upsized

Transaction Highlights

  • Upsized facility: $600 million of new senior secured first lien credit facilities for Westrock Coffee’s Beverage Solutions segment, consisting of a $300 million term loan and a $300 million revolver, replacing Westrock Coffee’s existing $425 million Beverage Solutions credit facilities, increasing total commitments by $175 million
  • Five-year term: New five-year credit facilities mature in October 2031; $40 million of 2029 convertible notes repurchased and the remaining $32 million due January 2032
  • Enhanced liquidity: Approximately $270 million of liquidity at closing, consisting of $40 million of unrestricted cash and $230 million of undrawn revolver commitments
  • Improved debt service profile: Reduces scheduled term loan amortization from 10.0% under the prior facility to 2.5% in Year 1 and 5.0% in Years 2–4, lowering required principal payments by approximately $15 million over the next four quarters compared with the prior facility
  • Strong lender support: Received $737 million of commitments for the new facilities from a lending syndicate led by Rabobank and including Truist Bank, Bank of America, TD Securities (USA) LLC, Huntington Bank, Texas Capital Bank and Goldman Sachs

LITTLE ROCK, Ark., Oct. 21, 2026 (GLOBE NEWSWIRE) — Westrock Coffee Company (Nasdaq: WEST) (“Westrock Coffee” or the “Company”), an integrated beverage solutions platform serving the world’s largest brands across packaged coffee, tea, ready-to-drink coffee, energy, and functional beverage categories, today announced the closing of an upsized refinancing for its Beverage Solutions segment through a new credit agreement (the “Credit Agreement”) led by Coöperatieve Rabobank U.A., New York Branch (“Rabobank”) providing for a $300 million senior secured first lien term loan facility and a $300 million senior secured first lien revolving credit facility, for a total commitment of $600 million, up from $425 million under the prior credit agreement. The transaction has been fully funded by Rabobank and is being syndicated to the broader lender group. The syndication was oversubscribed: Rabobank received $737 million of lender commitments, which allowed the facilities to be upsized from $500 million at launch to $600 million. The five-year credit facilities under the Credit Agreement mature in October 2031. Proceeds were used to repay debt under the prior credit agreement and will also be used to fund related transaction costs, including cash payments in connection with the transactions described below involving the Company’s 5% convertible senior notes due 2029 (the “2029 Notes”), and for general corporate purposes. With the new Beverage Solutions credit facilities, the Company has enhanced liquidity of approximately $270 million, consisting of $40 million in unrestricted cash and $230 million in undrawn revolver commitments. Scheduled term loan amortization has also been reduced from 10.0% under the prior facility to 2.5% in Year 1 and 5.0% in Years 2–4, lowering required principal payments by approximately $15 million over the next four quarters compared with the prior facility, which allows the Company to retain more cash in the business.

As part of the refinancing, the Company also announced the repurchase of $40 million of its 2029 Notes for approximately $21 million in cash and the issuance of approximately 2.4 million shares of the Company’s common stock, and amendments to its remaining $32 million of 2029 Notes that, among other things, extended their maturity to January 2032 (the “2032 Notes”) and gave the Company the ability to optionally redeem the 2032 Notes if its shares trade at or above $14.25 for more than 120 consecutive trading days.

Scott T. Ford, co-founder and Chief Executive Officer of the Company, commented, “This refinancing is a vote of confidence in Westrock Coffee’s platform and our long-term strategy. With a strong group of lenders led by Rabobank, these new credit facilities let us stay focused on what matters most: scaling our extract and ready-to-drink capabilities and delivering for the world’s leading beverage brands.”

Chris Pledger, Chief Financial Officer of Westrock Coffee, added, “This refinancing marks an important milestone as we move beyond the Conway build-out. The new facilities provide approximately $270 million of liquidity and lower scheduled amortization, allowing us to retain more cash in the business as we continue to reduce leverage. We are grateful to Rabobank and our lender group, whose $737 million of commitments exceeded the $600 million size of the facilities.”

In connection with the Credit Agreement, Rabobank served as lead arranger and lead bookrunner. Rabobank is also serving as administrative agent and collateral agent under the Credit Agreement. In connection with the syndication, Truist Securities, Inc. and Bank of America, N.A. will serve as joint lead arrangers and joint bookrunners, TD Securities (USA), LLC, and The Huntington National Bank will serve as co-documentation agents, and Texas Capital Bank and Goldman Sachs Bank USA will serve as joint syndication agents.

Goldman Sachs & Co. LLC acted as exclusive structuring agent to Westrock Coffee on the comprehensive refinancing and convertible notes transactions, and Wachtell, Lipton, Rosen & Katz served as legal counsel to Westrock Coffee. Reed Smith LLP served as legal counsel to Rabobank.

Westrock Coffee will report its third quarter 2026 financial results on November 5, 2026, after market close, followed by its quarterly earnings conference call at 4:30 p.m. Eastern time. Additional information will be available on the Company’s Investor Relations website.

Additional information regarding the Credit Agreement and the convertible note transactions will be included in a Current Report on Form 8-K to be filed with the Securities and Exchange Commission.

SAN DIEGO, Oct. 21, 2026 (GLOBE NEWSWIRE) — Cardiff Oncology, Inc. (Nasdaq: CRDF), a clinical-stage biotechnology company leveraging PLK1 inhibition to develop novel cancer therapies, today announced that the U.S. Food and Drug Administration (FDA) has granted Orphan Drug Designation to onvansertib for the treatment of patients with chronic myelomonocytic leukemia (CMML).

“CMML remains a difficult-to-treat hematologic malignancy with limited treatment options for patients, and 40-50% of myeloproliferative CMML1 patients harbor RAS-pathway mutations, which are associated with more aggressive disease,” said Mani Mohindru, PhD, President and Chief Executive Officer of Cardiff Oncology. “Receiving Orphan Drug Designation for onvansertib in CMML further validates the therapeutic potential of PLK1 inhibition in cancers with significant unmet need and adds to the growing body of evidence supporting this mechanism across both solid tumors and hematologic malignancies. We believe this designation highlights the broader clinical opportunity for onvansertib as a monotherapy as we continue advancing therapies for patients across cancers where new therapeutic approaches are urgently needed.”

Onvansertib is being evaluated in both company-sponsored and investigator-initiated clinical studies, including a Phase 1 investigator-initiated study in relapsed/refractory CMML. As presented at the 2025 American Society of Hematology (ASH) Annual Meeting, onvansertib was relatively well-tolerated as a monotherapy and demonstrated preliminary efficacy in approximately 40% of myeloproliferative CMML patients in the dose ranging trial. The responses included three patients experiencing clinical benefits (38%), with one each of the following: a 100% platelet response, normalization of White Blood Cells, WBC (baseline WBC count > 50 x 109/L), and spleen response. Additionally, one patient (12.5%) had optimal marrow response with bone marrow blast reduction from 8% to 2% facilitating for allogeneic hematopoietic stem transplant and 3 patients experienced stable disease (38%).

Orphan Drug Designation is granted by the FDA to support the development of therapies intended to treat rare diseases or conditions affecting fewer than 200,000 people in the United States. Benefits of the designation may include tax credits for qualified clinical trials, exemption from certain FDA user fees, and up to seven years of market exclusivity upon regulatory approval. Orphan Drug Designation does not alter the standard regulatory requirements or approval process.

About Onvansertib
Onvansertib is a highly specific, oral PLK1 inhibitor advancing toward a registrational trial in first-line RAS-mutated metastatic colorectal cancer (mCRC). In a randomized Phase 2 trial, onvansertib in combination with FOLFIRI/bevacizumab (first-line standard-of-care) demonstrated dose-dependent improvements in overall response rate and progression-free survival compared to standard-of-care alone, building on findings from a prior Phase 2 trial in second-line RAS-mutated mCRC. Based on these results, the Company has selected the 30 mg dose of onvansertib in combination with FOLFIRI/bevacizumab as the regimen to advance into the planned registrational trial in first-line patients with RAS-mutated mCRC.

Onvansertib is also being evaluated in multiple other cancers through investigator-initiated studies, including metastatic pancreatic ductal adenocarcinoma (mPDAC), small cell lung cancer (SCLC), triple-negative breast cancer (TNBC), and chronic myelomonocytic leukemia (CMML).

About Chronic Myelomonocytic Leukemia
Chronic myelomonocytic leukemia (CMML) is a rare and aggressive hematologic malignancy characterized by features of both myelodysplastic syndromes and myeloproliferative neoplasms. CMML primarily affects older adults and is associated with poor clinical outcomes, including progressive bone marrow failure and risk of transformation to acute myeloid leukemia (AML). Current treatment options remain limited, highlighting the need for novel targeted therapies that can improve outcomes for patients with this disease.

About Cardiff Oncology, Inc.
Cardiff Oncology is a clinical-stage biotechnology company advancing innovative cancer treatments focused on PLK1 inhibition, a validated oncology target with practice-changing potential. Our lead asset, onvansertib, is a highly specific, oral PLK1 inhibitor currently being evaluated for first-line treatment of RAS-mutated metastatic colorectal cancer (mCRC), addressing a large, underserved patient population with high unmet need. Onvansertib is also under investigation in other PLK1-driven cancers through ongoing investigator-initiated trials and has shown robust single agent clinical activity in hard-to-treat tumors. By targeting tumor vulnerabilities, we aim to overcome treatment resistance and deliver improved clinical outcomes for patients.

The recast primarily eliminates the recognition of Day 1 provision expense associated with acquired loans and records an allowance for credit losses as of the acquisition date. The adoption had no impact on the economics or cash flows of the acquired assets but affected the timing of credit loss expense recognition. This change is not the result of an error, correction, or restatement of previously issued financial statements, but rather, it enhances comparability among periods presented in accordance with applicable financial reporting guidance. Accordingly, certain comparative amounts presented herein differ from those previously reported for these prior year periods.

(“ESSA”).1 Earnings for the three months ended September 30, 2026 increased $4.5 million, or $0.09 per diluted share, compared to adjusted earnings for the three months ended September 30, 2025.
  • Loans – Total loans excluding $124.1 million of syndicated loan balances, or (“Organic Loans”), were $6.5 billion as of September 30, 2026. During the three months ended September 30, 2026, Organic Loans increased by $76.5 million, or 1.19% (4.73% annualized), from June 30, 2026.1 The increase in Organic Loans was primarily driven by growth in commercial real estate and residential real estate loans.
  • Deposits – At September 30, 2026, total deposits were $7.0 billion. During the three months ended September 30, 2026, deposits declined by $32.6 million, or 0.46% (1.83% annualized), compared to June 30, 2026. The third quarter of 2026 included the impact of the Bank’s strategy to exit certain higher cost corporate deposits totaling approximately $76.1 million, with an average interest cost of 3.69%. Excluding the impact of this strategic corporate deposits exit, total deposits increased approximately $43.5 million, or 0.61% (2.44% annualized), compared to the second quarter of 2026. Noninterest-bearing deposits increased for the quarter by $13.5 million, or 1.18% (4.67% annualized), compared to June 30, 2026, primarily driven by additional and expanded treasury management customer relationships.
  • Net Interest Margin – Net interest margin was 3.89% for the three months ended September 30, 2026, compared to 3.88% for the three months ended June 30, 2026. Net interest margin on a fully tax-equivalent basis, a non-GAAP measure, was 3.89% and 3.89%, for the three months ended September 30, 2026 and June 30, 2026, respectively.1 Included in net interest margin on a fully tax-equivalent basis was $2.7 million and $4.8 million of purchase accounting loan accretion for the three months ended September 30, 2026 and June 30, 2026, respectively.
  • Credit Quality – Total nonperforming assets were approximately $56.9 million, or 0.68% of total assets, as of September 30, 2026, compared to $58.4 million, or 0.69% of total assets, as of June 30, 2026. The decrease in nonperforming assets was primarily the result of charge-offs of approximately $1.6 million on one commercial and industrial relationship, as discussed in more detail below.
    • Net loan charge-offs for the three months ended September 30, 2026 were $2.4 million, or 0.14% (annualized) of average total loans and loans held for sale, compared to net loan charge-offs of $1.4 million, or 0.09% (annualized) of average total loans and loans held for sale, during the three months ended June 30, 2026. The increase in net loan charge-offs was primarily the result of charge-offs of approximately $1.6 million on one commercial and industrial relationship, as discussed in more detail below.
  • Capital – Book value per common share was $28.86 and $28.75 at September 30, 2026 and June 30, 2026, respectively. Book value per common share at September 30, 2026 reflects an increase of $0.11, or 0.38%, compared to book value per common share at June 30, 2026. The increase in book value per common share was primarily due to an increase in retained earnings (net of the payment of common and preferred stock dividends), partially offset by a higher accumulated other comprehensive loss, primarily reflecting the after-tax impact of temporary unrealized valuation changes in the Corporation’s available-for-sale investment portfolio due to changes in market yields relative to securities maturity dates, and not from other than temporary impairments.
    • Tangible book value per common share, a non-GAAP measure, was $24.87 and $24.73 as of September 30, 2026 and June 30, 2026, respectively.1 Tangible book value per common share at September 30, 2026 reflects an increase of $0.14, or 0.57%, compared to the tangible book value per common share as of June 30, 2026.1 The increase in tangible book value per common share was partially offset by a higher accumulated other comprehensive loss, primarily reflecting the after-tax impact of temporary unrealized valuation changes in the Corporation’s available-for-sale investment portfolio.

    • Adjusted earnings for the nine months ended September 30, 2025, a non-GAAP measure, were $47.6 million, or $2.05 per diluted share, with adjusted earnings excluding merger transaction related expenses related to the Corporation’s acquisition of ESSA.1 Earnings for the nine months ended September 30, 2026 increased $32.6 million, or $0.64 per diluted share, compared to adjusted earnings for the nine months ended September 30, 2025, due primarily to the overall impact of the acquisition of ESSA.1
  • At September 30, 2026, loans totaled $6.5 billion, excluding $124.1 million of syndicated loans. Organic Loans increased $76.5 million, or 1.19% (4.73% annualized), compared to June 30, 2026. Organic Loan growth was $83.8 million, or 1.31%, compared to September 30, 2025. The increase in loans for the quarter ended September 30, 2026, compared to the quarter ended June 30, 2026, was primarily driven by increases in commercial real estate and residential real estate loans. The year-over-year growth in loans as of September 30, 2026, compared to September 30, 2025, was primarily driven by growth in the Ridge View Bank and ERIEBANK markets. The year-over-year growth was also significantly impacted by an increased level of commercial real estate (“CRE”) loan prepayments, including full repayments of $71.4 million of CRE loans acquired in 2025 as a result of the ESSA acquisition, and a full payoff of $40.0 million of the Corporation’s largest office building loan related to a CRE property in the BankOnBuffalo division.
    • At September 30, 2026, the syndicated loan portfolio totaled $124.1 million, or 1.87% of total loans, compared to $93.9 million, or 1.44% of total loans, at June 30, 2026 and $71.9 million, or 1.11% of total loans, at September 30, 2025. The increase in syndicated lending balances of $30.2 million compared to June 30, 2026, which includes both new credits as well as additional credit extensions on existing quality borrowers, reflects the Corporation’s continued focus on evaluating the level and composition of its syndicated loan portfolio to ensure it continues to provide strong credit quality and profitable use of excess liquidity, while complementing the Corporation’s loan growth from its in-market customer relationships. The Corporation’s portfolio of syndicated credits includes only commercial and industrial loans and no CRE exposure.
  • At September 30, 2026, total deposits were $7.0 billion. Deposits declined for the quarter by $32.6 million, or 0.46% (1.83% annualized), compared to June 30, 2026. The third quarter of 2026 included the strategic exit of higher cost corporate deposits totaling approximately $76.1 million, with an average interest cost of 3.69%. Excluding the impact of the corporate deposits exit, total deposits increased approximately $43.5 million, or 0.61% (2.44% annualized), compared to the second quarter of 2026. Total deposits increased $147.6 million, or 2.14%, compared to September 30, 2025. The year-over-year growth in deposits as of September 30, 2026, compared to September 30, 2025, was primarily driven by both additional and expanded treasury management customer relationships. Noninterest-bearing deposits increased for the quarter by $13.5 million, or 1.18% (4.67% annualized), compared to June 30, 2026, were also the result of additional and expanded treasury management customer relationships. The $78.0 million in deposits classified as held for sale as of September 30, 2026 are associated with a planned sale of certain customer deposit accounts that are part of a broader strategic initiative to optimize the Corporation’s branch and market footprint following the ESSA acquisition. Additional deposit and liquidity profile details were as follows:
    • At September 30, 2026, the total estimated uninsured deposits for CNB Bank were approximately $2.1 billion, or 30.02% of total CNB Bank deposits. When excluding $22.3 million of affiliate company deposits and $760.4 million of pledged-investment collateralized deposits, adjusted total estimated uninsured deposits as of September 30, 2026 were approximately $1.4 billion, or 19.07% of total CNB Bank deposits.
      • Total estimated uninsured deposits for CNB Bank at June 30, 2026 were approximately $2.1 billion, or approximately 28.83% of total CNB Bank deposits. Excluding $21.2 million of affiliate company deposits and $704.2 million of pledged-investment collateralized deposits, adjusted total estimated uninsured deposits as of June 30, 2026 were approximately $1.3 billion, or approximately 18.73% of total CNB Bank deposits.
    • At September 30, 2026, the Corporation had $221.2 million of cash equivalents held at CNB Bank’s interest-bearing deposit account at the Federal Reserve. These excess funds, when combined with total contingent liquidity resources of $6.2 billion including (i) available borrowing capacity from both the Federal Home Loan Bank of Pittsburgh (“FHLB”) and the Federal Reserve, and (ii) available unused commitments from brokered deposit sources and other third-party funding channels, including previously established lines of credit from correspondent banks, resulted in the total available liquidity sources for the Corporation as of September 30, 2026 of approximately 4.7 times the estimated amount of adjusted uninsured deposit balances discussed above.
  • At September 30, 2026 and June 30, 2026, the Corporation had $164.0 million outstanding in short-term borrowings. The Corporation had $181.6 million outstanding short-term borrowings at September 30, 2025. The decrease in short-term borrowings at September 30, 2026 compared to September 30, 2025 was attributable to the repayment of certain borrowings assumed with the ESSA acquisition.
  • At September 30, 2026, the Corporation’s pre-tax net unrealized losses on the combined portfolios of available-for-sale and held-to-maturity securities totaled $81.9 million, or 8.98% of total shareholders’ equity, compared to $54.8 million, or 6.02% of total shareholders’ equity, at June 30, 2026, and $49.8 million, or 5.81% of total shareholders’ equity, at September 30, 2025. The change in unrealized losses during the third quarter of 2026 compared to the second quarter of 2026, as well as for the quarter ended September 30, 2025, was primarily due to changes in the yield curve, coupled with the Corporation’s scheduled bond maturities, which were all realized at par. Importantly, all regulatory capital ratios for the Corporation would still exceed regulatory “well-capitalized” levels as of September 30, 2026, June 30, 2026, and September 30, 2025 if the net unrealized losses at the respective dates were fully recognized.
  • Total nonperforming assets were $56.9 million, or 0.68% of total assets, as of September 30, 2026, compared to $58.4 million, or 0.69% of total assets, as of June 30, 2026, and were $40.4 million, or 0.49% of total assets, as of September 30, 2025. The decrease of $1.6 million at September 30, 2026 compared to June 30, 2026 was primarily driven by charge-offs related to one commercial and industrial relationship during the third quarter of 2026. After the $1.6 million charge-off at September 30, 2026, the relationship had an outstanding balance of $3.0 million and a related reserve of approximately $2.0 million. The $16.5 million increase in nonperforming assets at September 30, 2026, compared to September 30, 2025, was primarily driven by two previously disclosed relationships: a commercial and industrial relationship totaling $7.2 million and a commercial relationship totaling $6.8 million. Net loan charge-offs for the three months ended September 30, 2026 were $2.4 million, or 0.14% (annualized) of average total loans and loans held for sale, compared to net loan charge-offs of $1.4 million, or 0.09% (annualized) of average total loans and loans held for sale, during the three months ended June 30, 2026, and $957 thousand, or 0.06% (annualized) of average total loans and loans held for sale, during the three months ended September 30, 2025.
  • Pre-provision net revenue (“PPNR”), a non-GAAP measure, was $36.7 million for the three months ended September 30, 2026 and $36.9 million and $27.5 million for the three months ended June 30, 2026 and September 30, 2025, respectively.1 Excluding merger and integration costs, adjusted PPNR was $31.7 million for the three months ended September 30, 2025.1 The quarter-over-quarter change in PPNR was driven by higher non-interest expense, partially offset by an increase in non-interest income. For the three months ended September 30, 2026, the increase in PPNR compared to the three months ended September 30, 2025 was primarily attributable to stronger net interest income and non-interest income, partially offset by higher non-interest expenses. PPNR was $107.8 million for the nine months ended September 30, 2026, compared to $65.0 million for the nine months ended September 30, 2025.1 Excluding merger and integration costs, adjusted PPNR was $71.1 million for the nine months ended September 30, 2025.1 The year-to-date 2026 PPNR when compared to the same year-to-date period in 2025 PPNR, excluding merger and integration costs, reflected increases in net interest income and non-interest income, partially offset by an increase in non-interest expense.

“Earnings of $2.69 per diluted share for the first nine months of 2026 were a record for the Corporation versus comparable periods in any prior years, as we sustained positive operating performance in the third quarter consistent with the first half of 2026,” stated Michael Peduzzi, President and CEO of both the Corporation and CNB Bank. “The expanded revenue base and operating efficiencies realized as a result of the ESSA acquisition in July 2025 have added to the continuing solid performance in our legacy banking divisions across our four-state footprint. We continue to realize qualitative growth from both new and expanded relationships in lending and treasury management activities, and see a sound loan production pipeline and both retail and treasury management deposit growth opportunities entering the fourth quarter. Despite the headwinds of an increased yield curve contributing to increased temporary after-tax unrealized losses on our available-for-sale investment portfolio, we continue to have sustained post-dividend retained earnings to favorably accrete tangible book value as we strive to achieve an acceleration of the post-acquisition earn-back period when compared to our pre-merger model projections. We remain well-positioned from an interest rate risk management position to sustain a positive net interest margin in the current changing interest rate environment. Complementing our core operating activities, we also implemented a tax management strategy to purchase renewable energy tax credits at a discount, and apply them to reduce our income tax expense. Importantly, all of these activities are conducted upon an operating foundation reflecting our ongoing commitment to disciplined underwriting, enterprise risk management and sound controls, and effective but well-secured use of expanded technological capabilities. We are pleased with our current financial position and our sustained earnings momentum.”

Loan Portfolio Profile

  • As part of its lending policy and credit risk management activities, the Corporation tracks lending exposure by industry classification and type to determine potential risks associated with industry concentrations, and to identify any concentration risk issues that could lead to additional credit loss exposure. An important and recurring part of this process involves the Corporation’s continued measurement and evaluation of its exposure to the office, hospitality, and multifamily industries within its commercial real estate portfolio. Even with the Corporation’s historically sound underwriting protocols and high credit quality standards for borrowers in the commercial real estate industry segments, the Corporation monitors numerous relevant sensitivity elements, including occupancy, loan-to-value, absorption and cap rates, debt service coverage and covenant compliance, and developer/lessor financial strength both in the project and globally. At September 30, 2026, the Corporation had the following key metrics related to its office, hospitality, and multifamily portfolios with such metrics including the impact on the respective portfolios of loans acquired during the third quarter of 2025 from the ESSA acquisition, as well as notable early payoffs of larger CRE credits occurring in the first quarter of 2026 as previously noted:
    • Commercial office loans:
      • There were 140 outstanding loans, totaling $132.0 million, or 1.99% of total loans outstanding;
      • There were two nonaccrual commercial office loans that totaled $2.0 million, or 1.55% of total commercial office loans outstanding;
      • There was one past-due commercial office loan that totaled $202 thousand, or 0.15% of the total commercial office loans outstanding; and
      • The average outstanding balance per commercial office loan was $943 thousand.
    • Commercial hospitality loans:
      • There were 148 outstanding loans, totaling $370.2 million, or 5.59% of total loans outstanding;
      • There were no nonaccrual commercial hospitality loans;
      • There were no past-due commercial hospitality loans; and
      • The average outstanding balance per commercial hospitality loan was $2.5 million.
    • Commercial multifamily loans:
      • There were 331 outstanding loans, totaling $539.7 million, or 8.15% of total loans outstanding;
      • There were two nonaccrual commercial multifamily loans that totaled $721 thousand, or 0.13% of total multifamily loans outstanding;
      • There were four past-due commercial multifamily loans that totaled $2.9 million, or 0.54% of total multifamily loans outstanding; and
      • The average outstanding balance per commercial multifamily loan was $1.6 million.

The Corporation had no commercial office, hospitality or multifamily loan relationships considered by the banking regulators to be high volatility commercial real estate (“HVCRE”) credits. No credits acquired from ESSA were considered HVCRE.

The year-over-year decrease was primarily driven by an increase in net interest income, partially offset by an increase in non-interest expense. The Corporation’s efficiency ratio was 58.35% for the nine months ended September 30, 2026, and 56.65% on a fully tax-equivalent basis, a non-GAAP measure.1 The Corporation’s efficiency ratio was 66.80% for the nine months ended September 30, 2025, and 65.74% on a fully tax-equivalent basis, a non-GAAP measure.1 Excluding merger and integration costs, the efficiency ratio on a fully tax-equivalent basis was 62.68% for the nine months ended September 30, 2025. The year-over-year decrease was primarily driven by higher net interest income, partially offset by higher non-interest expense.

Revenue

Net interest income increased $9.2 million, or 13.67%, for the three months ended September 30, 2026, compared to the three months ended September 30, 2025, primarily reflecting the impact of the ESSA acquisition and growth in the Corporation’s legacy loan portfolio.
    • Net interest margin was 3.89%, 3.88%, and 3.69% for the three months ended September 30, 2026, June 30, 2026, and September 30, 2025, respectively. Net interest margin on a fully tax-equivalent basis, a non-GAAP measure, was 3.89%, 3.89% and 3.69% for the three months ended September 30, 2026, June 30, 2026, and September 30, 2025, respectively.1 Excluding the $2.7 million, $4.8 million, and $3.4 million in purchase accounting loan accretion realized in the third quarter of 2026, second quarter of 2026, and third quarter of 2025, respectively, the net interest margin on a fully tax-equivalent basis for the three months ended September 30, 2026, June 30, 2026, and September 30, 2025, was 3.75%, 3.65%, and 3.50%, respectively.1

The decrease in yield during the third quarter of 2026 compared to the third quarter of 2025 was primarily attributable to lower average loan yields resulting from the Federal Reserve interest rate decreases during 2025.
      • The cost of interest-bearing liabilities was 2.48% for the three months ended September 30, 2026, reflecting decreases of 2 basis points and 35 basis points from the three months ended June 30, 2026 and the three months ended September 30, 2025, respectively. The decrease in the cost of interest-bearing liabilities is primarily the result of the Corporation’s targeted interest-bearing deposit rate decreases.
  • Total revenue was $258.8 million for the nine months ended September 30, 2026 compared to $195.8 million for the nine months ended September 30, 2025.
    • Net interest income was $226.0 million for the nine months ended September 30, 2026 compared to $167.8 million for the nine months ended September 30, 2025. When comparing the nine months ended September 30, 2026 to the nine months ended September 30, 2025, the increase in net interest income of $58.2 million, or 34.70% (46.40% annualized), was primarily due to the impact of the ESSA acquisition and growth in the Corporation’s legacy loan portfolio.
    • Net interest margin was 3.87% and 3.57% for the nine months ended September 30, 2026 and September 30, 2025, respectively. Net interest margin on a fully tax-equivalent basis, a non-GAAP measure, was 3.87% and 3.56% for the nine months ended September 30, 2026 and September 30, 2025, respectively.1 Excluding the $10.6 million and $3.4 million in purchase accounting loan accretion realized for the nine months ended September 30, 2026 and 2025, respectively, the net interest margin on a fully tax-equivalent basis was 3.69% and 3.49%, respectively.1
      • The yield on earning assets of 5.86% for the nine months ended September 30, 2026 decreased 1 basis point from September 30, 2025. The decrease in yield compared to September 30, 2025 was attributable to Federal Reserve interest rate decreases since mid-September 2025 until the most recent Federal Reserve rate increase in September 2026, partially offset by growth in higher-yielding securities.
      • The cost of interest-bearing liabilities of 2.50% for the nine months ended September 30, 2026 favorably decreased by 38 basis points from September 30, 2025, primarily the result of the Corporation’s targeted interest-bearing deposit rate decreases in response to the Federal Reserve rate decreases, coupled with the benefit of ESSA’s lower overall interest cost of deposits.
  • Total non‑interest income was $11.5 million for the three months ended September 30, 2026, compared to $11.3 million and $10.6 million for the three months ended June 30, 2026 and September 30, 2025, respectively. The quarter-over-quarter increase was primarily attributable to an increase in wealth and asset management fees and treasury management fees, partially offset by a decrease in net realized and unrealized gains on equity securities and gains from recoveries of acquired loans. The primary increase in wealth and asset management fees was due to a $1.1 million transition fee for the Corporation moving its existing retail investment business platform to a new provider. The year-over-year increase in non-interest income was primarily driven by increases in wealth and asset management fees, including the platform provider change transition fee, treasury management fees, and card processing and interchange income, partially offset by lower net realized and unrealized gains on equity securities and a decrease in net realized gains on available-for-sale securities.
  • Total non-interest income was $32.8 million for the nine months ended September 30, 2026 compared to $28.1 million for the nine months ended September 30, 2025. This increase was primarily due to higher wealth and asset management fees (including the transition fee), treasury management fees, card processing and interchange income, mortgage banking income, and service charges on deposits, partially offset by lower pass-through income from small business investment companies (“SBICs”).

Non-Interest Expense

  • For the three months ended September 30, 2026, June 30, 2026, and September 30, 2025, total non‑interest expense was $51.1 million, $50.7 million, and $50.2 million, respectively. Excluding merger and integration costs, total non‑interest expense for the three months ended September 30, 2025 was $46.0 million.1 The quarter-over-quarter increase of $396 thousand, or 0.78%, was primarily driven by increases in salaries and benefits, partially offset by decreases in legal, professional, and examination fees and other non-interest expenses, including the timing of business development-related costs and other real estate owned expenses. The increase in salaries and benefits was driven primarily by an increase in incentive compensation accruals. The decrease in legal, professional, and examination fees was driven by the reversal of a legal accrual assumed as part of the ESSA acquisition. Excluding merger and integration costs, the $5.1 million, or 11.09%, increase in non-interest expense compared to the three months ended September 30, 2025 was primarily attributable to personnel, software licensing expenses, higher core system volume-based fees, and other operating costs associated with the ESSA acquisition.
  • For the nine months ended September 30, 2026, total non-interest expense was $151.0 million compared to $130.8 million for the nine months ended September 30, 2025. Excluding merger and integration costs, total non‑interest expense for the nine months ended September 30, 2025 was $124.8 million.1 Excluding merger and integration costs, the increase of $26.2 million, or 21.02%, compared to the nine months ended September 30, 2025, was primarily attributable to higher personnel, occupancy and facilities costs, software licensing expenses, increased core system volume-based fees, and other operating costs associated with the ESSA acquisition.

Income Taxes

  • Income tax expense for the three months ended September 30, 2026 was $5.2 million, representing a 15.53% effective tax rate, compared to $6.9 million, representing a 19.50% effective tax rate, for the three months ended June 30, 2026, and $5.5 million, representing a 21.51% effective tax rate, for the three months ended September 30, 2025. Income tax expense for the three months ended September 30, 2026 included the recognition of $1.2 million in renewable energy tax credits. Income tax expense for the nine months ended September 30, 2026 was $18.1 million, representing a 17.84% effective tax rate (including the benefit of the renewable energy tax credits), compared to $11.6 million, representing a 20.39% effective tax rate, for the nine months ended September 30, 2025.

Asset Quality

  • Total nonperforming assets were $56.9 million, or 0.68% of total assets, as of September 30, 2026, compared to $58.4 million, or 0.69% of total assets, as of June 30, 2026, and $40.4 million, or 0.49% of total assets, as of September 30, 2025, as discussed in more detail above.
  • The allowance for credit losses measured as a percentage of total loans was 1.04% as of September 30, 2026, June 30, 2026, and September 30, 2025, respectively. In addition, the allowance for credit losses as a percentage of nonaccrual loans was 127.89% as of September 30, 2026, compared to 123.00% and 187.94% as of June 30, 2026 and September 30, 2025, respectively.
  • The provision for credit losses was $3.5 million for the three months ended September 30, 2026, compared to $1.8 million for the three months ended June 30, 2026, and $2.1 million for the three months ended September 30, 2025. The $1.7 million quarter-over-quarter increase in the provision for credit losses was primarily driven by a $1.6 million charge-off on one commercial loan relationship, as discussed in more detail above. The $1.4 million increase compared to the three months ended September 30, 2025, was primarily attributable to the $1.6 million charge-off on one commercial loan relationship, as discussed in more detail above. The provision for credit losses was $6.2 million for the nine months ended September 30, 2026, compared to $8.0 million for the nine months ended September 30, 2025. The $1.7 million decrease in the provision for credit losses compared to the nine months ended September 30, 2025, was primarily attributable to lower net loan charge-offs.
  • As discussed in more detail above, for the three months ended September 30, 2026, net loan charge-offs were $2.4 million, or 0.14% (annualized) of average total loans and loans held for sale, compared to $1.4 million, or 0.09% (annualized) of average total loans and loans held for sale, during the three months ended June 30, 2026, and $957 thousand, or 0.06% (annualized) of average total loans and loans held for sale, during the three months ended September 30, 2025. Net loan charge-offs were $4.7 million, or 0.10% (annualized) for the nine months ended September 30, 2026, compared to $5.7 million, or 0.15% (annualized) for the nine months ended September 30, 2025.

Capital

  • As of September 30, 2026, the Corporation’s total shareholders’ equity was $912.6 million, representing an increase of $3.1 million, or 0.34%, from June 30, 2026, and an increase of $55.4 million, or 6.47%, from September 30, 2025. The quarter-over-quarter increase was primarily driven by growth in retained earnings of $21.4 million, net of the payment of common and preferred stock dividends, partially offset by a $19.3 million increase in accumulated other comprehensive loss. The year-over-year increase was primarily driven by a $77.6 million increase in retained earnings, net of the payment of common and preferred stock dividends, partially offset by a $25.3 million increase in accumulated other comprehensive loss, during the twelve months ended September 30, 2026.
  • Regulatory capital ratios for the Corporation continue to exceed regulatory “well-capitalized” levels as of September 30, 2026, consistent with prior periods.
  • As of September 30, 2026, the Corporation’s ratio of common shareholders’ equity to total assets was 10.19% compared to 10.10% at June 30, 2026 and 9.66% at September 30, 2025. As of September 30, 2026, June 30, 2026, and September 30, 2025, the Corporation’s ratio of tangible common equity to tangible assets, a non-GAAP measure, was 8.91%, 8.81%, and 8.24%, respectively.1 Excluding merger transaction related expenses, the Corporation’s ratio of tangible common equity to tangible assets, a non-GAAP measure, as of September 30, 2025 was 8.30%.1 The increase in the ratio of tangible common equity to tangible assets compared to September 30, 2025 was primarily the result of an increase in retained earnings (net of the payment of common and preferred stock dividends), partially offset with an increase in accumulated other comprehensive loss.

(1) Includes unamortized discounts and premiums.
(2) Average yields are stated on a fully taxable equivalent basis (calculated using statutory rates of 21%) resulting from tax-free municipal securities in the investment portfolio and tax-free municipal loans in the commercial loan portfolio. The taxable equivalent adjustment to net interest income for the three months ended September 30, 2026, June 30, 2026, and September 30, 2025 was $474 thousand, $497 thousand and $314 thousand, respectively.
(3) Average loans receivable outstanding includes the average balance outstanding of all nonaccrual loans. Loans receivable consists of the average of total loans receivable less average unearned income. In addition, loans receivable interest income consists of loans receivable fees.
(4) Average balance is computed using the fair value of AFS securities and amortized cost of HTM securities. Average yield has been computed using amortized cost average balance for AFS and HTM securities. The adjustment to the average balance for securities in the calculation of average yield for the three months ended September 30, 2026, June 30, 2026, and September 30, 2025 was $(47.1) million, $(40.2) million and $(39.1) million, respectively.

The taxable equivalent adjustment to net interest income for the nine months ended September 30, 2026 and 2025, was $1.4 million and $838 thousand, respectively.
(3) Average loans receivable outstanding includes the average balance outstanding of all nonaccrual loans. Loans receivable consist of the average of total loans receivable less average unearned income. In addition, loans receivable interest income consists of loans receivable fees, including PPP deferred processing fees.
(4) Average balance is computed using the fair value of AFS securities and amortized cost of HTM securities. Average yield has been computed using amortized cost average balance for AFS and HTM securities. The adjustment to the average balance for securities in the calculation of average yield for the nine months ended September 30, 2026 and 2025 was $(39.9) million and $(43.2) million, respectively.

(NASDAQ: CSX) today announced third quarter 2026 operating income of $1.57 billion and net earnings of $1.05 billion, or $0.57 per diluted share. In the third quarter of 2025, the company reported operating income of $1.09 billion and net earnings of $694 million, or $0.37 per diluted share. Excluding a non-cash goodwill impairment of $164 million in last year’s results, third quarter 2025 adjusted operating income, net earnings, and EPS were $1.25 billion, $818 million, and $0.44, respectively. On a year-over-year basis and compared to adjusted results, operating income increased 25%, net earnings increased 29%, and EPS increased 30%.

Total volume of 1.69 million units for the quarter was 5% higher than third quarter 2025. Revenue totaled $4.02 billion for the quarter, increasing 12% year-over-year, due to increased fuel surcharge revenue together with higher volume and pricing across merchandise, intermodal, and coal.

MILAN, Italy, Oct. 21, 2026 (GLOBE NEWSWIRE) — Genenta Science S.p.A. (Nasdaq: GNTA) (the “Company”) today announced that on October 16, 2026, it received a notification letter from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) indicating that the Company is not in compliance with the minimum bid price requirement of $1.00 per share under Nasdaq Listing Rule 5550(a)(2).

The notification was issued because the closing bid price of the Company’s American Depositary Shares (“ADSs”) was below $1.00 per ADS for 30 consecutive business days, from September 3, 2026 through October 15, 2026. The notification does not result in the immediate delisting of the Company’s ADSs, which will continue to trade on the Nasdaq Capital Market under the symbol “GNTA,” subject to the Company’s continued compliance with other applicable listing requirements.

Under Nasdaq Listing Rule 5810(c)(3)(A), the Company has been provided an initial period of 180 calendar days, until April 14, 2027, to regain compliance with the minimum bid price requirement. To regain compliance, the closing bid price of the Company’s ADSs must be at least $1.00 per ADS for a minimum of 10 consecutive business days during the compliance period, unless Nasdaq exercises its discretion to extend this period.

If the Company does not regain compliance by April 14, 2027, it may be eligible for an additional 180-calendar-day compliance period, provided that it satisfies the applicable market value of publicly held shares requirement and all other initial listing standards for the Nasdaq Capital Market, except the minimum bid price requirement, and provides written notice of its intention to cure the deficiency, including by effecting a reverse stock split, if necessary.

As previously disclosed, the Company’s shareholders have already approved a reverse stock split within a range of 1-for-10 to 1-for-20, which the Board of Directors is authorized to implement, if deemed appropriate.

The Company intends to monitor the closing bid price of its ADSs and evaluate available options to regain compliance with Nasdaq’s minimum bid price requirement. Although the Company will use all reasonable efforts, there can be no assurance that it will regain compliance within the initial compliance period, qualify for any additional compliance period, or otherwise remain in compliance with other Nasdaq continued listing requirements.

GLENVILLE, N.Y., Oct. 21, 2026 (GLOBE NEWSWIRE) —

TrustCo Bank Corp NY (TrustCo, NASDAQ: TRST) today announced financial results for the third quarter of 2026 highlighted by a continued increase in net interest income and sustained loan and deposit growth across core lending and deposit categories.   For the three months ended September 30, 2026, net interest income increased 9.1% year over year to $47.0 million. This was driven by the ongoing asset repricing across our loan portfolio at higher yields and effective execution of deposit growth and pricing strategies. For the three months ended September 30, 2026, net interest margin expanded to 2.95% from 2.79% in the prior year period. This resulted in third quarter 2026 net income of $17.3 million, or $1.02 diluted earnings per share, compared to net income of $16.3 million, or $0.86 diluted earnings per share, for the third quarter 2025; and contributed to net income of $50.6 million, or $2.91 diluted earnings per share, for the nine months ended September 30, 2026, compared to net income of $45.6 million, or $2.41 diluted earnings per share, for the nine months ended September 30, 2025.

Overview

Chairman, President, and CEO, Robert J. McCormick, said “Another quarter of solid financial performance is the product of TrustCo’s continued execution of tried and true banking principles that, quarter after quarter, continue to build positive momentum. Steady growth in both loans and deposits, coupled with favorable repricing of the Bank’s nearly $5.5 billion loan portfolio, have boosted net interest income to $47 million for the quarter, increased margin by 16 basis points, and driven return on average equity up 1.28% year over year, a 14% increase. Our management team has built a resilient balance sheet that can perform well in the current dynamic interest-rate environment, which efforts are supported by the entire organization’s focus on our relationship-based banking strategy. The ongoing repurchase of shares and regular payment of our recently-increased quarterly dividend work together to enhance shareholder value. With all of these factors coming together and trending favorably, we are optimistic about the Company’s ability to maintain positive momentum into 2027.”

Details

We have continued to see meaningful net income and net interest income improvement. The loan and investment portfolios of Trustco Bank (the “Bank”) continue to reprice upward as lower yielding assets mature and are replaced with higher rate loan originations and investment purchases, driving steady improvement in overall asset yields. We believe that this ongoing repricing reflects disciplined loan production aligned with current market conditions. Complementing this, the Bank maintains a strong liquidity position, driven by deposit growth while decreasing funding costs which underscores the Bank’s disciplined relationship banking strategy and the value customers place on stability and service.   We believe that these factors position the Bank to generate continued net income and net interest income growth in the coming quarters and deliver long-term value to shareholders. Net interest income was $47.0 million for the third quarter of 2026, an increase of $3.9 million, or 9.1%, compared to the third quarter of 2025, driven by loan growth at higher interest rates and a decrease in interest expense. The net interest margin for the third quarter of 2026 was 2.95%, up 16 basis points from 2.79% in the third quarter of 2025. The yield on interest-earning assets increased to 4.35% in the third quarter of 2026, up 10 basis points from 4.25% in the third quarter of 2025. The cost of interest bearing liabilities decreased to 1.79% in the third quarter of 2026, down 11 basis points from 1.90% in the third quarter of 2025.

Average loans were up $238.1 million, or 4.6%, in the third quarter of 2026 over the same period in 2025. Average residential loans and Home Equity Credit Lines (HECLs), our primary lending focus, were up $177.3 million, or 4.0%, and $50.0 million, or 11.4%, respectively, in the third quarter of 2026 over the same period in 2025. Average commercial loans also increased $13.5 million, or 4.3%, in the third quarter of 2026 over the same period in 2025. Loan growth in the third quarter of 2026 remained steady, driven by continued strength in core relationship lending. Credit quality metrics were stable. Following this period of sustained growth, TrustCo remains confident in the quality of its loan portfolio amid broader market concerns. We believe that our continued focus on strong underwriting within our loan portfolio and conservative lending standards positions us to manage credit risk effectively in the current environment.   The consistent growth in the loan portfolio will likely enhance net interest income in the quarters ahead. Average deposits were up $229.6 million, or 4.2%, for the third quarter of 2026 compared to the third quarter of 2025, primarily as a result of an increase in time deposits, interest bearing checking accounts, and demand deposits. The Bank’s ongoing emphasis on relationship banking, combined with competitive product offerings and digital capabilities, has contributed to a broadening deposit base that supports ongoing loan growth and expansion.

During the third quarter of 2026, the Bank remained focused on capital deployment and allocation, guided by a disciplined framework, with a dividend increase, and share repurchases, these serve as key tools to enhance shareholder value. This reflects our confidence in the long-term strength of the franchise and our focus on capital optimization. During the third quarter, the Bank declared an increased quarterly cash dividend of $0.40 per share, or $1.60 per share on an annualized basis. The declared dividend represents an increase of 5.3% over the prior dividend amount which continues the Banks commitment in paying dividends for over a century.   For the three and nine months ended September 30, 2026, TrustCo repurchased 500 thousand and 1.5 million shares, or 2.9% and 8.3%, respectively, of TrustCo’s outstanding common stock under its previously announced stock repurchase program, which authorizes TrustCo to repurchase up to two million shares, or 11.1%, of TrustCo’s outstanding common stock in 2026. We continue to believe that our approach ensures every dollar of capital is working to generate solid returns, strengthen customer relationships, and enhance shareholder value. As of September 30, 2026, our equity to asset ratio was 9.72%, compared to 10.90% as of September 30, 2025. Book value per share as of September 30, 2026 was $38.20, up 2.4% compared to $37.30 as of a year earlier.

Asset quality remains strong and has been consistent over the past twelve months. TrustCo recorded a provision for credit losses of $850 thousand in the third quarter of 2026, an increase of $600 thousand compared to the same period in 2025.   For the three months ended September 30, 2026, the provision for credit losses was the result of a provision for credit losses on loans of $1.05 million due to loan growth and changes in forward looking economic assumptions, and a benefit for credit losses on unfunded commitments of $200 thousand due to the seasonal decrease in the loan pipeline. Accordingly, increases in the overall provision expense are being driven by loan growth and changes in economic forecasts rather than the deterioration in underlying credit performance. The ratio of allowance for credit losses on loans to total loans was 1.01% and 1.00% as of September 30, 2026 and September 30, 2025, respectively. The allowance for credit losses on loans was $55.2 million as of September 30, 2026, compared to $51.9 million as of September 30, 2025. Nonperforming loans (NPLs) were $21.1 million as of September 30, 2026, compared to $18.5 million as of September 30, 2025. NPLs were 0.39% and 0.36% of total loans as of September 30, 2026 and September 30, 2025, respectively. The coverage ratio, or allowance for credit losses on loans to NPLs, was 261.8% as of September 30, 2026, compared to 280.8% as of September 30, 2025. Nonperforming assets (NPAs) were $22.3 million as of September 30, 2026, compared to $19.7 million as of September 30, 2025.   Asset quality metrics remain stable and well covered by reserves, reflecting the Bank’s conservative underwriting standards.

Non-GAAP Financial Measures Reconciliation

Tangible equity as a percentage of tangible assets at period end is a non-GAAP financial measure derived from GAAP-based amounts. We calculate tangible equity and tangible assets by excluding the balance of intangible assets from total shareholders’ equity and total assets, respectively. We calculate tangible equity as a percentage of tangible assets at period end by dividing tangible equity by tangible assets at period end. We believe that this is consistent with the treatment by bank regulatory agencies, which exclude intangible assets from the calculation of risk-based capital ratios. Additionally, we believe that this measure is important to many investors in the marketplace who are interested in relative changes from period to period in equity and total assets, each exclusive of changes in intangible assets.

Adjusted efficiency ratio is a non-GAAP measure of expense control relative to revenue from net interest income and non-interest income. We calculate the efficiency ratio by dividing total non-interest expense as determined under GAAP by the sum of net interest income and total non-interest income as determined under GAAP. We calculate the adjusted efficiency ratio by dividing total non-interest expenses as determined under GAAP, excluding other real estate expense, net, by the sum of net interest income and total non-interest income as determined under GAAP, excluding net gains on equity securities. We believe that this provides a reasonable measure of primary banking expenses relative to primary banking revenue. Additionally, we believe this measure is important to investors looking for a measure of efficiency in our productivity measured by the amount of revenue generated for each dollar spent.

We believe that these non-GAAP financial measures provide information that is important to investors and that is useful in understanding our financial results. Our management internally assesses our performance based, in part, on these measures. However, these non-GAAP financial measures are supplemental and not a substitute for an analysis based on GAAP measures. As other companies may use different calculations for these measures, this presentation may not be comparable to other similarly titled measures reported by other companies. A reconciliation of the non-GAAP measures of tangible equity as a percentage of tangible assets, and adjusted efficiency ratio to the most directly comparable GAAP measures is set forth below.
