TORONTO, Sept. 14, 2026 (GLOBE NEWSWIRE) — Osisko Gold Group Inc. (NYSE: OGG, TSXV: OGG) (“Osisko Gold” or the “Company“) is pleased to announce that its Board of Directors has made a formal positive decision to proceed with the construction of the Company’s 100%-owned Cariboo Gold Project (“Cariboo” or the “Project“), located in central British Columbia, Canada.

Sean Roosen, Chairman and CEO, commented: “The Board’s formal positive decision to commence full-scale construction of our flagship Cariboo Gold Project represents a defining milestone for Osisko Gold and a pivotal inflection point toward our objective of becoming an intermediate gold producer. This decision is a culmination of more than a decade of de-risking work on the Project, from early exploration when the first drills hit the ground in 2015, through permitting and technical studies, and into project financing and pre-construction. It reflects our confidence in the significant long-term value Cariboo can deliver to our shareholders and other stakeholders, and in the transformational impact it can have on the future of Osisko Gold. I’d like to commend our talented team for their professionalism, dedication and extensive contributions over the years that have brought us to this important milestone.”

“With this step forward, supported by our strong balance sheet position and other sources of available and proposed funding, our focus is now firmly on disciplined project execution toward first gold in early 2029. Based on an estimated remaining go-forward capital obligation of C$990 million and spot gold prices of US$4,350/oz, the Project demonstrates robust economics with after-tax NPV5% of C$3.2 billion, after-tax IRR of 42.7%, and average annual free cash flow of C$642 million in the first 5 years, underscoring its significant leverage to the gold price. Construction is expected to support 613 direct jobs at its peak, followed by 525 permanent jobs during operations, while generating substantial direct and indirect economic benefits for local communities and the Province of British Columbia. Bringing Cariboo through construction and into production represents only the first step in establishing a strong platform for the Company’s long-term growth strategy. In parallel, we continue to accelerate ongoing conversion drilling within the current deposit and advance exploration of the substantial potential at depth and along strike within the existing permit footprint, as well as across the broader Cariboo regional property. We look forward to providing further regular updates on our progress.”

Project Go-Forward Capital Obligation Estimate Update

The Project’s remaining go-forward capital obligation is estimated at $990 million, net of approximately $272 million in costs incurred up to and including July 31, 2026, inclusive of contingency of approximately 16.5%, and assuming the leasing of major mining equipment of approximately $117 million. Relative to the initial cost estimate outlined in the 2025 Optimized Feasibility Study (as defined herein), the go-forward update reflects costs incurred to date, progress achieved on detailed engineering and the procurement of major contracts, updates to certain cost assumptions to account for market inflation due to passage of time and broader industry and labour trends, inclusion of costs related to a PCM contract, and the reclassification of certain expenditures previously included in operating costs, principally those associated with the construction of the transmission line. The update also reflects certain modifications to the construction schedule, resulting in an anticipated 30-month construction period from August 1, 2026 (from 24 months in the 2025 FS) to first gold pour in Q1 2029 and 36 months (from 34 months in the 2025 FS) to commercial production in H2 2029.

The Project is designed as a conventional, decline-accessed underground mining operation employing mechanized long-hole stoping mining methods, with paste backfill, to extract ore from gold-bearing vein corridors. Underground access is currently provided through the Cow portal, with development extending into the Lowhee and Cow deposit Zones. At the mine site complex, earthworks have commenced on the second underground access at the Valley Portal. Once established, the Valley Portal will provide a second development front and support critical path primary development access to the Valley and Shaft Zones, which host the majority of the Cariboo Gold deposit’s mineral reserves and mineral resources.

Approximately 3.0 kilometres of underground development has been completed to date. Early works have already commenced during pre-construction, with preparatory activities advancing at the mine site complex, waste rock storage facility, sediment control pond and water treatment plant, among other areas. Major earthworks are scheduled to ramp-up in Q3 2026 and are expected to continue through Q4 2027, with the process plant foundations work commencing in the summer of 2027 and building enclosure targeted for Q2 2028. The expected timeline to commercial production, including key milestones and work areas, is outlined in Figure 1 below:

Trafigura Financing and Commercial Agreements

As part of the Board’s decision to approve a final investment decision (“FID“), the Company is pleased to announce that it and its wholly-owned subsidiary, Barkerville Gold Mines Ltd. (“Barkerville“), have entered into agreements (the “Trafigura Financing and Commercial Agreements“) with Trafigura Canada Limited (“Trafigura“) and Urion Investments Holdings Limited (“Urion“), an affiliate of Trafigura, that support the development of the Project.

The Trafigura Financing and Commercial Agreements comprises: (i) a subscription agreement between the Company and Urion pursuant to which Urion has agreed to acquire 9,554,141 common shares of the Company (each, a “Common Share“) at a price of US$3.14 per Common Share (the “Issue Price“), representing a 10% premium to the five-day volume weighted average price of the Common Shares on the TSX Venture Exchange prior to signing, for gross proceeds of approximately US$30 million (the “Equity Investment“); (ii) offtake agreements between Barkerville and Trafigura for 100% of the (x) gold concentrate for the first four years of production at the Cariboo Gold Project (or until 80,000 dry metric tons of concentrate are delivered) and (y) gold doré for the first four years of production (together, the “Offtake Agreements“); and (iii) non-binding terms and an exclusivity period in respect of a potential subordinated gold prepayment facility and a further six-years of concentrate and doré offtake between Barkerville and Trafigura (the “Prepay Facility“). The proposed Prepay Facility, as currently contemplated, doesn’t provide for any financial maintenance covenants, with final terms remaining subject to the execution of a definitive agreement.

Sean Roosen further commented: “We are very pleased to welcome Trafigura, a global leader in the commodities industry, as a long-term strategic partner at Cariboo. Its strategic investment in the Company reflects confidence in both the Project and our team’s ability to execute on its construction. We look forward to advancing towards a definitive agreement on the prepay financing, which would provide a significant additional non-dilutive source of capital for the construction of Cariboo.”

The proceeds of the Equity Investment will be used for the development of the Cariboo Gold Project. The Common Shares to be issued under the Equity Investment will be subject to a statutory hold period of four months and one day from the date of issuance pursuant to applicable Canadian securities laws. Closing of the Equity Investment remains subject to final acceptance of the TSX Venture Exchange and the New York Stock Exchange.

In connection with the Equity Investment, Urion has also agreed to enter into a voting support agreement with the Company (the “Voting Support Agreement“), pursuant to which Urion will agree to vote its Common Shares in accordance with the recommendations of the board of directors or management of the Company, subject to certain exceptions. The Voting Support Agreement also contains customary standstill and lock-up provisions restricting Urion’s ability to acquire additional Common Shares or dispose of its Common Shares for specified periods.

The Offtake Agreements provide for the purchase by Trafigura of 100% of the gold concentrate and doré bars produced by Barkerville from the Cariboo Gold Project at prices that incorporate prevailing London Bullion Market Association and deductions including standard treatment and refining charges. Deliveries under the Offtake Agreements are expected to commence upon the start of first gold pour at the Cariboo Gold Project.

Barkerville and Trafigura have also agreed to non-binding terms in respect of a potential Prepay Facility of up to US$120 million and Trafigura has been granted an exclusivity period during which the parties will negotiate definitive documentation for such facility. There is no assurance that definitive documentation for the Prepay Facility will be entered into on the terms currently contemplated or at all. The non-binding terms contemplate that the Prepay Facility will be secured by a subordinated security interest against the assets of Barkerville. The facility is contemplated to be available to draw for three years from closing, with a maturity date that is at a minimum five years from closing at an interest rate of SOFR plus 6.00%.

Double Zero Capital LP (“Double Zero“), an existing insider of the Company, has pre-emptive rights under the investor rights agreement dated August 15, 2025, between Double Zero and the Company (the “Double Zero IRA“) to participate in the Equity Investment on the same terms as Urion, subject to the terms and conditions of the Double Zero IRA. Double Zero is entitled to participate in the Equity Investment on the same terms as Urion in order to maintain its existing ownership percentage in the Company. As of the date hereof, Double Zero has not waived its pre-emptive rights under the Double Zero IRA.

Closing of the Equity Investment is expected to occur in September 2026, subject to the satisfaction of customary closing conditions, including final acceptance of the TSX Venture Exchange and the New York Stock Exchange. The Equity Investment is not subject to any minimum subscription amount.

Sources and Uses of Capital

The Company intends to maintain a disciplined approach to capital allocation over the ensuing construction period, focused on preserving sufficient liquidity and financial flexibility through the Project’s construction, ramp-up and achievement of commercial production. The Company also intends to continue its infill and conversion drilling programs throughout the construction phase to further de-risk planned production areas by: (a) increasing geological confidence and definition of the existing measured and indicated mineral resources, and (b) supporting the upgrade of inferred mineral resources to higher confidence categories and, where appropriate, their potential conversion of such resources to mineral reserves after considering applicable modifying factors.

Table 3 summarizes the estimated sources and uses of capital from August 1, 2026 through to forecasted commercial production in H2 2029. Total sources of capital are estimated at approximately $1,637 million (US$1,186 million) and comprise current cash and cash equivalents, marketable securities, and project debt, and are subject to the successful closing of the Equity Investment, the execution of the related definitive agreement in connection with the gold prepay facility, and certain assumptions in relation to equipment financing. Estimated uses of capital are estimated at approximately $1,435 million (US$1,040 million) and include the remaining go-forward capital obligation, working capital, exploration expenditures, debt service and financing costs, and other general corporate expenditures. This results in projected surplus liquidity of approximately $201 million (US$146 million).

TABLE 3: Sources and Uses of Capital (from August 1, 2026 to commercial production)

TABLE 3: Sources and Uses of Capital (from August 1, 2026 to commercial production)

  1. Adjusted working capital is as of June 30, 2026, and includes cash and cash equivalents of approximately $837 million, net of current liabilities.
  2. Exploration expenditures include remaining flow-through expenditure obligations of approximately $22 million, with the balance related to planned exploration activities across conversion, infill, and CGP deeps exploration surface and underground drilling.

Additional potential sources not reflected in the estimated sources above include proceeds, if any, from the exercise of certain outstanding warrants of the Company. Full exercise of such warrants would generate potential proceeds of approximately US$120 million from the warrants expiring in August 2027 with an exercise price of US$2.56 per Common Share, which are subject to an acceleration provision beginning in mid-November 2026, and approximately US$150 million from warrants expiring in October 2029 with an exercise price of US$3.00 per Common Share. The Company continues to actively evaluate opportunities to optimize its project debt structure and reduce its overall cost of capital. The exercise of Company warrants is entirely at the discretion of the holders thereof, and there can be no assurance that any or all of the Company warrants will be exercised or that the Company will receive any proceeds therefrom.

Summary of Project Metrics

In connection with the Project’s go-forward capital obligation update, the Company has adjusted, where applicable, certain financial inputs in the Cariboo Technical Report (as defined herein) to reflect the Project’s current status and the prevailing commodity price environment, which have an impact on project economics. As noted above, the update also reflects certain modifications to the construction schedule, resulting in an anticipated 30-month construction period from August 1, 2026 (from 24 months in the 2025 FS) to first gold pour in Q1 2029 and 36 months (from 34 months in the 2025 FS) to commercial production in H2 2029.

Notes:

  1. The independent and qualified persons for the mineral resources estimates, as defined by NI 43-101, are Carl Pelletier, P.Geo., and Tessa Scott, P.Geo. (Norda Stelo). The effective date of the mineral resource estimate included in the Cariboo Technical Report is April 22, 2025.
  2. These mineral resources, exclusive of the reserves, are not mineral reserves and do not have demonstrated economic viability.
  3. The mineral resources estimate follows the 2014 CIM Definition Standards on Mineral Resources and Reserves and the 2019 CIM Estimation of Mineral Resources and Mineral Reserves Best Practice Guidelines.
  4. A total of 481 vein zones were modelled for the Cow Mountain (Cow and Valley), Island Mountain (Shaft and Mosquito), Barkerville Mountain (BC Vein, KL, and Lowhee) deposits and one gold zone for Bonanza Ledge. A minimum true thickness of 2.0 m was applied, using the gold grade of the adjacent material when assayed or a value of zero when not assayed.
  5. The estimate is reported for a potential underground scenario at a cut-off grade of 1.8 g/t Au, except for Bonanza Ledge at a cut-off grade of 3.5 g/t Au. The cut-off grade for the Cow, Valley, Shaft, Mosquito, BC Vein, KL, and Lowhee deposits was calculated using a gold price of US$2,400/oz; a USDCAD exchange rate of 1.35; an underground mining cost of $66.3/t; a processing and transport cost of $30.80/t; a G&A plus Environmental cost of $22.40/t; and a sustaining CAPEX cost of $45.6/t. No changes have been applied for the Bonanza Ledge. The cut-off grade for the Bonanza Ledge deposit was calculated using a gold price of US$1,700/oz; a USDCAD exchange rate of 1.27; an underground mining cost of $79.13/t; a processing and transport cost of $65.00/t; and a G&A plus Environmental cost of $51.65/t. The cut-off grades may be re-evaluated in light of future prevailing market conditions (metal prices, exchange rate, mining cost, etc.).
  6. Density values for Cow, Shaft, Lowhee, and BC Vein were estimated using the ID2 interpolation method, with a value applied for the non-estimated blocks of 2.80 g/cm3 for Cow, 2.78 g/cm3 for Shaft, 2.74 g/cm3 for Lowhee, and 2.69 g/cm3 for BC Vein. Median densities were applied for Valley (2.81 g/cm3), Mosquito (2.79 g/cm3), and KL (2.81 g/cm3). A density of 3.20 g/cm3 was applied for Bonanza Ledge.
  7. A four-step capping procedure was applied to composited data for Cow (3.0 m), Valley (1.5 m), Shaft (2.0 m), Mosquito (2.5 m), BC Vein (2.0 m), KL (1.75 m), and Lowhee (1.5 m). Restricted search ellipsoids ranged from 7 to 50 g/t Au at four different distances ranging from 25 m to 250 m for each deposit. High grades at Bonanza Ledge were capped at 70 g/t Au on 2.0 m composited data.
  8. The gold mineral resources for the Cow, Valley, Shaft, Mosquito, BC Vein, KL, and Lowhee vein zones were estimated using Datamine StudioTM RM 1.9 software using hard boundaries on composited assays. The dilution halo gold mineralization was estimated using Datamine StudioTM RM Pro 1.11. The OK method was used to interpolate a sub-blocked model (parent block size = 5 m x 5 m x 5 m). Mineral resources for Bonanza Ledge were estimated using GEOVIA GEMSTM 6.7 software using hard boundaries on composited assays. The OK method was used to interpolate a block model (block size = 2 m x 2 m x 5 m).
  9. Results are presented in situ. Ounce (troy) = metric tons x grade / 31.10348. Calculations used metric units (metres, tonnes, g/t). The number of tonnes were rounded to the nearest thousand. Any discrepancies in the totals are due to rounding effects. Rounding followed the recommendations as per NI 43-101.
  10. The qualified persons responsible for this section of this news release are not aware of any environmental, permitting, legal, title, taxation, socio-economic, marketing, political, or other relevant factors that could materially affect the mineral resource estimate other than those disclosed in this news release and in the Cariboo Technical Report.

  • A 20 MW modular diesel power plant is expected to supply electricity for the construction of two mine shafts, the processing plant, and the port/terminal until the grid connection line (SIN) is completed; it will then serve as a backup power system for 23 years once mining operations begin
  • The agreement removes approximately $33 million of upfront power costs from the Autazes Project’s construction budget and is expected to deliver approximately $10 million in net savings over the life of the contract
  • Combined with the Company’s offtake agreements covering approximately 91% of planned production and the recent enactment of Brazil’s Profert program to support domestic fertilizer production, this agreement represents another step in advancing the Project’s development and financing strategy

MANAUS, Brazil, Sept. 14, 2026 (GLOBE NEWSWIRE) — Brazil Potash Corp. (“Brazil Potash” or the “Company”) (NYSE-American: GRO), a critical mineral exploration and development company advancing the Autazes Potash Project (the “Autazes Project” or “Project”) in Amazonas State, Brazil, today announced that its wholly-owned Brazilian subsidiary, Potássio do Brasil Ltda., has signed a definitive agreement with Gera Center Amazônia Serviços e Locações De Máquinas e Equipamentos Ltda. (“Gera Center”), a Brazilian power generation company, for the implementation, operation and maintenance of a modular power plant for the Autazes Project. The agreement follows the non-binding memorandum of understanding announced in May 2026 and provides for a 28-year term: five years supplying power during construction, followed by 23 years as backup power once the mine is operating.

“Power is one of the most critical pieces of infrastructure for building and operating a mine in the Amazon, and this agreement represents an important step in securing the reliable power infrastructure required for the Autazes Project. By partnering with Gera Center under a Build-Own-Operate structure, we preserve construction capital for the mine while taking steps to ensure the Autazes Project has the reliable power it needs, both to build and for the life of the operation. This agreement is also part of our broader strategy to work with specialized infrastructure partners to reduce upfront capital requirements as we advance the Project toward construction,” said Sergio Leite, President of Potassio do Brasil.

Why it matters for the Project

The Autazes site does not yet have access to Brazil’s power grid. Under this agreement, Gera Center will supply and install diesel generators to power construction of the Project until the grid connection is completed, and that same equipment will later serve as backup power for the mine once a planned transmission line connects the site to the national grid (SIN).

Key terms

  • Structure: A Build-Own-Operate (“BOO”) agreement. Gera Center funds, builds, owns and operates the plant for 28 years. The system will initially support Project construction and will subsequently operate in reserve mode as backup power.
  • Equipment: 45 modular containerized diesel generators, reaching a peak capacity of 20 megawatts. Initial capacity will be 10 megawatts, increasing to 20 megawatts over the first year, with initial mobilization to be completed within 120 days following issuance of the Order to Proceed.
  • Continuous Operation: Construction power (~5 years): During the continuous operation period, the agreement establishes contractual availability levels of at least 98% each month and 98.5% each year.
  • Reserve Operation: Backup power (~23 years): Following the continuous operation period, the power generation system will transition to reserve operation to provide backup power for the Project.
  • Cost impact: the agreement removes approximately $33 million of power-related spending from the Project’s upfront construction budget (with a portion of Gera Center’s cost recovery still occurring during the 5-year construction period) and is expected to deliver approximately $10 million in net savings over the life of the contract compared to earlier Project cost estimates.

This is one of several agreements Brazil Potash is pursuing to shift the cost of building infrastructure over to outside partners who fund, own and operate the equipment instead of the Company. The goal is to reduce how much Brazil Potash needs to raise and spend before the mine starts producing potash, thereby increasing equity investor returns, while still securing the reliable power the Project needs both to build and to run the mine long-term.

About Brazil Potash

Brazil Potash (NYSE American: GRO) (www.brazilpotash.com), through its subsidiary Potássio do Brasil, is developing the Autazes Project to supply potash to one of the world’s largest agricultural exporters. Brazil is critical for global food security, with among the highest amounts of fresh water and arable land and an ideal climate for year-round crop growth, yet the country imported approximately 96% of the potash it consumed in 2025 despite hosting what is anticipated to be one of the world’s largest undeveloped potash basins. The potash produced will be transported primarily using low-cost river barges on an inland river system in partnership with Amaggi (www.amaggi.com.br), one of Brazil’s largest farmers and logistical operators of agricultural products.

  • Management will host an investor webcast at 8:30am ET today to discuss the transaction; presentation and webcast details are provided below

RONAN, Mont., Sept. 14, 2026 (GLOBE NEWSWIRE) — AirJoule Technologies Corporation (Nasdaq: AIRJ) (“AirJoule Technologies” or “AIRJ”), a leading platform technology that unleashes the power of water from air, today announced that it has acquired BitSink, a U.S.-based designer and manufacturer of cooling, electrical distribution and racking infrastructure for AI and high-performance computing (“HPC”) data centers.

The acquisition represents a significant expansion of AirJoule Technologies’ operations into the rapidly growing market for AI and HPC data center infrastructure. BitSink brings an established and profitable operating business with U.S. manufacturing capabilities, a portfolio of deployed cooling and electrical infrastructure products, and existing customer relationships; this enhances AIRJ’s differentiated platform addressing three of the most critical constraints facing next-generation AI data centers: cooling, power infrastructure and water.

Under the terms of the transaction, AirJoule Technologies acquired 100% of BitSink for upfront consideration of $18 million in cash and $9 million in AIRJ common stock. The transaction also includes up to $40 million of additional consideration payable in AIRJ common stock based on BitSink achieving revenue milestones over the three calendar years following closing, aligning a majority of potential consideration with future performance of the acquired business.

“The rapid buildout of AI and HPC infrastructure is fundamentally changing the requirements for cooling and water across the data center ecosystem,” said Matt Jore, Founder and Chief Executive Officer of AirJoule Technologies. “BitSink brings a proven track record of delivering high-density liquid cooling and electrical infrastructure at commercial scale to cryptocurrency mining customers, which is directly applicable to the growing demand for AI and HPC. This acquisition transforms AirJoule Technologies into a broader infrastructure solutions provider capable of addressing these interconnected constraints. We are excited to welcome the entire BitSink team to AirJoule Technologies.”

Stephen Pang, Chief Financial Officer of AirJoule Technologies added, “This transaction delivers commercial revenue contribution and substantial long-term growth potential, while also creating a natural platform to combine BitSink’s cooling technology with our AirJoule atmospheric water generation capabilities into an integrated infrastructure offering for the AI and HPC data center market. We believe this creates meaningful value for AIRJ shareholders.”

BitSink Founder, Stan Dyshko, commented, “We built BitSink to solve the real-world infrastructure challenges facing increasingly power-dense computing environments. Joining AirJoule Technologies gives us additional resources and relationships to expand our manufacturing capabilities and reach new customers. It also creates an exciting opportunity to integrate BitSink’s cooling and power infrastructure and the AirJoule atmospheric water generation technology to address the physical infrastructure constraints faced by data center developers.”

Strategic Rationale

AI and HPC are driving a fundamental change in data center infrastructure requirements. Next-generation chips are elevating rack densities well beyond the practical limits of air cooling, making liquid cooling a requirement. Bloomberg Intelligence projects the data center liquid cooling market to grow from approximately $3.7 billion in 2025 to approximately $11.5 billion by 2030, with direct-to-chip making up 87% of liquid-cooling architecture. Substantially greater electrical loads are creating supply chain bottlenecks for switchgear, power distribution and related infrastructure. At the same time, water availability and consumption are becoming increasingly important considerations for data center development.

BitSink’s proven cooling architecture, including liquid cooling systems, is also well positioned for the accelerating conversion of high-density crypto-mining infrastructure to AI and HPC workloads. Public bitcoin miners have announced more than $70 billion in AI and HPC contracts, with major operators converting mining megawatts to AI and HPC compute at retrofit economics that are substantially below the cost of greenfield development. BitSink’s track record of delivering high-quality cooling and electrical equipment in this market makes it well suited to capitalize on this crypto-to-AI transition.

BitSink provides AirJoule Technologies with an established operating platform that is addressing these infrastructure trends.

  • Water: The AirJoule Prime atmospheric water generation (“AWG) system is designed to leverage waste heat to extract water from air, enabling distributed and resilient production of pure distilled water
  • Cooling: BitSink designs, manufactures, and installs cooling systems that enable liquid cooling for high density workloads, including fully integrated modular data center blocks
  • Power Infrastructure: BitSink’s electrical equipment products include switchboards, power distribution units, and equipment racks that support the delivery and management of the substantial electrical loads required by high density computing applications

The transaction with BitSink accelerates AirJoule Technologies’ existing initiatives to address data center infrastructure needs through its 50/50 joint venture with GE Vernova, including the June 2026 commissioning of the first AirJoule Prime AWG system. Prime, which utilizes low-grade waste heat to produce pure distilled water from air, is currently in transit to Europe, where it will be utilized in a first-of-a-kind deployment at a European data center in Q4 2026 through a partnership with the Net Zero Innovation Hub for Data Centers. The BitSink acquisition directly complements this strategy: its closed-loop cooling systems reject the type of low-grade waste heat that AirJoule Prime uses in its water generation process, creating a significant integration opportunity between the two product lines.

Immediate Value with Significant Expansion Potential

The acquisition provides AirJoule Technologies with several immediate strategic benefits:

  • Expanded AI and HPC Infrastructure Exposure and Customer Access – Broadens AirJoule Technologies’ addressable market opportunity from $20 billion to $70 billion for data center cooling and power distribution while adding established commercial relationships across the data center ecosystem.
  • Complementary Cooling and Water Capabilities – Creates the foundation to combine BitSink’s cooling infrastructure with the AirJoule AWG technology to address data centers’ cooling and water challenges.
  • Established Operating Business and Revenue Base – Adds a profitable operating business with cumulative revenue of approximately $11 million across 2024 – 2025 and $15 million in near-term purchase orders.
  • U.S. Manufacturing Platform – Adds domestic manufacturing capabilities and a 65,000-square-foot facility in Chesnee, South Carolina, with additional expansion opportunities to support future growth.
  • Transaction Structure Includes Equity Earnout – Conditions a significant portion of potential consideration on BitSink’s future revenue performance, which aligns incentives and mitigates shareholder dilution.

Transaction Details

AirJoule Technologies acquired 100% of the equity interests of BitSink for aggregate upfront consideration of $18 million in cash and $9 million in AIRJ common stock with no debt. AIRJ common stock was priced based on the 15-day volume-weighted average price prior to closing.

The transaction also includes an earnout of up to $40 million payable solely in AIRJ common stock and tied to revenue milestones over the three calendar years following closing.

On August 31, 2026 (prior to the transaction), AirJoule Technologies had $45 million of cash on the balance sheet.

Capital and Surface Infrastructure Projects

Mustang Surface Earthworks

Talisker continued investing in critical site infrastructure to support future production growth. At the Mustang Mine, clearing, grading, and earthworks commenced to expand the portal area and prepare for several major infrastructure projects. A new laydown and storage pad was completed to support the storage of supplies and equipment. The expanded site footprint will accommodate:

  • Upgrades to the waste rock storage facility with a water diversion non-contact ditch, a contact water ditch and a contact water catchment pond;
  • Adjustments to the Mustang Mine Road to accommodate space for the Crushing and Sorting Facility;
  • Planned electrical infrastructure upgrades;
  • Construction of a new heavy duty equipment maintenance facility; and
  • The sorting facility foundation.

Electrical Upgrades

Construction is underway to upgrade site electrical infrastructure to support long term mining power requirements. A 1.2MW diesel power generator with 100% redundancy is currently being installed along with 5kV site distribution to enable continuous electrical power supply for underground development and production. Infrastructure will be pre-installed to allow for an additional 1.2MW to bring the total power availability to 2.4MW with redundancy when required. Commissioning is planned to be complete by the end of September.

Ventilation

Engineering design and procurement of two 100-horsepower primary ventilation fans, together with the associated steel fan support structure, were completed during 2026. Installation and commissioning at the Mustang Mine portal are planned for Q3 and represent a key component of the Company’s long term ventilation strategy. Once operational, the fan installation and associated ducting network are expected to significantly increase ventilation capacity into both the Mustang and Bralorne West mines, supporting higher development and production rates while improving current underground operating conditions.

Within the Lower Mustang Zone, ventilation infrastructure was further advanced through the completion of the 1045L to 1030L ventilation raise and the 1030L ventilation bulkhead. These key infrastructure components allow fresh air to be delivered directly to active mining faces on the 1045L, 1030L, and 1015L, as well as the Lower Mustang Decline, currently advancing toward the 1000L Level. This improved ventilation network is expected to increase face availability, enhance operational flexibility, and allow air to be delivered further along strike, providing the ability to extend sill development should mineralization continue beyond the current mine design.

At the Bralorne West Mine, progress on the Bralorne West Decline ventilation upgrade remains on schedule, with three of five key project stages completed during Q3. Installation of the hardline ducting network began in early September, and commissioning is expected in late October following completion of the Mustang Mine power upgrades. The upgraded system is designed to provide approximately 55,000 cfm of airflow, enabling continued advancement of the Bralorne West Decline and will support development access to the mineralized zones in the Bralorne West zone.

Camp Infrastructure

Significant progress was also achieved in workforce accommodation infrastructure in 2026. Talisker successfully installed and commissioned a new 32 bed accommodation facility in Q2. Demolition of legacy camp facilities commenced in Q3 to make way for a new mine dry and shower facility, a 42 bed dormitory, a modern kitchen and recreation complex and a new mine dry facility. Installation is scheduled for the third and fourth quarters.

Capital and Infrastructure Project Investments, 2026

To date, Talisker has invested $13.4 million on capital infrastructure projects in 2026. Collectively, these investments in both surface and underground mine infrastructure and workforce accommodations strengthen the operational foundation required to support increased mining rates, future production growth, and long term value creation at the Bralorne Gold Project.

The Mines Act permit amendment application, originally submitted in December 2025, underwent a comprehensive review and update to align the application with planned development. The application was significantly updated and resubmitted in July 2026. Key updates include:

  • Modernization of the Reclamation and Closure Plan;
  • Expansion of the mine plan to a five year operating horizon at 750 tonnes per day; and
  • Relocation of planned camp infrastructure.

Major Permit Amendment

In July 2026, Talisker commenced a Joint Application Permit Amendment process to amend its Mines Act Permit and Environmental Management Act permits related to air emissions and effluent discharge. The amendments are designed to facilitate production rates above 750 tonnes per day and enable the construction of a milling facility at the Bralorne Gold Project.

Baseline environmental programs that will inform this application commenced in August 2026. Development of the permitting schedule is currently underway, with submission of the application targeted for 2027.

Crushing and Sorting Facility Update

Detailed engineering for the Crushing and Sorting Facility is progressing well, with key long lead time equipment deliveries now underway. The jaw crusher, cone crusher, and vibrating screen plant have been delivered. The sprung span structures that will house the equipment will begin manufacturing shortly and will start delivering in October, and additional equipment is expected to arrive throughout the fall, including the TOMRA sorter in Q4. Site preparation and earthworks are currently underway to support facility construction this fall, marking an important project milestone.

ORLANDO, FL, Sept. 14, 2026 (GLOBE NEWSWIRE) — Coda Octopus Group, Inc. (“CODA” or the “Company”) (Nasdaq: CODA) a global market leader in real-time 4D/5D/6D imaging sonar technology for real-time subsea intelligence and cutting-edge diving augmented reality technology (DAVD), today reported its unaudited financial results for its fiscal third quarter ended July 31, 2026 (TQ2026).

Annmarie Gayle, CODA’s Chairman and CEO, commented: “I am pleased with our overall operating results for the third quarter of fiscal 2026. During the quarter, we delivered growth in consolidated revenue, operating income and pre-tax income compared to the third quarter of fiscal 2025, while also increasing our cash position.

These results were achieved despite a decline in revenue within our core Marine Technology Business, which continues to be affected by geopolitical instability arising from the ongoing conflict involving Iran. The resulting uncertainty has impacted procurement activity across key markets in the Middle East and Asia, regions that have historically represented an important source of opportunities for our Marine Technology products.

However, the strength of our diversified business model enabled us to offset these challenges through strong growth in our Defense Engineering Services Business and continued progress in our Acoustics Sensors and Materials Business. The quarter demonstrates both the resilience of our operating model and our ability to continue investing in strategic growth initiatives while delivering improved financial performance

The numbers shown below have been rounded to one decimal point, unless two decimal points are required for clarity. The full TQ2026 financials can be found in CODA’s Form 10-Q filed with the SEC on September 14, 2026:

  • Total revenue was approximately $7.7 million compared to $7.1 million in TQ2025, representing an increase of 9.2%.
  • Revenue from our core business (Marine Technology Business) was $3.4 million compared to $4.0 million in TQ2025, representing a 15.2% decrease.
  • Revenue from our Defense Engineering Services Business was $2.7 million compared to $1.6 million in TQ2025, representing an increase of 68.3%.
  • Revenue from the Acoustics Sensors and Material Business was $1.6 million compared to $1.5 million in TQ2025, representing an increase of 10.4%.
  • Gross profit was $5.1 million compared to $4.8 million in TQ2025. Gross margin was 65.4% compared to 68.3% in TQ2026, reflecting the mix of type and geography of sales reported in the Period.
  • Operating income was $1.5 million in TQ2026 compared to $1.4 million in TQ2025, representing an increase of 11.1%.
  • Operating margin was 19.9% compared to 19.5% in TQ2025, reflecting the increase in our gross profit in conjunction with a reduction in SG&A expenditures.
  • Pre-tax income was approximately $1.8 million in TQ2026 compared to $1.5 million in TQ2025, representing an increase of 16.0%.
  • Net income after taxes was approximately $1.4 million in TQ2026 compared to approximately $1.3 million in TQ2025, an increase of 8.3%.
  • Diluted earnings per share in TQ2026 was $0.12 compared to $0.11 in TQ2025.
  • Pre-tax income as a percentage of revenues for TQ2026 was approximately 23.2% compared to 21.9% in TQ2025. Research and Development expenditures for TQ2026 were approximately $0.7 million compared to approximately $0.6 million in TQ2025, representing an increase of 27.4%. SG&A in TQ2026 was approximately $2.8 million compared to $2.9 million in TQ2025, representing a decrease of 2.9%.

Our cash balance at the end of TQ2026 of $31.7 million representing an increase of $3.0 million over October 31, 2025, when this figure was $28.7 million.

Annmarie Gayle, CODA’s Chairman and CEO, commented: “While geopolitical instability continues to affect customer activity in certain regions, particularly the Middle East and parts of Asia, we were encouraged by the overall performance of the business during the quarter and by the increasing diversification of our revenue base.

Within our U.S. Defense Engineering Services business, we continued to see strengthening demand for repairs, sustainment and spare parts supporting long-standing U.S. defense programs. During the quarter, one of our prime contractor customers was awarded a multi-year repair and sustainment contract by the U.S. Government. Following that award, we experienced increased repair-related activity and additional subcontract opportunities associated with the program. We continue to view this area as a source of steady demand and future growth. Demand for spare parts supporting these sustainment programs also remains robust exceeding $2.4 million year-to-date.

We also continue to make progress in electronic warfare, which remains a significant area of defense investment. Our U.S. Defense Engineering Services segment is currently supporting several prime contractors in the development of rugged, deployable radio frequency (RF) electronic warfare systems for a variety of platforms, including unmanned systems, helicopters, airborne pods and ground vehicles. We believe these programs represent meaningful long-term opportunities, allowing us to build upon our established positions on legacy defense platforms while expanding into next-generation defense programs as technologies and operational requirements continue to evolve.

Within our Marine Technology business, we continue to make meaningful progress across our key strategic growth initiatives. During the quarter, we received orders totaling approximately $1.4 million for our proprietary DAVD tethered systems and peripherals. We believe our DAVD untethered system represents the larger long-term market opportunity for the DAVD technology. With Approved Navy Use authorization now in place, our customer has commenced training discrete user groups on the DAVD untethered system, and we continue to support this training program. We are also supporting several integration programs under contract where DAVD forms part of the vision and situational awareness component of broader operational systems.

We are likewise encouraged by the early market response to our recently launched Echoscope PIPE NANO Gen Series®. Customer engagement remains strong, and we are currently working with at least five customers on the integration of NANO systems into their underwater vehicle platforms.

Echoscope® products currently account for approximately 80% of Marine Technology Business revenue. The NANO Gen Series expands our addressable market by enabling smaller underwater platforms to benefit from real-time 3D spatial awareness, obstacle avoidance and enhanced situational awareness through a compact, power-efficient solution. We believe this positions us well to expand further into the growing defence, underwater robotics and autonomous vehicle markets. The technology is also complementary to our DAVD product line, with potential applications across diver-worn systems, diving platforms and a broad range of subsea robotic solutions.

We believe the long-term market drivers underlying our business remain compelling. Global defence priorities continue to focus on autonomous and unmanned maritime capabilities, creating significant opportunities for advanced underwater sensing, imaging and situational awareness technologies. Against this backdrop, we remain focused on commercial execution, innovation and expanding adoption of our key technologies while positioning the Company for long-term growth.”

About Coda Octopus Group, Inc.

Coda Octopus Group, founded in 1994, is a leading provider of innovative solutions for the underwater and subsea markets. The Company develops and supplies a range of hardware and software technologies, including its proprietary real-time 4D/5D/6D imaging sonars—marketed under the Echoscope®, Echoscope PIPE®, and Echoscope PIPE NANO Gen Series® brands—and its next-generation Diver Augmented Vision Display (DAVD) system. The Echoscope PIPE® sonar produces real-time 3D/4D/5D imagery of moving objects underwater, even in zero-visibility conditions, and is used globally across commercial offshore and defense applications. These include complex underwater mapping, subsea intervention, asset placement, salvage and recovery, search and rescue, offshore renewable energy, marine construction, robotics, decommissioning, mine countermeasures, ship-hull scanning, diving operations, and port and harbor security.

The Company’s DAVD system has the potential to transform diving operations in both defense and commercial markets. DAVD integrates topside control with a diver-worn heads-up display, enabling shared visualization of the underwater environment and the exchange of critical information. By incorporating the Company’s sonar technology, DAVD also enables operations in zero-visibility conditions—a longstanding challenge in the diving industry.

Coda Octopus Group expanded its capabilities through the acquisition of Precision Acoustics Limited, a recognized leader in acoustic sensors and materials. Precision Acoustics specializes in hydrophone design and advanced acoustic materials for medical imaging and non-destructive testing (NDT), supporting the assessment of structures such as aircraft, ship hulls, wellheads, and other subsea assets. The company also collaborates with national and international standards bodies, including the UK’s National Physical Laboratory, contributing to the development of primary measurement standards.

The Group also includes two Defense Engineering Services businesses—Coda Octopus Martech Ltd (UK) and Coda Octopus Engineering, Inc. (U.S.)—which supply mission-critical sub-assemblies to major defense programs as subcontractors to prime contractors. Their work spans concept development, design, prototyping, manufacturing and post-delivery support, creating opportunities for recurring revenue throughout the life cycle of long-term defense programs

Immunocore announces achievement of target enrollment in registrational TEBE-AM trial with KIMMTRAK® (tebentafusp) in previously treated advanced melanoma

Topline overall survival data expected as early as end of 2026

(OXFORDSHIRE, England & CONSHOHOCKEN, PA & ROCKVILLE, MD, US, 14 September 2026) Immunocore Holdings plc (Nasdaq: IMCR) (“Immunocore” or the “Company”), a commercial-stage biotechnology company pioneering and delivering transformative immunomodulating medicines to radically improve outcomes for patients with cancer, infectious diseases and autoimmune diseases, today announced the achievement of target patient enrollment (540 patients) in the TEBE-AM clinical trial (NCT05549297).

TEBE-AM is a global, randomized, registrational Phase 3 clinical trial evaluating KIMMTRAK (tebentafusp) as monotherapy and in combination with pembrolizumab, versus Investigator’s Choice, for the treatment of HLA-A*02:01-positive patients with advanced melanoma whose disease has progressed following prior therapy. The primary endpoint is overall survival.

“Achieving target enrollment in TEBE-AM is an important milestone for Immunocore and a critical step toward addressing the substantial unmet need in previously treated, post-PD1 advanced melanoma, a setting with limited treatment options,” said Mohammed Dar, Chief Medical Officer of Immunocore. “We are grateful to the patients and investigators participating in the trial.”

With target enrollment now achieved, patients enrolled in the trial will continue to be followed for the planned overall survival analysis.

The Company believes tebentafusp has the potential to address a significant unmet need for up to 4,000 HLA-A*02:01-positive patients with previously treated advanced melanoma in the post-PD1 setting, in the United States and Europe. The Company expects to be able to share topline data as early as the end of 2026.

About ImmTAC® molecules for cancer

Immunocore’s proprietary T cell receptor (TCR) technology generates a novel class of bispecific biologics called ImmTAC (Immune mobilizing monoclonal TCRs Against Cancer) molecules that are designed to redirect the immune system to recognize and kill cancerous cells. ImmTAC molecules are soluble TCRs engineered to recognize intracellular cancer antigens with ultra-high affinity and selectively kill these cancer cells via an anti-CD3 immune-activating effector function. Based on the demonstrated mechanism of T cell infiltration into human tumors, the ImmTAC mechanism of action holds the potential to treat hematologic and solid tumors, regardless of mutational burden or immune infiltration, including immune “cold” low mutation rate tumors.

About TEBE-AM – Phase 3 registrational trial with tebentafusp in previously treated advanced melanoma

The trial is evaluating tebentafusp in patients with second-line or later advanced melanoma who have progressed on an anti-PD1, received prior ipilimumab and, if applicable, received a BRAF kinase inhibitor. The study comprises three arms: tebentafusp as monotherapy, tebentafusp in combination with an anti-PD-1, and a control arm. The primary endpoint is overall survival.

About Cutaneous Melanoma

Cutaneous melanoma (CM) is the most common form of melanoma. It is the most aggressive skin carcinoma and is associated with the vast majority of skin cancer-related mortality. The majority of patients with CM are diagnosed before metastasis and survival remains poor for the large proportion of patients with metastatic disease. Despite recent progress in advanced melanoma therapy, there is still an unmet need for new therapies that improve first-line response rates and duration of response as well as for patients who are refractory to first-line treatments.

About KIMMTRAK®

KIMMTRAK is a novel bispecific protein comprised of a soluble T cell receptor fused to an anti-CD3 immune-effector function. KIMMTRAK specifically targets gp100, a lineage antigen expressed in melanocytes and melanoma. This is the first molecule developed using Immunocore’s ImmTAC technology platform, designed to redirect and activate T cells to recognize and kill tumor cells. KIMMTRAK has been approved for the treatment of HLA-A*02:01-positive adult patients with unresectable or metastatic uveal melanoma in the United States, European Union, Canada, Australia, and the United Kingdom.

IMPORTANT SAFETY INFORMATION

Cytokine Release Syndrome (CRS), which may be serious or life-threatening, occurred in patients receiving KIMMTRAK. Monitor for at least 16 hours following first three infusions and then as clinically indicated. Manifestations of CRS may include fever, hypotension, hypoxia, chills, nausea, vomiting, rash, elevated transaminases, fatigue, and headache. CRS occurred in 89% of patients who received KIMMTRAK with 0.8% being grade 3 or 4. Ensure immediate access to medications and resuscitative equipment to manage CRS. Ensure patients are euvolemic prior to initiating the infusions. Closely monitor patients for signs or symptoms of CRS following infusions of KIMMTRAK. Monitor fluid status, vital signs, and oxygenation level and provide appropriate therapy. Withhold or discontinue KIMMTRAK depending on persistence and severity of CRS.

Skin Reactions

Skin reactions, including rash, pruritus, and cutaneous edema occurred in 91% of patients treated with KIMMTRAK. Monitor patients for skin reactions. If skin reactions occur, treat with antihistamine and topical or systemic steroids based on persistence and severity of symptoms. Withhold or permanently discontinue KIMMTRAK depending on the severity of skin reactions.

Elevated Liver Enzymes

Elevations in liver enzymes occurred in 65% of patients treated with KIMMTRAK. Monitor alanine aminotransferase (ALT), aspartate aminotransferase (AST), and total blood bilirubin prior to the start of and during treatment with KIMMTRAK. Withhold KIMMTRAK according to severity.

Embryo-Fetal Toxicity

KIMMTRAK may cause fetal harm. Advise pregnant patients of potential risk to the fetus and patients of reproductive potential to use effective contraception during treatment with KIMMTRAK and 1 week after the last dose.

The most common adverse reactions (≥30%) in patients who received KIMMTRAK were cytokine release syndrome, rash, pyrexia, pruritus, fatigue, nausea, chills, abdominal pain, edema, hypotension, dry skin, headache, and vomiting. The most common (≥50%) laboratory abnormalities were decreased lymphocyte count, increased creatinine, increased glucose, increased AST, increased ALT, decreased hemoglobin, and decreased phosphate.

For more information, please see full Summary of Product Characteristics (SmPC) or full U.S. Prescribing Information (including BOXED WARNING for CRS).
