Fourth Quarter Fiscal 2026 Highlights

  • GAAP revenues increased 6.3% or $37.8 million to $634.7 million compared with $596.9 million in the prior year period.
  • Organic revenues grew 7.1% year over year to $635.5 million.
  • Annual Subscription Value (“ASV”) was $2,565.2 million at August 31, 2026.
  • Organic ASV was $2,568.2 million at August 31, 2026, up 7.0% or $168.2 million year over year.
  • GAAP operating margin was 24.7% compared with 29.7% in the prior year period, primarily due to higher employee compensation costs, mainly driven by one-time restructuring charges and ASV-linked incentive plans, partially offset by an increase in revenues.
  • Adjusted operating margin, which excludes acquisition-related intangible asset amortization and non-recurring items, was 33.0% compared with 33.8% in the prior year period, mainly due to higher compensation expense from ASV-linked incentive plans and technology-related expenses.
  • GAAP diluted EPS was $3.41 compared with $4.03 for the same period in fiscal 2025, mainly driven by higher operating expenses, including non-recurring items, and a gain on the divestiture of a business in the prior year, partially offset by growth in revenues and a lower share count.
  • Adjusted diluted EPS increased 11.6% to $4.52 compared with $4.05 in the prior year period, driven by growth in revenues and a lower share count.
  • Net cash provided by operating activities was $204.7 million for the fourth quarter of fiscal 2026, a decrease of 3.5% compared with the prior year period.
  • Free cash flow was $177.3 million for the fourth quarter of fiscal 2026, a decrease of 0.5% compared with the prior year period.
  • GAAP effective tax rate decreased to 16.1% compared with 18.7% for the prior year period primarily due to the favorable resolution of uncertain tax positions in the U.S.

Full Year Fiscal 2026 Highlights

  • GAAP revenues increased 6.7% or $154.5 million to $2.48 billion. This result continues FactSet’s track record of 47 consecutive years of increased revenues for the Company.
  • GAAP operating margin was 28.3% compared with 32.2% for the prior year, primarily due to higher employee compensation costs, mainly driven by one-time restructuring charges, ASV-linked incentive plans and one-time CEO compensation costs, partially offset by growth in revenues.
  • Adjusted operating margin was 34.5% compared with 36.3% in the prior year, mainly due to higher compensation expense from ASV-linked incentive plans and technology expenses.
  • GAAP diluted EPS was $14.57 compared with $15.55 in the prior year period, mainly driven by higher operating expenses, including non-recurring items, partially offset by growth in revenues and a lower share count.
  • Adjusted diluted EPS increased 6.1% to $18.01, primarily driven by growth in revenues and a lower share count. Fiscal 2026 marks the 30th consecutive year that FactSet has increased its adjusted diluted EPS.
  • Net cash provided by operating activities was $822.2 million for fiscal 2026, an increase of 13.2% compared with the prior year period.
  • Free cash flow was $707.5 million for fiscal 2026, an increase of 14.6% compared with the prior year period.
  • GAAP effective tax rate increased to 17.9% compared with 17.2% for the prior year period primarily due to a stock-based compensation tax shortfall and the limitation on the deductibility of executive compensation, partially offset by the favorable resolution of uncertain tax positions in the U.S.

Annual Subscription Value (ASV)

ASV at any given point in time represents the forward-looking revenues for the next 12 months from all subscription services currently supplied to clients. Organic ASV at any point in time equals our ASV excluding ASV from acquisitions and the comparable impact of dispositions and discontinued lines of business effected within the last 12 months and the impact of foreign currency movements.

ASV was $2,565.2 million at August 31, 2026, compared with $2,405.6 million at August 31, 2025. Organic ASV was $2,568.2 million at August 31, 2026, up $168.2 million from the prior year, for a growth rate of 7.0%.

Forward-looking Statements

This press release contains forward-looking statements based on management’s current expectations, estimates, forecasts and projections about future events, trends, contingencies, and circumstances, industries in which FactSet operates and the beliefs and assumptions of management. All statements that address expectations, guidance, outlook or projections about the future, including statements about the Company’s strategy, product development, revenues, future financial results, anticipated growth, market position, subscriptions, expected expenditures or investments, trends in FactSet’s business and financial results, are forward-looking statements. Forward-looking statements may be identified by words like “may,” “might,” “will,” “should,” “expects,” “plans,” “anticipates,” “believes,” “estimates,” “intends,” “projects,” “indicates,” “predicts,” “potential,” or “continue,” the negative of those terms, and similar expressions. Forward-looking statements are not guarantees of future performance, outcomes, events, or actions and involve a number of known and unknown risks, uncertainties, and assumptions. Many factors, including those discussed more fully elsewhere in this release and in FactSet’s filings with the Securities and Exchange Commission, particularly its latest annual report on Form 10-K, including Item 1A, Risk Factors, and quarterly reports on Form 10-Q, as well as others, could cause results, performance, achievements, or activities to differ materially from those expressed or implied by the forward-looking statements. Accordingly, the Company cautions readers not to place undue reliance on any forward-looking statements, which speak only as of the date they are made. About Non-GAAP Financial Measures

The Company reports its financial results in accordance with U.S. GAAP. The Company also refers to and presents certain additional non-GAAP financial measures. These measures include: organic revenues, adjusted operating margin, adjusted operating income, adjusted net income, EBITDA, adjusted EBITDA, adjusted diluted EPS, and free cash flow. The Company has included reconciliations of these non-GAAP financial measures to the most directly comparable financial measures calculated in accordance with GAAP at the back of this release.

FactSet uses these non-GAAP financial measures both in presenting its results to stockholders and the investment community and in its internal evaluation and management of the business. The Company believes that these non-GAAP financial measures provide useful supplemental information to investors because they permit investors to view the Company’s performance using the same tools that management uses to gauge progress in achieving its goals. Investors may benefit from referring to these non-GAAP financial measures in assessing the Company’s performance and when planning, forecasting and analyzing future periods, and such measures may also facilitate comparisons to historical performance. The Company believes that organic revenues, adjusted operating margin, adjusted operating income, adjusted net income, EBITDA, adjusted EBITDA, and adjusted diluted EPS help to fully reflect the underlying economic performance of FactSet. The Company believes that free cash flow is useful to investors because it is an indication of cash flow that may be available to pay debt obligations, make strategic acquisitions and investments, pay dividends, repurchase stock, and strengthen the balance sheet. The presentation of this non-GAAP financial information should not be considered in isolation from, or as a substitute for, the financial information prepared and presented in accordance with GAAP. We are not able to provide reconciliations of certain forward-looking non-GAAP financial measures to comparable GAAP measures because certain items required for such reconciliations are outside of our control and/or cannot be reasonably predicted without unreasonable effort.

– Ribupatide injection (KAI-9531) aims to address critical need for greater weight loss, especially for people living with a BMI of 35 kg/m² or higher

– Topline data now expected in mid-2028

WALTHAM, Mass., Sept. 30, 2026 (GLOBE NEWSWIRE) — Kailera Therapeutics, Inc. (Nasdaq: KLRA) (Kailera), a clinical-stage biotechnology company focused on elevating the next era of obesity care, today announced the completion of enrollment in the KaiNETIC global Phase 3 clinical program. The KaiNETIC program, which encompasses three trials – KaiNETIC-1, KaiNETIC-2, and KaiNETIC-3 – is evaluating ribupatide injection (also known as KAI-9531), an investigational once-weekly dual GLP-1/GIP receptor agonist peptide, for the treatment of people living with obesity or overweight.

Topline data from KaiNETIC-1, KaiNETIC-2, and KaiNETIC-3 are now expected in mid-2028.

“Obesity is a complex, chronic disease, and millions of people still struggle to find a treatment that meets their needs,” said Scott Wasserman, M.D., Chief Medical Officer, Kailera. “Completing enrollment across all three KaiNETIC trials is an important milestone that brings us one step closer to delivering ribupatide injection to patients as a potential best-in-class medicine.”

About the KaiNETIC Phase 3 Program

KaiNETIC is a global Phase 3 program consisting of three double-blind, randomized, placebo-controlled Phase 3 clinical trials designed to evaluate the efficacy and safety of ribupatide injection for the treatment of obesity or overweight. The trials evaluate ribupatide doses up to 10 mg administered by weekly subcutaneous injection over a period of 76 weeks, with dose titration for up to 24 weeks and a maintenance dose of at least 52 weeks. Participants were enrolled at more than 200 investigative sites across eleven countries in North America, Europe, the United Kingdom, Oceania, and South America.

KaiNETIC-1 enrolled approximately 2,500 adults with a BMI of 30 kg/m² or greater, or a BMI of 27 kg/m² or greater with a comorbidity, excluding type 2 diabetes. The primary endpoint is percentage change in body weight from baseline at Week 76.

KaiNETIC-2 enrolled approximately 1,200 adults with a BMI of 27 kg/m² or greater and type 2 diabetes. The co-primary endpoints of this trial are percentage change in body weight from baseline at Week 76 and change in hemoglobin A1c from baseline at Week 76.

KaiNETIC-3 enrolled approximately 1,200 adults with a BMI of 35 kg/m² or greater and without type 2 diabetes. The co-primary endpoints of this trial are percentage change in body weight from baseline compared to placebo at Week 76 and percentage change in body weight from baseline compared to semaglutide 2.4 mg at Week 76.

In KaiNETIC-1 and KaiNETIC-2, participants were randomized to one of five arms – ribupatide 4 mg, 6 mg, 8 mg or 10 mg, or placebo, and both trials will also evaluate ribupatide in a pre-defined subgroup of participants with a BMI of 35 kg/m² or greater. In KaiNETIC-3, participants were randomized to one of four arms – ribupatide 8 mg or 10 mg, placebo, or open-label semaglutide 2.4 mg.

About Ribupatide

Ribupatide is a GLP-1 (glucagon-like peptide-1)/GIP (glucose-dependent insulinotropic polypeptide) receptor dual agonist peptide being developed as a once-weekly subcutaneous injection and as a once-daily oral pill for the treatment of obesity and overweight. Once-weekly ribupatide injection has been studied in more than 3,000 clinical trial participants who have been dosed with treatment out to 52 weeks, including in multiple late-stage clinical trials conducted by Hengrui in China. Hengrui submitted an NDA to the National Medical Products Administration (NMPA) in China for long-term weight management in adults. In May 2024, Hengrui granted Kailera exclusive global rights outside Greater China to develop, manufacture and commercialize its portfolio of innovative GLP-1 therapeutics, including ribupatide injection and ribupatide oral. Kailera is currently evaluating ribupatide injection for the treatment of obesity in the KaiNETIC global Phase 3 clinical program. Based on compelling clinical data to date, Hengrui is advancing once-daily ribupatide oral to Phase 3 clinical trials in China, and Kailera plans to initiate planned global Phase 3 trials in obesity in the first half of 2027.

Three Orders for 10 Production Systems Combine to Represent Largest Order in Company History

Record Orders Significantly Increase Fiscal 2028 Revenue Visibility

MILTON, N.Y., Sept. 30, 2026 (GLOBE NEWSWIRE) — Sono-Tek Corporation (Nasdaq: SOTK), the leading developer and manufacturer of ultrasonic coating systems, today announced that it has received three purchase orders totaling approximately $7.19 million from an existing customer in the clean energy sector. The orders include 10 production-scale coating systems for shipment to three different geographic locations and represent the largest aggregate customer order in Sono-Tek’s history.

The orders continue a multi-year relationship with a customer that has successfully installed and operated Sono-Tek production systems for its advanced solar manufacturing process. The latest orders represent a significant expansion of the customer’s use of Sono-Tek’s proprietary ultrasonic coating technology and further demonstrate the progression of Sono-Tek systems from process development into high volume manufacturing applications.

The 10 systems are currently expected to be delivered primarily during Sono-Tek’s 2028 fiscal year, which begins on March 1, 2027. Actual delivery timing may vary based on production schedules and customer requirements.

The new orders add significant clarity to Sono-Tek’s probable fiscal 2028 revenue. Together with the previously announced medical diagnostic production line order of more than $3.6 million, Sono-Tek now has more than $10.79 million in backlog from these two programs, with the majority currently expected to ship during fiscal 2028. With approximately five months remaining before fiscal 2028 begins, Sono-Tek has additional time to build even further upon this backlog. The two programs serve different customers in two key growth markets—alternative energy and medical devices.

Steve Harshbarger, President and CEO of Sono-Tek, commented: “These record orders represent an important milestone for Sono-Tek and a significant expansion of our relationship with this customer. Following the successful deployment of our technology in its advanced clean energy manufacturing process, the customer is now expanding its use of Sono-Tek production systems across three geographic locations.”

“The size and scope of these orders demonstrate the significant opportunity created when customers successfully scale a proven process using Sono-Tek technology. They are also a strong example of our long-term growth strategy: supporting customers from process development through high-volume manufacturing with increasingly sophisticated production systems and higher average selling prices.”

“Together with the more than $3.6 million medical diagnostic production line announced in August, we now have more than $10.79 million in backlog from these two programs that is currently expected to be delivered primarily during fiscal 2028. Importantly, these two major programs are for different customers serving two distinct markets. With approximately five months remaining before fiscal 2028 begins, we believe this provides significant early visibility into the coming fiscal year, while providing additional time to further build our fiscal 2028 backlog.”

The latest orders continue to reinforce Sono-Tek’s position in the alternative energy sector, a key component of the Company’s long-term growth strategy. Sono-Tek’s ultrasonic coating systems are being used in a growing range of clean energy applications, including next-generation solar cells, fuel cells, green hydrogen generation and carbon capture.

TORONTO, Sept. 30, 2026 (GLOBE NEWSWIRE) — Northland Power Inc. (“Northland” or the “Company”) (TSX: NPI) today announced the close of approximately PLN 500 million (CAD 185 million) in project financing for its Mieczysławów (200 MW / 800 MWh) and Kamionka (100 MW / 400 MWh) battery energy storage system (“BESS”) projects in Poland, both of which are currently under construction.

The financing was secured with Canadian and Polish financial institutions and completes the funding structure for the projects. Both projects have also received grants totaling approximately PLN 280 million (CAD 105 million) from Poland’s National Fund for Environmental Protection and Water Management. Northland has already fulfilled its equity commitment for both projects using corporate cash and available funding. Total capital costs for Kamionka and Mieczysławów are estimated to be approximately PLN 1.0 billion (CAD 0.4 billion).

“Securing financing for Kamionka and Mieczysławów completes the funding structure for both projects and marks another important milestone in Northland’s growth in Poland,” said Jeff Hart, Chief Financial Officer of Northland Power. “These projects demonstrate our disciplined approach to capital allocation and our ability to execute on projects. As demand for flexible grid infrastructure continues to grow, battery storage is an important part of our portfolio and a key driver of long-term value creation.”

Kamionka and Mieczysławów remain on track, with commercial operations expected in early 2028 and mid-2028, respectively. Once fully operational, the projects are expected to contribute approximately $40 million to $50 million of combined annual Adjusted EBITDA.

Acquired in November 2025 as late-stage, pre-construction projects, Northland has since advanced both projects through development, secured grant funding and project financing, and commenced construction. Together, the facilities will provide 300 MW / 1.2 GWh of battery storage capacity, with a portion of revenues contracted under 17-year inflation-indexed auction agreements and additional revenue opportunities through energy arbitrage and ancillary services markets.

Once operational, Kamionka and Mieczysławów are expected to be among the first utility-scale standalone battery storage facilities operating in Poland. Together with Baltic Power, the projects further strengthen the Company’s presence in one of its core growth markets. The facilities will support grid reliability, increase system flexibility and help integrate Poland’s growing renewable energy generation.

FLAREX® (fluorometholone acetate ophthalmic suspension) 0.1%
Indications and Usage
FLAREX® (fluorometholone acetate ophthalmic suspension) 0.1% is indicated for use in the treatment of steroid-responsive inflammatory conditions of the palpebral and bulbar conjunctiva, cornea, and anterior segment of the eye.

Important Safety Information
CONTRAINDICATIONS
Contraindicated in acute superficial herpes simplex keratitis, vaccinia, varicella, and most other viral diseases of the cornea and conjunctiva; mycobacterial infection of the eye; fungal diseases; acute purulent untreated infections, which like other diseases caused by microorganisms, may be masked or enhanced by the presence of the steroid; and in those persons who have known hypersensitivity to any component of this preparation.

WARNINGS AND PRECAUTIONS
Topical Ophthalmic Use: Not for injection.

Intraocular Pressure Increase: Prolonged use may result in glaucoma, damage to the optic nerve, and defects in visual acuity and visual field. It is advisable that the intraocular pressure be checked frequently.

Cataracts: Use of corticosteroids may result in cataract formation.

Delayed Healing: Topical ophthalmic corticosteroids may slow corneal wound healing. In those diseases causing thinning of the cornea or sclera, perforation has been known to occur with chronic use of topical steroids.

Viral Infections: Use in the treatment of herpes simplex infection requires great caution.

Bacterial Infections: Use of corticosteroids may suppress the host response and thus aid in the establishment of secondary ocular infections. Acute purulent infections of the eye may be masked or exacerbated by the presence of steroid medication.

Fungal Infections: Fungal infections of the cornea are particularly prone to develop coincidentally with long-term local steroid application. Fungus invasion must be considered in any persistent corneal ulceration where a steroid has been used or is in use.

Contamination: Do not touch dropper tip to any surface as this may contaminate the suspension.

Contact Lens Wear: Contact lenses should be removed during instillation of FLAREX but may be reinserted 15 minutes after instillation.

Temporarily Blurred Vision: Vision may be temporarily blurred following dosing with FLAREX. Care should be exercised in operating machinery or driving a motor vehicle.

ADVERSE REACTIONS
Glaucoma with optic nerve damage, visual acuity and field defects, cataract formation, secondary ocular infection following suppression of host response, and perforation of the globe may occur.

Post marketing Experience: The following reaction has been identified during post marketing use of FLAREX in clinical practice. Because reactions are reported voluntarily from a population of unknown size, estimates of frequency cannot be made. The reaction, which has been chosen for inclusion due to either its seriousness, frequency of reporting, possible causal connection to FLAREX, or a combination of these factors, includes dysgeusia. The following rare adverse reactions have been reported: Cushing’s syndrome and adrenal suppression may occur after very frequent use of topical ophthalmic corticosteroids, particularly in very young children.

Please see full Prescribing Information for FLAREX.

BYQLOVI® (clobetasol propionate ophthalmic suspension) 0.05%
Indications and Usage
BYQLOVI® (clobetasol propionate ophthalmic suspension) 0.05% is a corticosteroid indicated for the treatment of post-operative inflammation and pain following ocular surgery.

Important Safety Information
CONTRAINDICATIONS
BYQLOVI is contraindicated in most active viral diseases of the cornea and conjunctiva, including epithelial herpes simplex keratitis (dendritic keratitis), vaccinia, and varicella, and also in mycobacterial infection of the eye and fungal diseases of ocular structures.

WARNINGS AND PRECAUTIONS
Intraocular Pressure (IOP) Increase: Prolonged use of corticosteroids may result in glaucoma with damage to the optic nerve, defects in visual acuity and fields of vision. Steroids should be used with caution in the presence of glaucoma. If BYQLOVI is used for 10 days or longer, IOP should be monitored.

Cataracts: Prolonged use of corticosteroids may result in posterior subcapsular cataract formation.

Delayed Healing: The use of corticosteroids after cataract surgery may delay healing and increase the incidence of bleb formation.

Corneal and Scleral Melting: In those diseases causing thinning of the cornea or sclera, perforations have been known to occur with the use of topical corticosteroids. The initial prescription and renewal of the medication order should be made by a physician only after examination of the patient with the aid of magnification, such as slit lamp biomicroscopy, and where appropriate, fluorescein staining.

Bacterial Infections: Prolonged use of corticosteroids may suppress the host response and thus increase the hazard of secondary ocular infections. In acute purulent conditions, steroids may mask infection or enhance existing infection. If signs and symptoms fail to improve after 2 days, the patient should be reevaluated.

Viral Infections: Employment of a corticosteroid medication in the treatment of patients with a history of herpes simplex requires great caution. Use of ocular corticosteroids may prolong the course and may exacerbate the severity of many viral infections of the eye (including herpes simplex).

Fungal Infections: Fungal infections of the cornea are particularly prone to develop coincidentally with long-term local corticosteroid application. Fungus invasion must be considered in any persistent corneal ulceration where a corticosteroid has been used or is in use. Fungal culture should be taken when appropriate.

Risk of Contamination: Do not allow the dropper tip to touch any surface, as this may contaminate the ophthalmic suspension.

Contact Lens Wear: BYQLOVI should not be instilled while wearing contact lenses. Remove contact lenses prior to instillation of BYQLOVI. The preservative in BYQLOVI may be absorbed by soft contact lenses. Lenses may be reinserted after 15 minutes following administration of BYQLOVI.

ADVERSE REACTIONS
Ocular adverse reactions occurring in ≥ 1% of subjects in clinical studies who received BYQLOVI included eye inflammation (2%), corneal edema (2%), anterior chamber inflammation (2%), cystoid macular edema (2%), intraocular pressure elevation (1%), photophobia (1%) and vitreous detachment (1%). Many of these reactions may have been the consequence of the surgical procedure.

Please see full Prescribing Information for BYQLOVI.

  • JADE301 is designed to build on a clinically validated IFN-β mechanism with a differentiated profile designed for infrequent subcutaneous dosing
  • JADE301 demonstrated high-affinity, selective IFN-β binding and greater functional potency than a dazukibart comparator in disease-relevant human cells
  • Following subcutaneous administration in non-human primates, JADE301 was effectively half-life extended with an approximately 25-day half-life and predictable distribution into muscle
  • JADE301 was well tolerated in non-human primates at all evaluated subcutaneous doses
  • Phase 1 healthy volunteer trial expected to begin in the fourth quarter of 2026; interim data anticipated in the second half of 2027
  • Company to host conference call and webcast today at 8:30 a.m. ET

SAN FRANCISCO and VANCOUVER, British Columbia, Sept. 30, 2026 (GLOBE NEWSWIRE) — Jade Biosciences, Inc. (“Jade” or the “Company”) (Nasdaq: JBIO), a clinical-stage biotechnology company focused on developing best-in-class therapies for autoimmune diseases, today announced preclinical data characterizing JADE301, its potentially best-in-class, half-life-extended anti-interferon beta (IFN-β) monoclonal antibody in development for dermatomyositis (DM), a rare, chronic and debilitating autoimmune disease characterized by painful inflammatory skin disease and progressive muscle weakness. JADE301 is a fully human IgG1 monoclonal antibody with a YTE modification designed to selectively and potently neutralize IFN-β and inhibit downstream signaling implicated as a proximal driver in DM pathogenesis.

The data are being presented in an e-poster at the 2026 European Academy of Dermatology and Venereology (EADV) Congress in Vienna, Austria (Poster #P1813).

“JADE301 was designed to leverage the clinically validated anti-IFN-β mechanism in dermatomyositis with a differentiated molecular and pharmacokinetic profile,” said Andrew King, Ph.D., President, Research & Development of Jade Biosciences. “These preclinical data support potent and selective IFN-β inhibition, and demonstrate pharmacokinetic properties characterized by an extended half-life, favorable subcutaneous bioavailability, and muscle distribution. These attributes support the development of a targeted, disease-modifying therapy that has the potential to provide durable improvement across both skin and muscle manifestations of dermatomyositis, while reducing treatment burden for patients through infrequent subcutaneous dosing.”

“For people living with dermatomyositis, the treatment goal is to control both skin and muscle disease activity, restore strength and daily function, and limit reliance on chronic steroids,” said Rohit Aggarwal, M.D., M.S., Professor of Medicine at University of Pittsburgh and Medical Director of Arthritis and Autoimmunity Center at University of Pittsburgh Medical Center. “Yet targeted treatment options remain limited, and many patients continue to experience substantial disease and treatment burden. The clinical validation of IFN-β as a therapeutic target represents a promising advance for the field. JADE301’s preclinical profile, including potent and selective IFN-β neutralization, extended half-life, and subcutaneous administration, supports clinical evaluation to assess if this approach can deliver durable disease control with a less burdensome treatment regimen.”

Summary of JADE301 Preclinical Data

High-affinity, selective and potent IFN-β neutralization

  • JADE301 demonstrated high-affinity binding to IFN-β, with a KD of 11.3 pM, approximately 2.5-fold higher affinity than a dazukibart comparator, and no detectable binding to other interferon family proteins.
  • JADE301 potently inhibited downstream IFN-β signaling.
    • In a human immune cell line, JADE301 inhibited induction of pSTAT with an IC50 of 13 pM, approximately 2.5-fold more potent than the dazukibart comparator.
    • Suppression of MX-1, a marker of IFN pathway activity relevant to DM, was demonstrated in human dermal fibroblasts, a disease-relevant skin cell type, and peripheral blood mononuclear cells; in human dermal fibroblasts, JADE301 inhibited MX-1 induction with an IC50 of 11 pM, approximately 8-fold more potent than the dazukibart comparator.

Differentiated pharmacokinetic profile supports potential for infrequent subcutaneous dosing

  • JADE301 demonstrated an approximately 30-day half-life following a 30 mg/kg intravenous dose in non-human primates (NHPs), approximately 3-fold longer than the dazukibart comparator.
  • Following subcutaneous (SC) administration in NHPs, JADE301 demonstrated an approximately 25-day half-life. Translational modeling predicted human SC bioavailability of approximately 73%–75%, compared with a reported dazukibart SC bioavailability in humans of approximately 43%–44%, supporting the potential for convenient, infrequent SC dosing.
  • JADE301 concentrations in muscle were consistent with the typical range reported for monoclonal antibodies, approximately 1%–4% of serum concentrations, providing a translational framework to inform dose selection and exposure at a key site of active disease in DM.

Favorable nonclinical tolerability profile

  • In a GLP toxicology study in NHPs, subcutaneous JADE301 was administered every two weeks at doses of 0, 50, 100 and 200 mg/kg and was well tolerated at all dose levels evaluated.
  • There were no treatment-related adverse clinical observations or meaningful adverse findings on laboratory or other standard safety assessments. No treatment-related histopathology findings were observed.

JADE301 Phase 1 Development

Jade expects to initiate a placebo-controlled, single ascending-dose Phase 1 trial evaluating subcutaneous JADE301 in 24 healthy volunteers in the fourth quarter of 2026, with interim data anticipated in the second half of 2027. The study is designed to assess safety and tolerability, and to characterize the pharmacokinetic and immunogenicity profile of JADE301.

About Dermatomyositis

Dermatomyositis (DM) is a rare, chronic autoimmune disease affecting approximately 50,000 adults in the U.S. and characterized by inflammatory skin disease, progressive muscle weakness and potentially serious systemic complications. Excessive type I interferon signaling is a hallmark of DM, with IFN-β believed to play a central role in driving inflammation in both skin and muscle. DM can substantially impair daily functioning, including the ability to walk, climb stairs, bend or lift, while painful skin disease and severe itching can further disrupt sleep and quality of life. Many patients continue to experience chronic disease activity despite treatment, underscoring the need for more effective, durable and less burdensome treatment options.

About JADE301

JADE301 is an investigational anti-IFN-β monoclonal antibody being developed for dermatomyositis. By selectively neutralizing IFN-β, a clinically validated target and key driver of disease pathology, JADE301 is designed to address both skin and muscle manifestations of DM. Engineered with half-life extension technology, JADE301 is being developed with the goal of delivering a convenient, infrequent subcutaneous administration, with the potential to provide durable disease control and reduce treatment burden.

New clearance to further simplify bedside EEG interpretation and enable more informed interventions for patients of all ages across multiple indications

SUNNYVALE, Calif., Sept. 30, 2026 (GLOBE NEWSWIRE) — CeriBell, Inc. (Nasdaq: CBLL) (“Ceribell” or the “Company”), a medical technology company focused on transforming the diagnosis and management of patients with serious neurological conditions, today announced that the U.S. Food and Drug Administration (FDA) has cleared new software for the Ceribell System that makes it easier and faster for clinicians to interpret longitudinal brain activity and make appropriate clinical decisions.1

Brain monitoring with electroencephalography (EEG) can generate hours of complex data that can be difficult to interpret in a timely manner. Ceribell’s newly cleared software takes that raw information and turns it into simple, easy-to-read trends at the bedside, so clinicians can spot meaningful changes in brain activity sooner when every minute matters.

The software update will add three capabilities to the Ceribell Platform:

  • Alpha-Delta Ratio (ADR) & Relative Alpha (RA) Trending: Delivers continuous brain monitoring which can be used to help catch early signs of brain distress and reduced blood flow in high-risk patients, such as those suffering from aneurysmal subarachnoid hemorrhage (SAH), enabling proactive intervention.
  • Burst Suppression (BS) Monitoring: Provides a clear, real-time picture of brain activity that can be used to help clinicians safely fine-tune sedation drugs when treating severe, ongoing seizures or controlling brain swelling.
  • Amplitude-Integrated EEG (aEEG): Offers simplified, long-term monitoring of background brain activity, bringing standard-of-care neonatal assessment to the NICU while complementing adult ICU monitoring.

Notably, this clearance carries no age restriction. The same easy-to-use trends are available whether the patient is a premature newborn in the NICU or an adult patient in the emergency department or ICU.

“In critical care, time is brain, and every hour spent waiting for interpretation of EEG is time lost delivering treatment at the bedside,” said Jane Chao, Ph.D., co-founder and CEO of Ceribell. “We expect to integrate these new features through an automatic software update in the first half of 2027.”

The introduction of these algorithms will build on Ceribell’s continued expansion of its AI-powered EEG platform across the acute-care setting, including recent clearances for neonatal seizure detection2 and delirium monitoring.3 Together, these updates reflect Ceribell’s ongoing commitment to making comprehensive brain monitoring available to a wider variety of patients — regardless of age or care setting.

The acquired business generated approximately $6.6 million of adjusted EBITDA in fiscal year 2025; Bloom, Advertise Purple’s proprietary data and analytics platform with more than 111 million performance records, joins ONAR Labs alongside Retina AI and Cortex

Miami, FL, Sept. 30, 2026 (GLOBE NEWSWIRE) — ONAR Holding Corporation (OTC PINK: ONAR) (“ONAR” or the “Company”), an AI-powered marketing platform, today announced that it has completed its acquisition of Advertise Purple, a Santa Monica, California-based affiliate marketing agency, in the largest acquisition in the Company’s history, funded by the $15 million financing announced yesterday. On a pro forma basis, the combined company generated approximately $23.5 million of revenue in fiscal year 2025, approximately seven times ONAR’s reported standalone revenue for the same period. Advertise Purple contributes a business that generated approximately $17.1 million of net revenue and $4.4 million of net income in fiscal year 2025, representing approximately $6.6 million of adjusted EBITDA, a non-GAAP measure reconciled below. Total consideration for the acquisition is up to $27,825,000, assuming all earnout thresholds are met, and the complete terms are set forth in the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on September 30, 2026.

Advertise Purple is a leading U.S. affiliate and partnership marketing agency, managing affiliate programs for more than 400 active brands with no single client representing more than approximately five percent of revenue. Advertise Purple Chief Executive Officer Jonathan Moisan and Chief Growth Officer Rowland Hazard will continue to lead the business, and the consideration is structured so that a meaningful portion is earned through the future growth of the business they run.

The Bloom Platform

At the core of Advertise Purple’s operating model is Bloom, its proprietary data, analytics, and workflow platform. Bloom serves as both the client-facing performance dashboard and the internal operating system through which Advertise Purple manages affiliate programs at scale: it ingests first-party client data across transactions, products, and affiliate activity, and drives partner selection, commission optimization, and program management across the agency’s book. The platform holds more than 111 million performance records accumulated across thousands of client programs, and in the past year Advertise Purple added AI-enabled natural language access to the platform.

Bloom now joins ONAR Labs, the Company’s technology division, alongside Retina AI, ONAR’s predictive customer intelligence platform, and Cortex, its offline and online sales attribution platform. The combination is the reason the Company believes this acquisition is transformational rather than merely additive: affiliate marketing is one of the fastest-growing channels in performance marketing and remains one of the hardest to measure, and the combination of Bloom’s accumulated performance data with Retina AI’s predictive modeling and Cortex’s attribution gives ONAR the components of a measurement capability the affiliate category has lacked. As the Company wrote in its July letter to stockholders, “We buy strong agencies, we put our own technology inside them, and the same team serves more clients.”

The acquisition also transforms the profile of the Company as it pursues the uplisting to the Nasdaq Stock Market announced in its July letter to stockholders. That letter set out four priorities: completing a transformative acquisition, closing a proposed $15 million financing, converting a portion of outstanding debt into equity, and pursuing the Nasdaq listing. With the financing announced yesterday and the acquisition completed today, three of the four are done. The scale, profitability, and technology the combined company now carries are foundational to the fourth, and the pursuit of the listing continues as described in the Company’s filings.

“Fourteen months ago, this company was behind on its filings and carrying a balance sheet that limited every decision we made. Today, Advertise Purple, its team, and the Bloom platform are part of ONAR, and the plan we published in July is three-quarters complete,” said Claude Zdanow, Chief Executive Officer of ONAR. “I want stockholders to understand why this one is different. We didn’t just buy revenue. We bought the largest data asset this company has ever owned, in a channel that’s growing fast and has never been measured well, and we build the technology that fixes exactly that. What comes now is the part I respect most: integration, execution, and earning the numbers. We closed on a date we set ourselves, and we intend to keep working that way.”

“We spent a decade building Advertise Purple into the agency brands trust with their affiliate spend, and Bloom is a big part of why they trust us,” said Jonathan Moisan, Chief Executive Officer of Advertise Purple. “Joining ONAR puts real engineering behind Bloom, and pairing it with Retina AI and Cortex means our clients get answers this channel has never been able to give them. Our team stays, our standards stay, and now we have a platform behind us.”

Advertise Purple was advised by Woodland Park Capital Advisors, with support from PanArgent Capital Advisors.
