Redemption of the remaining £17,072,000 outstanding of the £150,000,000 6.000% Fixed Rate Resetting Perpetual Subordinated Contingent Convertible Securities issued in October 2021 (ISIN: XS2391408072)
(the “Securities“)

OSB GROUP PLC (the “Issuer“) has today given notice to the Securityholders that it has elected to redeem all outstanding Securities, being an aggregate principal amount of £17,072,000, pursuant to Condition 8(b)(i) of the terms and conditions of the Securities (the “Conditions“).

Having obtained the necessary regulatory approvals, notice of redemption has been given to Securityholders, the Trustee and the Agents in accordance with the terms and conditions of the Securities.

All outstanding Securities will be redeemed on 7 October 2026 (the “Redemption Date“) at their principal amount together with accrued but unpaid interest to (but excluding) the Redemption Date.

Following redemption, the Securities will be cancelled pursuant to the Conditions. Accordingly, the listing of the Securities on the London Stock Exchange’s International Securities Market will be cancelled on, or shortly after, 8 October 2026.
